Business Structures - Definitions

The four (4) common types of legal structures for a business are a sole proprietorship, a
partnership, a corporation and a co-operative.

 1. The owner of a “sole proprietorship” is entirely responsible for all of the business’s debts
and obligations. A creditor can claim the business owner’s personal and commercial assets
to satisfy any debts. However, sole proprietors receive all of the profits from their business.

 2. A “partnership” is created between two or more business partners who pool their financial
resources. Profits are shared among the business partners according to a predetermined
agreement. Responsibility is also limited, meaning that each business partner’s personal
assets can be used to reimburse business debts.

 3. A “corporation” is a legal entity that is separate from its owner and its shareholders. A
shareholder will not be held personally liable for the debts, obligations or acts of the
    corporation.

A “co-operative” is owned and controlled by an association of members. These members are a
group of individuals or companies who have decided to pool their resources to provide access to
common needs, such as the production or sale of products or services. The cooperative is owned
and controlled by its members. Responsibility is limited and profits are distributed among its
members.
