CASH 2021 Exhibitor Agreement 1. Policy Applications received by mail, email, fax or online imply that the exhibitor has read and understood the Exhibitor Agreement and agrees to adhere to the terms therein. 2. Included with the Booth Fee 3. Refer to the GES ExpressoSM Ordering System for a complete list of available items. 4. Booth Assignments & Payment Full non-refundable payment is required with proof of insurance and the completed Exhibit Application. Payments (check, money order, or credit card) should be made payable to California’s Coalition for Adequate School Housing and sent to: CASH, 1303 J Street, Suite 520, Sacramento, CA 95814. Exhibitors are not permitted to occupy assigned space until all booth costs are paid in full and a current viable Certificate of Insurance (COI) has been provided. Every attempt will be made to assign the booths that are requested; however, if the requested space is already assigned, CASH will assign a space based on the number of spaces purchased, proximity of competitive firms’ booths and the date of receipt of the Exhibit Application and payment. CASH reserves the right to modify the exhibit floor layout at any time. 5. Installation & Dismantling Installation of regular exhibits begins at 10 a.m. on Monday, June 28, 2021, and must be completed by 5 p.m. Exhibits close at 5:30 p.m. on Tuesday, June 29. Dismantling takes place from 5:30 p.m. to 8 p.m. Exhibitors found moving out prior to 5:30 p.m. will be charged a $500 penalty and will lose all priority ranking for future shows. No exceptions. All exhibitor materials must be out of the exhibit hall by 8 p.m. Tuesday, June 29. No packing materials or equipment are to be left in the exhibit hall following installation of the exhibit or brought into or removed from the exhibit space during exhibit hours. See page 3 for all important dates and deadlines. 6. Booth Equipment & Services Global Experience Specialists, Inc. (GES) is the official general services contractor for this event and will provide a link to the online GES ExpressoOrdering System to all confirmed exhibitors. Information and order forms for tables, chairs, carpeting, electrical outlets, Wi-Fi and other services will be included in this kit. If you have questions prior to receiving your kit login information, please contact GES at (800) 475-2098 or utilize the live chat feature at:https://www.ges.com/contact-ges. 7. Booth Specifications & Display Requirements Booths are 10’ x 10’ square or larger (see the exhibit hall map insert) and are equipped with standard framing materials, 8’ high flameproof drapery back wall and 3’ high side dividers. Each exhibitor receives a 17”x 11” identification sign indicating the company name and booth number. Each exhibitor receives a listing on the “Conference Information” page on the CASH website, in the printed program and on on-site signage listing all exhibitors. Online listings will be updated weekly upon receipt of booth payment and listing authorization on the application. The listing will continue until August 31, and can be upgraded to a hyperlink to the exhibitor’s website for an additional $200. Pop-up banners are not allowed to be displayed on tabletops. Each exhibitor is entitled to a reasonable sight line from the aisle, regardless of the number or type of booth spaces purchased. • Inline or corner booth: Display materials or equipment may not exceed 4’ high within the front 5’ of the exhibit space. Display materials may not exceed 8’ high within the back 5’ of the exhibit space. • Island booth: Display may not exceed 16’ in height, set back a minimum of 5’ from the aisles. The remainder of the booth’s display materials on all four sides may not exceed 4’ high within 5’ of the aisles. If your display does not meet these specifications, contact CASH for approval of any exceptions. Exhibit signs, materials or displays are limited to the assigned space and shall not be permitted in any public space or elsewhere in the meeting facility. All exhibits and demonstrations are to be within the bounds of the assigned exhibit space and shall not interfere with aisle space or be outside of the exhibit hall. Flooring must only be installed with double-sided tape which must be removed with the product at the close of the show. No adhesives may be used on the convention center floor. Exposed, unfinished sides of exhibit backgrounds must be draped or covered to present an attractive appearance. Back walls shall be 8‘ high and sidewalls shall be 4‘ maximum height. No part of an exhibit or its signage may be nailed, taped or otherwise attached to columns, walls, doors or floors in such a manner as to deface or destroy them. If the premises of the facility are defaced or otherwise destroyed by the exhibitor, its agent or representatives, the exhibitor will be liable to the facility for the amount necessary for restoration to its previous condition. All exhibit material must be flameproof and fire resistant to conform to local fire ordinances and regulations and insurance carriers. Canopies, tents, awnings or any open sided structures up to 10’ x 10’ are permitted, provided your exhibit does not consist of any cooking device or open flame. All aisles and exits shall be kept clear at all times. Fire extinguisher equipment shall not be covered or obstructed in any manner. Janitorial services are provided by GES for the cleaning of aisles and common areas. Exhibitors must keep their assigned spaces clean and organized. 8. Shipping & Material Handling The Palm Springs Convention Center has no facilities for the receiving and handling of advance shipments. GES will store your freight for up to thirty (30) days prior to the CASH Annual Conference and deliver your freight to your booth. Please refer to the GES ExpressoSM Ordering System for rate information and to order the service. Late shipments that must go directly to the center must still be consigned to GES for unloading. All shipping information will be included in Expresso. See also Exhibit Labor and Freight Handling below. 9. Exhibit Labor All work involved in the erection, touch-up painting, dismantling, and repair of all exhibits may fall under union jurisdiction. This work is to include wall coverings, floor coverings, pipe and drape, painting, hanging of signs and/or decorative materials from the ceiling, placement of all signs, and the erection of platforms used for exhibit purposes. This does not apply to the unpacking and placement of merchandise. Full-time employees of exhibiting companies may set their own exhibits provided that one person can accomplish the task in less than one-half (1/2) hour without the use of tools. If the exhibit preparation, installation, or dismantling requires more than one-half (1/2) hour, exhibitors must use personnel supplied by the Official Services Contractor. However, please note that when union labor is required, exhibitors may provide company personnel to work along with union installer in on a one to-one basis. Any full-time company personnel involved should be prepared to produce some type of company identification when engaged in these activities. 10. Freight Handling All work involved in the loading and unloading of all trucks, trailers and common and contract carriers, as well as the handling of empty crates and the operation of material handling equipment, is under union jurisdiction. The union also has the jurisdiction of the unloading, uncrating, unskidding, leveling, as well as the reverse process. Full-time employees of exhibiting companies may ‘hand carry’ material provided that it is limited to only what one person in one trip can carry and they do not use material handling equipment. Note: Hand Carry is allowed for one trip, one person and exhibitors who choose to hand carry must do so from the parking structure and will not be allowed to utilize the docks. Cartload is a billable service offered by GES and is available for ordering on our Expresso℠ Ordering Site. Rules apply for Cartload which would be that the weight of the materials may not exceed 250 lbs. and are required to fit on a GES flatbed truck in one trip on the way in and one trip on the way out. There will be a fee for each way. A personally owned vehicle utilizing the Cartload Service will be able to access the dock for GES assistance. Anything over and above the weight of 250 lbs. will be charged Drayage/Material Handling rates. Hand Carry, Cartload and Drayage are all different and have specific rules to each. Please contact GES for more information. 11. Electrical All hardwiring ordered outlets to the line side of the exhibitors’ equipment is under union jurisdiction. All plugs over 120 volts will be plugged in by electrical union personnel. Exhibitors may plug in their own plugs of 120 volts to their ordered outlets. All exhibitors are expected to comply with any union requirements in effect and as outlined in the “SHOW SITE WORK RULES” section of the exhibitor kit. 12. Gratuities GES work rules prohibit the SOLICITATION OR ACCEPTANCE of tips in cash, product or gifts in kind by any employee (union or non-union). GES employees are paid appropriate wages denoting professional status, therefore tipping of any kind is not allowed. 13. Rules & Regulations Each exhibitor is bound by the CASH Exhibit Rules and Regulations contained in this prospectus. CASH reserves the right to decline or prohibit any exhibit or part thereof which, in its opinion, is not in keeping with the character and spirit of the Exhibit Agreement. CASH reserves the right to expel or refuse admittance to any representative of the exhibit whose conduct is, in its opinion, not in keeping with the character and the spirit of CASH. Exhibitors may not assign, transfer, sublet or share the booth(s) in whole or in part, nor may they display or advertise goods or services other than those provided by them in the regular course of their business. 15. Sale or Distribution of Merchandise Exhibitors may show, display, discuss, explain, or demonstrate items or services in their exhibit space only. Orders for merchandise may be taken; however, no sales (cash or credit card) are permitted. 16. Prohibited Activities No interviews, demonstrations, solicitation or distribution of literature will be permitted except in the exhibitor’s space. Samples or souvenirs may not be sold and only those which relate directly to merchandise in the exhibitor’s booth may be distributed. No sideshows, raffles or lotteries which distract from the dignity of the exposition may be held. Exhibitors may not solicit attendees outside of the trade show. Violators may be asked to leave the show and will forfeit the right to exhibit at future shows. For exceptions, see page 8, item 29, Door Prizes. 17. Exhibitor Staffing Regulations Exhibits must be staffed at all times during posted exhibit hours. CASH assumes no responsibility for exhibit space during set-up and dismantling. Exhibitors are required to pick up name badges on site before move-in. Exhibitors receive two complimentary exhibit hall only badges with each booth purchased. If more than two people will be staffing the booth during the conference, additional badges must be purchased for $125 each. An application link for booth staffing registration will be e-mailed. Only employees or contracted staff of the company purchasing booth space may be registered as exhibitors. Badges will be issued only to personnel staffing the booth, as indicated by the designated representative in the Exhibit Contract. Badges must be worn while exhibitor personnel are in the exhibit area. False certification of individuals as exhibitor representatives, misuse of exhibitor badges or any other method or device used to assist unauthorized persons to gain entry to the exhibit floor will be cause for expelling the violator from the floor without obligation on the part of CASH whatsoever. 18. Delayed Occupancy and No shows Space not occupied by 5:00 p.m. on Monday, June 28 will be forfeited and the space reassigned by CASH without refund. 19. Security Overnight Security is provided by CASH in the exhibit area; however, CASH assumes no liability for providing said service. 20. Liability CASH, its officers, directors, members, agents and all organizations and individuals who are employed by CASH in conjunction with the conference shall not be responsible and shall be held harmless for any loss or injury resulting from accident, fire, theft or any cause whatsoever, including, but not exclusively, accident or injury to exhibitors’ property, manufacturers’ demonstration participants, their employees, agents, guests, the public and others, during or subsequent to the CASH periods covered by the Exhibitor Agreement/Application. Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify and hold harmless CASH, Palm Springs Convention Center, AEG Management Palm Springs, LLC, ASM Global Parent, Inc., City of Palm Springs, their officers, employees and agents, against all claims, losses and damages to persons and property, governmental charges of fines and attorneys’ fees arising out of or caused by exhibitor’s installation, removal, maintenance, occupancy or use of the exhibition premises or part thereof, including outside exhibition areas. In addition, exhibitor acknowledges that CASH, Palm Springs Convention Center, AEG Management Palm Springs, LLC, ASM Global Parent, Inc., City of Palm Springs, their officers, employees and agents, employees and agents do not maintain insurance covering exhibitor’s property. Exhibitors are advised to obtain business interruption and property damage insurance covering such losses by exhibitors. CASH, GES, Palm Springs Convention Center, AEG Management Palm Springs, LLC, ASM Global Parent, Inc., City of Palm Springs, are not responsible for obtaining insurance. Each exhibitor is responsible for any and all damage to the exhibit area and for any and all claims and demands made in regard to an injury, death or damage to persons or property incurred in or upon the assigned space. 7

Insurance The exhibitors, their independent contractors, and their agents of every kind agree to provide a Certificate of Insurance to CASH for the following insurance coverage during the dates of the CASH conference (including move-in and move-out days): • Comprehensive general liability insurance coverage including protective and contractual liability coverage of a minimum of $1,000,000 per occurrence and $2,000,000 general aggregate and $1,000,000 per incident for fire damage. • Employer liability insurance/worker’s compensation/occupational or professional liability coverage with minimum limits of $1,000,000 per accident. • CASH listed as the Certificate Holder. • CASH, Palm Springs Convention Center, AEG Management Palm Springs, LLC, ASM Global Parent, Inc., City of Palm Springs listed as additional insureds under Description of Operations/Locations/Vehicles (See Additional Remarks Schedule). • Expiration date after June 30, 2021 for all coverage. Such policies may not be cancelled without 30 days’ notice to CASH, Palm Springs Convention Center, AEG Management Palm Springs, LLC, ASM Global Parent, Inc., City of Palm Springs. The exhibitor is required to furnish proof of coverage to CASH by means of a Certificate of Insurance (COI). 22. Booth Cancellations All cancellations for confirmed booths must be received in writing. You may email your cancellation notice to mbarton@m-w-h.com or on company letterhead via postal mail to CASH at 1303 J Street, Suite 520, Sacramento, CA 95814. Full refunds are available (less $750 administrative fee) if the booth is resold on or prior to April 25, 2021. No refunds will be made after April 26, 2021. 23. Conference Cancellation Should any contingency prevent the holding of the CASH Conference, CASH will not be held liable for any expenses (other than the exhibit fee) incurred by the exhibitor. Exhibit space fees will be refunded. 24. Food & Beverages Savoury’s Catering retains the exclusive right to provide, control and maintain all food and beverage services within the exhibit hall. Please note that no food or beverages of any kind, (including bottled water, homemade items and unwrapped candies - only snack sized candies are allowed) may be brought into the exhibit hall by any exhibitor. The provision of alcoholic or non-alcoholic beverages, snacks or treats are included under these exclusive rights. All food and beverage samples brought into these premises must have the approval of Savoury’s Catering in writing prior to the event. Volume Any exhibit producing sound at a volume that is objectionable to other exhibitors will be asked to lower the volume. If this cannot be done to the satisfaction of all, sound production will have to cease. 26. Music The playing of live or prerecorded music in your booth may require an individual licensing agreement with either BMI, ASCAP (musical licensing associations), both, or similar agencies, and signed by a representative of the exhibiting company. Call either association to check on your particular liability. 27. Consent to Photograph and Use Images It is understood that CASH has permission to take and use images of the exhibit hall/exhibit booth/exhibitors’ likeness in photographs, video recordings or electronic images in any and all of its publications, including website entries, without payment or any other consideration. These materials will become the property of the organization and may be edited, altered, copied, exhibited, published or distributed for purposes of publicizing the organization’s programs or for any other lawful purpose. No inspection or approval of the finished product, including written or electronic copy, will take place. 28. Exhibit Materials Exhibitors may not nail, staple, tack or otherwise affix anything to the ceilings, walls, painted surfaces, fire sprinklers, columns, or windows. No balloons, glitter or confetti are allowed in the exhibit hall or booths. Any banners or signs must be professionally made. Hand-made signs are not permitted. All equipment must comply with federal, state and local electrical codes, and UL-approved. 29. Door Prizes CASH will assist all exhibitors with their door prize drawings by making announcements in the exhibit hall by 5:00 p.m. on the last day of the trade show. Each exhibitor will be responsible for conducting their own drawings in their booths and informing CASH staff at the exhibit hall of the winners (a form is provided in your Exhibitor Packet available during move-in). 30. Conference Attendee Lists Exhibitors will receive a complimentary electronic list of attendees one month prior to the conference, and a final list of attendees post-conference. Due to privacy restrictions CASH does not provide email, address or phone information. 31. Hospitality Suites As a courtesy to our attendees, Associate Members (including exhibitors and sponsors) may NOT host hospitality suites or other social functions during the following times: Monday, June 28 – 5:30 p.m. - 8:00 p.m. Tuesday, June 29- 7:30 a.m. – 6:30 p.m. Wednesday, June 30 - 7:30 a.m. – 12:00 p.m. Associate Members are responsible for coordinating any hospitality suites or other social functions outside of these dates and times. CASH does NOT endorse or advertise such events. Sell Outs It is possible that the number of requests for booth spaces will exceed available space.
