Dear Club Member, The Partners of EY Luxembourg are proud to present the 2020-2021 program for the AIF Club. Since its inception ten years ago, the AIF Club, under the thoughtful and energetic leadership of Michael Hornsby has delivered over 170 events and welcomed over 9,000 members. Mike has established the AIF Club as one of the leading forums in the Luxembourg Alternatives industry through which points of view are generated and market participants have the opportunity to connect and network. On behalf of our Firm and the Industry, we thank him for his exceptional contribution to this Club. From a personal perspective, it was with great pleasure that I took over the role of the AIF Club Chairman last year for the 2019-20 program and as a Practice we are proud to have delivered over 20 high quality events which have built on the vibrant AIF Club platform that has been established. As I reflect on the year, I believe the word unprecedented is a very fair description. Since its inception, the alternatives industry has prided itself on being innovative, agile and resilient. The past few months have put these qualities to the test in a manner unlike any period in history. The impact of COVID-19 has asked questions of every aspect of our industry – our desire to ensure the health and well-being of our people, our ability to secure business continuity in a factious environment and finally, our foresight to identify investment opportunities which provide positive investor outcomes and contribute to economic recovery. On each of these fronts, the response that has come from the industry has been inspiring and it is with great enthusiasm that EY looks forward to accompanying you on the journey ahead. We look forward to introducing you to our AIF Club program for the coming 2020-21 cycle. Through this program we have sought to adapt to the new realities presented by the COVID-19 environment. As such, you can expect a greater number of virtual events and more intimate events hosted for smaller numbers of select guests. Equally, we will continue to host our flagship events and social gatherings but will do so in a manner which is responsible and accommodating of new social norms. Key themes for the coming program include the increased importance of the ESG agenda – we seek to explore the drivers of this growth including improved long-term returns, brand image and reputation, decreased investment risk, regulatory demands and stakeholders’ expectations. We will also examine some of the barriers faced such as inconsistent quality of data across asset classes, costs required to invest in emerging technologies, analytical challenges and competing ratings/indices. Fee compression and the associated suite of responses available to industry participants will be discussed as well as the transformative effect of technology on all sub-sectors of the alternatives industry. Product innovation remains at the heart of our program, we will continue our focus on open-end real estate products and are very proud to have supported so many of you in this space. Infrastructure and private debt also take major roles in the coming program owing to their growing level of importance on the agenda of institutional investors. Overall, we are excited by what promises to be another stimulating and entertaining program of events. The AIF Club … has been created to • Provide insight into developments in the alternative sectors of the financial industry, including private equity, real estate, hedge, debt, infrastructure and other alternative fund segments • Provide knowledge and trainings for industry practitioners to better serve and understand the industry • Provide alternative industry practitioners with a platform to meet, exchange views and network … will offer you Industry summits The AIF Club organizes highly interactive alternative asset-related events, which not only international EY specialists participate but also key leaders from other organizations, who often contribute to lively debates while also providing reflection or insights on leading topics. The aim of these sector specific summits is to provide members with a broad platform of factors shaping the respective industries. Keynote speeches External speakers will be invited to provide insights on current hot topics in our keynote speeches. Speakers may be EY subject matter specialists from our alternatives network or external speakers from leading players in the industry. Open workshops Open workshops will cover a broad range of topics which are open to all members. The content of this program reflects general ongoing developments and hot topics impacting alternative investment fund products in general and in middle and back office environments. Trainings For the seventh consecutive year, we will hold in October 2020 our three-day valuation training. Which is designed for financial professionals that seek to develop a more in-depth knowledge of alternative asset valuation which includes private equity, real estate and infrastructure. Over the years, we are striving to continuously improve and integrate new issues of interest into the training program. This valuation training has become a good indicator for valuation market practices over the years, as we note the positive evolution of market valuation practices thanks to the interaction with the participants. The focus of our training program will be to support participants to further develop technical oversight skills to appropriately assess the work of specialists whether internal or external to an organization. In addition, as every year, we will continue to hold the trainings to help fund accountants and controllers to get to grips with the latest developments in financial and investor reporting across alternative asset classes. 4 I EY Alternative Investment Funds Club - 2020/2021 Program
Targeted roundtables This event format has proved very successful. This year we will run nine roundtables. Roundtables provide the opportunity for a small group of specialists to discuss specific topics of common interest, therefore invitations to these events are restricted. The organizer of the respective roundtable will identify the target audience, bringing together leading specialists to discuss and work on solutions for various specific challenges that market participants are currently facing. To ensure effective discussions and social distancing, we will limit the number of participants in these events to maximum 10 specialists (EY staff included). Should you be interested in joining one of the upcoming roundtables, please send an email to mireille.pourpognot@lu.ey.com explaining briefly your role within the company you are working for and Mireille will get back to you with further information. The outcome of the roundtable discussions are summarized in a paper and shared with all AIF Club members in due time. Webcasts This year we will run at least nine webcasts on different topics, such as private credit, real estate, ESG, depositaries, and ad-hoc webcasts on tax matters. Personal meetings with our subject matter specialists The EY Luxembourg AIF Club offers you the opportunity to arrange meetings with our subject matter specialists following the trainings, workshops and breakfast briefings or at another occasion. Networking and social events Through the AIF Club, EY Luxembourg makes it possible for professionals in the industry to meet and share insights in a more relaxed environment. Many of EY Luxembourg’s events are followed by drinks or coffee, giving you the opportunity to network with fellow attendees. The AIF Club also organizes more specific social events to enhance networking in a more informal environment. Overview of the upcoming events Chronological order We are going to run all roundtables with maximum 15 people and the payable 3-day valuation training to be held from 13 – 15 October 2020 in small groups of people here at our office by applying the social distancing and precaution rules. Events that are targeted at a bigger audience will be organized as webcast between September and December 2020. Our open workshops and social events are planned for Q1 and Q2 2021 to be held here at our office assuming that we will be able to host again bigger groups of people here at our office without any restrictions. TRAININGS A three-day program on valuation techniques across different asset classes given by leading financial specialists FULLY 13, 14 and 15 October 2020 BOOKE D Audience: Financial professionals that seek to develop a more in-depth knowledge of alternative asset valuation which includes private equity, real estate and other illiquid assets EY Valuation, Modelling and Economics Luxembourg team, a leading advisor in alternative investments valuation techniques across Private Equity, Private Debt, Real Estate and Infrastructure assets for many years in Luxembourg, wish to contribute to further raise general valuation market knowledge for such assets. For the sixth consecutive year, we are pleased to present this year our three-day valuation training program designed for financial professionals that seek to acquire insightful knowledge of alternative asset valuation which includes private equity, real estate and infrastructure. As a leading firm in the valuation of alternative assets, we want to participate in an overall market effort to continuously improve on valuation governance for the alternative investment fund industry. In the new normality of COVID-19, this period shows the importance and the responsibility of the valuation profession. This valuation training has become a quality indicator for valuation market practices over the past five years, as we note the positive evolution of market valuation practices thanks to the participants’ interaction. TRAININGS Financial and investor reporting for AIFs – financial year-end 2020 debrief and examination of longer-term trends 4 May 2021 Audience: Financial controllers, financial directors and accountants of alternative fund products Back by popular demand this is one of our AIF Clubs most successful events. Focusing exclusively on AIFs, this event gives members the opportunity to learn from experiences over the 2020 year-end close process through a thorough debrief session. While issues are fresh on our minds, we will debrief and share emerging best practices and take a look at longer-term underlying trends in financial and investor reporting. IFRS year-end update 1 20 May 2021 Audience: Financial controllers, financial directors and accountants of alternative fund products Are you up-to-date with current accounting and regulatory developments? Can you identify the implications for your company’s financial accounting and reporting? Staying abreast of recent and pending rules and regulations is critical to positioning your company for success. INDUSTRY SEMINARS Real estate niche workshop Please note that our annual Real Estate niche workshop which has always taken place in October has been replaced by three real estate webcasts to be held on 20, 21 and 29 October 2020. Please refer to the webcast section for more details. Private Equity and Venture Capital Summit - Similar to the approach taken for our Real Estate niche workshop, and aligned with the social distancing challenges of today, our Private Equity and Venture Capital Summit will take a more digital format this year. OPEN WORKSHOPS Digitalization of the alternative Investment Industry 4 March 2021 Audience: AIF Club members with a general interest in this topic This event will be covering a range of digitalization trends in the alternative investments world. We will be talking about practical aspects of implementation of data and technology transformational projects, lessons learnt from leading technological changes across multiple industries and the recent technology convergence trend. One panel will be focusing on the Intelligence in Automation exploring some key aspects in implementing Automation and the use of Artificial Intelligence. Infrastructure Investing: How can we build together sustainable infrastructure? 6 May 2021 Audience: AIF Club members with a general interest in this topic Estimations show that 75% of infrastructure that will be in place in 2050 does not exist today. Infrastructure investment and sustainable development are top priorities for governments globally. However, there is continued strength in fundraising amid a challenging environment for deployment. ROUNDTABLE Depositary – key challenges and developments 29 September 2020 Audience: Depositaries The past months have touched everyone, as the pandemic has impacted the way many of us work. This period has also been an opportunity to take a step back and reflect upon our operating models; in many more ways than just the ‘remote’. During this roundtable, which will be 7th in our series of discussions over the past years. We will discuss experiences relating to firms’ adaptation efforts; from systems, to people and processes; and how depositaries dealt with the adversity of business continuity. New patterns of processes and controls have emerged and while organizations were testing new operating models, they also learned significant lessons from all the moves, changes but also the opportunities that came with the crisis. Among all of this, pre-existing challenges and market evolutions have not fallen behind or vanished, right the opposite: digitalization has been speed-up on one hand, and the revision of the AIFMD has continued with potential impacts on passporting rules taking form in the coming months. The roundtable will be an exciting platform to discuss how all these elements have impacted and shaped your activities, including also cash monitoring, assets valuation, look-through and know your assets processes. Particular attention will be put on opportunities and pitfalls that emerged from the turbulent events that already make 2020 an exceptional year in history. Tax Directors 1: MLI and EU jurisprudence: the Principal Purpose Test and source countries approach 10 November 2020 Audience: Tax directors in an alternative investment fund At this roundtable we will be joined by our EY colleagues from Spain, Denmark and the UK to discuss the challenges and practical aspects regarding the Multilateral Instrument and latest EU jurisprudence: The Principal Purpose Test and respective approach of source countries and latest developments. Tax directors will have the opportunity to discuss directly with their peers and our industry specialists. ROUNDTABLE AIFMs - regulatory and operations’ roundtable 8 December 2020 Audience: Alternative Managers During this roundtable, we will discuss with Management Companies’ / Asset Managers’ hot topics, including increased transparency requirements and EU sustainable finance agenda and how these are adding new challenges to the existing reporting environment and will drive new requisites to cater increasing regulatory needs. We will also explore the changes in corporate governance and regulator’ scrutiny and how technology central position across organizations is taken further importance to help to answer all of these constraints. We will discuss how the deployment of technology has plaid a key role in the continuity of managers’ activities under the pandemic ere, paying particular attention to opportunities and pitfalls that emerged from the turbulent events that already make 2020 an exceptional year in history. Chief Accounting Officers’ roundtable 10 December 2020 Audience: Chief Accounting Officers Back by popular demand, in these private and exclusive sessions we will welcome a group of Chief Accounting Officers and Head of Financial Reporting from among our AIF Club members to discuss key financial reporting and operating challenges facing the industry. Through this session we will develop and distribute industry best practices and share recurring Q&As with group participants. These recurring roundtable sessions serve as a unique forum for private discussion among industry peers. Open-end real estate funds’ roundtable 21 January 2021 Audience: Managers and administrators involved in the design, launch and operations of open-end real estate funds Open-end real estate funds continue to be one of the most popular product formats. Many of them that establish names in this space continue to generate significant capital inflows and we can also see new entrants to this market enjoying considerable success. We will welcome a selection of open-end fund managers and administrators to discuss the challenges this product type presents in terms of design and operations. ROUNDTABLE Depositary roundtable: The new era? 25 February 2021 Audience: Depositaries We will speak about expectations on Depositaries and the fundamental challenges facing them; where depositaries are on one hand not part of the asset managers operations as such and at the same time there are heavy demands on depositaries from the regulators on frequency and content of monitoring; there is in effect, no natural flow of information or data to them. Digital solutions may help increasing operational effectiveness, but does it fix the information and data sources issue? Adding to these challenges are the sustainable finance and ESG principles and transparency reporting that are taking place in the regulatory landscape. During this roundtable, we will also revisit any updates in the area of latest developments on AIFMD and potential impacts on passporting rules and its impact on depositaries. We will also debate on other key topics on the agenda including amongst others: • Depositaries operations: valuation, KYA, cash-flow monitoring and look-through activities • Digitalization: technology developments • Cost-margin structure: evolution in the industry • Regulatory: AIFMD upcoming review and updates Participant depositaries will have the opportunity to discuss the impacts, challenges and opportunities brought in their business models by these regulatory developments and operational challenges. AML/CFT in Private Equity, Real Estate and Management Companies – How to deal with it 9 March 2021 Audience: Chief Compliance Officer, Chief Internal Auditor Recent work and statements from the financial regulator indicate that funds using private placement will see increased regulatory scrutiny over their anti-money laundering (AML) systems and controls. In this roundtable, we would like to welcome a group of chief compliance officers and Chief Internal Auditors to launch a discussion around some key topics and challenges with which they are confronted on a regular basis. With this first roundtable, we will consider building a robust AML/CFT monitoring framework, the risks in transactional activity and how the recent regulatory changes impact the operational design of your organization. ROUNDTABLE Chief Financial Officers’ roundtable 25 March 2021 Audience: Chief Financial Officers We will welcome a group of Chief Finance Officers and Head of Finance Functions from among our members to discuss key financial and operating challenges facinge industry. Through this session we will develop and discuss challenges and solutions on various matters such as treasury, structure management, track record and other finance related activities in fund management. These recurring roundtable sessions serve as a unique forum for private discussion among industry peers. Tax Directors 2: Anti-Tax Avoidance Directive 2 (ATAD 2), one year of practice: a step forward to more certainty in the application of the rules in Luxembourg 29 April 2021 Audience: Tax directors in an alternative investment fund At this roundtable, we would like to discuss with you the current views on the application of certain provisions of ATAD2 after one year of practice. This will be a great opportunity to discuss opportunities and potential challenges on practical issues faced by asset managers since the implementation of ATAD2 in the Luxembourg tax law on 1 January 2020. The discussion will include, amongst other, the application of the associated enterprise and related “acting together” concept in the fund industry, the specific status of certain investors, other concepts that are key in the application of ATAD2 e.g., certain deductions with corresponding inclusions, timing of inclusions, double deduction situations, interaction of ATAD2 with pre-existing Luxembourg rules and updates on the proofs requested in practice by the Luxembourg tax authorities to justify the absence of an hybrid mismatch outcome in Luxembourg. ROUNDTABLE Developing the appropriate scope of Internal Audit (IA) activities 8 June 2021 Audience: Conducting Officers in charge of Internal Audit, Chief Internal Auditors It is challenging to find the right balance and to ascertain the right level of IA activities. Whether your IA is internal or outsourced, its coverage has to be sufficient to meet regulatory expectations, while being commensurate to your size and activities. Where IA is outsourced to the group, the AIFM still owns the function and it is essential that the risk assessment and plan are tailored to Luxembourgish requirements. We will discuss the setup and governance of your IA, key IA matters and the right level of activities on the plan to meet regulatory expectations and key risks. We would like to also address common challenges that you are facing during audits and how to best address your internal auditors expectations, especially regarding key IA matters such as governance and oversight, valuation, investment process including know your assets, all the while drawing the most added value from your efforts. Valuation oversight for AIFMs – a practical view 17 June 2021 Audience: External and in-house AIFM Valuation professionals, portfolio managers, conducting officers, depositary banks professionals This roundtable is aimed at highlighting and discussing the most important and crucial issues of the valuation oversight function with focus on tasks that are being performed by valuation, risk and portfolio management professionals. Amidst evolving regulation requirements and acceleration of technological changes, valuation becomes an extremely important element of the alternative investment industry. At this roundtable, participants together with our valuation oversight experts will have a unique opportunity to share their latest experience and elaborate on some important trends in the AIFM’s valuation function development including different aspects of Market Regulation, Digitalization Challenges, Evolution of Valuation Market Practices and Standards. The aim of this webcast is to present to you the impact of the new European Regulations on the value chain of AIF managers, key challenges and solutions, and to also share experiences on how managers adapt their operations when they wish to become ESG leaders.
