OUR MISSION Martha’s is a safe, welcoming environment for impoverished and homeless families, children, and individuals, providing a proven robust selection of housing, education, and support services so that they are empowered to transform their lives with dignity. Martha’s collaborates and partners with other organizations and agencies to leverage resources and fill gaps to ensure the effectiveness and long-term sustainability of the organization and to break the cycle of poverty for the people we serve. WHAT WE DO Martha's Village & Kitchen is the leading provider of homeless services in the Coachella Valley and Riverside County. We have been serving homeless and impoverished families, adults, and children in the Coachella Valley since 1990. What started as a simple soup kitchen has grown into a one-stop site in Indio providing comprehensive services. Today, from our campus in Indio, CA, Martha's Village offers unique, life-changing programs based on the nationally recognized "continuum of care model" breaking the cycle of homelessness. Through this gateway to hope, people regain their lives, becoming responsible, self- sufficient, and productive citizens while passing on their newfound independence and life skills to their children and families. Changing one person's life changes generations of lives!
THE EVENT The annual Thanksgiving Day 5K benefiting Martha’s Village & Kitchen is one of the Coachella Valley’s most anticipated events. It typically draws over 4,000 people, including participants, volunteers, and spectators. This family-friendly and pet-friendly event brings together our community to support Martha’s mission against homelessness. This year, you have the opportunity to participate either virtually or in person, but the mission remains the same. The funds that are raised stay locally in the community to help break the cycle of poverty. Your sponsorship is a direct investment into our community and Martha's life-changing programs. With your generous gift of virtual sponsorship, we will celebrate your support by giving your company recognition during the entire Thanksgiving weekend. Term: This Agreement shall be effective from the date first set forth at the signature of the agreement, through the Martha’s Village &
Kitchen’s THANKSGIVING DAY 5K completion at the end of the day November 25, 2021.
Event Date: The Martha’s Village & Kitchen THANKSGIVING DAY 5K will be held rain or shine on November 25, 2021.
MVK Licensed Marks: Martha’s Village & Kitchen’s THANKSGIVING DAY 5K will grant the Sponsor a limited, non-exclusive sub-license
to use the MVK THANKSGIVING DAY 5K name and logo solely to promote THANKSGIVING DAY 5K and related events during the term of
this Agreement. Sponsor shall not sub-license or transfer the use of the “Name or Logo” to any person or entity without the prior written
consent of MVK THANKSGIVING DAY 5K. The sponsor will present THANKSGIVING DAY 5K, for its approval, any item or material that
uses or refers to the MVK THANKSGIVING DAY 5K-related events.
Sponsor Licensed Marks: Sponsor grants, a limited, non-exclusive license to MVK THANKSGIVING DAY 5K to use Sponsor’s name,
logo, service marks, and trademarks solely for the purpose of including Sponsor in listings and descriptions of the MVK
THANKSGIVING DAY 5K sponsors during the Term of This Agreement. MVK THANKSGIVING DAY 5K, shall not sub-license, transfer
or assign the use of the Sponsor Licensed Marks to any person or entity without the prior consent of Sponsor.
Sponsor/Benefits Payment: Sponsor shall receive the Sponsor benefits set forth in this brochure as part of this Agreement.
Sponsor shall pay its CASH SPONSORSHIP DONATION DUE AT TIME OF CONTRACT SIGNING. Failure to pay any portion of the
sponsorship donation on or before the due date shall result in the forfeiture of the Sponsor’s sponsorship rights. Martha’s Village &
Kitchen’s THANKSGIVING DAY 5K requires sponsors to provide written documentation to support the value of in-kind donation
prior to accepting such donations as credit towards Sponsor’s sponsorship donation.
Martha’s Village & Kitchen’s THANKSGIVING DAY 5K Cancellation: Neither Sponsor nor MVK THANKSGIVING DAY 5K shall be
responsible for damages that result in delays or postponements of the MVK THANKSGIVING DAY 5K due to circumstances beyond
their reasonable control. In the event that the MVK THANKSGIVING DAY 5K does not take place, Sponsor’s sponsorship fee as set
forth above shall be treated as a donation to Martha’s Village & Kitchen and shall not be refunded.
Relationship Entire Agreement: The parties in this agreement have no legal relationship other than as contracting parties to this
Agreement. This Agreement represents the entire agreement between parties and supersedes any prior understandings or
agreements.
Indemnity: Each party agrees to indemnify and hold harmless from/against any and all expenses, including reasonable attorney’s fees,
that the other party incurs by reason of any claim arising out of the indemnifying party’s negligence, intentional misconduct,
performance, or failure to perform pursuant to this Agreement, or any service or product sold or provided by the indemnifying party in
connection with the event. All individuals provided by or associated with Sponsor who perform services at the event shall perform such
services at the direction of, under the supervision and control of, and for the benefit of the Sponsor. Such individuals shall not perform
such services on behalf of the MVK THANKSGIVING DAY 5K and shall not be agents or representatives of MVK THANKSGIVING DAY
5K. Sponsor shall be responsible, as between Sponsor and MVK THANKSGIVING DAY 5K, for any injuries or damages caused by or to
said individuals.
Artwork Deadline For T-Shirts: Sponsor’s logo in a high-resolution .eps or .ai file format must be received by Martha’s Village &
Kitchen no later than September 1, 2021, to ensure inclusion on the THANKSGIVING DAY 5K participant t-shirts. The sponsor
understands that logo artwork submitted after September 1, 2021, is not guaranteed to be included.

Artwork Deadline For Event Signage: The sponsor’s logo in a high-resolution .eps or .ai file format must be received by Martha’s
Village & Kitchen no later than by November 1, 2021, to ensure inclusion on THANKSGIVING DAY 5K event signage if applicable per
