Groundbreak Sponsorship Terms These “Terms” govern the Groundbreak 2021 Sponsorship Application (“Application”) submitted by the entity listed as the Sponsor on the Application (“Sponsor”) for exhibit space at the Procore Technologies, Inc. (“Procore”) 2021 Groundbreak event (“Event”) to be held on October 12, 2021 - October 13, 2021. By completing and submitting an Application, Sponsor agrees to abide by these Terms. Procore’s acceptance of Sponsor’s Application constitutes a binding contract. 1. GENERAL exhibitgbk@procore.com within thirty days of Application acceptance. 15. GENERAL PROVISIONS Nothing in this Agreement is intended to create an agency, partnership, joint venture, or any other relationship between Sponsor and Procore. This Agreement, and all matters arising out of or related to this Agreement, will be governed by the laws of the State of California, without regard for its conflicts of law provisions. Any action arising out of or relating to this Agreement must be brought in the state court located in Santa Barbara County, California, or the federal district court located in Los Angeles, California, and the parties hereby submit to the exclusive jurisdiction of such courts. This Agreement (including the Application) constitutes the parties’ entire understanding regarding its subject matter and supersedes all prior and contemporaneous agreements and understandings between the parties. A party’s failure to enforce any provision of this Agreement will not constitute a waiver of that provision or any other provision. The invalidity or unenforceability of any provision of this Agreement will not affect the validity or enforceability of any other provision. Notices to Sponsor will be delivered to the contact information provided on the Application. Notices to Procore must be delivered to exhibitgbk@procore.com with a copy to legalnotice@procore.com.
