Panasonic Promotion – [TOUGHBOOK Six Nations Score Predictor] 1. Panasonic UK, [TOUGHBOOK Score Predictor] (hereafter referred to as the “Competition”) is promoted by Panasonic UK, a branch of Panasonic Marketing Europe GmbH whose registered address is Maxis 2, Western Road, Bracknell, Berkshire RG12 1RT, UK (the “Promoter”). Eligibility 2. The Competition is open to residents of the United Kingdom, who have either been asked to enter the Competition or have seen an advert which invites them to enter the Competition, aged 18 years or over, excluding employees and their immediate families (defined as parents, siblings, children & spouse regardless of where they live) of the Promoter, its affiliated companies, their agents or anyone professionally connected with the Competition. 3. The Competition opens on 26/01/2021 at 00:01 and closes 20/03/2021 at 00:01 (the “Competition Period”). Any entries posted or submitted before or after the Competition Period will not be considered. 3a. As per the entry process (.6) below, entries are submitted on a per ‘Round’ basis with the entry window closing for each round at 23.59 the day prior to the first match of the ‘Round’. E.g. Predictions for Round 1, must be entered by 23.59 on 5th February 2021 to qualify for entry for Round 1 games which take place on the 6th and 7th February. 4. Any changes in the Participant's job, role, company (including a direct or indirect change in ownership of that company) or country may impact on the Participant's eligibility to continue to participate in the Competition. 5. Any Claims made by a Participant after they cease to be eligible under these Terms & Conditions shall be null and void (even if an Eligible Product sale has been made), and no Prizes shall be due or owing to any such Participant pursuant to this Competition, and their account will be closed. Entry Process 6. In order to qualify for the Competition (which will run for 5 rounds to coincide with each Round of the Six Nations which take place on 6/7 Feb, 13/14 Feb, 27/28 Feb, 13/14 March, 20 March), participants must enter their score predictions for each Round. They will create an account and submit their predictions via the TOUGHBOOK Score Predictor website for each round individually. 6a. Score Predictions can be entered for all rounds simultaneously, or the participant may login between rounds to register their score for the ‘next’ round or rounds. Predictions for ‘rounds’ that have already passed will be automatically closed and cannot be entered retrospectively. 7. Entrants can enter the Competition only once each round. 8. No purchase is necessary to enter the Competition. 9. Incomplete, incorrect, or otherwise invalid entries will not be considered. 10. It is a condition of entry that participants agree to abide strictly by the rules of the Competition. 11. Entrants must adhere to LinkedIn’s terms of use. 12. The Promoter reserves the right to verify the eligibility of all participants.
13. The Promoter reserves the right to disqualify any entries, and remove them immediately from the Promoter’s social media pages, if the Promoter considers such entries to be in bad faith, fraudulent, illegal or showing any illegal, immoral, lewd or disrespectful behaviour. 14. The Promoter reserves the right to exclude participants and withhold the prize for violation of any of these Terms and Conditions. 15. The decision of the Promoter is final and no correspondence will be entered into. 16. No responsibility can be accepted for any entries that are delayed, corrupted, damaged, incomplete or otherwise invalid or if entry was not possible due to technical difficulties. Prizes 17. During the Competition Period there will be 5 winners total, with 1 winner per Round which will be announced once the competition is over. 18. The winners for all rounds (5 total) will be contacted no later than the 31st March 2021 with details on claiming their prize. 19. The winning prize each week (5 prize bundles total, 1 per week’s winner) includes a Rugby Memorabilia (for the Six Nation Team of the winner’s choice) worth up to the value of £200, plus a Panasonic Tech bundle worth up to the value of £200. 20. There is no cash alternative to this prize. The prize is also non-transferable. 21. In the event of unforeseen circumstances, the Promoters reserve the right to offer an alternative prize of equal or greater value should the original prize become unavailable. 22. Prizes remain the sole property of the Participant and cannot be transferred (in whole or in part), to any other Participant. Prizes may not be bartered or sold or combined or exchanged with any other promotion. 23. Due to the current situation surrounding COVID-19, there may be a delay sending out the prizes to the winner. The Promotors will work to provide the prizes within a reasonable time period, but by accepting these terms and conditions participants confirm they understand that this could be delayed. Winner selection 24. The winner of the competition will be the participant(s) whose guess is closest to the actual scores for the 3 games on any given ‘round’. A winner for each round will be selected after that round’s games have been played. If more than one participant predicts the same ‘closest’ results for that round, a winner will be chosen at random from those participants by Panasonic UK. 25. Each winner will be contacted directly by the date listed in clause 18 of these terms and conditions. 26. The winner will be contacted via Email by Sharper B2B and will have have 48 hours to acknowledge the prize or reserve the right to choose another winner. 27. If it transpires a winner has not met the eligibility criteria, a new winner will be selected from the remaining eligible qualifying entries. Privacy and Data Protection 28. Any personal data relating to participants will be used in accordance with all relevant Data Protection legislation (including the EU General Data Regulation) and will only be
disclosed to third parties to fulfil requirements of the Competition and further promotion. Licences 29. By participating in this Competition, the winners agree to participate in any reasonable marketing and promotional activities required by the Promoter. 30. By participating in this Competition, the participants agree to give Panasonic UK, its affiliates and trusted third parties, a non-exclusive licence to use the participants entry and photographs for marketing and advertising purposes. Termination or Changes to the Competition 31. The Promoter reserves the right to cancel the Competition or amend these Terms and Conditions at any time without prior notice. Any amendment to the Terms and Conditions will be posted on this website. 32. The competition is dependent on the Six Nations 2021 tournament proceeding as planned and every match being played as planned. Any matches that do not take place due to COVID-19 or otherwise, will be excluded from ‘closest’ score calculation when identifying the winner. If a round(s) is cancelled completely by the tournament organisers, the competition entries for that week will be null and void and no winner will be identified / no prizes will be awarded. Responsibilities 33. Panasonic and its agents, sub-contractors and distributors including but not limited to the Channel Marketing Team shall not be liable or responsible where the performance or prompt performance of its obligations is prevented or affected by any event beyond its reasonable control including, but not limited to, acts or omissions of Participants, third parties, industrial disputes, hostilities, political unrest, internet problems, telecommunications problems, computer problems or natural disasters. 34. Panasonic and its agents, sub-contractors and distributors including but not limited to the Channel Marketing Team shall not be liable or responsible for any consequential, indirect and/or special losses or damages that may be suffered or incurred in relation to the Competition and/or these Terms & Conditions. Disputes/Errors 35. All matters relating to the Competition or the interpretation or application of any of these Terms & Conditions, including without limitation, questions or disputes regarding eligibility for the Competition, or the eligibility of Prizes, must be submitted in writing to Panasonic within 90 days of the transaction or matter in question arising. 36. Any such dispute shall be resolved by Panasonic at its sole discretion and its decision shall be final. 37. Any matter arising in respect of the interpretation or application of these Terms & Conditions shall be governed by and construed in accordance with English law and the parties hereto hereby agree to submit to the exclusive jurisdiction of the English Courts PROVIDED THAT Panasonic may make a claim or take any action or proceeding in any territory or jurisdiction and under any law in order to protect or enforce any of Panasonic assets, interests and rights.
Proprietary Rights to Content 38. The design and content of the Competition, Panasonic Toughbook Partner Portal, any related materials, services and software (including but not limited to text, sound, photographs, graphics or other material continued in any Competition communications, advertisements or messages, whether by Panasonic or Panasonic advertisers or partners are protected by copyrights, trademarks, service marks, patents and/or other intellectual property rights and laws and are owned by Panasonic and/or Panasonic licensors and their use is permitted only as expressly authorised in writing by Panasonic or as required by law. Taxes and Social Charges 39. The awarding of Prizes may be treated as taxable income (either direct taxation or otherwise), and may be considered direct compensation for the purposes of taxation, national insurance or social security contributions (or equivalent taxes or social charges applicable under local law). 40. Participants and/or their employers are solely responsible for any federal, state, provincial taxes, social security, national insurance contributions, social charge or other taxes (whether direct, indirect or otherwise) that may be incurred as a result of receiving Prizes under the Competition. 41. Participants acknowledge and agree that Panasonic may be obliged under applicable local laws to report to the Prizes attained to the Participants': A. Local tax authorities B. social charge or contributions agency C. other relevant bodies or organisations D. employers 42. Liability to such taxation or social charges of whatever nature and howsoever arising is the sole responsibility of the Participant. Panasonic provides no warranty and accepts no responsibility as to the taxation treatment (whether direct taxation or otherwise) of the Competition Prizes. 43. It is an express condition of the Competition and Participants hereby agree that Participants and employers of Participants shall indemnify Panasonic for any taxes of whatever nature and howsoever arising that Panasonic may become liable or responsible for as a result of or in relation to a Participant and/or a Participant's employer receiving Prizes in relation to or in connection with the Competition. Severability 44. Should one or more provisions of these Terms and Conditions be or become wholly or partly ineffective this shall not affect the validity of the remaining provisions. The wholly or partly ineffective provision shall be replaced by a provision that best meets the economic purpose of the invalid provision. General 45. Panasonic shall be entitled to have an agent or contractor (including but not limited to the Channel Marketing Team) carry out all or part of the Competition process on its behalf.
46. Panasonic reserves the right, subject to applicable laws, to disclose to relevant third parties information that Participants have provided, or information that Panasonic has obtained regarding Participants' account: (a) to agents of Panasonic or its group companies and/or affiliates, including but not limited to independent auditors, consultants or attorneys, sub-contractors and those working for or on behalf of Panasonic; (b) in order to comply with any applicable law, government authority or court orders or requests; (c) to facilitate the administration, monitoring and implementation of the Competition; (d) for the internal purposes of Panasonic business (including but not limited to assessing and monitoring the Competition and the way and manner in which Participants participate in the Competition and identifying or detecting any misuse of the Competition or breaches of its terms and conditions). 47. No purchase is necessary to enter this competition. 48. These terms and conditions shall be governed by the laws of England and the English courts shall have exclusive jurisdiction over any disputes which arise out of or in connection with them or this Competition.
