1. INTRODUCTION TO THE ASSOCIATION Congratulations on being elected to the Board of the Australian and New Zealand Burn Association Limited (ANZBA). As an ANZBA Board member you have accepted the responsibility to promote the aims and objectives of the Association and to encourage and support the activities of the Board, its subcommittees and working parties. ANZBA was formed in 1976. Even in the beginning there was a multi-disciplinary team approach to achieve the aims of the Association. This is even more evident in the current membership. ANZBA became an incorporated company in 1991. The Association is a not-for-profit company that is registered as a charity with the Australian Charities and Not-for-Profits Commission (ACNC). 2. AIMS AND OBJECTIVES (from the ANZBA Constitution October 2015) The objects for which the Association is established are: To promote high standards of burn care To promote burn injury prevention To promote education and training in burn care and burn injury prevention To promote and encourage research in burn care and burn injury prevention To advocate on issues that affects the Association’s ability to meet these objects To hold or sponsor meetings, lectures, seminars, conferences within Australia and New Zealand to promote the understanding of burn care and burn injury prevention To foster and promote cooperation and association with associations with similar aims and objectives to the Association within Australia and New Zealand and internationally To advance public awareness of the practice of burn care and burn injury prevention To provide advice and information and opinion to other professional Associations and Government. To facilitate burn care and burn injury prevention education and support in overseas areas requesting such education To provide advice and support to members with respect to the above points 3. BOARD STRUCTURE (from the ANZBA Constitution October 2015) The Board is comprised of: President who will act as Chairperson Australian Vice-president New Zealand Vice-president Treasurer Secretary Chairperson of the Association’s Education Committee (ex-officio member) Representative of the Association’s Burn Registry of Australia and New Zealand (BRANZ) and the Burn Quality Improvement Program (BQIP) (ex-officio member) Representatives of o New Zealand Branch; o Victorian Branch; o New South Wales Branch (includes Australian Capital Territory) o Queensland Branch; o Western Australian Branch; o South Australian Branch; o Tasmanian Branch; Document: ANZBA Board Induction Booklet Version: 1 – May 2016 / Revision due May 2017 Page 3
o Northern Territory Branch. Note: Chairpersons of other Board appointed Committees, Groups or Working Parties may be invited to attend as official observers by the Board but are not eligible to vote nor considered as a director in this instance. The Board may invite, from time to time in the interests of the Association, a person or persons to attend a Board meeting, or part thereof, but that person is not deemed to be a director or entitled to vote 4. BOARD OFFICE BEARERS (from the ANZBA Constitution October 2015) The Office Bearers of the Association are: President Vice-president (Australia) Vice-president (New Zealand) Treasurer Secretary Duties of the Board Office Bearers: President: The President shall act as Chairperson of all meetings of the Board The President shall preside at, and conduct meetings of, the Board and any General meeting and sign the minutes of those meetings once they have been confirmed as accurate In case of the absence or inability to act of the President one of the Vice-Presidents, chosen by the directors, will discharge the duties of the President The President is an ex-officio member of all Committees The President shall generally act to safeguard the reputation, unity and property of the Association Vice-Presidents: There shall be two Vice-presidents, one from the Australian membership and one from the New Zealand membership In case of the absence or inability to act of the President one of the Vice-Presidents, chosen by the directors, will discharge the duties of the President Treasurer: The Treasurer shall oversee the management of the finances of the Association including collecting and disbursing all funds of the Association. The Treasurer shall be the accounting officer for the purposes of the ACNC Act Maintain accurately and in good order such financial accounting records as are required by the ACNC Act Arrange for the accounts of the Association to be audited at least once a year in accordance with the ACNC Act At the Annual General Meeting of the Association and at meetings of the Board the Treasurer is to report in writing: o A detailed report of the financial position of the Association and any associated statements Document: ANZBA Board Induction Booklet Version: 1 – May 2016 / Revision due May 2017 Page 4
o A list of new members for Board approval o A list of resignations for Board approval o The number of financial members Secretary: The Secretary shall liaise with the Secretariat to ensure efficient running of the Association The Secretary shall ensure that the registry of membership is maintained, that minutes are taken and distributed, that appropriate notices are issued and that relevant reports are completed and received The Secretary shall perform other duties as the Board may determine from time to time 5. CODE OF CONDUCT FOR BOARD MEMBERS (from the Commonwealth Corporations Act 2001) In managing the business of a company each of its directors is subject to a wide range of duties under the Corporations Act and other laws. Some of the more important duties are: to act in good faith to act in the best interests of the company to avoid conflicts between the interests of the company and the director’s interests to act honestly to exercise care and diligence to prevent the company trading while it is unable to pay its debts if the company is being wound up—to report to the liquidator on the affairs of the company if the company is being wound up—to help the liquidator (by, for example, giving to the liquidator any records of the company that the director has). 6. SECRETARIAT (from the ANZBA Constitution October 2015) A secretary, from now on known as the Association Secretary, must be appointed by the directors and may be removed by the directors. The secretary must reside in Australia. The directors must decide the terms and conditions under which the secretary is appointed, including any remuneration. The role of the secretary includes: maintaining a register of the Association’s members maintaining a list of all Board Committees, Groups and Working Parties and their Chairpersons and membership maintaining the minutes and other records of general meetings (including notices of meetings), directors’ meetings and circular resolutions. Perform such other duties as may be assigned by the Board from time to time The current Association Secretary is Jillian Custance, and she operates from a home-based office four (4) days a week. She oversees the general day-to-day operations of the Association. BOARD COMMITTEES There are several Board Committees, two of which have representation on the board ex-officio. These Committees are: Education (EMSB) Committee – Chairperson is a member of the Board BRANZ/BQIP Committees – a representative (an ANZBA member) is a member of the Board Nursing Committee Allied Health Committee Prevention Committee 8. TIMETABLE FOR BOARD MEETINGS The Board meets regularly throughout the year. Dates are to be confirmed each year, but the usual program is as follows: September/October: Board meeting prior to ANZBA Annual Scientific Meeting; associated with the appointment of the new Board at the ANZBA AGM November/December: Board teleconference February/March: Board teleconference April/May: Board meeting (face-to-face meeting, venue to be confirmed) June/July/August: Board teleconference 9. BOARD MEMBER EXPENSES Board members attending Board Meetings, twice per year, may have their flights, accommodation and meals for the meetings organised by the ANZBA Secretariat. Board members wishing to make their own arrangements may have the equivalent price of flight/accommodation reimbursed. Flights will be economy class. Board dinner expenses should not exceed $100 per head. 10. ANNUAL SCIENTIFIC MEETING/CONFERENCE ANZBA conducts an Annual Scientific Meeting (ASM) each year. The venue for these meetings is rotated through the various Branches of ANZBA. The ASM is organised by Board designated Branch members (Branch Organising Committee). Venues for upcoming ASMs are as follows: 2016 – New Zealand 2017 – South Australia 2018 – Queensland 2019 – Tasmania 2020 – Western Australia 2021 – New South Wales 2022 – Victoria 2023 – New Zealand 11. SCHOLARSHIPS AND AWARDS Conference Sponsorship ANZBA offers a number of Conference sponsorships each year. This sponsorship equals the cost of early-bird registration and may be used for registration, travel or accommodation. Funds will be paid AFTER the conference, to ensure attendance. All general expenses are the applicant’s responsibility. Each applicant must be an ANZBA member for more than 1 year; the applicant must be presenting a poster or paper at the conference and must provide a referee letter from their state representative. The President, the Secretary and the Chair of the Education Committee will judge the applications. The top candidates will be chosen from all the applications. Ongoing sponsorship will be at the discretion of the Board, following a review of ANZBA’s financial situation. Guest Assistance Programme ANZBA provides support for two applicants from neighbouring countries to attend the Annual Scientific Meeting, and additional training within local burn units. This sponsorship includes provision for: Two international economy return airfares to the city where the ANZBA ASM is being held (organised by ANZBA Secretariat); Accommodation during the ASM and (up to) two weeks adjacent (organised by local ASM host/Secretariat); Maximum two week observational visit in the burn service hosting the ANZBA ASM; Daily allowance for food and travel to and from the conference or the burn service; Attendance at the ANZBA ASM (including early bird registration); and ANZBA Secretariat assistance with administration of the package. Applications must be in writing. Application forms are available from the ANZBA website or by contacting the Secretariat office. Applications must be received by 31st March of each year. Conference Awards Each year at the ANZBA Scientific Meeting prizes are awarded for the most successful poster and paper presentations. (Currently sponsored by Smith & Nephew, prize $500) 2) Henrietta Law Bursary – Best Allied Health presentation (Currently sponsored by Danny Yeung, prize $500) 3) Smith + Nephew Stuart Pegg Award for Best Medical presentation (Currently sponsored by Smith & Nephew, prize $500) 4) Wendy Swift Award for the Best Nursing Presentation (Currently sponsored by the British Burns Association, prize $500) If sponsorship can be sourced: 5) Best Post Presentation (Prize, usually $250) 12. MEMBERSHIP Membership Year is July 1 – June 30 Categories There are currently Three (3) types of membership available: Ordinary Member Associate Member Honorary Life Members An Ordinary Member is a person registered to practice medicine, nursing or a health profession allied to medicine or nursing. A two-tiered fee schedule applies: Medical members; and Allied Health & Nursing members. (NZ members do not pay Australian GST on their membership fees.) Associate Members are students of medicine/nursing/allied health professions, members of Emergency Services or others interested in the welfare of burn patients. Honorary Life Memberships are bestowed at the discretion of the Board. If Honorary Life Memberships are to be awarded they are approved by the Board at its annual meeting and announced at the Annual General Meeting.
