2021-2022 CONSTITUTION THIS CONSTITUTION is effective upon filing by the appropriate student organizations advisor, and is made BY: Annalisa Vilaysing, an individual acting as the primary point of contact for all inquires regarding the organization, whom can be contacted via email at tritoncu@ucsd.edu OR via cell phone at (619) 356-3536. ARTICLE I ORGANIZATIONAL OVERVIEW 1.0 Name of student organization. The organization shall be called TritonCubed at UCSD (herein referred to as “the Organization”). 1.1 Mission. To provide students the experience, knowledge, and skills needed to enter the engineering industry. 1.2 Statement of purpose. TritonCubed at UCSD provides opportunities for students to apply their skills in the field of space through collaborative, project-based, and hands-on near-space and low-Earth orbit activities, including the development of high-altitude balloon payloads and CubeSats. The Organization operates in accordance with AS9100, an aerospace standard for quality systems, to familiarize its members with the environment and processes seen in the industry. The organization accepts students from multiple disciplines and is driven by the goal to expand the capabilities of space technologies through CubeSats. 1.3 Membership requirements. All UCSD students can join TritonCubed at UCSD without further restrictions. The organization collects no membership fees. Expectations for members are listed in Article II. All other parties who wish to engage with the Organization are encouraged to contact the point of contact provided in the introducing statement. 1.4 Statement of affiliation. TritonCubed at UCSD is not affiliated with any other groups. The Organization may pursue mutually beneficial collaboration or sponsorships with other groups, but shall remain independent in its mission and purpose. 1.5 Nonprofit statement. TritonCubed at UCSD is a non-profit student organization. ARTICLE II MEMBERSHIP EXPECTATIONS This article defines the time and communication commitments expected from members and a breakdown of available meetings. 2.0 Time commitment. The Organization expects members to contribute between four (4) to eight (8) hours of work per week. This requirement drops to two (2) to four (4) hours during Week 4 and Week 10 to accommodate for midterms and finals. For members holding Board positions, the expected time commitment may consistently reach higher ranges of the expectation. 2.1 Communication. The Organization communicates primarily through Discord for notifications on upcoming deadlines, events, and meetings and it is expected that members turn on Discord notifications or check their Discord once a day. It is highly recommended that Discord is used for audio and video communication; however, Google Meets, Zoom, or similar communications technology that is most convenient for all members, may be used. In the case of time-sensitive events, texting and calling will be used with an expected response time of half an hour and ten minutes, respectively. Email will be used exclusively for contacting external sources or members who are not active or cannot use Discord. Document No.: TC-ADM-000 Rev A Page 1 of 5
2021-2022 CONSTITUTION 2.2 Public outreach. The Organization participates in two annual events to educate the general public on CubeSats and attendance to at least one is required. Additional public events may be scheduled throughout the year and it is encouraged that members volunteer, but they are not required like the annual events. The annual events are held on: - First Saturday of March: EXPO Day at Petco Park - Second Saturday of May: Space Day at the San Diego Air & Space Museum 2.3 Recruitment. The Organization expects members to take at least one shift of any tabling event per year. 2.4 Meetings. There are several meetings a member may attend to get the latest updates on the Organization. 2.4.1 General Body Meetings: One (1) GBM will be held at the beginning of each quarter to update all members on the current status of the project and plans moving forward. 2.4.2 Board Meetings: Scheduled on a weekly basis for regular communication between divisions and the project manager. This meeting is primarily for board members; however, general members can attend. These meetings are intended for board members to discuss their progress reports, analyze them, reprioritize any activities, address any risks, and make any project scope, schedule, or cost changes as necessary. 2.4.3 Division Meetings: Scheduled on an as-needed basis within each division to complete project work. These meetings are intended for members to communicate the work that needs to be performed, risks, lessons learned, and plans flowed down from the project manager. 2.5 Social events. A number of social events are held throughout the year to foster greater team collaboration and effectiveness. It is recommended to attend these events if members are aiming for a Board position. - Casual lunches occur after every Board meeting for members to communicate informally. - A social is held at the end of every quarter for all members. - Study jams are held throughout Week 10 and Finals Week. - A 21+ only event at the Reuben H. Fleet Science Center for those who volunteer at EXPO Day. - Additional social events are scheduled when the opportunity arises. ARTICLE III MANAGEMENT BOARD This article defines the organizational structure and process for appointing and dismissing Board members. 3.0 Requirements. Only registered UCSD students may hold Board positions in the Organization. Only registered UCSD students may vote in elections for the selection of Board positions. All positions require technical knowledge to perform their duties; however, all members can gain this knowledge through their involvement in the Organization. 3.1 Responsibilities and authorities. 3.1.1 All Board members shall conduct themselves in accordance with respect, fairness, and honesty to other members of the Organization. 3.1.2 All Board members shall act in the Organization’s best interest. 3.1.3 All Board members have the authority to use any technique or method they determine is necessary and effective to complete project activities within the defined acceptance and quality criteria that follow the responsibilities stated above. 3.1.4 All Board members shall share project critical information during the Board meetings. 3.1.5 Functional Board members have the authority to call as many meetings within their respective divisions as necessary. They do not have the authority to make changes to the project scope, objectives, or goals in response to project critical information. Document No.: TC-ADM-000 Rev A Page 2 of 5
2021-2022 CONSTITUTION 3.1.6 Project Board members have the authority to call as many Board meetings as necessary. They have the authority to make any changes to the project scope, objectives, or goals or the Organization’s purpose or structure and shall be reviewed, approved, and documented accordingly. 3.2 Functional Board. A collection of students who possess strong leadership capabilities and have made exceptional contributions that have provided benefit to the Organization. These students also have strong technical skills that will allow them to lead and guide their division to complete project work. There are three (3) functional divisions with one lead member each. Each lead is responsible for the completion of project activities related to the: 3.2.1 Mechanical Division Lead: design and manufacturing of mechanical and structural project deliverables. 3.2.2 Electronics and Software Division Lead: hardware design, manufacturing, coding, testing, and debugging of electrical project deliverables. 3.2.3 Analytical Division Lead: research, analysis, and testing of the thermal, structural, or other critical properties of project deliverables. 3.3 Project Board. A collection of students who possess exceptional leadership capabilities and are motivated to keep the project on time and on budget. These students also have strong management or business knowledge that will allow them to perform their management duties with confidence. There shall be one (1) project manager and up to three (3) assistant project managers. 3.3.1 Project Manager: responsible for the integration between the three functional divisions and the successful completion of the project. 3.3.2 Assistant Project Manager: responsible for performing any part of the Project Manager’s duties and voting in any project or organizational modifications. 3.4 Chain of command. In the event of time-critical decisions, the Project Manager shall consult with as many members of the Board as possible. If responses are not acquired in a timely manner, the Project Manager has the authority to make an executive decision. The final decision, circumstances, and decision-making process shall be documented. 3.4.1 In the absence of the Project Manager, the executive power moves to the Assistant Project Managers. 3.4.2 In the absence of all Assistant Project Managers, the executive power moves to the Division Lead whose division most closely is associated with the situation. 3.5 Appointment of Management Board members. All positions of the Board are reevaluated over the span of the first three weeks of Fall Quarter. Positions can be contended at this time period. Assessment criteria shall be based on past performance, attendance and contribution, technical knowledge, and the ability to continue contribution for the year. 3.5.1 Project Board positions are eligible for members who have served on the Functional Board for one (1) year. The Project Manager position shall be filled, Assistant Project Managers are optional. Project Board positions are appointed by majority vote of the Functional Board. 3.5.2 Functional Board positions are eligible for members who have been a part of the Organization for one (1) year or new members with exceptional experience. Functional Board positions are appointed by majority vote of the general members within their respective division. 3.6 Dismissal of Management Board members. Any Board member can be dismissed at any point due to lack of performance, contribution, and/or communication. This does not necessarily mean removal from the Organization, unless the given three criteria are extremely poor. 3.6.1 Performance data and reports shall be present and conclude that the Board member is not performing their expected duties. 2021-2022 CONSTITUTION 3.6.2 The dismissal verdict shall be obtained by majority vote of the remaining Board members. ARTICLE IV RISK MANAGEMENT AND SAFETY This article declares the expected risks that could occur through involvement with the Organization. The Organization ensures that all applicable regulations shall be followed and appropriate certification or licensing is acquired. 4.0 Indemnity statement. TritonCubed at UCSD is a registered student organization at the University of California, San Diego, but is not a part of the University itself. The Organization understands that the University does not assume legal liability for the actions of the Organization. 4.1 In case of interaction with minors and/or the elderly. TritonCubed at UCSD is aware that all registered student organizations that serve minors or the elderly have access to training on child and elder abuse prevention for its members via the Center for Student Involvement, online or in person (in person by request only). The Organization will develop plan(s) for activities and events where members will be interacting with minors or the elderly such that members will receive education and/or training on Child Abuse Neglect Reporting Act (CANRA), common sense measures to both avoid child or elder abuse allegations (i.e. avoiding one-on-one situations; working with minors in plain view of others; limiting calls/texts/social media posts or other communications with minors), and how to properly report potential harm or neglect to minors or the elderly with whom they are working. 4.2 In case of handling hazardous chemicals, material, equipment, and/or machinery. TritonCubed at UCSD recognizes that all student organization activities must be conducted safely, in accordance with all applicable federal, state and local laws. Additionally, TritonCubed at UCSD will abide by UC San Diego requirements for students in labs, including policies for minors in UC laboratories, and ensure members receive safety training regarding the use of chemicals and/or machinery before entering the lab. Members must follow any best practices and lab safety protocols for the use of such chemicals, research equipment or machinery, including the appropriate use of Personal Protective Equipment, and should work under close supervision of those trained in the handling of chemicals/use of research equipment or machinery. ARTICLE V COMMUNITY ADVISOR This article defines the roles and responsibilities of the community advisor. 5.0 Roles and responsibilities. TritonCubed at UCSD is registered as a pre-professional organization which requires a community advisor. The advisor is any legal adult who has obtained the minimum of a Bachelor’s degree and has the skills and experience suitable to guide the Organization, provide support, and ensure that the Organization is acting in accordance to a code of ethics. 5.1.1 The advisor will serve as a point of contact and continuity to the Organization. They will provide leadership development, personal assistance, and supervision. 5.1.2 The advisor will serve for the duration of the academic year. 5.2 Requirements. It is preferred, but not required, that the advisor is or has been affiliated with UCSD and/or the UC system and has access to UCSD and its facilities. Document No.: TC-ADM-000 Rev A Page 4 of 5
2021-2022 CONSTITUTION ARTICLE VII FINANCIAL MANAGEMENT This article defines the responsible party for the Organization’s finances and financial sources. 6.0 Responsible party. The project manager is responsible for all of the Organization’s finances and makes all final decisions. It is expected that there is complete transparency of fund allocation and all members can view the budget and expenditures at any point in time. The project manager shall submit budgets or expenditure reports as necessary to the appropriate parties. 6.1 Financial sources. TritonCubed at UCSD is primarily financed via donations from alumni members. The Organization may accept contributions or sponsorships from other organizations, but must file a contribution agreement to document any terms and conditions. The Organization may also be financed by A.S. in three forms: - Programming funds for public events on campus such as GBMs and phase gate decision events. - Operating funds for promotional materials such as flyers, posters, banners, and AS Graphic Studio services. - Research grants to support CubeSat related academic research with UCSD faculty. ARTICLE VIII COLLABORATION WITH OTHER GROUPS This article defines the affiliations the Organization holds with other groups and the conditions that the Organziation shall follow to continue the affiliation. 7.0 On-campus collaborations. TritonCubed at UCSD is affiliated with the Amateur Radio Club (KK6UC) at UCSD. The club provides consulting and assistance to use and develop the ground station on top of Atkinson Hall. This affiliation does not affect members of the Organization. The club provides materials and tutoring for the amateur radio license exam, but this certification is optional. 7.1 Off-campus collaborations. TritonCubed at UCSD is affiliated with IMSAT at IMT Atlantque. The club provides resources, research, technical knowledge, and developmental efforts to the Organization in accordance to the respective collaboration agreement.
