From the booming success in the 1920s through to the present day, you have always been standing right behind us, pushing AVAI to greater success and providing us with new hunger and ambitions to go further than we thought possible. For this I want to thank you all. With this amazing support in mind, imagine there was a way of bringing you and the club even closer together. You can directly inuence our future success, and help push us to the pinnacle of Brazilian football – the dream Amadeu Horn conjured in his house back in 1923. We have always had huge ambitions from our creation, and these ambitions are only getting bigger. One of these was realised only last year with our promotion to the Campeonato Brasileiro Série A, the top tier of Brazilian football (one of the strongest football leagues in the world). Our stunted time there has not dampened our spirits though, nor your amazing support – instead it has set a re in our hearts to do better and achieve more – gaining promotion and ghting for the titles us as a club, and you as our fans deserve. We will reach for the stars again, and we will be one of the strongest football teams in one of the toughest contested leagues in the World. With the recent creation of blockchain technology, this dream of uniting football fans around the world in an unprecedented manner can now be made a reality. We are running a crowdsale campaign with a singular goal in mind, combating the nancial hurdles that has slowed our success, and gaining promotion back to the Série A where this team needs to be. 1. AVAI’s History The history of Avaí Futebol Clube began in 1923 when a merchant named Amadeu Horn met a group of boys playing football in Rua Frei Caneca, in the district Pedra Grande (now Agronomica), in Florianópolis. The merchant, in love with football, decided to full the dreams of the boys by presenting them with a complete set of "suits" as they were called at the time (the uniforms). The ‘suits’ contained blue and white striped tees, shorts and blue socks (along with a football and cleats). A curiosity that perhaps some fans do not know is that the colours were chosen in homage to the Rowing Club, Riachuelo. The boys would test out these new suits in a match against a team called Humaitá, a match they won. On September 1, 1923, Mr. Amadeu Horn held a meeting at his house, together with the young athletes, they decided to establish a football club. The name of this new team would be "Independência" with Mr. Amadeu Horn as its president. With everything practically decided, Mr. Arnaldo Pinto de Oliveira arrived at the meeting bringing fresh new ideas and would end up inuencing the participants to change the name of the team that was being founded. Mr. Arnaldo argued that Independência would be a tricky name for the fans to be shouting out, and by the time they nished yelling "Independencia", the other team would have already drawn the game. He began reading a book on the history of Brazil, where he had a lightbulb moment coming across the name Avahy, a reference to the Battle of Avahy. At this exact moment, everyone fell in love with the name, shouting Avahy, Avahy, Avahy! Enthusiastic and excited for the journey they were beginning, they could not dream of the many victories and achievements they would obtain as Avahy Football Club. On April 12, 1924, Avahy FC, alongside with other clubs of the Santa Catarina region, founded the LSCDT – League Santa Catarina Sports Ground, today recognized as the Federation of Santa Catarina football. In its rst year of formation, the LSCDT organized the 1st ever championship of Santa Catarina football. Avahy would see off all other competition and be crowned champions, the rst champions of the Santa Catarina footballing state. We wouldn’t stop there though, as we’d continue this supremacy winning the title in the next four years after our rst championship; 1925, 1926, 1927 and 1928. page 6
Fast-forward to the 1940s, our then manager assembled one of the best teams that football in Santa Catarina had ever seen. The team became known as the Squadron Azurra, drawing inspiration from the Italian national team, who were twice FIFA world cup winners in successive championships, 1934 and 1938. With an iconic team of winners including the likes of; Adolnho in net, Fateco at the back, Beck in the middle, Saul, Nizeta, and Felipinho scoring for fun up top, and many other stars, the team not only wanted to win games, but they had the urging desire to crush opponents and showcase their superstar abilities. It was in this spirit that on the 13th of May 1945, the second biggest win in the history of ofcial matches in Brazilian football took place, with Avaí thumping Paula Ramos 21-3. On 10 February 1946, Avaí defeated the Caxias Joinville in a one sided nal by 9 goals to 2, and thus winning the fourth championship of the Federation of Santa Catarina football league. In the following few decades the success dried up, as the club would fall into hard times without notable success. But you can’t keep a good team down, and Avaí found a way to turn things around, the ‘Lion Of The Island’ would roar once again as they would christen their new stadium with its rst title victory, winning the championship of Santa Catarina, in 1988. However nancial difculties within the management of the club would strike in 1995, with the club basically getting run by the players themselves for a period. The fans of Avaí would play a heroic role however, supporting the club through these hard times and showing the players the support needed to carry on when all hope seemed lost. The commitment of the fan base was so pivotal, that it motivated the players that season to get to the nal and win once again, 3-1 to once again taste success and give the fans there reward for showing amazing support. page 7
Regional success would turn into National triumph during the 1997/98 season, Avaí conquered a national title for its rst time, being crowned the Champions of Série C. Despite nancial difculties off the pitch, the team would turn up week in week out and get the results to catapult the team forward. Fast-forward to 2009, Avaí would achieve their highest nish in the Série A with a position of 6th and qualify for the Copa Sudamericana in the 2010 season (rst time in clubs history), going out in the Quarter Finals to nalists Goiás. This success was followed the following year by the teams push to get to the Semi-Finals of the Brazilian Cup in 2011 - losing to the winners Vasco De Gama. Avaí were also conquering management titles at this time off the pitch as well. Avaí Futebol Clube is proudly one of few professional football clubs in the world with the ISO 9001:2008 certication in all areas of its activities. The well-respected consultation rm - Pluri Consultoria would further these managerial accolades with a report published in 2013 on the efciency of clubs evaluating there sporting achievements against nancial budgets. Avaí was ranked 8th place in the whole of Brazil. At the start of the 2014 campaign however Avaí were playing in the Série B (Brazilian 2nd Division), with a 3 year absence from the big league, the team knew they needed to return and ght for a promotion the fans and club craved. They had achieved success in 2009 and wanted to go further this time. The team went into the nal round of xtures with a big task in front of them – they would need to beat Vasco de Gama (like in the 2011 nal) whilst also needing a draw/loss in the Atlético Goianiense game. This is exactly what happened! The team nished 4th and were promoted to the big league again, Série A. Unfortunately we were relegated the following season in 2015. This would begin a turbulent time for AVAI, yo- yoing between Série B and Série A, with the team unable to hold down a position in the top tier. This issue is down to a number of factors – predominantly based around nance. page 8
2. Background of the Brazilian Football Leagues System – The Problem The Brazilian Football Association (Confederação Brasileira de Futebol, “CBF”), founded in 1914, is the national governing body for football, recognized by FIFA. CBF is a private entity under the Brazilian Civil Code. CBF’s institutional purposes, as stated in its social statute, is, among others, to administrate, direct, control, foment, disseminate, improve and supervise the practice of professional and non-professional football within the whole national territory. This also includes the coordination of executing football competitions, in each of its forms, to maintain the sportive order and to watch for the discipline within the practice of football. Finally, to represent the Brazilian football abroad and to respect, abide by and enforce FIFA’s and CONMEBOL’s regulations. It is important to highlight some numbers regarding the Brazilian football to present an overview. The last ofcial estimative by CBF, released in 2009, demonstrates a total of 783 professional football clubs. From which, 520 clubs are playing professional competitions. The number of football players is also surprising to some, by the end of 2015, there were 28.203 professional and 22.782 amateur football players in Brazil (according to CBF). The Brazilian football calendar is played from January to December, in opposite to the reality in Europe. Due to its huge territorial area, Brazil has an interesting aspect, the dispute of State Championships. The State Championships take place in each of the 26 States plus the Federal District. Historically and for geographical and economic reasons, it has developed a strong culture of disputing the State Championships, which reinforces the rivalry between clubs from the same regions. These championships take place during the rst part of the season, for a period of three to four months. There are two national championships in Brazil, the Brazilian Cup and the Brazilian Championship. The Brazilian Cup is played by 64 clubs, in 18 match days, from March to November. It is played in a Cup format, which means play-offs (through draws), until the Champion is decided in a two-leg nal. page 9
The most important football competition is the Brazilian Championship though. In Brazil, there are no leagues representing the clubs. The organization and execution of the Championship is in charge of CBF. The rst division is played from May to November, on a league-system, in 38 match-days, comprising 20 clubs. Four clubs are directly relegated each year, being replaced by four promoted teams from the second division. The second division follows the same system, whereas the third and fourth divisions are rst played in regional groups, until the nal national phase – meaning the leagues are all interconnected. The top teams of the Série A are capable of going higher than the national level however, qualifying for global competitions such as the; Libertadores de América, Copa Sudamericana, and eventually the FIFA World Club Championship. 20 teams $1.34 billion in the 2015 Série A US Dollars a) Economics of football The 20 teams registered to play in the 2015 Série A season recorded their annual amount of turnover: all clubs summed 3.6 billion Brazilian Reais, equivalent to $1.34 billion US Dollars. Despite the nancial macroeconomic crisis that Brazil was/is facing, the top teams were able to increase their incomes by 26% in comparison with the 2014 season. (Época, 2016) This means that Brazilian football was able to increase its nancials on a superior rate, in comparison to the monetary devaluation. This performance, against the current situation in Brazil demonstrates the potential of football in this country. The explanation for this growth is based on three factors: players, TV rights and the Fans. The international transfers, less susceptible to the internal nancial crisis, had an increase of 71% to income, in comparison to the 2014 gures. The TV rights, negotiated with Rede Globo represented an increase of 30%. The combination between memberships and match-days sales were responsible for an increase of 24% in the same period. Another important (slow burning) factor is the generation of marketing and commercial incomes, increasing by 9% in comparison with 2014. (idem) Brazilian football leagues system is a system of a vast number of interconnected leagues, consisted of different pyramids, most notably the national and state pyramids. On national level Campeonato Brasileiro Série A is the top division (Tier 1). Below the Campeonato Brasileiro Série A are Campeonato Brasileiro Série B (Tier 2), followed by Campeonato Brasileiro Série C (Tier 3) and Campeonato Brasileiro Série D (Tier 4). There is a number of leagues of lower tiers. The entire system is based on promotions and relegations where the top ranked teams in a particular division is being promoted into a higher division and the teams at the bottom are being relegated into a lower division. Série A is the highest division in Brazilian football and consists of 20 teams playing. Bottom four placed teams are relegated to Série B. Série B is the second highest division in and consist of 20 teams. The top four teams in Series B are promoted to Série A. And the bottom four placed teams are relegated to Série C. page 11
b) Financials of Avaí Financial results of Avaí are available in the Annual Reports at http://www.avai.com.br /novo/patrimonio/balanco-patrimonial/. The results for the last few years (in BRL – Brazilian Real and in USD (as per the exchange rate of 10 September 2018) may be summarized as follows: 2010 (Série A): 2012 (Série B): 2014 (Série B): 2016 (Série B): - 715,668.66 - 8,402,908.52 245,442.59 - 7,760,496.86 (USD - 176,000); (USD - 2,070,000); (USD 60,000); (USD - 1,911,000); 011 (Série A): 2013 (Série B): 2015 (Série A): 2017 (Série A): - 1,341,528.44 - 11,382,820.82 - 12,528,727.18 5,942,634.96 (USD - 330,000); (USD - 2,803,000); (USD - 3,085,000); (USD 1,463,000) Apart from 2015, which presented a fairly atypical result, it is established that, when Avaí plays in the Série A, the nancial result is far more favourable. The budget gap between playing Série A and Série B explains part of this phenomenon. When playing in the Série A, a clubs budget more than doubles in relation to Série B. This shows the importance for Avaí to become a stable member of Série A, and not be constantly moving between the two leagues. But playing in Série A does not by itself solve the nancial decit issues. It is necessary for Avaí to achieve a considerable increase of its incomes. Additionally the division of TV Rights in Brazil is very unfair and unfavourable to clubs who are not ranked at the top. During the years Avaí played in Série A, on average, the club was entitled to 10% of the budget, when compared to the best paid clubs in Série A. TV rights represents a share of 50% to 65% of the annual budget for Avaí. CBF and TV Globo, the holder of TV rights in Brazilian Football, have managed to create more clear rules on the division of the rights, to be implemented from 2019 onwards. If Avaí is able to increase its presence in Série A, especially pushing for a top 10 nish, it will be very positive for the club sportively and, as a consequence, nancially. page 12
The football market shows a direct correlation between the sportive and nancial performance of a football club. Specically the relation between the amount of money a specic club can spend on signing players and on their wages – compared to the relevant success in the Championship. The sportive results point in the same direction, proportionally related to the growth of the club’s nances. Therefore a club (who for example) spend more on wages, are more likely to achieve a better performance in the Championship – which then in turn makes them nancially better off to then carry on progressing into the next season. This is known as the Virtuous Circle of Football – this is the precise circle that we at Avaí wish to step into now. The resources raised with the present AVAI Token Crowdsale will be of paramount importance for Avaí to balance its nance and to invest into the squad. This is not the only importance the contribution will make however, we will be directing income into the infrastructure for the academy to produce fresh new talent, as well as improving the training facilities. All these actions combined will place Avaí on the Virtuous Circle of Football. page 13
3. The Solution – The AVAI Token Crowdsale In order to overcome nancial differences among the teams in Série B and Série A (and even nancially stronger teams in Série B), Avaí is running a crowdsale campaign, issuing AVAI Tokens in exchange for your support, in the endeavour to be promoted back to Série A and stay there remaining nancially stable. Our goal is to enter the Copa Libertadores. We here at Avaí sincerely believe that having sufcient nancial support, we can produce real chances to ght for the promotion to Series A at the end of the season 2018\19 and to become a permanent member in Série A with the chances to enter the Copa Libertadores. Based on this, Avaí is running a crowdsale campaign through the AVAI Token Crowdsale. AVAI Token Crowdsale will be divided into two phases, Phase 1 and Phase 2 (Phase 2 being contingent on fullment of predetermined Conditions, as this term is dened below). A) AVAI Token Crowdsale Mechanics – Phase 1 Avaí is issuing up to 22,000,000 AVAI Tokens that will be available for purchase, a maximum of 20,460,000 AVAI Tokens (93%) will be available for purchase in the Crowdsale, with the other 7% retained by AVAI – being a maximum of 1,540,000 AVAI Tokens (7%) – and used for advisors, special promotions and similar. The Price of one (1) AVAI Token is set at USD $1 (excluding potential bonuses). Accepted currencies will be Ethereum (ETH) and Bitcoin (BTC). The Crowdsale will be successful (Soft Cap) if at least 8,000,000 AVAI Tokens are sold (in case the Soft Cap total is not reached, all contributed amounts will be returned to the contributors). If the Conditions are met Avaí reserves the right to issue an additional amount of AVAI Tokens, up to 22,000,000 AVAI Tokens (the Max Supply of AVAI Tokens will thus never exceed 44,000,000) that will be available for purchase in the Crowdsale Phase 2. The Price of one (1) AVAI Token in Phase 2 and other conditions of the Crowdsale Phase 2 will be set subsequently. page 16
4. AVAI Token and AVAI Ecosystem a) AVAI Token AVAI Token is a fully ERC20 compliant utility token of value implemented on the Ethereum network. Ethereum was the natural choice due to its broad adoption and industry-standard for issuing custom digital assets. The compatibility with the ERC20 standard leverages upon the existing infrastructure advantages of the Ethereum ecosystem, namely in terms of development tools, wallets, exchanges and human resource expertise. The ability to program smart contracts with a Turing-complete language allows for robust foundation and exible customization of the AVAI Token. Token name is: AVAI Token. Tokens symbol: AVAI. The max supply of all AVAI Tokens ever issued is 44,000,000 (in Phase 1 up to 22,000,000 AVAI Tokens may be issued and if the Conditions will be met Phase 2 may be performed with up to additional 22,000,000 AVAI Tokens issued). AVAI Token will not give its holders any right to participate in the management of Avaí Futebol Clube (of any kind or nature), it will not represent a shareholding in Avaí Futebol Clube (of any kind or nature) and will not give its holders any right (of any kind or nature) in and to the prots generated by Avaí Futebol Clube. b) AVAI Ecosystem and AVAITokenUsage The ultimate goal of Avaí is the total modernization of its utilities. With almost 100 years of club history, Avaí intends to be the rst football club in the world to entertain the power of blockchain technology – thus being a leader in the advancements of technologies of the future. Avaí’s Ecosystem will be fully based on blockchain technology and will be divided into three main pillars, I) AVAI Token Store, ii) AVAI Token Tickets and iii) AVAI Token Special Experience (additional segments might be added subsequently). The Avaí Ecosystem is an integrated whole Platform that will offer AVAI Token holders special discounts on merchandize, as well as seasonal and individual match tickets. Additionally, the Platform will give access of the AVAI Token holders to special packages (special experiences), that will only be available for AVAI Token holders. b.1) AVAITokenStore AVAI oken Store is an online, blockchain based store where merchandize will be available for purchase in exchange for AVAI Tokens, with special discounts that will be set on case to case basis. In addition to the direct sale of merchandize within the AVAI Token Store for special discounts, the AVAI Token Store will also include auction-based models for the sale of special merchandize available within the AVAITokenStore alone. AVAI Tokens will be thus redeemable/exchangeable for merchandize that is being sold and will be sold by Avaí in the future, applying special discounts that will be available only within the AVAI Token Store. b.2) AVAITokenTickets High transaction costs and (most importantly) exposure to fraud is the main issue all football clubs are facing, including Avaí. The black market resale of tickets (many times for an extortionately higher price), counterfeiting, high transaction costs (including the costs of page 18
intermediaries) and similar issues are a big burden imposed within the ticketing industry – which is in turn ruining a lot of live football for fans. Avaí intends to put its entire ticketing system on blockchain. Blockchain offers a secure, transparent and easily traceable ticketing system. With this regard Avaí will use a special Protocol (based on Ethereum blockchain) that will allow for the creation and validation of events (matches), the issuance, sale and distribution of tickets in primary and secondary ticket markets (under parameters designed and customized in advance), and the allocation of dened proportions of ticket sale revenue and market/event fees between the event organizer (Avaí), ticket promoters, secondary resellers, etc. When tickets are registered on the blockchain via the Protocol, a hash (or unique identifying series of characters) is generated for that ticket – encoded with the specic details of that ticket, e.g. ticket type, seat number, etc. - which is then associated with a public key for the ticket owner. A ticket can then only be transacted (e.g. from event organizer to primary ticketing agent, from primary agent to secondary reseller or to consumer) with the consent of both parties (via their digital signature on the blockchain). The unique identier of that ticket is then re-associated with the public key of its new owner. A variety of access control solutions can be implemented on top of this process, the simplest of which is using a digital signature to prove the attendee’s ownership of the public key and thus the associated ticket. In addition, if a ticket (either seasonal or individual) was purchased in exchange for AVAI Tokens, special discounts will be assigned to the AVAI Token holder purchasing such ticket. b.3) AVAITokenSpecialExperience AVAI Token holders will be given access to special experiences otherwise not available to the page 19
general public. Going to a match brings along an unmatched excitement, joy, adrenaline rush and perhaps some fear also as you want your team to win. All this combined is a special feeling for many supporters – but what if we could make the experience even more unique and ‘special’. Instead of simply buying your ticket, dressing yourself up in your jersey and scarf (if it’s not too hot) and watching the match, AVAI Token holders will be privileged to enjoy special packages that will be prepared by Avaí. From opening the match, to a dinner with your favorite player(s), from visiting the dressing room during the match to hear the managers team talk and words of encouragement, to being able to watch the game from the Presidential Suite. These are only some of the packages that will be offered to an AVAI Token holder. AVAI Tokens will be thus redeemable/exchangeable for special experience packages prepared by Avaí. c) Redemption of AVAI Token 30% of all AVAI Tokens that will be redeemed/exchanged on the Platform (either through AVAITokenStore, the AVAITokenTickets or the AVAITokenSpecialExperience) will be burned on the Ethereum blockchain on a quarterly basis, i.e. on or around 1 April, 1 July, 1 October and 1 January of each year, for previous quarter (that ends each time on 31 March, 30 June, 30 September and 31 December). page 20

Targeted Use of Funds Collected Avaí will use the collected funds in the AVAI Token Crowdsale in the following targeted way: ss- 50% (fty percent): Will be directed to investments on the infrastructure of the Club and its ssstraining facilities, such as: ss- Building new housing facilities for the youth academy (U15, U17 and U20); ss- Investments to improve the training facilities (building new dress rooms, shelters, stands, sssvideo capture platform, pitch grass replacement). ss- Building facilities for Avaí E-sports Team, such as a new gaming house. ss- 25% (twenty ve percent): Directed to achieve a nancial health balance. ss- 25% (twenty ve percent): Investment on the squad improvement, with aims to secure the ssspromotion and the consolidation as a stable member of Brazil’s Série A.
