Axpo gliedert ihr Netzgeschäft in eine neue Konzerngesellschaft aus
Die Axpo Gruppe produziert, handelt und vertreibt Energie für über 3
Millionen Menschen und mehrere tausend Unternehmen in der Schweiz und
in über 30 Ländern Europas. Um besser auf die Volatilität der Märkte
reagieren zu können, passt Axpo ihre Konzernstrukturen an. So hat unter
anderem die Axpo Power AG am 1. Oktober 2018 das Netzgeschäft an die
Axpo Grid AG durch Vermögensübertragung gemäss Fusionsgesetz
ausgegliedert. Der dabei eingebrachte Aktivenüberschuss betrug ca. CHF
856 Mio.
VISCHER berät die Axpo Gruppe bei diesem anspruchsvollen Projekt. Zum

Übernahmeangebot der Basler Kantonalbank für die Bank Cler
Die Basler Kantonalbank (BKB) hat am 20. Juni 2018 die Voranmeldung und
am 2. August 2018 den Angebotsprospekt für das öffentliche Kaufangebot für
alle sich im Publikum befindenden an der SIX Swiss Exchange kotierten
Inhaberaktien der Bank Cler veröffentlicht. Der Angebotspreis beträgt CHF 52
pro Bank Cler-Aktie (vorbehältlich Verwässerungseffekte). Am 31. Juli 2018
haben die Basler Kantonalbank und die Bank Cler eine
Transaktionsvereinbarung betreffend das öffentliche Kaufangebot
abgeschlossen. Unter Berücksichtigung der Ergebnisse der Fairness Opinion
einer unabhängigen Expertin (PricewaterhouseCoopers AG) empfiehlt der
Verwaltungsrat der Bank Cler den Aktionären, das Angebot anzunehmen. Die
Angebotsfrist beginnt am 17. August 2018 und endet am 13. September
2018. Die Transaktion wird, sofern das Angebot zustande kommt,
voraussichtlich am 17. Oktober 2018 vollzogen. Mit Verfügung vom 31. Juli
2018 hat die Übernahmekommission festgestellt, dass das öffentliche
Kaufangebot den übernahmerechtlichen Bestimmungen entspricht.

BKW Netzbeteiligung AG erwirbt 30.3% Swissgrid-Aktien von Alpiq
BKW Netzbeteiligung AG, an der die CSA Energie-Infrastruktur Schweiz, eine
Anlagegruppe der Credit Suisse Anlagestiftung, 49.9% und die BKW AG, eine
börsenkotierte Schweizer Energiegesellschaft, 50.1% hält, erwirbt 30.3%
Aktien an der Swissgrid AG, der Schweizer Hochspannungsnetzbetreiberin,
von der Alpiq Gruppe (einer anderen Schweizer Energiegesellschaft) und
verkauft davon eine 4.4% Swissgrid-Beteiligung an das Konsortium Sireso.
Die Transaktion wurde am 14. Dezember 2016 vollzogen.
VISCHER beriet die Credit Suisse Anlagestiftung. Das Team unter der Leitung
von Dr. Stefan Rechsteiner (Partner, Regulatory) umfasste die Partner Dr.
Felix W. Egli (Corporate M&A) und Dr. Robert Bernet (Corporate M&A) sowie
die Associates Thomas Krizaj (Corporate M&A) and Dr. Peter Kühn (Corporate
M&A).
Repower gliedert auf Swissgrid zu übertragende Stromnetze aus
Repower AG und Repower Transportnetz AG gliedern gewisse 150kV und
132kV Stromnetze von Repower AG auf dem Wege der
Vermögensübertragung in die Repower Transportnetz AG aus, als
vorbereitenden Schritt zur Einbringung als Sacheinlage in die Swissgrid AG.
Die Transaktion wird am 21. Dezember 2012 vollzogen.
VISCHER berät Repower AG und Repower Transportnetz AG bei dieser
Transaktion. Das Team von VISCHER setzt sich aus Stefan Rechtsteiner
(Energierecht) und Felix W. Egli (M&A) zusammen.
IWB erwirbt Beteiligung an Alpiq's Pumpspeicherkraftwerk Nant de
Drance.
IWB Industrielle Werke Basel erwirbt von Alpiq eine 15%-Beteiligung an der
Nant de Drance SA, der Projektgesellschaft für das in Bau befindliche
Pumpspeicherkraftwerk Nant de Drance, eines der aktuell bedeutendsten
Infrastrukturprojekte im Energiesektor in Europa. VISCHER berät IWB in
dieser Transaktion. Das VISCHER Team für IWB umfasst die Partner Robert
Bernet (Corporate/M&A), Stefan Rechsteiner (Regulatory) und Christoph
Niederer (Tax) sowie die Associates Peter Kühn, Thomas Krizaj, Roberto
