image required. Near the bottom left of the page there will be a clickable download link.

10BUSINESS DETAILS TERMS & CONDITIONS
The following terms and conditions apply to the exclusion of all others.
Goods will be charged at the price ruling at the date of despatch of customer’s order. Statements are rendered covering
invoices 1st to end of month. Cash discounts of 2.5% will be allowed on all items (other than those invoiced net) which are paid
for by the 20th of the succeeding month. Cash discounts of 3% will be allowed on all items (other than those invoiced net) for
settlement within seven days. Otherwise strictly net. All discounts are in accordance with HM Revenue & Customs Regulations.
Credit Notes will not be issued for VAT adjustments.
Export prices are all strictly net and subject to Incoterms 2000
a) The risk in the goods shall pass from the seller to the buyer upon delivery of such goods to the buyer. However,
notwithstanding delivery and the passing of risk in the goods, title and property in the goods, including full legal and beneficial
ownership, shall not pass to the buyer until the seller has received in cash or cleared funds payment in full for all goods
delivered to the buyer under this and all other contracts between the seller and the buyer for which payment of the full price
of the goods there under has not been paid. Payment of the full price of the goods shall include the amount of any interest
or other sum payable under the terms of this and all other contracts between the seller and the buyer under which the goods
were delivered.
b) Notwithstanding the provisions in sub-clause (a) hereof the sold goods shall be at the risk of the Buyer from the time
when they cease to be in the possession of the Seller and in particular when they are delivered into the possession or custody
of a carrier, forwarding agent, warehouseman or other bailee or agent for the purpose of transmission whether such person is in
contract with or instructed by the Seller or the Buyer. Interest will be charged on all overdue accounts at the rate of 8% above
Bank of England base rate commencing the due date for payment and ending on the actual date of payment.
c) All descriptions provided in catalogues or brochures or any information or samples provided by the company is there
to provide an approximate idea of the goods and may be changed without prior notice or liability.
d) In the event of any buyer refusing to accept delivery of the goods, risk and responsibility in the goods still passes to the
buyer
e) If any of these terms and condition are found by the courts to be unreasonable and therefore unenforceable these can
be severed from the remaining terms and conditions which remain enforceable
FORCE MAJEURE
The seller shall have no liability under the contract in respect of any failure or delay in fulfilling any of the sellers obligations to
the extent that fulfilment is prevented, frustrated or impeded and or delayed as a consequence of any ‘force majeure’ and or
any consequences whatsoever beyond the control of the seller including without prejudice the following:-
• Any strikes, lock-outs, or trade disputes, fires, explosions, accident, calamity or civil disturbance, war, riot, action of
elements, national calamity or act of god.
• Any failure in whole or part of any power or energy supply
• Compliance with any order, regulation request or control of any national or local authority, government department or
other competent department of any country whether legally enforceable or not.
RETURNS
Goods delivered against customer’s orders cannot be returned for credit. If goods are found to be faulty we reserve the right to
replace or repair such goods before giving credit.
CLAIMS
Damages in Transit: The carrier and King Cole Ltd are to be notified on day of delivery.
Shortages/Claims: King Cole Ltd to be notified within three days of receipt of goods.
Non-delivery: King Cole Ltd to be notified within seven days of invoice to enable a claim to be lodged
King Cole cannot be held responsible for any loss, damage or shortages of or to the goods during transit but we will transfer to
the buyer such rights as we have against the carrier or we will pursue the carrier so far as we are reasonably able.
