After a gap of 14 years, Singapore is set to host the OCEANS Conference once again from 6 - 9 April 2020 – which is an edition that stands out in particular, as OCEANS celebrates its successful legacy on its 50th anniversary. As one of the world’s busiest ports, Singapore connects over 600 ports in 120 countries with 130,000 vessel calls annually, and this heavy-shipping scenario brings up a unique set of complicated operational constraints. Furthermore, we now live in a world that sees the importance to upload the sanctity of its oceans, and thus, maintaining a balance between crucial market flow and ocean conversation is a complex problem which demands attention – arguably the most pressing issue at hand. Hence, our theme for OCEANS 2020 Singapore is “Green Ports: In harmony with the Oceans” – reflecting the need to address ocean environment through the use of smart marine engineering and technological solutions. The conference will be held at the iconic Sands Expo and Convention Centre, and is expected to attract over 700 delegates and around 60 exhibitors from related industries. There will be presentations by researchers across many different fields of oceans science and technologies, special sessions on emerging research and technologies organized by experts in those areas, along with sessions and topics focused on local needs and scenarios. We strongly encourage experts to propose and organise such special sessions that would help in furthering research and innovations in their respective fields. For OCEANS, it is vital to have active student participation, and thus, we will have a student poster competition where selected submissions from students are displayed, reviewed, and evaluated by experts. OCEANS will offer limited travel and lodging grants for students to encourage participation, along with prize money for the top three posters at the conference. Hence, do grab the chance to showcase your best research outputs at OCEANS. Besides participating in the conference, it is also important for foreign delegates to take the opportunity to INDUSTRY explore, understand and experience the unique cultures of the country where the conference is being held. One of the safest countries in the world, Singapore is also the best illustration of how people of different religious faiths can co-exist in peace and harmony. You (the “Supporter” or “Exhibitor”), by returning a completed, signed and dated form, accept these terms and conditions. We, MCI Group Asia Pacific Pte Ltd (“MCI”), representing the organising committee and the sponsor of the Conference: IEEE Oceanic Engineering Society (“OES”), Marine Technology Society (“MTS”) and its affiliated association/societies, do not accept responsibility for any errors, omissions or changes. Details may change without notice. Please refer to the event website for the latest information. FINANCIAL FACTS Phone or unpaid bookings will not be accepted. 100% of the total amount is payable within 30 days, upon the receipt of the tax invoice. Should you need an amendment in the payment terms and timeline, it is required that the revision is agreeable by OES, MTS and/or MCI, before the agreement is signed. The Supporter or Exhibitor will not receive any sponsorship or exhibition entitlements, including allocation of booth location (allocated to Platinum Patron first and then to Gold Patron), until all monies have been paid. All prices are quoted in Singapore Dollars. If the Supporter or Exhibitor pays by electronic funds transfer or an international cheque, the Supporter or Exhibitor agrees to pay any bank charges and must include these in the amount the Supporter or Exhibitor transfers. IF YOU NEED TO CANCEL Cancellation or reduction of stall space must be made in writing to the MCI. 50% of the total cost of stall or sponsorship will be refunded if cancellation is made 3 months prior to the commencement of the Conference. No refunds will be made after 6 January 2020. Upon cancellation, you are still liable for all payments, based on the cancellation terms, even though you have yet to make any payments, I.e.: You shall be issued with a cancellation credit note and invoice for 50% of the total cost of stall or partnership, if cancellation is made before 6 January 2020, and 100% if cancellation is made after this date. If no payments are made against any of the cancellation invoices, OES, MTS and/or MCI, will regrettably have to take legal actions and/or engage a debt collection agency to recover the monies owed. FORCE MAJEURE OES, MTS and/or MCI shall not be liable to the Supporter or Exhibitor for any direct or indirect, incidental or consequential damages, cost, loss or expense arising from or in connection with the failure or inability to perform its obligations under this Agreement (including the cancellation or postponement of the Conference) where such failure or inability is caused by circumstances beyond its reasonable control (including, but not limited to, third party strike or other withdrawal of labour, flood, riot, fire, accident, act of God or of public enemy, war, embargo, injunction, restraint of government) OES, MTS and/or MCI shall, in its sole discretion (but after discussion with the Supporter or Exhibitor), determine the amount of the sponsorship fees to be refunded, if any. INTELLECTUAL PROPERTY If any rights to use any Intellectual Property of one party (“First Party”) is provided to the other party (“Other Party”) under this Agreement the following provisions shall apply. The First Party is and shall remain the sole and exclusive owner of that Intellectual Property and the Other Party shall not acquire any right, title or interest in or to the First Party’s Intellectual Property, except as expressly provided in this Agreement. The First Party grants the Other Party a non-exclusive, revocable, royalty-free, non-sub-licensable, non-transferable licence to use the First Party’s Intellectual Property solely for the purposes contemplated by this Agreement. The Other Party agrees to only exercise such rights of usage to the extent expressly permitted by this Agreement. The First Party warrants that it owns or holds all necessary rights to grant to the Other Party such rights of use. Each party will take such steps as are reasonably necessary to protect/ and or enforce its Intellectual Property rights and to preserve the benefit of any rights provided under this Agreement. PRIVACY STATEMENT OES, MTS and MCI respect your privacy and are committed to protecting the personal information that you furnish to us. If you wish to obtain a copy of our Privacy Policy we will provide one to you. We may request the following personal information from you including your name and contact information (email, address and phone number) title, occupation, company you work for and other information needed to provide a service you have requested (“personally identifiable information”). We may receive personal information from our business partners and suppliers and will use such information only if it has been collected in accordance with acceptable privacy practices consistent with its policy and applicable laws. Therefore, the Supporter or Exhibitor expressly consents that the Supporter’s or Exhibitor’s name, contact information, and any personally identifiable information may be used by OES, MTS and MCI, for purposes such as promotion and administration of this event. Personally identifiable information collected from you will be used for the purposes of: o Providing you with the services you have subscribed or registered for o Dealing with your requests o Sponsorship opportunities in connection with this and other events by OES, MTS and MCI. In addition, the Supporter or Exhibitor name, organisation and country/state of origin may be published on the delegate list or other marketing and promotional material which is provided to delegates, exhibitors and sponsors at the event. April 6 - 9, 2020 Sands Expo and Convention Centre, Singapore Green Ports: In harmony with the Oceans singapore20.oceansconference.org Singapore TERMS & CONDITIONS CONFIDENTIALITY Each party agrees that, except as required by law or to give effect to any term of this Agreement, they shall each keep entirely secret and confidential the terms of this Agreement and all information of a secret, confidential or proprietary nature concerning the business or affairs of the other party or any of its associates which may come into their knowledge or possession from time to time and which is not otherwise in the public domain (collectively, “Confidential Information”). Neither party shall disclose to any third party the Confidential Information without obtaining the prior written consent of the other party, nor use the Confidential Information for any purpose other than to give effect to this Agreement and meet its obligations hereunder. Return of Confidential Information: Each party shall, upon the request of that other party or upon expiry or termination of this Agreement, return any or all Confidential Information pertaining to the other party (including all copies of the Confidential Information however stored) in the possession or control of the party or any personnel of the party and where practicable, completely remove all Confidential Information from any computer or other electronic storage devices owned or used by the party or any personnel of the party. Continuing obligations: All obligations of confidentiality imposed in this Agreement shall survive expiry or termination of this Agreement until the Confidential Information enters the public domain, other than directly or indirectly through breach by the party receiving the Confidential Information of its obligations under this Agreement. DISPUTE RESOLUTION CLAUSE Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The Tribunal shall consist of 1 arbitrator. The language of the arbitration shall be English. ALLOCATION AND USE OF EXHIBITION SPACE (IF APPLICABLE) Where agreed, exhibition space to the agreed specifications will be allocated to the Supporter or Exhibitor but final location of the space shall be at the sole discretion of MCI. MCI reserves the right to change the space allocation when it deems necessary in the general interest of the Event. The Supporter or Exhibitor acknowledges that the space allocated to the Supporter or Exhibitor is licensed to the Supporter or Exhibitor and nothing herein shall be deemed to be an agreement to lease. Space allocated shall not be sub-let to any other person without MCI’s prior written consent. The Supporter or Exhibitor shall not be permitted to take possession of the space allocated or to exhibit unless all fees or sponsorship amounts are duly paid prior to the opening of the Event. Non-payment of any amounts payable by the Supporter or Exhibitor within the prescribed time(s) shall be deemed voluntary cancellation or withdrawal and the cancellation clause of this Agreement shall apply. The Supporter or Exhibitor shall be solely responsible at its own cost for transporting, storing, installing, removing and securing/keeping safe its exhibits at the Event. All exhibits are subject to approval of MCI and are exhibited at the Supporter’s or Exhibitor’s own risk. CHANGE OF VENUE AND DATES OF EVENT MCI reserves the right to change the date and/or venue of the Event if MCI deems necessary, without being liable to compensate the Supporter or Exhibitor for such change. This Agreement shall remain effective for the new date and/or venue. MCI shall use best endeavours to notify the Supporter or Exhibitor of the change in writing not less than (30) days before the opening of the Event. LIABILITY AND RISKS (1) MCI shall not be liable for any loss or damage to exhibits or other property of the Supporter or Exhibitor or for any injury to persons, whether it be before, during and after the Event, unless the loss is caused by the gross negligence or wilful default of MCI. (2) The Supporter or Exhibitor shall indemnify fully and effectively and hold MCI, the Event owner and the Event’s venue owner harmless against any and all costs, claims, demands, losses, damages, injury, costs and expenses that any of them may incur or suffer as a result of or due to any acts, omissions, breach, negligence or default of the Supporter or Exhibitor, its employees, agents or contractors in connection with any matter set out in this Agreement. This indemnity shall extend to claims or losses due to any injury or damage sustained to or by any person attending the Event due to the Supporter’s or Exhibitor’s activities or exhibits at the space allocated to the Supporter or Exhibitor at the Event. (3) The Supporter or Exhibitor shall make sure that it is fully covered by insurance including without limitation, all risks on their property and exhibits, injury or death, public liability and comprehensive protection against fire, water, theft, accident or any other cause. MCI reserves the right to require the Supporter or Exhibitor to provide proof of adequate insurance cover. LAWS, RULES AND REGULATIONS (1) The Supporter or Exhibitor shall abide by all laws, fire safety and environmental laws, local authorities’ laws or regulations and the rules and regulations of the Event venue which have been provided to the Sponsor and which may be added to from time to time by the venue owner. Failure to do so will constitute grounds for breach of this Agreement. (2) The Supporter or Exhibitor shall take all necessary precautions to prevent any harm done to the venue and venue property. The Supporter or Exhibitor is liable to compensate MCI for all losses, costs and expenses suffered by MCI arising from any damage done to the Event’s venue or venue property or any breach of this clause by or caused by the Supporter or Exhibitor . WARRANTY The Supporter or Exhibitor represents, warrants and undertakes that it is entering into this Agreement as principal and not as agent or nominee of any third party, and the exhibits and all materials used by the Supporter or Exhibitor at the Event do not infringe or are likely to infringe any patent, trademark, copyright or any other intellectual property rights of any party. The Supporter or Exhibitor agrees that in the event of any breach of the representations, warranties and undertakings herein contained or any breach of this clause, this Agreement and the licence granted hereunder may be forthwith terminated by MCI (without MCI being liable for any damages or losses or claims whatsoever and without prejudice to MCI’s other rights and remedies). The Supporter or Exhibitor shall indemnify MCI against any and all costs, claims, demands, losses, liabilities, charges, actions and expenses. 24

Subject to the foregoing, either party’s liability to the other party, if any, relating to, arising out of or in connection with this Agreement and to the extent permitted by law shall not exceed the Industry Partnership Amount. EVENT MANAGER’S RIGHTS MCI will have the right to take the following courses of action without any judicial intervention if necessary at the Supporter’s or Exhibitor’s expense, against any Supporter or Exhibitor who acts in contravention of any provision of this Agreement or who fails to comply with a direction given by the Event Manager:- (a) Refuse the Supporter or Exhibitor and its representative’s entry or admission to the Event; (b) Close and/or clear the Supporter’s or Exhibitor’s stand; and/or (c) Take possession of any offending exhibit displayed, any goods or fittings fitted at the Supporter’s or Exhibitor’s stand. BREACH OF AGREEMENT MCI shall be entitled to terminate this Agreement where the Supporter or Exhibitor fails to observe or perform or commits a breach of this Agreement; or becomes bankrupt, insolvent, takes any corporate action or other steps or legal proceedings are started for its bankruptcy, winding-up, dissolution, administration or re-organisation; or steps are taken for the appointment of a liquidator, receiver, manager, administrator, receiver and manager or similar officer over all or any of its revenues and assets and, where applicable, no application is filed or made to strike out, stay, dismiss or discharge such steps or proceedings within thirty (30) days of the occurrence of any such event. MCI shall be entitled in such event to retain and forfeit all amounts already paid by the Supporter or Exhibitor under this Agreement as liquidated damages, it being acknowledged and understood that early termination by reason of a default on the part of the Sponsor shall materially and adversely affect the reputation and success of the Event and such forfeited amount is fair, reasonable and a genuine pre-estimate of the cost, losses and expenses incurred and suffered by MCI. GENERAL CLAUSES (1) The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. (2) No failure or delay on the part of MCI to exercise any right or remedy under this Agreement will operate as a waiver thereof, nor will any single or partial exercise thereof or the exercise of any other right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. The rights and remedies provided are cumulative and not exclusive of any rights or remedies provided by law. (3) This Agreement shall be governed by the laws of Singapore and the parties hereto submit to the non-exclusive jurisdiction of the courts of Singapore. (4) Any complaints or disputes by the Sponsor must be submitted with the intention of an amicable resolution to MCI in writing within fourteen (14) days of the closing of the Event. Any complaints received thereafter will not be entertained. (5) A person who is not a party to this Agreement shall have no right under the Contract (Rights of Third Parties) Act (Cap 53B) to enforce any of the terms of this Agreement. DATA PROTECTION In accordance with the European Data Protection Regulation, in particular Regulation (EU) No. 2016/679 on the protection of natural persons with regard to the processing of personal data, MCI, as data controller, processes the sponsoring company’s personal data for the purposes of: a. Managing and organising the event, in particular the management of sponsoring company’s stand b. Managing and organising prospecting and loyalty c. Enabling the sponsoring company to benefit from our services d. Enabling the sponsoring company to receive our news. These data processing have as legal basis the execution of the contract: the information collected is necessary for the implementation of the contract to which the sponsoring company has adhered, failing which the contract cannot be executed. The sponsoring company's data are retained for the time necessary for processing purposes, namely 5 years from the end of the business relationship. For processing purposes, the data of the sponsoring company - or transmitted by him - will be transmitted to the following recipients: management service providers of our Customer Relationship Manager, service providers in charge of management, event service providers (reception service providers, security, printing, etc.). The data necessary for MCI to fulfil the purposes described above are those appearing on this industry prospectus. In accordance with the regulations in force, the sponsoring company benefits from a right of access, rectification, limitation, deletion and portability on his data. The sponsoring company may also object to the processing of his personal data concerning him and lodge a complaint with the data protection and control authority. The sponsoring company may exercise his rights by sending a request to the following address zarina.othman@mci-group.com or by contacting our Data Protection Officer (DPO) anne.lesca@mci-group.com. In any event, the sponsoring company acknowledges compliance with European data protection regulations for its own processing, including Regulation (EU) No. 2016/679 on the protection of personal data, foremost among which the integrity and confidentiality of data communicated by participants and compliance with their data-retention periods. In case of communication to MCI by the sponsoring company of a personal data file, the sponsoring company acknowledges having informed and obtained the consent of the person(s) concerned by this communication. 25
