Vol. 19, #962, Nov. 1, 2018 Dick Wien, Editor 212-975-5607 rwien@cbs.com CBS CORPORATION AUGUST - NOVEMBER 2018 JOSEPH IANNIELLO NAMED PRESIDENT AND ACTING CEO, CBS CORPORATION; KEY COMPANY EXECUTIVE APPOINTMENTS ANNOUNCED On Sept. 9, CBS Corporation’s Chief Operating Officer, Joseph Ianniello, was named President and Acting Chief Executive Officer while the CBS Board of Directors conducts a search for a permanent successor. In this role, Ianniello oversees all operations of the Company, including the CBS Television Network, Showtime Networks, The CW (a joint venture between CBS Corporation and Warner Bros. Entertainment), CBS Television Studios, CBS Studios International, CBS Television Distribution, CBS Interactive, CBS Films, CBS Television Stations and Simon & Schuster. As COO since 2013, Ianniello was responsible for establishing and executing strategy across all of the Corporation’s businesses. In addition, he oversaw the monetization of the Company’s content across platforms, including retransmission consent fees and reverse compensation from affiliates, as well as the licensing of CBS content for digital streaming and broadband services. He has helped lead CBS to be the #1 media stock among its peers for three of the last five years. Recently, he led the Company’s acquisition of Network Ten in Australia and the split-off of CBS Radio through a transaction with Entercom. In addition, he led the conversion of CBS Outdoor into a real-estate investment trust, marking a first for an outdoor advertising business and ultimately leading to the split-off of CBS Outdoor from CBS in 2014. Julie McNamara (CBS All Access), David Stapf (CBS Television Studios), Kelly Kahl (CBS Entertainment), George Schweitzer (Marketing) and Radha Subramanyam (Research) will continue in their leadership roles in these respective areas. CBS CORPORATION AND NATIONAL AMUSEMENTS ANNOUNCE RESOLUTION OF GOVERNANCE DISPUTES AND TRANSITION TO NEW LEADERSHIP On Sept. 9, CBS Corporation announced a settlement agreement with National Amusements, Inc. (“NAI”), members of the CBS Board of Directors, and related parties. Under the terms of the settlement, which have been approved by the Boards of Directors of CBS and NAI, the parties agreed to dismiss their pending litiga- tion in Delaware. The full Board of CBS (following the unanimous recommendation of the Special Committee of the Board) has unanimously rescinded the previously announced Class A share dividend, and NAI has amended the Bylaws to undo the previ- ous amendments that it adopted following filing of the Delaware litigation. Concurrently with the settlement, it was announced that Leslie Moonves would depart as CBS Chairman, President and Chief Executive Officer, effective immediately. In addition, NAI confirmed that it has no plans to propose a merger of CBS and Viacom and has agreed that it will make no such proposal for at least two years after the date of the settlement. NAI reaffirmed that it will give good faith consideration to any business combination transaction or other strategic alternative that the independent directors believe are in the best interests of the Company and its stockholders.For more information, go to https://bit.ly/2NufDRe (KEY EXECUTIVE APPOINTMENTS, continued from page 1) Christina Spade has been appointed to the position of CBS Corporation’s Executive Vice President and Chief Financial Officer, overseeing all financial operations of CBS Corporation including treasury, tax, accounting, internal audit, information security and real estate. She has served as Executive Vice President, Chief Financial Officer and Strategy for Showtime Networks Inc. (SNI) since February 2013, responsible for all financial matters relating to Showtime Networks’ businesses. Previously, she was Senior Vice President, Affiliate Finance and Business Operations for Showtime Networks Inc., where she led the financial and business operations’ manage- ment of distribution revenue and sales, marketing and creative expenses for SNI. Armando Nuñez has been named to the newly created position of President and Chief Executive Officer for the CBS Global Distribution Group and Chief Content Licensing Officer for the CBS Corporation – a move that streamlines CBS’ content licensing, domestic syndication and international distribution in one division. In his new role, Nuñez will assume oversight of the Company’s content licensing to domestic and international distrib- ution partners across all platforms: cable, broadcast television and on-demand services. He will be responsible for a growing portfolio of CBS-owned original content that airs on the CBS Television Network, The CW, CBS All Access, SHOWTIME and non-CBS platforms, as well as a library of more than 10,000 episodes of programming. Nuñez will also continue as head of CBS Studios International, whose varied businesses include worldwide distribution and format sales for content from all CBS Corporation programming areas. In addition, Nunez will also re-assume leadership of CBS Television Distribution, which produces and distributes seven of the top 10 first-run shows in syndication. Previously, Nuñez led a com- bined CBS domestic syndication and international distribution group from 2012-2016. For the past two years, he has focused on CBS’ rapidly expanding international business, one of the biggest growth engines for the Company. Laurie Rosenfield has been appointed CBS’ Chief People Officer, a newly created position in which she will be tasked with enhancing the Company’s most important asset, its people. In addition, she will be working closely with Ianniello in leading the Company’s ongoing commitment to strengthening its culture. Rosenfield will oversee the management of certain human resources functions for the Company, including oversight of learn- ing and development; executive search; talent acquisition; and the day-to-day human resources “generalist” responsibilities with each business unit. Rosenfield joined CBS in May 2018 as Senior Vice President, People Development, Human Resources. (Continued on page 3)
(KEY EXECUTIVE APPOINTMENTS, continued from page 2) Dana McClintock has been named CBS’ Chief Communications Officer, playing an increasingly important role as CBS continues to position itself as a global multiplatform premium content company. In his new posi- tion, McClintock will have oversight of the communications group that incorporates public relations, media relations and corporate and internal communications functions for all divisions of the Company. A 25-year CBS veteran, McClintock previously served as the Company’s Executive Vice President of Communications. He succeeds Gil Schwartz, who recently announced he would be retiring Nov. 1. Adam Townsend has been named to the position of Executive Vice President and Chief Financial Officer, Showtime Networks Inc. (SNI). Townsend replaces Christina Spade, who now serves as Executive Vice President and Chief Financial Officer, CBS Corporation (see above). In his new role, Townsend will be responsible for all financial matters relating to Showtime Networks’ businesses, including oversight of finance, strategy and information systems for the network’s divisions, which encompasses budgeting, planning, fore- casting and accounting of all the business segments within SNI. Townsend will also serve as one of SNI’s pri- mary liaisons to CBS Corporation. Townsend previously served as CBS Corporation’s Executive Vice President, Investor Relations. And... Silicon Valley entrepreneur, technologist and global media leader Philip Wiser has been named CBS’ Chief Technology Officer, overseeing technology strategy and development across CBS Corporation’s entire business portfolio. The holder of 13 patents, Phil is known for his pioneering work in the online digital music, premium content and OTT industries. As the Global Chief Technology Officer at Hearst for the last six years, Phil’s experience also spans traditional media, including cable networks like ESPN and A&E, over 30 broad- cast television stations, and several major newspapers, including the San Francisco Chronicle. Before joining Hearst, Phil was Chairman and President of Sezmi Corporation, a technology company focused on global internet television, which he co-founded in 2006. STRAUSS ZELNICK ELECTED INTERIM CHAIRMAN, BOARD OF DIRECTORS, CBS CORPORATION On Oct. 21, CBS announced the appointment of Strauss Zelnick as Interim Chairman of the Board of Directors, CBS Corporation. He replaces Richard Parsons who resigned from the CBS Board, including the Interim Chairmanship of the Board, for health-related reasons. Zelnick is a widely respected media industry leader who has held management roles in all forms of entertainment, including recorded music at BMG Entertainment, motion pictures and television programming at 20th Century Fox and international television distribution at Columbia Pictures. In 2001 he founded the media-focused pri- vate equity firm ZMC (Zelnick Media Capital), and he currently serves as Chief Executive Officer and Chairman of the Board of Directors of Take-Two Interactive Software, Inc., one of the world’s largest interactive entertainment companies. MORE STREAMING NEWS On Sept. 6, CBS Sports HQ, the 24/7 streaming sports news network available for free across digital platforms, debuted its new show dedicated to sports wagering: “SportsLine.” The show is hosted by Nick Kostos and features former oddsmaker Todd Fuhrman and SportsLine experts Hank Goldberg, Kenny White, Micah Roberts and Kelly Stewart, as well as additional CBS Sports Digital writers and analysts. ...On Oct. 31, CBS announced the launch of ET Live, a free 24/7 direct-to-consumer streaming network dedicated to all things entertainment. Developed in close collaboration between CBS Interactive and CBS Television Distribution’s top-rated entertainment newsmagazine ENTERTAINMENT TONIGHT, ET Live expands the ENTERTAINMENT TONIGHT brand beyond television with live coverage of the day’s top stories. ... To help prepare fantasy players on one of the biggest draft days heading into the season, CBS Sports HQ streamed a live fantasy football telethon on Labor Day powered by Dodge. ... In August, CBS Sports began offering voice-enabled fantasy football advice for the Google Assistant based on CBS Sports Fantasy expert rankings and SportsLine data and projections. In addition, CBS Sports now offers com- pletely personalized advice for CBS Sports fantasy players on the Google Assistant. On Oct. 25, CBSN, the 24/7 streaming news service from CBS News and CBS Interactive became available on Hulu with live TV, making it possible to watch CBSN’s live, anchored news coverage through the premium streaming service. CBSN joins Hulu with live TV as part of a previously announced agreement with CBS Corporation that brought CBS, America’s most-watched broadcast network, and its popular sports and entertain- ment channels, including CBS Sports Network and POP, to Hulu with live TV. ... On August 1, CBS Television Stations and CBS Interactive announced plans to launch CBSN Local, a portfolio of 24/7 direct-to-consumer services that will stream anchored news coverage and live breaking news events from major markets served by CBS owned stations. CBSN Local services will be available through CBSN on CBSNews.com and the CBS News apps for mobile and con- nected TV devices, and through CBS Television Stations’ websites and mobile apps. The CBSN Local services will first launch in the New York City market in partnership with WCBS and independent sister station WLNY in the fourth quarter of 2018. The rollout will continue with KCBS and KCAL (Los Angeles) followed by other major markets. The CBSN Local services will be ad-supported networks across all platforms. They will complement CBS’ other streaming services, CBSN and CBS Sports HQ, and will ultimately be included as live channels on CBS All Access in their respective mar- kets. For more information, go to http://bit.ly/2O1jbHa PGA GOLF THROUGH 2030 In October, CBS, the PGA of America and ESPN reached an historic and comprehensive 11-year multimedia agreement for the television, digital and OTT rights to the PGA with wall-to- wall, live, full-field, 72-hole coverage of the PGA Championship, beginning in 2020. The agreement runs through 2030 and will extend CBS Sports’ relationship with the PGA to 40 consecutive years and 47 overall at the conclusion of this agree- ment. CBS, ESPN and ESPN+ will combine to deliver more than 175 cumulative hours of live coverage from the first tee shot to the final putt across broadcast, cable and digital platforms. The PGA of America will retain the rights to PGA.com and produce the web and mobile app experiences fans have come to expect in Major Championship golf. The new sched- ule also enables CBS, ESPN and the PGA of America to effectively promote important “grow-the-game” initiatives to a larger and more engaged audience. NETWORK 10 Network 10 has retired its TEN logo and channel name and will now be known as Network 10 across all assets with a new logo, color scheme, and tone of voice. ONE has also been rebranded to become 10 Boss, targeting women and men over 40 with programming driven by bold, confident characters, while ELEVEN has become 10 Peach, targeting 16-to-39-year-olds looking for feel-good, escapist entertainment. On Sept. 3, Network 10 and the Victoria Racing Club (VRC) announced a landmark media rights partnership for the Melbourne Cup Carnival. The $100 million five-year agreement, effective from 2019 to 2023, is the biggest in the history of the VRC and one of the biggest in horse-racing globally. It entitles Network 10 to broadcast live the four days of the Melbourne Cup Carnival via a suite of media rights, including free-to-air TV, internet, social media, mobile, OTT (over-the-top) and HbbTV (hybrid broadcast broadband TV) within Australia. Network 10 has also agreed to terms with Racing.com to provide live cover- age of all races across the Melbourne Cup Carnival on its channels and the Racing.com app. In Additional News From Down Under.... Network 10 has recently appointed two senior sales leaders as it draws closer to completing its sales leadership structure. Grant Madigan will lead the 10 Exchange team as Head of Commerce and Sales Operations. 10 Exchange is a specialist sales team responsible for revenue analytics, traffic, technology and data insights. Madigan, who has over 20 years experience in sales, re-joins 10 from MCN, where he has spent the last three years in senior trading roles, most recently as Head of Trading. Nisar Malik has been appointed Sport Sales Director and will report to 10’s soon-to-be announced National Sales Director. Malik re-joins Network 10 from the Australian Radio Network (ARN) where he was Agency Sales Director. Prior to ARN, he worked in a number ofsenior sales roles across the media industry including at Nine Entertainment Co., Southern Cross Austereo and eight years at Network 10. The appointments of Malik and Madigan fol- low the announcements of Damon Jackson as Melbourne Sales Director, Angela Neville as Brisbane Sales Director, Cameron Mudge as Adelaide Sales Director and Paul Townsend as Perth Sales Director. Earlier this year, Network 10 also announced the appointments of Tamar Hovagimian as Head of 10 Effect, 10’s commercial sponsorship team, and Michael Stanford as Head of Ten Imagine, Ten’s strategy and creative hub. And... Network 10 has launched phase two of its “Always On” nationwide consumer marketing campaign, promoting its latest lineup of shows which will be premiering throughout October. ..... CBS CHINA HANDS In September, Larry Liding (photo at left, on far right), CBS Executive Vice President, Controller and Chief Accounting Officer, par- ticipated in a panel at an intellectual property conference in Beijing, China. Liding manages the CBS business in China. Also in September, Rebecca Borden, SVP & Associate General Counsel at CBS, spoke to Westinghouse licensees at the recent 4th annual Westinghouse China summit in Nanjing, China. Rebecca oversees the protection effort for all of CBS’ intellectual properties, and is on the executive leader- ship council for CBS China.
