2 June 1, 2021 Automatic Door Systems Price List 16Terms & Conditions Automatic Door Systems Terms & Conditions 1. Price & Payment Terms. List and quoted prices on the products are exclusive of all sales, excise, and other taxes, and exclusive of freight, installation, handling, and storage charges, any or all of which, as applicable, will be added to the invoice as separate charge(s), any or all of which, as applicable will be added to the invoice as a separate charges to the paid by the Buyer or otherwise charged as indicated in these Terms and Conditions. Prices are effective for all purchase orders received from Buyer within 60 days of the date of dormakaba USA’s formal price quotation, and thereafter subject to changes. Unless otherwise agreed to in writing by dormakaba USA, all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes, including, but not limited to, federal, state, provincial, and local taxes, excise, value added, goods and services taxes and any other taxes. Buyer agrees to pay these taxes unless Buyer has provided dormakaba USA with an exemption resale certificate in the appropriate form for the jurisdiction of Buyer’s place of business and any jurisdiction to which Products are to be directly shipped hereunder, or unless the sale is otherwise exempt from these taxes. Buyer agrees to indemnify and hold dormakaba USA harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on dormakaba USA’s invoice, Pricing for undeliverable Product may be increased in the event of any increase in dormakaba USA’s cost, change in market conditions or any other causes beyond dormakaba USA’s Reasonable control. dormakaba USA reserves the right to increase prices in cases where modifications requested by the Buyer give rise to additional costs Verbal price estimates are not binding. Buyer agrees to pay the total amount shown as due on each invoice within 30 days after the date of such invoice notwithstanding any repairs, corrections or adjustments that may need to be made. Special orders for products pursuant to Buyer specifications are subject to payment of 50% of quoted price at time of acceptance of purchase order. Invoices will be dated as of date of shipment or installation except if products are stored at Buyer’s request for more than 30 days beyond completion of their manufacture, in which case, invoices will be dated as of the ate of product completion. dormakaba USA shall reserve the right to charge interest at a rate not to excess of 18% per annum (but in no event more than the amount permitted by applicable law) upon any sum not paid by the due date. dormakaba USA shall be entitled to collect from Buyer for all expenses of collection, including attorneys’ fees. 1. Ordering Information. All orders submitted to dormakaba USA, Inc. must be submitted on the product specific Order Form. In some situations, a sketch or drawing may be helpful in determining order requirements and assist in reducing ordering errors. Sketches or drawings are required for all Special Engineering requests. A sales order acknowledgment will be forwarded to the Buyer for all accepted orders. The sales order acknowledgement must be reviewed by the Buyer and any error corrections or revisions which must be made shall be submitted to dormakaba USA in writing within three working days of order acknowledgment issuance. Verbal orders will not be accepted. All orders are subject to acceptance by dormakaba USA, Inc. It is the sole responsibility of the Buyer to determine product suitability in accordance with codes, standards or regulations as required by the Authority Having Jurisdiction (AHJ). dormakaba USA does not represent or warrant that every product complies with every code, standard or regulation in every locale or Authority Having Jurisdiction (AHJ) except as specifically stated in current technical documentation. 2. Delivery. All shipments are F.O.B. dormakaba USA's point of manufacture. All freight costs and risk of loss in transit are borne by the Buyer. Dormakaba USA makes no representation or commitment as to the time deliveries and/ or installation can be made against this order. Estimated shipment dates and times are a guideline only. dormakaba shall not be liable for any loss, damage, injury, failure, delay in performance, delivery or installation caused by strikes, riots, war, governmental restrictions and regulations, acts of God, or any other resultant conditions beyond the reasonable control of dormakaba USA. Damaged freight is the sole responsibility of the Buyer. It is recommended that the Buyer follow guidelines as provided by the freight carrier, and that visible or suspected freight damage be indicated on the bill of lading at the time of delivery, and claims be filed with the freight carrier within five working days of receipt to avoid potential claim rejection. Additional freight insurance is available upon Buyers request and will be provided at the Buyer's expense. Automatic Door Systems Price List 16 June 1, 2021 3
Automatic Door Systems Terms & Conditions Continued 3. Cancellations and Change Orders. Accepted purchase orders may be cancelled or changed only with dormakaba’s written consent and upon terms that will indemnify dormakaba against all losses, costs, and damages it sustains directly or indirectly related to the cancellation or change. Typical restocking charges are 20%. All special orders are non-cancellable and non-refundable. Changes to special orders may request in a price increase. 4. Inspection and Rejection. All products shall be examined by Buyer upon receipt of Buyer. If products are damaged upon receipt or do not conform to agreed specifications, products shall not be moved from point of delivery, and a written claim must be filed with dormakaba USAA within 5 business days of date of delivery. Upon receipt of a written claim for damage or nonconforming products, dormakaba USA will notify Buyer in writing if products are to be returned, or if products will be repaired or if a credit will be issued. Whether products are returned or repaired or whether a credit is issued, is with dormakaba’s full and complete discretion, subject to the limited warranty set forth below, and shall be Buyer’s sole remedy at law or equity. dormakaba USA has no control over installation locations or conditions under which its products are used, and specifically excludes responsibility for the applicability, adequacy or sufficiency of any device to perform in any manner not in strict accordance with manufacturers directives for the original purpose for which the product is intended, and applicable codes and standards governing product installation, application, speeds, forces and behavior, or for any 5. Title Upon issuance of Buyer’s purchase order and dormakaba USA’s acceptance thereof, Buyer shall be considered to have granted to dormakaba Inc. a security interest in all products delivered to secure the payment of invoiced amounts due. Buyer agrees to execute and deliver to dormakaba USA, upon request, UCC financing statements and other documents reasonably requested by dormakaba USA to perfect its security interest in the products. 6. Limited Warranty dormakaba USA, Inc. (dormakaba USA) warrants to Buyer (Distributor or Dealer and its agents, employees, successors, installers, technicians, and/or assigns) all products they manufacture to be free from defects in material and workmanship, under normal use and service. THIS WARRANTY IS MADE EXPRESSLY IN LIEU OF ANY OTHER WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT AND IN LIEU OF ANY OTHER OBLIGATIONS OR LIABILITIES ON THE PART OF DORMAKABA USA AND DORMAKABA USA NEITHER ASSUMES NOR AUTHORIZES ANY PERSON TO ASSUME FOR IT ANY OTHER LIABILITY OR OBLIGATIONS IN CONNECTION WITH THE SALE OF SUCH PRODUCTS BY THE BUYER. Warranty Period: ED50, ED100 and ED250 Swing Door Operators shipped prior to November 13, 2017 are warranted for 12 months from date of shipment. ED50, ED100, ED250, ED-IG and ED-OHC Swing Door Operators shipped on or after November 13, 2017 are warranted for 24 months from date of shipment. ESA100, ESA200, ESA300, ESA400 and ESA500 Automatic Sliding Doors (and sub-models), ICU Doors, and MAGNEO products are warranted for 12 months from date of shipment. iRevive Sliding Door Conversion Kits are warranted for 18 months from date of shipment. Accessories, sensors, push plates, switches, hardware, service parts, components, etc., carry a 12-month warranty from date of shipment. All standard or custom finish warranties are covered under the applicable manufacturer’s warranty in effect at time of purchase. For specific finish warranties, contact customer service. Finishes include, but are not limited to, anodized, powder coating, wet paint, and all clad materials. All products not specifically defined herein are warranted for one year from date of shipment. Extended product warranties are available at additional cost for products installed in the United States and Canada. 4 June 1, 2021 Automatic Door Systems Price List 16
Terms & Conditions Automatic Door Systems Terms & Conditions Continued Warranty for all products shipped or installed outside the United States or Canada is superseded by a limited warranty period of 12 months from date of manufacture. Limitations: Dormakaba USA's obligation under this warranty is limited to repair, replacement or issuing credit for any items or parts proven to be other than warranted, which shall be returned to dormakaba USA with transportation charges prepaid by the shipper and which after examination, prove to be defective. dormakaba USA retains the sole right to determine whether such parts shall be repaired or replaced, or whether credit shall be issued. dormakaba is not responsible for defects or damages caused by failure to follow manufacturer’s instructions and directives, normal use, wear and tear, water damage, variations or disruptions in the power supply, transient voltage, consumable materials, vandalism, civil disorder, fires, storms, floods, acts of God, misuse or abuse. dormakaba USA is not responsible for labor, travel, or other costs and charges arising from product replacement, adjustment, repair or any other work, which are the sole responsibility of the Buyer and are not covered by the terms of this warranty. In no event shall dormakaba USA be liable to Buyer for any incidental, consequential, liquidated, exemplary, punitive, or other indirect damages, including without limitation, profits or loss of use damages arising out of the manufacture, sale, supplying, or failure or delay in supplying the products or the services related thereto, whether based upon warranty, contract, tort, strict liability, or otherwise, should not exceed the price paid for the product or service. Said warranty shall not apply to such products which shall have been installed, altered, or repaired by any person not expressly authorized in writing for such purpose by dormakaba USA, or subjected to misuse, negligence, or accident. dormakaba is not responsible for defects, damages, injuries or any condition resulting from alteration by any company or entity other than dormakaba. In the event that the Buyer, its agents, employees, successors, installers, technicians, owner, and/or assigns tampers with, misuses, removes any parts, or adds any parts or equipment, Buyer agrees to indemnify, save and hold harmless dormakaba, its agents, employees, successors, and/or assigns, from any and all liability, damages, or losses, including reasonable attorney’s fees, arising out of, or incidental to, the aforementioned conduct. 7. Controlling Provisions. To the extent there is a conflict between these Terms and Conditions of Sale and Buyer’s purchase order, these Terms and Conditions of Sale shall be controlling. 8. Termination. Each purchase order issued by Buyer in connection with dormakaba USA’s quotation is subject to acceptance by dormakaba. If Buyer defaults in the payment of any sum due dormakaba USA or commits any other breach of any of the terms or conditions herein or if there is a material change in the ownership or financial condition of the Buyer which is considered unsatisfactory to dormakaba USA, dormakaba USA may, without prejudice to any other rights which may have accrued or which may accrue to it, whether under contract or at law or equity, refuse to accept any purchase order and may terminate any order immediately. 9. Governing law. Any contract between the parties shall be construed and governed in accordance with the laws of the state of Indiana. 10. dormakaba USA’s property. All specifications, drawings, tools, jigs, dies, fixtures, materials, equipment, and other items furnished by dormakaba USA, or at a cost of which is charged against this order shall be confidential and shall be and remain the property of dormakaba USA. The sale of products by dormakaba to Buyer shall not be construed as a license of any trade secret rice, trademark, patent, or copyright. 11. Indemnification. Buyer will indemnify, defend, and hold harmless (including payment of reasonable attorneys’ fees and court costs), dormakaba USA’s and its employees, agents, and permitted assigns against all liability to third parties that (1) arises from Buyer’s negligence or willfully, wrongful, wanton, or reckless conduct that results in death or bodily injury or damage to real or tangible personal property; or (2) arises from or in connection with Buyer’s use or resale of any product furnished under this Agreement that violates any third party’s trade secrets, proprietary information, trademark, copyright or patent rights.
