Startup information May 2021 Fill-in help for registering a business in Munich This startup info supports founders to fill-in the business registration form for the Business Licensing Office (Gewerbebehörde) with the Kreisverwaltungsreferat (KVR) in Munich. The form „Gewerbe-Anmeldung“ (GewA 1) for registering a business in Munich is available for download here: PDF-form (145 KB). For more information e.g. supporting documents necessary, fees and process flow please refer here. Liberal professions (for example doctors or lawyers) do not require a business registration with the Business Licensing Office: they register their self-employment directly with the tax office. If in doubt, please contact the Munich‘s Business Startup Office to verify whether your planned self-employed activity is classified a liberal profession. Form field Comments Angaben zum Betriebsinhaber (=Details of the business owner) In the case of non-incorporated firms (e.g. OHGs), a separate form must be completed by each managing partner. In the case of legal persons, the legal representative should be cited in fields 4-11 and in fields 30-31 (in the case of a domestic AG, these data are not required). The details of additional legal representatives to be cited under these numbers should be provided on extra sheets as necessary. 1 and 2 Field 1: Name entered in the Commercial Register, Register of Co-operatives or Register of Associations citing legal structure (if necessary in case of GbR; details of the other shareholders) Field 2: Place and number of entry in register • For sole proprietorship (1 person): do not fill in, leave empty • For civil-law partnership (GbR) (2 or more people): fill in names of other partners (field 1) • For incorporated firms such as limited liability company (GmbH) or provisional company with limited liability (UG, Unternehmergesellschaft haftungs- beschränkt): fill in company name (field 1) and registry data (field 2) 3 Only fill in if: a) you run a stationary business location e.g. a coffee shop, restaurant, sports studio, retail shop and b) you use a specific trade name for this business location that is different than the name stated in field 4 & 5 (for sole proprietorships) or in field 1 (for all other legal forms). April 2021 Form field Comments Angaben zum Betrieb (=Details of the business) 12 Number of managing partners (only in case of non-incorporated companies) / Number of legal representatives (only in case of legal persons) • For sole proprietorship (1 person): do not fill in, leave empty • For civil-law partnership (GbR) (2 or more people): fill in • For incorporated firms such GmbH or UG: fill in 13 Does the public sector hold a stake? • Always fill in 14 and 16 • Both fields are associated: either you fill in both or none of them. Field 14: Persons/managers authorised as representatives (only in case of domestic AGs,branches and dependent branches): Surname, given names Field 16: Principal establishment (if permanent establishment is merely branch) 15 Permanent establishment • Fill in your business adress • If you run your business from a home office, fill in your private adress. Please check beforehand if commercial usage of your accomodation is possible. 17 Former permanent establishment • Only fill in if you move your your permanent establishment or if you take over an existing establishment. 18 Registered activity – if necessary use extra sheet (give precise description: e.g. manufacture of furniture, electrical installations and electronic retail, food wholesale, ect.; in case of several activities, please underline main activity) • Describe as detailed and comprehensive as sensible what you are planning to do. Descriptions too generic are not accepted (e.g. „trading in all kinds of goods“ or „services of all kinds“. Choose a broad description so that you do not need to change your business registration when slightly expanding your portfolio. As reference you may use the Klassifikation der Wirtschaftszweige des Statistischen Bundesamts. • If you run several business activities then list all of them. If space is not enough, use a seperate sheet of paper. 19 Is the business (initially) being run as a sideline? • Always fill in, the answer serves statistical purposes 20 Date of commencement of registered activity • Always fill in • The registration of your bsuiness must be done a) either before you begin operating your business or b) at the same time with starting your business activity, not retroactive. 21 Type of business registered (Industry, Crafts, Trade, Other) • Always fill in - if you are not sure, checkmark „Other“ • Both chambers IHK (Chamber of Commerce and Industry) and HWK (Chamber of Slikked Crafts) will automatically be notified and decide to which chamber you belong to. April 2021 Form field Comments 22 Number of persons active when business activity commenced (excluding owner): Full-time, Part-time, None • Always fill in • Solo entrepreneurs without further staff, checkmark „None“ 23 The registration applies to: A principal establishment, A branch, A dependent branch • Always fill in 24 The registration applies to: An itinerant trader • Only fill in if you run an itinerant trade 25 Reason for registering the business (new establishment/take -over): - New start-up - Re-opening following relocation from a different district of registration - Change of legal structure - Founding of business pursuant of the Reorganisation Act (e.g. merger, split) - Admission of partner - Take-over (inheritance/purchase/lease) • Always fill in 26 Name of former operator or former business name • Only fill in for take-overs (see field 17 and field 25) 27 Name of statutory accident insurance that has been in charge so far and membership number • For new start-ups: do not fill in, leave empty 28-31 Field 28: Does the licence/permit exist? If so, date of issue and issuing authority • Only fill in if your business activity requires a license/permit (gewerberechtliche Erlaubnis). A license or permit is e.g. required for bookkeeping and other financial services, security, real estate agents, auctioneers, pawn shops, hotels and restaurants. These are only a few examples. If in doubt, please contact the Munich‘s Business Startup Office to verify whether your business needs a license/permit. Field 29: Only for craft-based firms | Does a craft card exist? If so, date of issue and name of chamber of crafts: • Only fill in if your business activity requires a craftsman‘s card (Eintrag in die Handwerksrolle) which is issued by the local chamber of skilled crafts (HWK, Handwerkskammer) following entry in the craftsmen’s register. If in doubt, please contact the Munich‘s Business Startup Office to verify whether your business needs a craftsman‘s card. Field 30: Does a residence permit exist? If so, date of issue and issuing authority: Field 31: Is the residence permit subject to a condition or restriction? If yes, it contains the following conditions or restrictions: • Only fill in if you are a non-EU citizen thus needing an apropriate residence permit for going self-employed (Aufenthaltstitel mit Erlaubnis für eine selbständige Erwerbstätigkeit). April 2021 Form field Comments The Chamber of Commerce and Industry provides a detailed English information sheet „Employment Of Third-Country Nationals". 32-33 • Fill in date • If you have not filled in a paper form, then print out the completed online form. • Sign personally Dispatch Send your signed business registration form along with all necessary documents either by e-mail (gewerbemeldung.kvr@muenchen.de) or by post to the Business Licensing Office (Gewerbebehörde). Necessary documents • completed & signed business registration form • copy of valid identity card/passport • for non-EU citizens: copy of residence permit • for delegation of authority: copy of letter of authorization and identity card • for GmbH or UG: copy of your Commercial Register entry • if field 28 applies: copy of licence/permit (erlaubnispflichtigen Tätigkeiten) • if field 29 applies: copy of craft card (zulassungspflichtiges Handwerk) Next steps • You will receive a confirmation of your business registration („Gewerbeschein“) by post approximately after 2 weeks. The invoice will take much longer (up to 3 months). The business registration costs 50 to 60 Euro, depending on the choosen legal form of your business. • Submit the “Fragebogen für die steuerliche Erfassung” (“Tax Assessment Questionnaire”) to the tax office. You will need to register first under www.elster.de in order to be able to fill in this online form and submit it electronically to the tax office. The tax office will then give you a tax number which you will need in order to write invoices. The Office of Housing and Migration (Amt für Wohnen und Migration, Phone 089 233-67201) will also tell you whether it is legal to use your home for commercial purposes and whether you need a special license.
