POLICE AND FIREMEN'S RETIREMENT SYSTEM OF NEW JERSEY April 08, 2019 ORDER OF BUSINESS Notice of this meeting has been provided through the annual notice of the schedule of regular meetings of the Board filed with and prominently posted in the offices of the Secretary of State. The 2019 annual meeting schedule was mailed to the Secretary of State, Star Ledger and the Trenton Times on February 05, 2019. DISCLOSURE OF THE OPEN PUBLIC MEETINGS ACT (A) When necessary, the Board shall adopt Resolution A to go into closed session to consider individuals’ disability applications, which states: In accordance with the provisions of the Open Public Meetings Act, N.J.S.A. 10:4-13, be it resolved that the Board of Trustees go into closed session for purposes of discussing matters pertaining to disability retirement which involves material involving personal medical and health records, data, reports and recommendations relating to specific individuals, pursuant to N.J.S.A. 10:4-12(3). Those matters are confidential unless expressly waived by the individual involved. The actions taken during closed session relating to a disability retirement are anticipated to become available to the public immediately at the conclusion of the meeting and will be posted on the Division of Pensions and Benefits’ website within a reasonable time; however, personal information pertaining to an individual shall be redacted from the minutes of such meeting and shall remain confidential until after such time as the Board determines that the need of confidentiality no longer exists under state and federal law, including the Health Insurance Portability and Accountability Act of 1996 (HIPAA), and the matters discussed can be disclosed. ____________________________________________________________________________________________ (B) When necessary, the Board shall adopt Resolution B to go into executive session to request/receive attorney-client advice from legal counsel, which states: In accordance with the provisions of the Open Public Meetings Act, N.J.S.A. 10:4-13, be it resolved that the Board of Trustees go into closed session to discuss matters falling within the attorney client privilege, and/or matters in which litigation is pending or anticipated, pursuant to N.J.S.A. 10:4-12(7). The minutes of such meeting shall remain confidential until after such time as the Board determines that the need of confidentiality no longer exists and the matters discussed can be disclosed and the Board waives the attorney-client privilege. PFRSNJ Meeting - April 08, 2019 Page 3 B-2=+ Presentation and selection of independent legal counsel - Withdrawn Review the scope of services and process for obtaining independent legal counsel. 1. A written review of State law regarding the procurement requirements for the PFRSNJ Board regarding retaining professional services, including but not limited to lawyers, actuaries, accountants, investment firms and consultants. 2. A review of State law governing the hiring process as it relates to job postings for the PFRSNJ Board to hire staff required by law and to manage the PFRSNJ Board after July. 3. A written analysis of why the Attorney General believes retaining any outside counsel for any reason would force the Attorney General’s office to cease its representation of the board. 4. The Board would like to know now if the Attorney General believes the Board does not have authority under Chapter 55 to adopt rules to manage the retirement system under the administrative procedures act. 5. Please provide the brief summaries of the 190+ PFRS cases the Attorney General’s office currently has pending on behalf of the PFRSNJ Board. 6. Review the following scope: a) To establish rules an regulations for the administration of the funds created by the Act and for the transaction of the Board's business; b) To adopt (or repeal) policies, objectives, and guidelines to govern the methods, practices or procedures for investment, reinvestment, purchase, sale, or exchange transactions for the funds; c) To review and approve agreements for the management of the investments of the retirement system; d) To assist with the hiring of required personnel for the PFRS (e.g., Executive Director, Chief Investment Officer and Ombudsman) and to develop a process for engaging consultants and advisers; e) To assist with developing any best practices for management of the PFRS f) To provide counseling regarding actuarial funding policies for the PFRS g) To provide counseling regarding the structure and operation of committees of the Board; and h) To provide advice on adoption of an eithics policy for the Board and the PFRS' employees The Board voted to request the Attorney General's office review the scope for sufficiency and to address any conflicts within one week. ___________________________________________________________________________________________________ OPEN SESSION ___________________________________________________________________________________________________ Retirement and Death Lists C-1 Active and Retired Death Lists for April 2, 2019 Approved
