AMERICAS BRAZIL The Ministry of Economy of Brazil has expanded1 the list for the use of the Differentiated Public Procurement Regime (RDC) so that it can be applied to the hiring of any works, services, purchases, disposals and leases. The Ministry of Economy will invest2 around R $69.1 million in purchases of individual safety equipment (PPE) to guarantee the security of the prison system and public security operations during the pandemic period of the new coronavirus. The Ministry, through the Central de Compras, will act as centralizer of the acquisition, which aims to serve several public security organs of the Union, states, Federal District and municipalities, through a single contract. Items such as gloves, alcohol gel, goggles, disposable sneakers and masks will be purchased. The installment payments administered by the Federal Revenue Service of Brazil and the Attorney General of the National Treasury due in May, June and July 2020 have been extended.3 Those maturing in May 2020 will have their maturity extended to August 2020, those maturing in June 2020 will have their maturity extended to October 2020, and those maturing in July 2020 will have their maturity extended to December 2020. The Securities and Exchange Commission of Brazil edited4 CVM Instruction 625, 5/14/2020, which regulates the holding of digital meetings by holders of debentures, promissory notes and certificates of real estate or agribusiness receivables. CANADA The Department of Finance has extended5 the Canada Emergency Wage Subsidy (CEWS) by an additional twelve weeks to August 29, 2020. UNITED STATES (FEDERAL) The Congressional Oversight Commission sought6 details about the Treasury and Federal Reserve’s management of COVID-19 related business loans. Some of the inquiries are anticipated to arise during today’s Senate Baking hearing. Senator Marco Rubio, chairman of the small business committee, proposes to extend7 the eight-week timeframe for loan money to be spent under the Paycheck Protection Program (PPP) and wants the Senate to pass a legislative fix as soon as this week. UNITED STATES (STATE SPECIFIC) As of 8am EST on May 19, 2020, there are 949 pending COVID-19 Legislations throughout 30 states. A total of 1,582 COVID-19 related bills have been enacted and proposed in the U.S. The high level summaries are included below. Over 300 executive actions have been issued in 50 states, Puerto Rico, the District of Columbia, Guam, and the Virgin Islands. Over 1,120 executive actions have been issued in total Over 150 bills have been introduced in 42 state legislatures, Puerto Rico, the District of Columbia, the Virgin Islands and Guam related to paid sick leave and worker protections as well as appropriations requests Over 30 states and the District of Columbia have issued emergency regulations on a number of issues including but not limited to insurance carriers, labor and wage, and medical licensure As of May 18, 2020, at least 14 legislatures (Alaska, Colorado, Delaware, Georgia, Illinois, Iowa, Kansas, Nebraska, New Hampshire, New York, Northern Mariana Islands, Rhode Island and Tennessee) have postponed their legislative session. EMEA FRANCE 2020/05/18 Décision n° 2020-03 du 18 mai 2020 modifiant la décision n°2020-02 du 20 avril 2020 relative à des mesures temporaires supplémentaires concernant les opérations de refinancement de la Banque de France et l’éligibilité des guaranties (French language only)8 The Banque de France has made decisions about the Bank's refinancing operations and eligibility of guarantees under the Public Sector Asset Purchase Program (PSPP), the third Covered Bond Purchase Program (CBPP3), the asset-backed securities purchase program (ABSPP), the Corporate Sector Securities Purchase Program (CSPP), and the Program Emergency Pandemic Purchase (PEPP). The Bank clarified negotiable assets, eligible issuers, and discussed the range of haircuts on collateral. HUNGARY 2020/05/15 Mától igényelhetőek a Széchenyi Kártya Program új hiteltermékei (Hungarian language only)9 The Ministry of Innovation and Technology has opened four new Széchenyi Card programs. The Széchenyi Card (SC) is a cashless payment card that micro, small and medium-sized companies (SMEs) and entrepreneurs use to access credit. Starting May 15, 2020, SC users have access to four new loans: (1.) the Széchenyi Card overdraft plus daily operating expenses, (2.) the Széchenyi job retention loan, (3.) the Széchenyi liquidity loan for working capital and enterprise operations, and (4.) the Széchenyi investment loan plus the possibility of financing investments. The new loans range from HUF 1 million up to HUF 1 billion with fixed interest rates (between 10 and 50 basis points). Working capital loans have a grace period of up to 9 months, and investment loans have grace periods of up to 24 months. ISRAEL 2020/05/18 ( פיקוח החזרת על העמותות רשם הודעתHebrew language only)10 The Ministry of Justice has extended the submission of documents for public and non-profit organizations to the Registrar until July 1, 2020, existing Supervision and Audit Procedures which will resume as of June 15 2020, and New Supervision and Audit Procedures as of June 15, 2020. UK 2020/05/15 European Parliament ADOPTS draft regulation on SE and SCE general meeting deadlines11 The European Parliament has adopted a legislative resolution consenting to the draft Council Regulation on temporary measures concerning the general meetings of European Companies (SEs) and of European Cooperative Societies (SCEs). The draft Regulation, which was adopted by the European Commission on 29 April 2020, provides, in the context of the COVID-19 outbreak, a temporary derogation to the deadlines by which SEs and SCEs must hold their general meetings. 2020/05/19 Update to the COVID Corporate Financing Facility (CCFF)12 On 19 May 2020, the terms of the COVID Corporate Financing Facility (CCFF) were updated. Inter alia: all businesses that wish to draw from the CCFF for a term extending beyond 19 May 2021 will be expected to provide a letter addressed to HM Treasury that commits to showing restraint on the payment of dividends and other capital distributions and on senior pay during the period in which their commercial paper is outstanding; businesses that have drawn under the CCFF will be able to repay their drawings early; and the names of businesses that have drawn under the CCFF, as well as the amounts borrowed, will be published by the Bank of England every Thursday, beginning 4 June at 15:00hrs (GMT). 2020/05/18 Future Fund Standard Terms and Eligibility Criteria Published; Convertible Loan Agreement Template Published14 On 18 May, the British Business Bank published its standard terms and eligibility criteria for the Future Fund, ahead of its launch on Wednesday 20 May. Applications are to be submitted via an online platform. The form of Convertible Loan Agreement, upon which all terms for a Future Fund investment are based, was also published on 18 May by HM Treasury, together with guidance. KOREA 2020/05/16 Measures to improve ETF and ETN markets17 The Financial Services Commission has: Set up a leveraged ETF and ETN market system that is separately managed from general stock markets and classify ETFs and ETNs based on the level of risks of their derivatives in order to give variations for their evaluations for listing and investors’ access depending on their risk characteristics. Introduced a requirement that ETF and ETN investors place minimum deposits in the amount of KRW10 million and restrict leveraged investment in order to curb speculative demand. Introduced a requirement for mandatory online education for retail investors to help them gain information about the risk characteristics (disparate ratio, compounding interest effect, rollover effect, etc.) and transaction mechanisms of particular leveraged ETPs.
