2021 Sidewalk, Driveway Apron & Curb Replacement Project NOTICE TO BIDDERS REQUEST FOR BIDS FOR 2021 SIDEWALK, DRIVEWAY APRON & CURB REPLACEMENT PROJECT The Village of South Elgin invites interested contractors to submit sealed bids for sidewalk, driveway apron, and curb replacement project within the Village’s corporate limits, South Elgin, Illinois. Bids shall be received until 11:00 a.m. on Tuesday, September 7, 2021, in the Public Works Department and publicly opened at that time. Bid Documents may be obtained from and returned to: Village of South Elgin Department of Public Works 1000 Bowes Road South Elgin, IL 60177 Proposals shall be addressed to the undersigned and plainly marked on the outside of the envelope: “BID PROPOSAL FOR 2021 SIDEWALK, DRIVEWAY APRON, & CURB REPLACEMENT PROJECT” Village of South Elgin And the outside of the envelope should show the name of the bidder, firm contact, address, and telephone number. Contractors submitting proposals shall be required to submit with the bid a notarized copy of a Certificate of Insurance for the full types and limits required by the attached contract. The Village of South Elgin reserves the right, at its sole discretion, to determine the lowest responsible bidder and to waive any informalities or irregularities. 2021 Sidewalk, Driveway Apron & Curb Replacement Project NOTICE TO BIDDERS Bids submitted in duplicate, in a sealed envelope with the words "2021 SIDEWALK, DRIVEWAY APRON AND CURB REPLACEMENT PROJECT" clearly marked on it, will be received by the V i l l a g e o f S o u t h E l g i n , Illinois (here after known as the OWNER) until 11:00 a.m. Tuesday, September 7, 2021 at the office of the Village of South Elgin Public Works Department, 1 0 0 0 B o w e s Ro a d , So uth Elgin , IL 60177. The unit price submitted shall be for furnishing of all equipment, materials, labor, and incidentals necessary to complete the work for the construction of approximately: ITEM UNIT NO. All Bidders at the time of signing this contract and thereafter shall pay to all his/her employees and suppliers performing work under this contract no less than the current prevailing wages in Kane County, Illinois. The successful Bidder shall perform the work quantities listed above a n d shall be completed during Fall 2021. 3
2021 Sidewalk, Driveway Apron & Curb Replacement Project The Bidders will be required to submit signed affidavits showing that they are not barred from bidding as a result of a violation of either Section 33E-3 or 33E-4 of Chapter 38, Illinois Revised Statutes, 1987 (as amended); that his/her workplace is drug free, and that he/she is no delinquent with the Illinois Department of Revenue (Chapter 24, section 11-42.I or as revised). Bidders may be asked to show proof that they are able to perform the work in a workmanlike manner and that he/she will be able to complete the work in the stipulated time. The Village of South Elgin, Illinois reserves the right to reject any or all bids and waive technicalities. Bid documents will be available in the office of the Director of Public Works located at 1000 Bowes Road, South Elgin, Illinois 60177. 4
2021 Sidewalk, Driveway Apron & Curb Replacement Project INSTRUCTIONS TO BIDDERS By submitting a bid, the Contractor is affirming that he/she has carefully read and examined all of the contract documents and the site, and is aware of the requirements necessary to complete the tasks as listed in this contract. The Bidder shall list the unit price for each line item and shall also list his total cost of his/her bid. The Bidder shall be responsible for all errors and/or omissions in his submittal. If there is an error, the overall cost will be calculated using the unit prices submitted. Only proposals which are made out upon the supplied proposal forms will be considered. The proposal forms must not be separated from the complete set of documents. The Contractor will be required to know and comply with all Federal and State Codes and laws which apply to the work to be done. All ordinances of the Village of South Elgin, Illinois, in which these improvements are located, must be complied with. Wherever removal is specified in this contract, the disposal of said item shall be included in the unit price of the pay item. Bidders in doubt as to the true meaning of any part of the contract documents shall submit to the Director of Public Works a written request for an interpretation thereof. The Director of Public Works will give an interpretation of the matter in question by issuing an "Addenda" and sending same to each person receiving a set of these contract documents. Interpretations requested less than 48 hours before the scheduled bid opening will not be responded to. The contract shall be deemed as having been awarded when formal written notice of award has been duly served upon the successful Bidder. After the notice of award the Contractor shall have 5 days to respond and to whom the Village of South Elgin contemplates awarding the contract by some officer or agent of the City duly authorized to give such notice and the Contractor shall start construction immediately upon award of contract. Bidders are cautioned to inform themselves of the conditions under which the work is to be done, the site of the work, the structure of the ground, sub-surface or underground conditions that may be encountered in the progress of the work and all other relevant matters which may affect the prices submitted for the work to be performed so that his bid will cover all expenses of disbursements in connection therewith. If awarded the 5
2021 Sidewalk, Driveway Apron & Curb Replacement Project contract, the Bidder will not be allowed any extra compensation by reason of any matter of thing concerning which such Bidder might have fully informed himself, because of his failure to have so informed himself prior to the bidding. No official, officer, or agent of the Village is authorized to make any representations as to the materials or workmanship involved, or the conditions to be encountered, and the Contractor agrees that no such statement or the evidence of any document or plan not a part of his contract shall constitute any grounds for claims as to conditions encountered. No verbal agreement of conversation with any officer, agent, or employee of the Village either before or after the execution of this contract shall affect or modify any terms or obligations herein contained. The V i l l a g e does not guarantee the existence, non-existence, or locations of any surface or sub-surface structures, not the character of any sub-surface material which may be shown on the plans. The inclusion of such structures or materials is based on the best data available but should not be regarded as conclusive. All the inspection and testing of materials shall be under the direction of t h e D i r e c t o r o f P u b l i c W o r k s o r D e s i g n e e and shall be in accordance with the individual requirements of the Specifications, for the various particular parts of the work. Bids which are not signed by individuals making them should have attached thereto a power of attorney evidencing authority to sign the bid in the name of the person for whom it is signed. Bids which are signed for a partnership should be signed by all of the partners or by an attorney-in-fact. If signed by an attorney-in-fact, there should be attached to the bid a power of attorney evidencing authority to sign the bid, executed by the partners. Bids which are signed for a corporation should give the correct corporate name thereof and the signature of the president or other authorized officer of the corporation manually written below the corporate name following the word "By ". Before an award of the contract is made to a Contractor, said Contractor may be required, upon request by the Village, to furnish any of the following information: a. Performance record. b. Address and description of his plant or permanent place of business. c. An itemized list of equipment. d. A financial statement. e. Such additional information as will satisfy them that the Bidder is adequately prepared to fulfill the contract. 6

2021 Sidewalk, Driveway Apron & Curb Replacement Project SPECIAL PROVISIONS 2021 SIDEWALK, DRIVEWAY APRON & CURB REPLACEMENT PROJECT GENERAL/DESCRIPTION OF IMPROVEMENT This work consists of removing and replacing various concrete items including sidewalk driveway aprons and curb at various locations throughout the Village. All work performed under this contract shall be governed by and comply with the "Standard Specifications for Road and Bridge Construction" prepared by the Department of Transportation of the State of Illinois and adopted on January 1, 2016 hereafter referred to as the “Standard Specifications”, Supplemental Specifications & Recurring Special Provisions, the latest edition of the "Manual on Uniform Traffic Control Devices", and according to the ADA requirements; all in effect on the date of the invitation for written proposals; the provisions of the General and Special Conditions of the Contract; and these Special Provisions. All work to be done under this contract shall be done according to current standards and in a manner that is acceptable by the Director of Public Works. TIME SCHEDULE; LIQUIDATED DAMAGES 1. Important Dates Bids Accepted Until September 7, 2021, 11:00 am Selection Made September 8, 2021 Board Approval September 20, 2021 Substantial Completion October 15, 2021 Final Completion October 29, 2021 When a completion date is specified, it is understood that time is of the essence and that completion of the work by that date is an essential part of the contract. The Contractor’s plea that insufficient time was specified is not a valid reason for extension of time. Failure to complete any work list by the specified completion dates above will result in liquidated damages. 2. Working Hours The maximum working hours by Village ordinance are as follows: 7:00 am – 7:00 pm Monday through Friday. 7:00 am – 5:00 pm Saturday, only if approved by Director of Public Works 24 hours in advance. No work is allowed on Sundays or Holidays. 8

Liquidated Damages Liquidated Damages shall be paid by the Contractor to the Owner as stated for each calendar day after the completion dates at a rate of $200/day. 4. Work on the Day Before a Weekend, Holiday or Any Break from Construction Removals of any item on a Friday shall not be allowed unless authorized by the D i r e c t o r o f P u b l i c W o r k s . Typically the Contractor shall complete replacements on Thursdays or the day before a holiday. Any deviations from this schedule must be approved by the D i re ct o r o f P u b l i c Wo r k s at least 24 hours in advance. It is the Contractor’s responsibility to watch and protect each pour location from defacing or vandalism. The cost associated with the removal and replacement of items previous worked on due to defacing or vandalism of same, shall be at the Contractor’s expense. 5. Required Work Item Schedule Below is the required schedule for work. This schedule shall be used for all PCC pay items. The days may be reduced if approved by the Director of Public Works. Required Work Schedule Working days to complete Work task (counting the day removal started) Concrete Removal 5 Concrete Installation 5 Remove Forms, Backfill with Topsoil or Stone. Grant access to 5 driveways. Landscape restoration. Total 15 WD Work will be measured for payment for in-place quantities. There will be no compensation for work done outside of the limits. Work shall be completed within the specified timeframe else the Village may complete the work and back charge the Contractor. Actual costs incurred by the Village for performing this work shall be deducted from the monies due the Contractor. 9
2021 Sidewalk, Driveway Apron & Curb Replacement Project EXISTING UTILITIES Prior to commencing work, the Contractor shall contact JULIE at 1-800-892-0123 and have each utility located within the work area. The Contractor shall cooperate with all utility companies and municipalities involved with the removal, temporary relocation, reconstruction and/or abandonment by the owner of the utility. The Contractor will not be allowed any additional compensation for any expense incurred by complying with these requirements, or because of reasonable delays, inconvenience or interruptions to his work resulting from the failure of the municipality or utility company to remove, relocate, reconstruct or abandon their services. PREVAILING WAGE REQUIREMENTS To the extent that the Prevailing Wage Act applies, to pay and require every Subcontractor to pay prevailing wages as established by the Illinois Department of Labor for each craft or type of work needed to execute the contract in accordance with 820 ILCS 130/.01 et seq. The Contractor shall prominently post the current schedule of prevailing wages at the Contract site and shall notify immediately in writing all of its Subcontractors, of all changes in the schedule of prevailing wages. Any increases in costs to the Contractor due to changes in the prevailing rate of wage during the terms of any contract shall be at the expense of the Contractor and not at the expense of the Owner. The change order shall be computed using the prevailing wage rates applicable at the time the change order work is scheduled to be performed. The Contractor shall be solely responsible to maintain accurate records as required by the prevailing wage statute and to obtain and furnish all such certified records to the Village as required by Statute. The Contractor shall be solely liable for paying the difference between prevailing wages and any wages actually received by laborers, workmen and/or mechanics engaged in the Work and in every way defend and indemnify the Village against any claims arising under or related to the payment of wages in accordance with the Prevailing Wage Act. PRECONSTRUCTION CONFERENCE Following the award of the Contract and at least 2 working days before commencement of any work activities, the Contractor will be required to attend a Preconstruction Conference. At this time, the Contractor will be required to furnish and discuss the following: 1. Written work schedule and a start date. 2. Names of Project Manager, Field Superintendent, and the name and phone number of a responsible individual who can be reached 24 hours a day. 3. Names, phone number and address of each sub-Contractors and material suppliers. 10
2021 Sidewalk, Driveway Apron & Curb Replacement Project INSPECTION The Contractor shall conduct his work in full cooperation with the Director of Public Works. The Director of Public Works must be notified for inspection prior to the placement of any materials; patch, curb, sidewalk or restoration. Any materials placed before inspection by the Director of Public Works shall be deemed unacceptable and no compensation will be allowed. PAYMENT The work done will be paid for on an awarded contract unit price basis. 1. Pay Requests Pay requests will be processed once per month. 2. Retainage Contract retainage will be 10% of the contract amount but may be reduced by the Director of Public Works. 3. Waiver of Lien The first partial Waiver of Lien equivalent to the amount of the first pay request shall be submitted with the second pay request. Thereafter each pay request shall be submitted with a partial waiver for the cumulative amount of all payment minus the current pay request. A final Waiver of Lien will be required before the final payment will be made. The Contractor shall submit waivers of lien for all work including performance and payment bond. Contractor will provide 10% performance and payment bond and include subcontractors and material specification for all material used in this contract. SUBCONTRACTORS The Owner reserves the right to accept or reject any sub-Contractors. PROTECTION OF PUBLIC AND PRIVATE PROPERTY The Contractor shall exercise reasonable care to protect all existing features and utilities in the public right-of-way (ROW). This includes but not limited to landscaping, fencing, sprinkler systems, drain lines, and invisible dog fences. Any item damaged due to negligence shall be repaired or replaced in kind by the Contractor as directed by the Engineer no additional compensation will be allowed. USE OF VILLAGE WATER The Contractor will be permitted use of V i l l a g e water for this project at no charge. W a t e r c a n be picked up at the Village of South Elgin’s Public Services Facility at 1000 Bowes R o a d b e t w e e n t h e h o u r s o f 7 : 3 0 a . m . a n d 2 : 3 0 p . m . , M o n d a y t h r o u g h F r i d a y . This water can then be trucked to the location where it will be used. 11
2021 Sidewalk, Driveway Apron & Curb Replacement Project RESIDENT NOTIFICATION At locations where work may disrupt a residents ability to access their driveway, garage or any part of their residence or business, the Contractor shall distribute, by hand, a typed, Village approved, notice to the resident or businesses affected. The notice shall be delivered two (2) days before work begins at that location. CONTROL BY CONTRACTOR All work shall be constructed in accordance with lines, grades, and elevations consistent with positive drainage. The Contractor shall be fully responsible for maintaining alignment and grade. The Contractor shall set and maintain all intermediate points, offset points, lines, grades, elevations, and offset elevations. The accuracy of the Contractor's surveys and staking shall be his responsibility. All forming shall be inspected by the Director of Public Works or his designee prior to placement of the concrete and the Contractor shall not claim added compensation for any delay occasioned by the Public Works Director exercising this right, nor for any corrective work which may be required as the result of the Contractor's errors. FINAL CLEANUP The Contractor shall be responsible to maintain the roadway and driveways clean. All foreign materials deposited or accumulated during the workday shall be removed and cleaned up at the end of each day. If any debris falls into any drainage structure it shall be removed. If the Contractor is not maintaining the site in an acceptable manner the Village may clean up the site at the Contractor expense. CONCRETE CURING AND SEALING All exposed concrete surfaces constructed as part of this contract shall be cured according to IDOT Article 1020.13 with the following exceptions: Only the Membrane Curing Method specified in article IDOT 1020.13 (a) (4) using an IDOT approved concrete curing and sealing compound and IDOT approved application equipment shall be used. Concrete curing shall be included in the unit cost no additional compensation will be allowed. INCREASE, DECREASE OR DELETION OF QUANTITIES OR ITEMS The Director of Public Works reserves the right to add or delete quantities to this contract per these special provisions and as allowed by the Statute. 12
2021 Sidewalk, Driveway Apron & Curb Replacement Project PCC SIDEWALK REMOVAL AND REPLACEMENT, 5” PCC SIDEWALK REMOVAL AND REPLACEMENT, 6” DESCRIPTION: This work shall consist of removing and replacing PCC concrete curb, sidewalk or other flatwork. This work will be done in accordance with IDOT Sections 423, 424 and 440 of the Standard Specifications and consistent with attachment A & B of this document. The sub-base, after the removal is complete, will be regraded and/or compacted before pouring the PCC and this work shall be included in the unit price for each of the above items. METHOD OF MEASURMENT: This work will be measured for payment for in place quantities and the area computed in square feet. BASIS OF PAYMENT: This work shall be paid for at the contract unit prices per square foot. PCC APRON REMOVAL AND REPLACEMENT, 6” PCC APRON REMOVAL AND REPLACEMENT, 8” DESCRIPTION: This work shall consist of removing and replacing PCC aprons. This work will be done in accordance with IDOT Sections 423, 424 and 440 of the Standard Specifications and consistent with attachment A & B of this document. The sub-base, after the removal is complete, will be regraded and/or compacted before pouring the PCC and this work shall be included in the unit price for each of the above items. METHOD OF MEASURMENT: This work will be measured for payment for in place quantities and the area computed in square yards. PAVEMENT PATCHING: DESCRIPTION: This work will consist of removing and replacing pavement where concrete meets the road consistent with a class D patch IDOT section 442 will apply. GRASS RESTORATION DESCRIPTION: This work shall consist of restoring all grass areas disturbed due to construction with Topsoil, 4”, Grass Seeding, Class 1 Lawn Mixture with Fertilizer and Mulch, Method 3. All damage to the parkway or grassed areas shall be held to a minimum that only the edges need restoration. The Contractor shall use a parkway preservation device such as plywood sheets to minimize rutting and other parkway damage due to equipment. 13
2021 Sidewalk, Driveway Apron & Curb Replacement Project 1. Topsoil, 4” This work shall consist of furnishing and placing 4 inches of topsoil according to IDOT Section 211 of the Standard Specifications with the following exceptions: The topsoil shall be placed in such a manner that after compaction and normal settling the final grade of the soil will not be lower than the elevation of the adjacent top of the curb, sidewalk or driveway. 2. Grass Seeding, Class 1 Lawn Mixture with Fertilizer This work shall consist of preparing the seed bed and placing the seed and fertilizer to topsoil areas in accordance with I D O T Section 250 of the Standard Specifications with the following exceptions: Inter-seeding and fertilizing of the existing grass will be allowed if in the Director of Public Works opinion the existing turf was not excessively disturbed during the removal and replacement process. 3. Mulch, Method 3 This work shall consist of furnishing, transporting and placing mulch over seeded areas in accordance with IDOT Section 251 of the Standard Specifications. All grass restoration shall be included in the unit cost of the various pay items involved. SAW-CUTS This work shall consist of saw-cutting the existing sidewalk, curb or pavement in order to separate the portion to be removed from the portion that will remain. The saw-cutting shall be done prior to the commencement of any removal operations. Saw-cutting shall also be done along with any pavement restoration items so as to provide a clean cut to pave or pour to. This work shall be done at the locations specified on the plans, or as designated by the Director of Public Works . The Contractor shall be required to saw a vertical, full depth cut in the existing pavement or sidewalk so as to form a clean joint. If the Contractor removes or damages the existing pavement or sidewalk outside the limits designated by the Director of Public Works for removal and replacement, he will be required to repair that portion at his own expense and to the satisfaction of the Director of Public Works. All saw cutting shall be included in the unit cost of the various pay items involved. MOBILIZATION The contractor will include the cost of mobilization in the unit prices provided. 14
2021 Sidewalk, Driveway Apron & Curb Replacement Project SPECIAL PROVISIONS FOR INSURANCE The coverage submitted shall be according to Article 107.27 of the Standard Specifications and Supplemental Specifications. The Village of South Elgin shall be listed as additional Insured: A. SAFETY: In accordance with generally accepted construction practices, the Contractor will be solely and completely responsible for conditions of the job site, including safety of all persons and property during performance of the work. These requirements will apply continuously and not be limited to normal working hours. Nothing contained in these insurance requirements is to be construed as limiting the extent of the Contractor’s responsibility for payment of damages resulting from his operations under this Contract. B. INDEMNIFICATION: The Contractor shall defend, indemnify, keep and save harmless employees, in both individual and official capacities, against all suits, claims, damages, losses and expenses, including attorney’s fees, caused by, growing out of, or incidental to, the performance of the work under the contract by the Contractor or his Subcontractors to the full extent as follows by the laws of the State of Illinois and not beyond any extent which would render these provisions void or unenforceable. Freedom of Information Act Contractor acknowledges that the Freedom of Information Act, 5 ILCS 140/1 et seq. (the “Act”) places an obligation on the V i l l a g e to produce certain records that may be in the possession of Contractor. Contractor shall comply with the record retention and documentation requirements of the Local Records Act 50 ILCS 205/1 et seq. and the Act and shall maintain all records relating to this Agreement 2021 SIDEWALK, DRIVEWAY APRON, & CURB REPLACEMENT PROJECT in compliance with the Local Records Retention Act and the Act (complying in all respects as if the Contractor was, in fact, the Village. Upon notice from the Village, Contractor shall review its records promptly and produce to the V i l l a g e within two business days of said notice from the Village the required documents which are responsive to a request under the Act. If additional time is necessary to comply with the request, the Contractor may request the Village to extend the time do so, and the Village will, if time and a basis for extension under the Act permits, consider such extensions. In the event Contractor fails to produce the requested records or fails to produce the requested records within the time period required above and the Village is assessed a fine, fee or penalty for failure to timely comply with the Act do to Contractor’s actions, Contractor shall reimburse the Village for all fines, fee or penalties, including reasonable attorney’s fees, paid by the Village. 15

In submitting this proposal the undersigned declares that the only persons or parties interested in the Proposal as principals are those named herein and that the Proposal is made without collusion with any other person, firm, or corporation. The undersigned further agrees to begin work not later than 5 days after the issuance date of the notice to proceed unless otherwise provided and to prosecute the work in such a manner and with sufficient materials, equipment, and labor as will insure its completion by the completion date, it being understood and agreed that the completion within the time limit is an essential part of the Contract. The undersigned hereby proposes and agrees to furnish all necessary labor, materials, equipment, tools and services necessary to perform 2021 SIDEWALK, DRIVEWAY APRON, AND CURB REPLACEMENT PROJECT in accordance with the attached Specifications and Documents. 16

2021 Sidewalk, Driveway Apron & Curb Replacement Project ATTACHMENT “C” INDEPENDENT CONTRACTORS AGREEMENT THIS AGREEMENT entered into by and between _______________________ of ________________, ILLINOIS (hereafter the “Contractor”) and THE VILLAGE OF SOUTH ELGIN (hereafter “VILLAGE”). WHEREAS, Contractor will be performing services and work as set forth in the PROPOSAL dated ____________________, 2021 attached hereto as Exhibit A; and WHEREAS, Contractor agrees to perform the duties as described in Exhibit A at the rate agreed upon between the contractor and the Village; NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, and other good and valuable consideration received and to be received, the Contractor hereby agrees: 1. To comply with all applicable laws, regulations, and rules promulgated by any Federal, State, County, Municipal and or other governmental unit or regulatory body now in effect during the performance of the work. By way of example, the following are included within the scope of the laws, regulations and rules referred to in this paragraph, but in no way to operate as a limitation on the laws, regulations and rules with which Contractor must comply, are all forms of Workers Compensation Laws, all terms of the Equal Employment Opportunity Clause of the Illinois Fair Employment Practices Commission, the Illinois Preference Act, the Social Security Act, Statutes relating to contracts let by units of government, all applicable Civil Rights and Anti-Discrimination Laws and Regulations, and traffic and public utility regulations. 2. To the fullest extent permitted by law, to waive any and all rights of contribution against the Village and to indemnify and hold harmless the Village and its officers, officials, employees, volunteers and agents from and against all claims, damages, losses and expenses, including, but not limited to, legal fees (attorney’s and paralegal’s fees, expert fees and court costs) arising out of or resulting from the performance of the Contractor’s work, provided that any such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, or injury to or destruction of property, other than the work itself, including the loss of use resulting therefrom, or is attributable to misuse or improper use of trademark or copyright protected material or otherwise protected intellectual property, to the extent it is caused in whole or in part by any wrongful or negligent act or omission of the Contractor, any Subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. Such obligation shall not be construed to negate, abridge or otherwise reduce any other right to indemnity which the Village would otherwise have. The Contractor shall similarly, protect, indemnify and hold and save harmless, the Village, its officers, officials, employee, volunteers and agents against and from any and all claims, costs, causes, actions and expenses, including, but not limited to, legal fees, incurred by reason of Contractor’s breach of any of its obligations under, or Contractor’s default of 30

The indemnification obligations under this paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefits payable by or for the Contractor or any subcontractor under Workers’ Compensation or Disability Benefit Acts or Employee Benefit Acts. 3. To keep in force, to the satisfaction of the Village, at all times during the performance of any work referred to above, Workers Compensation and Employer’s Liability Insurance, Commercial General Liability Insurance, and Automobile Insurance in at least the type and amounts as follows: 1. No such policy of insurance shall have a deductible or self-insurance retention amount in excess of $5,000.00 per occurrence. All insurance shall 31

Failure of Village to demand any certificate, endorsement or other evidence of full compliance with these insurance requirements or failure of Village to identify a deficiency from evidence that is provided shall not be construed as a waiver of Contractor’s obligation to maintain such insurance. The Contractor agrees that the obligation to provide the insurance required by these documents is solely its responsibility and that this is a requirement which cannot be waived by any conduct, action, inaction or omission by the Village. Upon request, the Contractor will provide copies of any or all policies of insurance maintained in fulfillment hereof. 5. To agree that nothing contained in the insurance requirements of the Contract Documents is to be construed as limiting the liability of the Contractor, the liability of any Subcontractor or any tier or either of their respective insurance carriers. All the insurance required of the Contractor shall state that the coverage afforded to the additional insureds shall be primary insurance of the additional insureds with respect to claims arising out of operations performed by or on their behalf. If the “additional insureds” have other insurance or self-insured coverage which is applicable to the loss, it shall be on an excess or contingent basis. 6. To furnish any affidavit or Certificate in connection with the work covered by this agreement as required by law. 7. To the extent that the Prevailing Wage Act applies, to pay and require every Subcontractor to pay prevailing wages as established by the Illinois Department of Labor for each craft or type of work needed to execute the contract in accordance with 820 ILCS 130/.01 et seq. The Contractor shall prominently post the current schedule of prevailing wages at the Contract site and shall notify immediately in writing all of its Subcontractors, of all changes in the schedule of prevailing wages. Any increases in costs to the Contractor due to changes in the prevailing rate of wage during the terms of any contract shall be at the expense of the Contractor and not at the expense of the Owner. The change order shall be computed using the prevailing wage rates applicable at the time the change order work is scheduled to be performed. The Contractor shall be solely responsible to maintain accurate records as required by the prevailing wage statute and to obtain and furnish all such certified records to the Village as required by Statute. The Contractor shall be solely liable for paying the difference between prevailing wages and any wages actually received by laborers, workmen and/or mechanics engaged in the Work and in every way defend and indemnify the Village against any claims arising under or related to the payment of wages in accordance with the Prevailing Wage Act. 32
2021 Sidewalk, Driveway Apron & Curb Replacement Project 8. The Contractor, before commencing the Work, shall furnish a Performance Bond and a Labor and Material Payment Bond. The Performance Bond shall be in an amount equal to 100% of the full amount of the Contract Sum as security for the faithful performance of the obligation of the Contract Documents, and the Labor and Material Payment Bond shall be in an amount equal to 100% of the full amount of the Contract Sum as security for the payment of all persons performing labor and furnishing materials in connection with the Contract Documents. Such bonds shall be on standard AIA Documents, shall be issued by a surety satisfactory to the Owner, and shall name the Owner as a primary co-obligee. The cost of the bonds is to be included in the Bid Proposal. The Performance Bond and Labor and Material Payment Bond will become a part of the Contract. The failure of the successful Bidder to enter into a Contract and supply the required Bonds within ten (10) days after the Notice of Award or within such extended period as the Owner may grant if the forms do not meet its approval shall constitute a default, and the Owner may either award the Contract to the next responsible, responsive Bidder or re-advertise for bids. A charge against the defaulting Bidder may be made for the difference between the amount of the bid and the amount for which a contract for the work is subsequently executed, irrespective of whether the amount thus due exceeds the amount of the bid guarantee. 9. Contractor agrees to maintain, without charge to the Owner, all records and documents for projects of the Owner in compliance with the Freedom of Information Act, 5 ILCS 140/1 et seq. In addition, Contractor shall produce records which are responsive to a request received by the Owner under the Freedom of Information Act so that the Owner may provide records to those requesting them within the time frames required. If additional time is necessary to compile records in response to a request, then Contractor shall so notify the Owner and if possible, the Owner shall request an extension so as to comply with the Act. In the event that the Owner is found to have not complied with the Freedom of Information Act due to Contractor’s failure to produce documents or otherwise appropriately respond to a request under the Act, then Contractor shall indemnify and hold the Owner harmless, and pay all amounts determined to be due including but not limited to fines, costs, attorneys’ fees and penalties. 2021 Sidewalk, Driveway Apron & Curb Replacement Project IT IS MUTUALLY UNDERSTOOD AND AGREED that the Contractor shall have the full control of the ways and means of performing the work referred to above and that the Contractor or its employees, representatives or subcontractors are in no sense employees of the Village, it being specifically agreed that the Contractor bears the relationship of an independent contractor to the Village. This agreement shall be in full force and effect from the 20th day of September, 2021 until such time as it is terminated by the Village.
