A Message from the President... Hello WATS Members: The past couple of months have been very difficult for our country, our economy and our indus- try. Our industry is considered ‘essential’, and we must be thankful for that. However, many of our customers are deemed ‘non-essential’. The impact among WATS members of the covid19 shutdowns varies tremendously. As we enter the third quarter of 2020, it looks like businesses will be partially or fully open. And we will be recovering. Both individual health and business health. Hopefully, you all managed to set time aside to be with your families. The Covid19 crisis has touched everyone in some ways. We all have had difficult days. Including family members who have situations we need to help them with. Often, we may not take the time for those at home because our hands are full with work. I encourage everyone to give themselves that time to be with family and have some fun. Make this a priority! WATS is working with Wisconsin Manufacturers and Commerce to help get our economy up and running in a safe and timely manner. WMC has built a model that will help do this. They have worked with Senator Kapenga to create a useful model. It is based on four criteria: Population Density, Infection Rate, Interactive Concentration and Health Care Capacity. Companies would be given a risk factor of minimal, moderate or substantial based on an in-depth analysis of more than 300 NAICS codes and various data points from public health sources. The higher the risk, the more precautions businesses would be required to take to avoid further spread of COVID-19. Precautions can include, but are not limited to social dis- tancing among employees and customers, operating at reduced capacity, increasing use of personal protective equipment (PPE) and stepping up cleaning procedures. Our WATS Brewers game has been postponed for the time being. Mike is working with the Brewers once Major League Baseball has figured out the scheduling. We are hoping to be able to reschedule the event. This may or may not happen based on the proposed plans I have seen so far. They may be playing without fans at all. If that were the case Mike will reach out to everyone and refund the payments that have been paid up to date. We are very much looking forward to our WATS Fall Conference. We have a couple of great speakers lined up already. For- mer Lieutenant Governor Rebecca Kleefisch and former Green Bay Packer Paul Coffman. The event will be held September 22nd-23rd at The Edgewater in Madison, WI. Golf will be held on September 23rd at The Legend of Bergamont. We hope to see everyone at this great event. Jim Leef WATS President WATS Mission Statement The Wisconsin Association of Textile Services (WATS) will continue to pursue a series of legislative priorities that serve as the basis for its very existence. Primary Issues Environmental - This Association strives to have launderers and drycleaners recognized in Madison as environmental “good guys.” We are an industry founded in re-use of materials and a collection point where substances can be removed and properly disposed of, rather than going into landfills or home sewers. We are therefore concerned with: A. Landfill and recycling issues B. The promotion of reusable products over disposables C. Regulation or restrictions on home laundering or OPLs While we are environmental “good guys,” we are also concerned that overregulation will make it difficult or impossible to conduct business and provide the potential benefits noted above. We are therefore interested in promoting sensible legisla- tion and regulation in the following areas: A. Water use and wastewater rules B. Hauling of soiled textile products C. Use of chemical supplies, eg. Phosphates Non-Profit Laundries - Laundries have proved in the past to be a common source of work and revenue for prisons and non-profit organizations. These State-subsidized competitors are a real threat to the jobs of taxpayers. It is our position that barriers should be in place to prevent prisons, Goodwill Industries or others from taking private sector work. At the very least, a “level playing field” should be established so that private sector firms are not placed at a disadvantage with public sector or non-profit entities. Goodwill Industries in particular is a major concern because of its recent, sizeable investments in tunnel washing equipment. It is also common knowledge that Goodwill is aggressively looking to expand the scope of its operations, taking advantage of preferential tax treatment. Secondary Issues Labor Relations - As a labor intensive industry, WATS is concerned about mandated benefits and costs of those benefits that we already provide to our workers. We wish to see costs controlled in the following areas: A. Worker’s Compensation C. Minimum Wages B. Unemployment Compensation D. Current levels of taxes, fees, etc. 3

Bylaws of the Wisconsin Association of Textile Services, Inc. ARTICLE I NAME Section 1. Name. The name of this organization shall be the Wisconsin Association of Textile Services, Inc. ARTICLE II MEMBERSHIP Section 1. Qualifications. Membership in the Wisconsin Association of Textile Services shall be limited to those entities working in, conducting business with, or associated to the commercial laundry, textile rental and dry cleaning industry in Wisconsin. Section 2. Classifications. There shall be two primary types of membership: Voting Members, and Non-vot- ing Associate Members. Voting Members shall include only those individuals, corporations, associations or other entities doing business in Wisconsin and active in the commercial laundry and dry cleaning industry, and textile rental service providers, including those allied trades directly serving and involved in the industry. The Board of Directors may establish certain membership classifications among voting members. Non-voting Associate members may be any individual, corporation, association or other entity which supports the goals of this association. Section 3. Privileges of Members. Voting Members shall have all the privileges accorded members of the corporation. Non-voting Associate Members shall have all the privileges accorded members of the corporation except voting. Section 4. Dues. The Board of Directors shall establish a membership dues schedule for all types and classifica- tions of membership. Membership dues shall be paid annually with the membership year running from May 1 to April 30 of the following year. ARTICLE III GENERAL MEMBERSHIP MEETINGS Section 1. Annual Meeting. The regular annual meeting of the members shall be each year at a time and place to be determined by the Board of Directors. Section 2. Special Meetings. Special meetings of the membership may be requested by the President, any three Directors, or at the written request of ten Voting Members. After consultation with the requestor(s), the Board of Directors shall determine the location and time of the special meeting. Section 3. Notice. Notice of any regular meeting shall be given at least ten days prior to the date of said meet- ing. Notice of any special meeting shall be given at least five days prior to the date of said meeting. Notices of meeting shall be in written form and either be delivered in person, or sent by the mail to each member at his address as shown by the records of the corporation. If mailed, such notices shall be deemed to be delivered when deposited in the United States mail in a sealed envelope so addressed, with postage prepaid. All meeting notices must contain the date, time and location of said meeting as well as a brief statement of the business to be transacted. Section 4. Quorum. A majority of Voting Members shall constitute a quorum for the transaction of business at any meeting of the membership, but if less than a majority of voting members is present at said meeting, a majority of the members present may adjourn the meeting from time to time without further notice. Section 5. Manner of Acting. The act of a majority of Voting Members present at a meeting at which a quorum is present shall be an act of the members, unless the act of a greater number is required by law or by these Bylaws. Section 6. Informal Action by Members. Any act required by law to be taken at a meeting of the new members, or any action which may be taken at a meeting of the members, may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all Voting Members. 5
Bylaws of the Wisconsin Association of Textile Services, Inc. ARTICLE IV OFFICERS Section 1. Election and Term of Office. All officers of the Wisconsin Association of Textile Services shall be elected by the Voting Members at the regular annual meeting in each even-numbered year. The officers’ term of office will begin upon election and run for a twoyear term unless otherwise removed. Section 2. Terms of Office. All officers may serve an unlimited number of terms. Section 3. Removal. Any officer elected, or appointed by members or the Board of Directors, may be removed by the Voting Members whenever in their judgment the best interests of the corporation would be served thereby. The removal of an officer may be sought by a signed petition of 20 Voting Members. Each petition may contain the name of only one officer. This petition must be presented to the Board of Directors who shall upon verification call a special meeting of the membership to consider the matter. The officer in question shall remain in office until a motion of removal receives a two-thirds vote of the Voting Members present at a spe- cial membership meeting. Section 4. Vacancies. A vacancy in any office because of death, resignation, removal, disqualification or other- wise may be filled by the Board of Directors for the unexpired portion of the term. Section 5. President. The President shall be the principal executive officer of the corporation and shall in gener- al supervise and control all of the business and affairs of the corporation. He/she shall preside at all meetings of the membership and the Board of Directors. He/she may sign, with the Secretary-Treasurer or any other proper officer of the corporation authorized by the Board of Directors, any deeds, mortgages, bonds, contracts or other instruments which the Board of Directors or the membership has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or these Bylaws or by statute to some other officer or agent of the corporation. In general, he/she shall perform all du- ties as may be prescribed by the Board of Directors from time to time. Section 6. Vice-President. In the absence of the President or in the event of his/her inability or refusal to act, the Vice-President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice-President shall perform such other duties from time to time as may be assigned by the Board of Directors. At the completion of his/her term of office the Vice-President may succeed to the office of President. Section 7. Secretary-Treasurer. Secretary-Treasurer shall be responsible for all funds and securities of the cor- poration; he/she or a designee shall receive and give receipts for moneys dues and payable to the corporation from any source whatsoever, and deposit all such moneys in the name of the corporation in depositories select- ed by the Board of Directors. The Secretary-Treasurer or designee shall also keep the minutes of the Board of Directors and membership meetings, see that all notice is duly given in accordance with the provisions of these Bylaws or as required by law, be custodian of the corporate records. In general, the Secretary-Treasurer shall perform such other duties as from time to time may be assigned to him/her by the Board of Directors. ARTICLE V BOARD OF DIRECTORS Section 1. Election and Term of Office. The Board of Directors of the Wisconsin Association of Textile Services, Inc., shall consist of seven individuals as follows: each of the three officers and four others elected from the membership at large. The four at-large board members representing commercial laundry and textile service providers shall be elected by the Voting Members at the regular annual meeting to two-year terms. Additional- ly, up to three members representing the industry’s allied trades may be elected to two-year terms. Directors may serve an unlimited number of terms, except that members representing the industry’s allied trades shall be limited to two consecutive terms. 6

ARTICLE VI CONTRACTS, CHECKS, DEPOSITS AND FUNDS Section 1. Contracts. The Board of Directors may authorize any officer or officers, agent or agents of the cor- poration, in addition to the officers authorized by the Bylaws, to enter into any contract or execute and deliver any instrument in the name of and behalf of the corporation, and such authority may be general or confined to specific instances. Section 2. Checks, Drafts, etc. All checks, drafts or orders for the payment of money, notes or other evidenc- es of indebtedness issued in the name of the corporation, shall be signed by such officer or officers, agent or agents of the corporation and in such manner as shall from time to time be determined by resolution of the Board of Directors. In the absence of such determination by the Board of Directors, such instruments shall be signed by the Secretary-Treasurer. 7

All funds of the corporation shall be deposited from time to time to the credit of the corpora- tion in such banks, credit unions, savings and loans, or other depositories as the Board of Directors may select. ARTICLE VII BOOKS AND RECORDS The corporation shall keep correct and complete books and records of account and shall also keep minutes of meetings of the Board of Directors, committees having any authority of the Board of Directors, and members. ARTICLE VIII ACCOUNT YEAR The fiscal year of the association shall begin on the first day of January and end on the last day of December. ARTICLE IX INDEMNIFICATION The corporation shall indemnify its directors, officers, employees and agents against expenses they reasonably and actually incur in connection with threatened, pending or completed legal actions, suits or proceedings to which they are or may be made a party because they are or were a director, officer, employee or agent of the corporation, to the full extent and in the manner provided in section 181.045 of the Wisconsin Statutes of 1983- 84 (or corresponding provision of future Wisconsin Statutes). ARTICLE X AMENDMENT TO BYLAWS These Bylaws may be altered, amended or repealed and new Bylaws may be adopted by a two thirds majority of the Board of Directors of the corporation present at any regular meeting or at any special meeting.
