Notiication of Annual General Meeting Notice is hereby given that the 45th Annual General Meeting of the Epping RSL (Sub-Branch) & Community Club Ltd will be held at the Club premises, 45 Rawson Street, Epping on Thursday 21 September 2017 at 7.30pm. AGENDA • To conirm the minutes of the 44th Annual General Meeting of the Epping RSL (Sub-Branch) & Community Club Ltd held on Thursday 22 September 2016 at 7.30pm. • To receive and consider the Balance Sheet, Income & Expenditure Account, reports of the Directors and the Auditor for the period ending 30 June 2017. • To consider and if thought it approve an Ordinary Resolution in accordance with 10-6 (b) of the Registered Clubs Act. • To consider and if thought it approve an Ordinary Resolution for the payment of a one off gratuity to Directors for the inancial year ending 2017. • To consider and if thought it approve a Special Resolution amending the Constitution of the Club. • To declare in accordance with the Constitution the result of voting for the positions that have fallen vacant on the Board of Directors according to the triennial rules. • To transact any other business that may be brought forward in conformity with the constitution. As a result of changes to the Corporations Act, the requirements for registered Clubs producing inancial reports has changed. The Club will still be producing an Annual Report and this will be displayed on the club’s website and distributed electronically or in hard copy if requested. If you wish to receive this report electronically or in hard copy, please contact the club. Note: To ensure accurate information is given, any member with speciic enquiries regarding the Financial Report is requested to supply them in writing no later than seven (7) days prior to the meeting. Ordinary Resolution 1 1. Under the Registered Clubs Act, any extra beneits or allowances offered to sections of the membership must be approved at a General meeting of the members. 2. Clause (4) of the Club’s Constitution mentions honorarium for Directors. In the past the Board of Directors have resolved not to recommend any honorarium for their services to the Club, however in the view of the time required to fulil the ofice, the Directors are asking members to approve the following expenditure. The ordinary resolution may be passed by a simple majority of members present and voting at the meeting. (a) That members authorise the Board to approve assistance to the Epping RSL (Sub-Branch) and Intra Club for activities held within the Club. (b) That members approve the following expenditure for directors: I. To partake in a meal (reasonable food and beverage) whilst on duty, together with their spouse or companion when that duty coincides with meal times; II. Each member of the Board be provided with the necessary tools of trade to professionally facilitate their roles and responsibilities as a Director; III. To partake in a meal (reasonable food and beverage) after a scheduled Board Meeting; IV. Provide a uniform for each director consisting of a lounge suit, ties, shirts and jacket V. Use of the Health Club and its facilities VI. Selected Directors to attend oficial Club Industry educational seminars covering the cost of accommodation, meals, fees and travel; VII. A dinner before the Annual General Meeting and again at Christmas with spouse or companion; VIII. Attend Club entertainment events along with their spouse or companion; IX. Allow the Club President to incur reasonable food and beverage whilst attending to Club responsibilities; X. Reimbursement of reasonable out of pocket expenses incurred in the course of their duties & tabled at each Board Meeting. (c) That members approve the designation of nine (9) car spaces in the Club’s car park for the use of the Directors, Sub- Branch Oficers and Life Members; (d) That members approve the Board holding a life members lunch/dinner with spouse or companion annually as well as the provision of a life member’s blazer; (e) That members approve the Club to sponsor an Anzac Day breakfast for those people who attend the Sub-Branch Memorial Service on that day; (f) That the details of the cost of these beneits be reported upon at the succeeding Annual General Meeting. Ordinary Resolution 2 That a once only payment of gratuities for the year ended 30 June 2017, be paid to the Directors in the following amounts: President $10,000 Vice Presidents – each $7,500 Directors – each $5,000 EXPLANATORY NOTE Ordinary Resolution 2 In 2008 the Club was approached by developers, to consider committing for sale the Club’s properties known as The Epping Club Walk and the Epping Newsagency The Club retained a property consultant with whom countless meetings were held to formulate a strategy for the prospective sale of the Club’s properties and by forming a consortium with adjoining property owners to maximise the return on the investments. Meetings with the Club’s legal advisers followed which culminated in Options being negotiated with the Club’s neighbours who were members of the consortium. A national irm of real estate agents was retained. After extensive negotiations and many meetings over the past nine years, the Club’s properties were successfully sold producing funds which will permit the Club to conidently approach the future development of the Club for the beneit of its members. Through all of this the Club’s President, Senior Vice Presidents and Directors, unwaveringly assisted by the Club’s CEO, devoted an extraordinarily amount of time, over the past nine (9) years, which resulted in a very successful inancial result for the members. A gratuity is appropriate. The Board recommends gratuities in the following amounts: President $10,000 Vice Presidents – each $7,500 Directors – each $5,000 The aggregate of those gratuities is $50,000. Special Resolution That Clause 15 of the Constitution of the Club be amended as follows: - Clause 15(b) of the Club’s Constitution be deleted and replaced with Clause 15(b) in the following terms: “That the Meeting referred to in Clause 15(a) shall be held within one (1) month of the date of the alleged offence or the date on which the complaint is laid or the next meeting of the Board of Directors and that seven (7) days written notice thereof shall be given to each member of the Board of Directors.” - Clause 15(c) of the Club’s Constitution be amended by adding thereto the following: “………..The Board of Directors may decide the matter notwithstanding the member, properly notified, fails to attend the said Meeting.” EXPLANATORY NOTE Special Resolution The Board recommends these amendments to the Club’s Constitution to more eficiently address the subject matter of Clause 15 which deals with the suspension of members.
