Lafarge UK Pension Trustees Ltd Candidates Pack - 2021 You have expressed an interest in applying for the position as a Member Nominated Director (MND) of Lafarge UK Pension Trustees Ltd, which is the trustee of the Lafarge UK Pension Plan (LUPP) and the Aggregate Industries Pension Plan (AIPP). This pack gives further information on the role and the Application and Selection process should you choose to apply. Most occupational pension schemes in the UK, including the LUPP and the AIPP, are set up as trusts. This provides security for members’ benefits by ensuring that the assets of the pension scheme are kept separate from those of the sponsoring company. The Plans have a sole corporate trustee, a limited company called Lafarge UK Pension Trustees Limited (the ‘Trustee’). At least one third of the trustee directors have to be nominated as member-nominated trustee directors (‘MNDs’) under arrangements established by the Trustee. The Trustee Board has a total of eleven directors: • Five directors selected by Lafarge SA, currently: Nick Peall, Kimberley Wood, Bob Andrews, Dyfrig James and Mike Gibbons. • Five directors nominated by members – two MNDs from each of two constituencies in the LUPP and one MND from the AIPP constituency, currently: – Steve Taylor and Arthur Cunningham, from the Lafarge Redland Pension Scheme (LRPS) constituency of the LUPP – Les Waining and Paul Hunter, from the Non-Lafarge Redland Pension Scheme (Non-LRPS) constituency of the LUPP – Chris Hudson, from the AIPP constituency • One Independent Chair, who is appointed by Lafarge SA having consulted the Trustee Board, currently: Roger Mountford. The Board’s agreed selection process meets the Pension Regulator’s criteria of fairness, proportionality and transparency and the main features are as follows:- • There are two constituencies in the LUPP; former Lafarge Redland Pension Scheme (LRPS) members and Non-Lafarge Redland Pension Scheme (Non-LRPS) members which includes former Blue Circle Retirement Plan members. There are two MNDs from each section. • There is one constituency in the AIPP, with one MND. • All UK resident members of the Plans with two years’ pensionable service are eligible for nomination (this includes Pensioners and Deferred Members). Each candidate is required to complete an application form and must be supported by two other members of the same Plan and for the LUPP, from the same constituency. • A Selection Panel composed of the Independent Chair, one independent adviser, one member of the Secretariat team and two of the current MNDs not standing for re-selection will consider the applications and agree a shortlist of Candidates to be interviewed for the role. • The Selection Panel will interview the shortlisted Candidates and decide which Candidate is to be appointed as MND. • The process for nomination and selection will normally be re-run every two years. Steve Taylor’s term of office is due to expire in June 2021 and this will create one vacancy in the LRPS constituency. Steve does intend to stand again for selection. Les Waining’s term of office is due to expire in June 2021 and this will create one vacancy in the Non-LRPS constituency. Les does intend to stand again for selection. Chris Hudson was appointed on an interim basis when the Trustee took on responsibility for the AIPP, with the intention being for a selection process to take place in Spring 2021. There is, therefore, now a vacancy in the AIPP constituency. The complexity and legal responsibilities of the trustee role have increased substantially in recent years but if you are interested and think you are up to the task, we would like to hear from you, so please read on. To help you, the following information explains the vacancies and terms of office, the responsibilities of an MND, the commitment and qualities required for the role, and the selection process.
Number of Vacancies and Terms of Office In 2021, there will be three vacancies for Member Nominated Directors, one from the former LRPS membership of the LUPP, one from the Non-LRPS membership (which includes former Blue Circle Retirement Plan Members) of the LUPP and one from the membership of the AIPP. • The MNDs selected in 2021 will have a 4-year term commencing office in July 2021 (or earlier if practical) and finishing in June 2025. Further vacancies will next arise in 2023, one from each constituency of the LUPP. • For a former Non-LRPS member in June 2023 when Paul Hunter’s term of office expires • For a former LRPS member in June 2023 when Arthur Cunningham’s term of office expires Then further vacancies will arise in 2025, one from each constituency of the LUPP and one from the AIPP and every two years going forward from that date for the LUPP constituencies and every four years for the AIPP constituency. MNDs may be nominated for re-selection for another term once their term has finished. If the MND is a current employee in the LafargeHolcim group who leaves such employment during their term of office, the remaining trustee directors shall decide whether or not they shall remain eligible to be an MND until the end of their term of office. If an MND transfers his or her benefits under the relevant Plan to another pension arrangement, they must cease to be a trustee director. MNDs may resign at any time and will cease to hold office on death or disqualification. They may also have their appointment terminated by unanimous agreement of the other trustee directors. If an MND does not complete their term of office and is within twelve months of the start of their term, then the next best Candidate identified by the Selection Panel may be asked to fill the vacancy for the duration of that term. If there was no other Candidate or the vacancy arose after twelve months from the start of the MND’s term, then the vacancy will be advertised within 12 months of the vacancy arising. MNDs exercise the same functions and have the same duties and responsibilities as the other trustee directors. A Trustee Director’s Main Duties A trustee director’s main duties are: • to see that all members receive the benefits to which they are entitled on a timely basis; • to have a working knowledge of key Plan documents, such as the Plans’ Rules; • to have sufficient knowledge and understanding of trust law, funding principles and investment principles to carry out their duties properly; • to ensure the Plans comply with all statutory requirements; • to appoint professional advisers to help run the Plans (the legal adviser and actuary work closely with the trustee directors); • to monitor the security of members’ benefits and to ensure that the Plans are adequately funded; • to check that the correct amount of money is received by the Plans and that proper records are kept, showing what happens to it from year to year; • to ensure that the assets of the Plans are invested and held securely and kept separate from those of the company; • to exercise discretionary powers in certain situations; • to ensure that members know about the benefits they are entitled to and understand how the Plans are run, through regular and timely communications. How much time is involved? The trustee directors usually meet at Trustee Board meetings four times a year. Meetings usually last about half a day during normal office hours and are usually held in London. A significant level of reading is often necessary to prepare for meetings. Time also needs to be set aside for travel and training. There are also ad hoc meetings on important issues such as Plan valuations or corporate transactions. These may involve conference calls or e-mail communications and, due to the subject matter, may require swift turnaround times. MNDs are also expected to become involved in one or more of the four Trustee Committees which usually meet either bi-annually or quarterly, with meetings usually held in London or Dorking. In addition, they may be asked to join working groups set up by the Trustee from time to time.
Training In order to be effective, trustee directors need to be well informed. Pensions is a complex area. The 2004 Pensions Act sets out the level of trustee knowledge needed. The Pensions Regulator’s Code of Practice on ‘Trustee knowledge and understanding’ specifies that newly appointed lay trustee directors should become conversant with their pension scheme’s key documents and have attained a certain level of knowledge within six months of their appointment. The Pensions Regulator has a free e-learning programme, the Trustee Toolkit, which it expects trustees to use to meet the knowledge and understanding requirements, unless they participate in an alternative learning programme. The Trustee Board recognise that it may not be possible for someone who is not yet a trustee to fully complete the Pensions Regulator’s Trustee Toolkit but have a strong expectation that Candidates should partially complete the Trustee Toolkit, the link for which is found under the website address:- www.thepensionsregulator.gov.uk/trustees. On appointment any uncompleted modules of the Trustee Toolkit must be completed within six months. With this in mind Candidates who have completed or partially completed the Trustee Toolkit will be viewed favourably. All new trustee directors undertake some formal training. Although in-house training is included at Trustee meetings, trustee directors are also expected to undertake their own supplementary training and are either supplied with email links to the ‘News Alert’ services of our advisers or will be subscribed to pension magazines or both and are invited to attend pensions industry seminars, webinars and conferences. Other skills In addition to knowledge about pensions and awareness of their duties as a trustee, successful candidates will be expected to have, or show a commitment and aptitude to acquire, important skills such as the ability to evaluate advice from the Plans’ professional advisers, the ability to make judgments and decisions, the ability to work within a board and committee structure and the ability to communicate effectively. Personal skills such as enthusiasm, open-mindedness, honesty, integrity and discretion are also required. Prospective candidates will find it helpful to visit the ‘For Trustees’ section of the Pensions Regulator’s website (see website address above) for more information about being a trustee and a trustee’s duties. Who is eligible for nomination to be a trustee director? • All UK resident members (deferred and pensioner) of the LUPP or AIPP with a minimum of two years’ pensionable service are eligible to be nominated for appointment as an MND. This means that pensioners in receipt of a dependant’s or spouse’s pension cannot put themselves forward as a Candidate. • Applications must be supported by two other members, with a minimum of two years’ pensionable service, from the same constituency as the Candidate. • Candidates must not have been disqualified to act as a trustee. For example, an unspent conviction involving dishonesty or deception or an event of bankruptcy will disqualify a person from acting as a trustee director (unless the conviction is spent); they are an undischarged bankrupt, or have certain other creditors; they have property in Scotland which is covered by a sequestration order; they have been disqualified from acting as a company director; the person is a company and a director of the company has been disqualified from being a trustee; or the person is a Scottish partnership and one of the partners has been disqualified from being a trustee. The Pensions Regulator can also disqualify a person from acting as a trustee of any pension scheme if: it has already prohibited them from acting as a trustee of a particular scheme and it believes that the person should not be a trustee of any scheme; the person has been removed as a trustee for a particular scheme by a court order for misconduct or mismanaging the scheme and it believes that the person should not be a trustee of any scheme; the trustee is not capable of carrying out their duties because of a mental disorder; or the person is a company which has gone into liquidation.
The Selection In addition to the information supplied in the applicant’s form, Candidates should submit a CV and a Candidate Statement of no more than 200 words, setting out why they wish to be a trustee director, what they feel they can bring to the role and why they think they would make a good Trustee Director. The Selection Panel will then consider the applications and agree a shortlist of Candidates to be interviewed for the role. Interviews will then be held. The Selection Panel will take into account the skills and commitment demonstrated and factors such as not starting the Trustee Toolkit, potential unavailability for meetings, whether working for a competitor and the standard trustee requirements such as not being disqualified to act as a trustee or bankrupt. The appointment of each new MND will commence as soon as practical after the Selection Panel has decided which candidates to appoint. Candidates appointed will be expected to attend from the following Trustee Board meeting. The Trustee will inform all members of the outcome of the selection process and, if the selection process is to be re-run, this will also be announced.
