THE ORGANIZATION Founded in 1921, AGB is the premier organization focused on higher education governance. AGB provides leadership and counsel to member boards, chief executives, organizational staff, policymakers, and other key industry leaders to help them navigate the changing education landscape. THE MARKET AGB membership includes 1,300 boards representing 1,900 colleges, universities, and institutionally related foundations. The 1,300 boards include about 35,000 individual trustees, college or university presidents, and senior-level institution staff members. AGB MISSION: THOUGHT LEADERS YEAR-ROUND CORPORATE SPONSORSHIP OPPORTUNITIES 2017-2018 These year-round, multi-year engagement opportunities are designed for companies that want to associate their brand and reputation with AGB to develop, grow, and promote powerful initiatives that address critical issues facing higher education today. AGB is looking for thought leaders, innovators, and forward-thinking companies that believe in the value of higher education, recognize the challenges facing higher education today, and have the expertise and resources to contribute to meeting those challenges. The Sustaining Partner is the highest level of corporate engagement offered by AGB. Sustaining Partner is designed for companies that want to devote time, financial resources, and subject-matter expertise in a high-profile engagement working with AGB to build, launch, promote, and sustain a multi-year initiative addressing an issue of critical importance to higher education. Sustaining Champions are forward-thinking companies that, through their financial support and subject-matter expertise, can contribute significantly on a multi-year basis to AGB’s ability to help governing boards address a range of critical issues. The Sustaining Partner and Sustaining Champion sponsorships are comprehensive, year-round, thought-leadership opportunities. These sponsorships include sponsorship of one or both of the AGB annual events (see page 6) and a robust package of year-round opportunities that can provide a cost-effective, sustained, and strategic engagement with AGB and access to its members. With a minimal financial investment, AGB Sustaining Member corporations can demonstrate their support for ensuring well-informed, prepared, and well-equipped governing boards. Sustaining Members help to maintain important AGB programs and services while supporting the launch of new initiatives that provide critical resources to AGB-member governing boards. 3

THOUGHT LEADERSHIP INITIATIVE—SUSTAINING PARTNER A portion of the Partner’s rights fee will help support an AGB Thought Leadership initiative. The specifics of the Partner’s contribution to the development of the initiative are subject to discussion and agreement between the Partner and AGB. The Partner may elect to invest additional funds in the initiative, and in so doing, work with AGB to develop an initiative more quickly or grow it in scope, impact, relevance, and awareness. The Partner can claim credit for advancing thinking, developing solutions, and promoting actions to address the chosen issue. The program could include an array of events, products, and initiatives. The Partner’s additional investment, if any, will be determined in discussion and agreement with AGB. Final decisions on program structure and elements remain with AGB. Examples of thought-leadership positioning (select one): • Rebuilding public trust and faith in the value of U.S. higher education. • The changing role of the university and college presidency in the 21st Century. • Recognizing and empowering excellence in board governance. • Ensuring innovation plays a role in determining the direction and future of higher education. • A topic to be determined in consultation with AGB. CORPORATE COUNCIL Membership in the council is exclusive to AGB Sustaining Partners and AGB Sustaining Champions. Council size is limited to no more than eight (8) companies. Companies may have up to two (2) representatives on the council. There is no additional fee for participating in the council. The Corporate Council is designed as a mutually beneficial forum for AGB and our corporate partners to share information on the higher education environment from the unique perspective of each; proactively understand and prepare for current and emerging issues; and brainstorm the best approaches to addressing the issues. Further, AGB recognizes that corporations are far ahead of higher education in addressing some issues—such as diversity and inclusion—thus offering exceptional insight into best practices regarding the issue. AGB believes that corporations are critical partners in understanding the issues and developing resources to help prepare trustees to successfully fulfill their obligations. SUSTAINING MEMBER DUES Dues are based on the number of full-time employees in the entire company, or for investment firms, assets under management in their higher education practice. Dues are for a 12-month membership. • Under 50 employees: $1,000 • 50 to 499 employees and investment firms with less than $3 billion assets under management in the higher education practice: $1,500 • 500 to 4,999 employees and investment firms with more than $3 billion assets under management in the higher education practice: $2,500 • 5,000 or more employees: $4,000 5
2018 EVENT SPONSORSHIP OPPORTUNITIES Two events are available for sponsorship: the Foundation Leadership Forum in January and the National Conference on Trusteeship in April. All event sponsors are partners in the event experience and have exclusive access to important audiences. • We limit the number of sponsoring companies. Once we reach the limit, no additional sponsors are accepted. • Only sponsoring companies can attend the event. • Our sponsors are woven into the program, not relegated to an exhibit hall. • Sponsors are welcomed and encouraged to fully participate in event workshops and sessions to interact with attendees and contribute to the conversation about higher education issues. FOUNDATION LEADERSHIP FORUM JANUARY 21-23, 2018 TERRANEA RESORT, LOS ANGELES, CA Trustees of public university and college affiliated foundations, Demographics presidents, and other senior leaders Attendees 500 or more Preconference workshops, main conference plenary sessions and Format concurrent sessions, and networking opportunities. The Forum is the only national event for foundation board members and Purpose executives to share best practices, learn from subject-matter experts, and develop strategies to enhance the effectiveness of foundations. Sponsorship Benefits Preconference • Acknowledgement in footers of pre-conference emails to potential attendees and/or registered attendees with hyperlink to company website. • List of attendees provided three weeks in advance (includes each individual’s name, institution, title, and state). • Acknowledgement on the Forum section of the AGB website to include company logo/name and hyperlink to company website. Onsite • Full-page company profile with logo and contact information in the printed Forum program. • Complimentary registration for two (2) senior executives. • Acknowledgement during plenary sessions (logo projection and in AGB executive’s remarks from the podium). 6
• Opportunity to sponsor individual plenary sessions or content panels for an additional fee. • Opportunity to distribute company materials at seats or on tables at individually sponsored plenary sessions or panels. • Networking opportunities with conference attendees. Sponsors are invited and encouraged to fully participate in all conference sessions and contribute to the conversation about higher education issues. • Display area with signage for sponsor materials in high-traffic area. • Invitation to sponsor thank-you gathering with AGB’s president and other senior leaders. Post-Conference • Listing in shared sponsor recognition ad in the May/June issue of Trusteeship magazine thanking all AGB sponsors. The ad will include each company’s logo and name. Circulation: 35,000 Sponsorship Rights Fee (basic sponsorship): $10,000 Opportunities available to enhance the basic sponsorship: • Breakfast, luncheon, or reception*: $7,500 per event • Plenary session**: $5,000 per plenary • Content panel or workshop**: $2,500 (1-hr concurrent) $5,000 (3-hr workshop) * All events may not be available and are subject to change without notice. NATIONAL CONFERENCE ON TRUSTEESHIP APRIL 22-24, 2018 MARRIOTT MARQUIS, SAN FRANCISCO Trustees, presidents, and other senior leaders of public and Demographics independent universities and colleges. This is the largest gathering specifically for members of higher education governing boards. Attendees 1,100 or more Preconference workshops, main conference plenary sessions and Format concurrent sessions, and networking opportunities. Attendees share their experiences; learn from each other and Purpose subject-matter experts; and network around the common goal of advancing higher education. 7

SPEAKING OPPORTUNITIES AT THE FORUM AND CONFERENCE There are very limited speaking opportunities for sponsor representatives and/or their clients on panels and 1-hr concurrent sessions. Speaking opportunities are made available based on the Forum or National Conference program needs, the subject-matter experts available through the sponsor, and contract signing date. Sponsors are strongly encouraged to provide a client representative to fill a speaking opportunity if offered. Speaking opportunities are not guaranteed. If available and offered, a panel seat requires an additional fee of $3,000 and a speaking opportunity at a 1-hr concurrent session is $5,000 at both events. Rights fee: $3,000-$10,000. • Timely webinars: Hot topics, covered by recognized experts who help give attendees the tools they need to address and manage a variety of issues on campuses today. Rights fee: $5,000 • Reference publications: In-depth treatments by expert authors. Rights fee: $7,500-$10,000. • Focused advertorials: One (1)-page advertorial to run in Trusteeship magazine, the official AGB member magazine on a topic to be determined with AGB. The magazine does not accept traditional advertising. Rights fee: $5,000 ADDITIONAL INFORMATION • All sponsorships are designed to be most effective when all benefits are fully executed. The basic elements of each package are not subject to negotiation. However, the details of each element are subject to discussion and revision between the sponsor and AGB. The sponsor may elect to not take advantage of some of the benefits; however, there is no refund or discount of the rights fee in such a case. • This prospectus is a summary of the key benefits associated with each type of sponsorship or other engagements available with AGB. It is not intended to be a complete listing of all bene fits. The opportunities available, benefits related to each opportunity, and pricing are subject to change without notice. • The annual rights fee for all sponsorships is not refundable, is unrestricted, and may be used at AGB’s discretion. 9
