Central Office, Office Administrator, Belle K., officeadministrator@eastsbayaa.org a. Office i. The Grateful Givers program is back. It is a way to setup a recurring payment to Intergroup. ii. Working on Summer 2021 Directories for in person meetings iii. Recouped money from groups that had a tab with the Bookstore iv. We have a new feature in the Meeting Guide to be able to add a button to your meeting listing for electronic contributions. Contact Belle if you want your account linked to your meeting in the guide. v. A button has been added to every meeting in the Guide to send updates directly to Belle. b. Finances i. Accountant is still working on reviewing our finances and a report is estimated to be completed in June 2021 for review at the July EBI Meeting. c. Bookstore i. Liaison for H&I, Representative, Dave F., fraserd@comcast.net a. Jay Mahler and Villa Fairmont and Cherry Hill have opened up for outside visitors to bring in and run meetings b. As things start to open up, there will be need for in person speakers and chair persons. 4. Old Business: • Service Opportunities - Steve o To carry out our mission of serving the groups, we need many dedicated volunteers. We currently have 9 positions posted for immediate service. Several of these posting need multiple people. We need all of you to review these openings and help us find servants this month. https://eastbayaa.org/service-opportunities/ o Our most urgent Service need is for members of a Nominating Committee to help find a new position of Treasurer and expanded Board Member positions in the proposed bylaws.
• PPP Loan – Tim C. o In April you were asked to review the $13,750 loan with your groups and come with a recommendation of whether or not to keep the loan & apply for loan forgiveness which would likely be granted or to return the money. ▪ Mary M – Asked if we can use it and still pay it back? • Yes if by a certain date ▪ Kate – Group conscious decided they wanted to return the money and bring that back to Intergroup ▪ Teddy – Mentioned violates 7th tradition – in favor of returning the money • Mentioned we discuss until people feel informed enough to make a motion and vote ▪ Michael - Group conscious decided they wanted use the money • Loan can be forgiven if used for rent, utilities and payroll. ▪ Jay - Mentioned violates 7th tradition - in favor of returning the money ▪ Jake G. – Are we eligible for forgiveness of the loan? • Yes, see above. ▪ Motion made by Paul S: Return the PPP Loan. Kate G seconded • Yes: 21 • No: 7 • Abstain: 5 • Minority Opinion: o Intergroup isn’t a group meeting, it is a business that serves AA. o EBI does need that money to pay back rent money for the lease. o AA/EBI will not be beholden to the landlord if we keep the money and spend it, per the 7th tradition. o Is there a negative potential for association with the government if we keep the money and spend it? • REVOTE ON MOTION: o Yes: 17 o No: 10 o Abstain: 4 o We did not have 2/3 vote – MOTION FAILS • MOTION MADE: Allow the Board to decide what to do with the PPP Loan. Seconded by Vanesa K. o Yes: 19 o No: 7 o Abstain: 3 o MOTION PASSES • Not a firm deadline on when the forgiveness paperwork is due, Tim mentioned that our bank wanted us to file by June.
• Bylaws – Steve & Ad Hoc Committee. o In March you were given the proposed draft to review with your group business meetings. We are planning to discuss in May & June. We schedule more time if needed. The draft is attached as well as a summary of the changes. ▪ What’s the thought around the two boards and the authority between the two look like? • Structure would not be two boards, it’s Intergroup, which is responsible for the overall wellbeing of AA, and Board of Directors which is responsible for overall health legally and financially. • We would have board members that would not be chair people of committees, to focus on the corporate structure of Intergroup, not the specific AA work. • No motions were made • Charitable Trust Registration – Tim C. o Two weeks ago, we discovered that EBI did not file the proper paperwork with the CA AG’s office ▪ Hasn’t been filed since 2010, but yet our taxes have been accepted ▪ Fines and fees are unknown and more information will be provided. • Parliamentarian Service Position: - Steve o We are creating a new service position. The parliamentarian is someone who can be consulted when questions arise about meeting procedure and whose opinion the group agrees to follow in doubtful situation. The candidate should be experienced with AA meeting procedures and ideally have held a variety of positions in General Service. ▪ Teddy mentioned his is available, discussion will continue next month. • Last Month’s Minutes – Steve o I would like to entertain a housekeeping motion from the floor to either accept the Meeting Minutes from last month as submitted or with any proposed modifications. (We are not discussing whether we like the content of the minutes, only if they accurately represent what we discussed last month or not.) ▪ Motion to accept: Jennifer made motion, Carol Z seconded ▪ Motion passed, poll was not taken, raised hands were counted, no minority opinion. 5.
