Carrefour announces the structure of its future Supervisory Board

Carrefour’s Board of Directors has announced the structure of the Group’s future
Supervisory Board, which will be submitted to shareholders for approval at the
General Meeting on April 20.

This proposal follows on from the Board of Directors meeting held on February 3,
2005, which validated the principle of a change in the Group’s governance structure.
This new structure aims to ensure that powers are distributed more effectively
between a Supervisory Board, as a control structure, and a Management Board,
which will be responsible for the management of the Group.

The Supervisory Board will be chaired by Luc Vandevelde, the current Chairman of
the Board of Directors.

In addition to Luc Vandevelde, the Supervisory Board will be made up of René
Abate, René Brillet, Robert Halley, José Luis Leal-Maldonado, Carlos March
Delgado, Anne-Claire Taittinger and Amaury de Sèze.

“The Supervisory Board members have been selected and are widely recognised for
their expertise, their experience and their fit with the Management Board team. In
addition, it has been structured to guarantee the independence needed for their
actions to be effective. I firmly believe that this Board is equipped to do an excellent
job in the interests of all shareholders”, declared Luc Vandevelde.

ƒ   Luc Vandevelde
       54 years old

Chairman of Carrefour’s Board of Directors, Luc Vandevelde began his career in
1971 with the Kraft Group in Brussels. After working as Chief Financial Officer for
Kraft in Madrid, Vice-president Development and Planning for Kraft Europe in
Lausanne, and Head of Finance and Management at Kraft GMBH in Germany, he
was appointed Vice-president Finance and Administration for Kraft International in
1988 in the US then Vice-president Administration and Development for Kraft
General Foods International in 1989. He returned to Europe in 1990 as Chairman
and Chief Executive Officer France, then France and Italy for Kraft Jacobs Suchard.
In 1995, he joined Promodès as Chief Executive Officer. In 1999, following the
merger with Carrefour, he was appointed Vice-chairman and Chief Executive Officer
of Carrefour. In 2000, he joined the Marks & Spencer Group as Chairman. In January
2003, he set up Change Capital Partners in London and joined the Halley Family
group in April 2003. He was appointed a Carrefour Director in March 2004. Then, he
left Marks & Spencer in May 2004.

   ƒ   René Abate
       56 years old

Senior Vice President of the Boston Consulting Group, René Abate graduated
from the Ecole Nationale des Ponts et Chaussées and Harvard Business School. He
began his career as an engineer for the Port of New York Authority in 1970 then
joined the BCG in 1974 where he worked as a strategy and organisation consultant
for big businesses from a wide range of sectors, notably consumer goods and food
and specialised distribution. He was then appointed head of the firm’s operations in
France, Chairman of the Group for Europe and a member of the Global Executive
Committee.
Other mandates:
Member of the Board of Directors of the Ecole Nationale des Ponts et Chaussées.
Member of the Board of Directors and Vice Chairman of the L’ENVOL association for
European children.

ƒ   René Brillet
       64 years old

Former Carrefour Chief Executive Officer for the Asia region, René Brillet began
his career as a radio officer in the merchant navy in 1968. In 1972, he joined
Carrefour and worked as head of accounting in Italy and Brazil, then head of stores
and head of organisation and methods, while still in Brazil. In 1981, he was
transferred to Argentina as Executive Director, then to Spain where he was in charge
of operations from 1982 to 1985 and France from 1986 to 1995. He was appointed
Chief Executive Officer Europe in 1996, then Chief Executive Officer Asia in 1998, a
position that he held until February 28, 2004.

   ƒ   Anne-Claire Taittinger
       54 years old

Currently Chairman of the Taittinger Group Management Board, Chief Executive
Officer of Société du Louvre and Chairman of Baccarat, Anne-Claire Taittinger,
who graduated from the Institut d’Études Politiques de Paris, has a masters in urban
sociology, a post-graduate degree specialising in urban development and attended
the Centre de Perfectionnement aux Affaires centre for management proficiency,
began her career in 1976 working for the Caisse des Dépôts et Consignations Group
as head of urban development operations at the Société Centrale d’Equipement du
Territoire. She joined the Louvre Group in 1979 as Secretary General then became
the Chairman and Chief Executive Officer of Compagnie Financière Deville. She has
held the positions of Chairman and Chief Executive Officer of Compagnie Financière
Leblanc, ELM-LEBLANC, Vice-chairman and Chief Executive Officer of the DEVILLE
industrial division, Chairman and Chief Executive Officer of Parfums Annick Goutal
France USA, then the BACCARAT luxury goods division. She became Chairman of
the Société du Louvre Management Board in 1997. She has held her current
functions since January 2003.

ƒ Amaury de Seze
   58 years old

Chairman of PAI partners and member of the BNP-Paribas Group Executive
Committee, Amaury de Seze began his career at Bull General Electric in 1968. In
1978, he joined the Volvo Group, where he worked as Chief Executive Officer,
Chairman and Chief Executive Officer of Volvo France, Chairman of Volvo Corporate
Europe, a member of the Volvo Group Executive Committee and a member of the
Renault Volvo Strategic Committee.
He joined the Paribas Group in 1993 as a Member of the Management Board of
Compagnie Financière de Paribas and Banque Paribas, in charge of industrial affairs
and equity interests, then later as head of the equity interest division of Banque BNP-
Paribas.
He has been the Chairman of PAI partners since 1998.
Other mandates: Director of Eiffage, Groupe Bruxelles Lambert, Publicis, Gras
Savoye, Groupe Industriel Marcel Dassault, Power Corporation du Canada, and
Pargesa Holding S.A.

   ƒ   Robert Halley
       69 years old

The Halley Family group representative on the Board of Directors and majority
Carrefour shareholder since 1999, Robert Halley joined Promodès in 1961. He was
appointed Chief Executive Officer of the Management Board in 1972 and Vice-
chairman and Chief Executive Officer in 1987.

Chairman of the Board of Directors and Chief Executive Officer of Paroma.

ƒ   Carlos March Delgado
       59 years old

Majority shareholder and Carrefour Group Director since 1998, Carlos March is
Chairman of Banca March S.A., Co-chairman of Corporación Financiera Alba S.A.,
Vice-chairman of the Juan March Foundation and the Juan March Studies and
Research Institute. He is also a member of Columbia University’s International
Advisory Council (New York).

He has been Chairman of the Spanish section of the Trilateral Commission and a
Member of the Board of Directors of the Association for Monetary Union of Europe.

   ƒ   José Luis Leal-Maldonado
       65 years old

Chairman of the Spanish Banking Association, José Luis Leal-Maldonado has
been a director at Carrefour since April 2004. He was appointed Managing Director
for Economic Policy in 1977, a position that he held until February 1978, when he
was appointed Secretary of State for economic programming and coordination. In
April 1979, he became the Finance Minister and performed this function through to
September 1980. From 1981 to 1990, he worked as an Economic Advisor to Banco
de Vizcaya and assistant to the Chairman of Banco Bilbao Vizcaya.
Other mandates:
Director of Saint-Gobain, Saint-Gobain Cristaleria Espanola, CEPSA, and Renault
Spain.
Chairman of “Dialogo”, a Franco-Hispanic friendship association and Accion Contra
el Hambre, Vice-chairman of the Fundacion Abril Martorell and member of the Real
Patronato del Museo del Prado and the Fundacion Duques de Soria.
