1. Introduction Arrowhead Economic Opportunity Agency (AEOA) is a private non-profit organization that supports programs for low income families. Arrowhead Transit it one of these support programs. Arrowhead Transit has an office in Sandstone MN among other areas in 8 counties across Northern Minnesota. The Sandstone Office is located at206 Eagle Dr. South which has an office and bus storage for Arrowhead Transit. There are numerous people utilizing this building daily. 2. Background Arrowhead Transit building in Sandstone, MN has a dirt entrance to the parking lot. Arrowhead Transit is looking for qualified contractors to fix low spots at the entrance of the parking lot and lay concrete at this area. As well as extending the existing apron at the garage. 3. Scope of Work This project will consist of extending the concrete apron and adding concrete to the opening of the driveway with 1,231 tons of concrete. As well as adding 940 tons of Class 5 to even low spots in these areas. 4. Requirements The contractor bid must include: o A proposed layout of the parking lot with dimensions and materials that will be used. o A plan for improving the drainage and water run off o A plan to prevent future erosion of parking area. o A payment schedule for the project. o A timeline of the entire project. o Proof of insurance. o Budget The contractor must take into consideration that Arrowhead Transit employees will need access to the building throughout the project. As employees park behind the building and buses move in and out of the garage throughout the day, driving areas must be provided. 5. Compliance All quotes submitted will be evaluated using the following criteria: 1. Compliance with the RFQ 2. Understanding of the project 3. Services to be provided 4. Ability to complete the work within the time specified 5. Qualifications of the vendor, including but not limited to their experience and personnel assigned to the project
5- Cost This Request for Quotes (RFQ) is an invitation by Arrowhead Transit for vendors to submit a quote, which may be subject to subsequent discussion. lt is not a request for competitive bid. Submittal of a quote does not create any right or expectation to a Contract with ARROWHEAD TRANSIT. ARROWHEAD TRANSIT reserves the right to reject any or all quotes and the agency further declares that it will incur no financial obligations for any costs by any company in preparation of their quote. A. Ddto Prdctices - All quotes and any information provided in response to this RFQ shall become the property of ARROWHEAD TRANSIT. Pursuant to Minn. Stat. 5 13.591, subdivision 3(b), once a contract has been awarded as a result of this RFQ quotes will be available for viewing and/or reproduction (at requestor's expense). As a result, quotes should not include any information the consultant might regard as confidential or proprietary. Any statement of confidentiality made with regard to a quote cannot be honored. B. Addenda to the - lf it becomes necessary to revise any part of this RFO, RFQ addenda will be supplied to all vendors receiving this Request for Quote. C. Presentotions - Any vendor who submits a quote may be required to make an on- site presentation of its capability to perform as described in its quote to the Transit Manager. Such a presentation will be at the vendor's expense and will provide an opportunity for the vendor to clarify its quote to ensure a thorough mutual u nderstanding of its content. D. News Releoses - News releases pertaining to this project shall not be made without prior written approval by the Transit Manager. E. Consultants lndependence -f he successful vendorwill beconsideredan independent contractor with respect to all services performed. F. Price Changes - All prices shall be firm and not subject to increase G. Compliance with Lows -Vendor shall comply with all federal, state, and local laws, ordinances and regulations applicable to the work. Vendor, at its own expense, shall secure all occupational and professional licenses and permits from public or private sources necessary for the fulfillment of its obligations in the quote. H. Modificotion or Withdrawal oI Quotes - Responses to this Request for Quote (RFQ) may be modified or withdrawn by written notice prior to the exact hour as specified for receipt of quotes. A quote may be withdrawn in person by the vendor or its authorized representative prior to the exact hour and date set for receipt of quote. Telephone withdrawals are not permitted.
Mistoke in Quote - lf the apparent best qualified vendor discovers a mistake in its quote of a serious and significant nature which is unfavorable to it prior to the issuance of a purchase order or a Contract, it may request consideration be given to modifying or withdrawing the quotes. The mistake must be evident and provable. ARROWHEAD TRANSIT reserves the right to reject any and all requests for correction or withdrawal of quote received after the hour and date shown in the specifications. ln all cases, the decision of the ARROWHEAD TRANSIT Executive Board is final. J. Reservotion o/ Rights - ARROWHEAD TRANSIT reserves the right to: 1. Accept or reject any and all quotes received in response to this RFQ for any or no reason, and to re-advertise for new submittals. 2. Waive or modify any irregularities in quotes received after prior notification to the consultant. 3. Request the submission of quote modifications at any time before the award is made, if such request is in the best interest of the agency. 4. Consider quotes or modifications received at any time before the award is made, if such is in the best interest of the agency. 5. Request clarification and/or additional information from the consultant during the evaluation process. Said clarification or additional information shall be provided within two working days and shall be provided in writing. 6. Utilize any and all ideas submitted in the quotes received unless those ideas are covered by legal patent or proprietary rights and the patent of those rights is indicated by the consultant. Quotes will become the property of ARROWHEAD TRANSIT. K. Expiration ol the Quote - By submitting a quote the consultant offers to enter into a Contract, the form and content of which shall be agreed upon by both parties. The consultant's quote shall not be revocable for ninety (90) days following the response deadline indicated above. ARROWHEAD TRANSIT reserves the right to waive any defects in the offer of any consultant, to reject any or all offers, and to request additional information from any or all consultants. L. Terminotion Clouse-ARROWHEAD TRANSIT shall have the right to terminate the Contract at any time, upon 30 days written notice to the consultant, whenever the agency determines that the performance of the vendor is unsatisfactory or for cause of the convenience of the agency
M. Prevoiling Wages-For purpose of construction or rehabilitation of a facility project funded by the Grant Agreement, Recipient agrees to comply with the applicable prevailing wage rate requirements in Minnesota Statute, Sections 177.4L and 777.43 and the rates as set by the Department of Labor and lndustry. 6. Project Deliverables Contractors will have the opportunity to meet with the Transit Manager to conduct a walk-through of the property and ask questions prior to submitting quotes. Contractors may include quotes for several materials that meet project requirements such as concrete, crushed rock or asphalt. Once a contractor is selected a meeting will be held to finalize plans and the contractual agreement. The AEOA project team and contractor will determine the completion of the project during a final walk-through once the contractor feels they have met all the requirements. 7. RFQ Protest Procedures a Protest Procedures This section sets fonh the exclusive protest remedies available with respect to this RFQ. Each Proposer, by submitting its Proposal, expressly recognizes the limitation on its rights to protest contained herein. These provisions are included in this RFQ expressly in consideration for such waiver and agreement by the Proposers. Such waiver and agreement by each Proposer are also consideration to each other Proposer for making the same waiver and agreement. If a Proposer disregards, disputes or does not follow the exclusive protest remedies set forth in this RFQ, it shall indemniff, defend, protect and hold harmless Arrowhead Transit, its officers, officials, employees, agents, representatives and consultants from and against all liabilities, expenses, costs (including attorneys' fees and costs), fees and damages incurred or suffered as a result. The submission of a Proposal by a Proposer shall be deemed the Proposer's irrevocable and unconditional agreement with such indemnification obligation. a Protests Reeardine Facially Apparent D in RFO and Selection Procedures The Proposer may protest the terms of this RFQ or selection procedures prior to the time for submission of Proposals on the grounds that (a) a material provision in this RFQ or selection process is ambiguous, (b) any aspect of the procurement process described herein is contrary to legal requirements applicable to this procurement, or (c) this RFQ in whole or in part exceeds the authority of Arrowhead Transit. Protests regarding this RFQ and selection procedures shall be filed only after the Proposer has informally discussed the nature and basis of the protest with Arrowhead Transit Assistant Director Joe Gentile in an effort to remove the grounds for protest. Protests regarding this RFQ shall completely and succinctly state the grounds for protest and shall include all factual and legal documentation in sufficient detail to establish the merits of the protest. Evidentiary statements, if any, shall be submitted under penalty of perjury. Protests regarding this RFQ shall be filed as soon as the basis for protest is known to the Proposer, but in any event it must be actually received no later than ten calendar days before the Proposal due date, provided that protests regarding an addendum to this RFQ shall be filed and actually received no later than five calendar days after the addendum to this RFQ is issued (or no later than the Proposal due date, if earlier). Protests regarding this RFQ shall be filed in writing by hand delivery or courier to the Protest Official with a copy to Arrowhead Transit Assistant Director Joe Gentile. The "Protest Official" is: Chief Procurement Officer Betsy Hayes or her designee Department of Administration 1 12 Administration Building 50 Sherbume Avenue St. Paul, MN 55155 Arrowhead Transit will distribute copies of the protest to the other Proposers and may, but need not, request other Proposers to submit statements or arguments regarding the
protest and may, in its sole discretion, discuss the protest with the protesting Proposer. If other Proposers are requested to submit statements or arguments, they may file a statement in support of or in opposition to the protest within seven calendar days of the request. Arrowhead Transit may also file a written statement with the Protest Official. No hearing will be held on the protest. The Protest Official or designee will review the facts and arguments presented in the written submissions and will decide the protest on the basis of the written submissions and any clarifications or additional information from Arrowhead Transit, the Proposers, or other resources as may be required. The Protest Offrcial will consider whether Arrowhead Transit's position (a) is reasonable, (b) is in compliance with the Minnesota CMGC statute, Minn. Stat. $161 .3207 et. seq. and (c) meets applicable legal standards. The Protest Official will recommend to Arrowhead Transit Assistant Director Joe Gentile whether any changes or addenda to the RFQ and procurement process are warranted. The Protest Official's recommendation will be in writing and will state the reasons for the decision. Arrowhead Transit will furnish copies of the decision in writing to each Proposer. The Commissioner will issue Arrowhead Transit's final decision within ten calendar days of receiving the recommendation and include written reasons for the decision (or incorporate those of the Protest Official). The decision shall be final and conclusive. If necessary, to address the issues raised in the protest, Arrowhead Transit will make appropriate revisions to this RFQ by issuing addenda. Arrowhead Transit may extend the proposal due date, if necessary, to address any protest issues. The failure of a Proposer to raise a ground for a protest regarding this RFQ within the applicable period shall constitute an unconditional waiver of the right to protest the terms of this RFQ and shall preclude consideration of that ground in any protest of qualification of a Proposer unless such ground was not and could not have been known to the Proposer in time to protest prior to the final date for such protests. a Protests Reearding Responsive A Proposer may protest the results of the responsiveness evaluation by filing a written notice of protest by hand delivery or courier to the Protest Official with a copy to Arrowhead Transit's Assistant Director Joe Gentile. The notice of protest shall specifically state the grounds of the protest. Notice of protest of any decision to accept or disqualifu a Proposal on responsiveness grounds must be filed within five calendar days after the earliest of notification of non- responsiveness, or the public announcement. Within seven calendar days of the notice of protest, the protesting Proposer must file with the Protest Official, with a copy to Arrowhead Transit's Assistant Director Joe Gentile, a detailed statement of the grounds, legal authorities and facts, including all documents and evidentiary statements, in support of the protest. Evidentiary statements, if any, shall be submitted under penalty of perjury. Failure to file a notice of protest or a detailed statement within the applicable period shall constitute an unconditional waiver of the right to protest the evaluation process and decisions thereunder, other than any protest based on facts not reasonably ascertainable as ofsuch date.
Arrowhead Transit may, at its option, file a written response to the Protest with the Protest Official, with a copy to the Proposer and any Proposers who have filed statements with the Protest Offrcials. Arrowhead Transit will respond within l4 calendar days upon receipt of the protesting proposer's detailed statement of protest. The Protest Official will consider whether the Committee's decision (a) is reasonable; (b) is in compliance with the Minnesota CMGC statute, Minn. Stat. $161 .3207 et. seq. (c) meets applicable legal standards. The Protest Official will review the facts and arguments presented in the written submissions of the protesting firm, and the written submission of Arrowhead Transit, if any. The Protest Official may also seek clarifications and information from Arrowhead Transit, Proposers or other resources as may be required. The Protest Official will recommend, within 14 calendar days after Arrowhead Transit's response, that the Arrowhead Transit Assistant Director, acting through the Committee, either (l) affirm the Committee's original decision; or, depending on the nature of the protest, (2) reinstate a firm disqualified on responsiveness grounds. If Arrowhead Transit does not submit a written response, the Protest Official will make a recommendation within 2l calendar days upon the receipt of the detailed statement of protest. The Protest Official's recommendation will be in writing and include the reasons for the decision. The Assistant Director will issue MnDOT's final decision within ten calendar days of receiving the recommendation and include written reasons for the decision (or incorporate those of the Protest Official). The Assistant Director will deliver the written decision to the protesting Proposer and copies to the other Proposers. If the Protest Official or designee concludes that the Proposer filing the protest has established a basis for protest, the Protest Official or designee will determine what remedial steps, if any, are necessary or appropriate to address the issues raised in the protest. Such steps may include, without limitation, withdrawing or revising the decisions, issuing a new request for Proposal or taking other appropriate actions. a Protests Regarding Determination or Award of P/T Services Contract A Proposer may protest any determination by Arrowhead Transit regarding the award of the P/T Services contract made by Arrowhead Transit by filing a written notice of protest by hand delivery or courier to the Protest Official with a copy to Arrowhead Transit's Assistant Director Joe Gentile. The protest shall specifically state the grounds of the protest. Protest shall be filed no later than five calendar days after notification from Arrowhead Transit of the results of our evaluation. The Proposer shall file the protest to the Protest Official, with a copy to Arrowhead Transit Assistant Director Joe Gentile. The protest shall include a detailed statement of the grounds, legal authorities, and facts, including all documents and evidentiary statements, in support of the protest. Evidentiary statements, if any, shall be supported by affidavit based on personal knowledge except where stated to be based on information and belief. Failure to file a protest within the applicable period shall constitute an unconditional waiver of the right to protest the applicable evaluation process and decisions thereunder, other than any protest based on facts not reasonably ascertainable as ofsuch date.
Arrowhead Transit may, at its option, file a written response to the protest with the Protest Official. The Protest Official will only consider, based on a preponderance of the evidence, whether Arrowhead Transit's determination of award is arbitrary, capricious, or contrary to law. The Protest Official will recommend, within l5 calendar days after the Protest Official receives the protest or Arrowhead Transit's response (if applicable), that the Commissioner either affirm Arrowhead Transit's original determination or recommend remedial steps, if appropriate, to address the issues raised in the protest. Such steps may include, without limitation, withdrawing or revising the determination, issuing a new Request for Proposal, or taking other appropriate actions. The Protest Official may also request extensions to the 15 calendar days. Extension will only be granted if both Arrowhead Transit and the protesting Proposer agree to such request. The Protest Official's recommendation will be in writing and will include the reasons for the decision. The Protest Official will furnish copies of the recommendation to the Commissioner of Transportation and the Protestor. The Assistant Director will issue Arrowhead Transit's final decision within 10 calendar days of receiving the recommendation and include written reasons for the decision (or incorporate those of the Protest Official). The Assistant Director will deliver the written decision to the protesting Proposer and copies to the other Proposers. The decision shall be final and conclusive and not subject to legal challenge unless arbitrary. Arrowhead Transit will not execute the Contract until at least seven calendar days after the results of the CMGC evaluations are posted on MnDOT's CMGC website. This timeline may be waived if all Proposers agree to such waiver. o Costs and Damages All costs of a protest shall be the responsibility of the protestor and undertaken at the protestor's expense. In addition, if the protest is denied, the Proposer filing the protest may be liable for Arrowhead Transit's costs reasonably incurred in defending against the protest, including legal and consultant fees and costs, and any unavoidable damages sustained by Arrowhead Transit as a consequence of the protest. Arrowhead Transit shall not be liable for damages to the Proposer filing the protest or to any participant in the protest, on any basis, express or implied.
lnsurance 11.1 Certilicote oI tnsurdnce.' For the term of the Grant Agreement Recipient will obtain the insurance required under clause 11 for the term of this Grant Agreement. Within 30 days of expiration of an insurance policy, Recipient will provide State with evidence that a new policy has been obtained. Recipient will notify State immediately upon a change in the terms or conditions of an insurance policy. 11.2 Types oI lnsurunce Required 77.2.! Wo*efs Compensotion lnsuronce: Recipient will provide workers' compensation insurance for all Recipient's employees and, in case any work to be performed by a third party contractor, Recipient will require the third party contractor to provide workers' compensation insurance in accordance with the statutory requirements under Chapter 176 ofthe state of Minnesota. 71.2.2 Commerciol General Liobility lnsuronce: Recipient is required to maintain insurance protecting them from claims for damages for bodily in.lury, including sickness or disease, death and for care and loss of services as well as from claims for property damage, including loss of use which may arise from operations under the Grant Agreement whether the operations are by Recipient or by a subcontractor or by anyone directly or indirectly employed under this Grant Agreement. For Recipients that are governmental entities, the tort liability amounts provided in Minnesota Statutes, Section 455.04 govern. All other Recipients must have minimum insurance coverage of S2,000,000 per occurrence. The following coverages will be included: . Premises and Operations Bodily lnjury and Property Damage . Personal and Advertising lnjury . Blanket Contractual Liability . Products and Completed Operations Liability . State of Minnesota named as an Additional lnsured 77.2.3 Commercidl Automobile Liabirity; Recipient is required to maintain insurance protecting them from claims for damages for bodily injury, death, and for care and loss of services, as well as from claims for property damage including loss of use which may arise from operations under this Grant Agreement whether such operations were by Recipient or by a subcontractor or by anyone directly or indirectly employed under this Grant Agreement.
For RECIPIENTS that are governmental entities, the tort liability amounts provided in Minnesota Statutes, Section 466.04 govern. All other RECIPIENTS must have minimum insurance coverage of S2,000,000.00 combined single limit. ln addition, the following coverages should be included: o Owned, Hired, and Non-owned Automobile LL.?.4 Excess lnsuronce: An Umbrella or Excess Liability insurance policy may be used to supplement Contractor's policy limits to satisfy the full policy limits required by this GrantAgreement. 17.2.5 Roting: RECIPIENT will obtain insurance policies from an insurance company having an "AM BEST" rating of A- (minus); Financial Size category (FSc) Vll or better and must be authorized to do business in the State of Minnesota or RECIPIENT will obtain coverage comparable under a program of self-insurance. lL.3 Set-ln sured Requi re ments: lf RECIPIENT is self-insured the following is required: . Coverage on all "All Risk" or equivalent basis shall include the perils of flood, earthquake and pollution cleanup expense. Builder's Risk limit of liability shall be equal to the amount of the contract. Any deductible shall be the sole responsibly of the Contractor.

(b) During the term of this contract and for a peri od of Ninety (90) lContracting officer i n sert period of time after contract completion that contractor will not be allowed to supply timel after completion of this contract, the Contractor agrees that it will not supply as a prime contractor, subcontractor at any tier, or consultant to a supplier to the Department of Commerce, any product, item or major component of an item or product, which was the subject of the specifications and/or work statements furnished under this contract. The contractor shall, within 15 days after the effective date of this contract, provide, in writing, to the Contracting Officer, a representation that all employees, agents and subcontractors involved in the performance of this contract have been informed of the provisions of this clause. Any subcontractor that performs any work relative to this contract shall be subject to this clause. The Contractor agrees to place in each subcontract affected by these provisions the necessary language contained in this clause. (c) For the purposes of this clause, the term "contractor" means the contractor, its subsidiaries and affiliates, joint ventures involving the contractor, and entity with which the contractor may hereafter merge or affiliate and any other successor or assignee of the contractor. (d) The Contractor acknowledges the full force and effect of this clause. lt agrees to be bound by its terms and conditions and understands that violation of this clause may, in the judgment of the Contracting Officer, be cause for Termination for Default under FAR 52.249-6. The Contractor also acknowledges that this does not represent the sole and exclusive remedy available to the Government in the event the Contractor breaches this or any other Organization Conflict of lnterest clause. RESPONSIBLE CONTRACTOR, MlNNlllulll CRITERIA.'Responsible contractor' means a contractor lhat conforms to the responsibility requirements in the solicitation document for its portion of the work on the project and verifies that it meets the following minimum criteria: (1) The Contractor: (i) is in compliance wtth workers'compensation and unemployment insurance requirements; (ii) is in compliance with Department of Revenue and Department of Employrnent and Economic Development registration requirements if it has employees; (iii) has a valid federaltax identification number or a valid Social Security number if an individual; and (iv) has filed a certificate of authority to lransact business in Minnesota with the Secretary of State if a foreign corporation or cooperative. (2) The contractor or related entity is in compliance with and, during the three-year period before submitting the verification, has not violated section '177.24, 177.25, 177 .41 lo 177.&, 181 .13, 181.14, or 181.722, and has notviolated United Strates Code, title 29, sections 201 to 219, or United States Code, title 40, sections 3141 to 3148. For purposes of this clause, a violation occurs when a contractor or related entity: (i) repeatedly fails to pay statutorily required wages or penalties on one or more separate projec*s for a total underpayment of $25,000 or more wilhin the three-year period, provided that a failure to pay is "repeated" only if il involves two or more sepamte and distinct occunences of underpayment during the three'year period; (ii) has been issued an order to comply by the commissioner of Labor and lndustry that has become final; (iii) has been issued at least two determination letters within the three-year period by the Department of Transportation finding an underpaynent by the contractor or related entity to its own employees; (iv) has been found by the commissioner of Labor and lndustry to have repeatedly or willfully violated any of the sections referenced in this clause pursuant to section 177.27; (v) has been issued a ruling or findings of underpaynent by the administrator of the Wage and Hour Division of the United States Department of Labor that have bemme final or have been upheld by an administrative law judge or the Administrative Review Board; or (vi) has been found liable for underpayrnent of wages or penalties or misrepresenting a construc{ion worker as an independent contractor in an action brought in a court having jurisdiction. Provided that, if the contractor or rslated entity contests a determination of underpaynent by the Department of Transportation in a contested case proceeding, a violation does not occur until the contested case proceeding has concluded with a determination that the contractor or related entity underpaid wages or penalties;'
(3) The contractor or related entity is in oompliance with and, during the three-ytar period before submitting the verification, has not violated section 181.723 or chapter 3268. For purposes of this clause, a violation oocurs when a contractor or related entity has been issued a final administrative or licensing order;' (4) The contractor or related entity has not, more than twice during the three-year period before submitting the verification, had a certificate of compliance under section 363A.36 revoked or suspended based on the provisbns of section 3634.36, with the revocation or suspension becoming final because it was upheld by the Office of Administative Hearings or was not appealed to the offi@;' (5) The contractor or related entity has not rec€ived a final determination assessing a monetiary sanction from the Departrnent of Administration or Transportation for failure to maet targeted group business, disadvantaged business snterprise, or veteran-owned business goals, due to a lack of good faith efiort, more than once during the three-year period before submitting the verification;' ' Any violations, suspensions, revocations, or sanctions, as defined in clauses (2) to (5), occuning priorto July 1, 2014, shall not be considered in determining whether a contractor or rehted entity meets the minimum criteria. A prime contractor or subconEaclor shall include in its verification of complianco under suMivision 4 a list of all of its lirsltior subcontractors that it intends to retain for wod( on the projsct. Prior to sxocution of a @nstsuclion contEct, and as a condition precedent to the sxgcution of a @nstruc{ion contract, th6 apparent successful primo contraclor shall submit to the contracting authority a supplemental verification under oath conlirming complianc€ with suMivision 3, clause (7).
