Adansonia Corporate Finance leverages off the knowledge, presence and contact base of the wider Adansonia Group which has an extensive client, attorney and accountant network in eighteen sub–Saharan African countries. We are focused on facilitating investment into Africa, by assisting; • owners of African operating companies to raise debt and/or equity, or to sell businesses; all wrapped in a flexible mergers & acquisitions (“M&A”) service offering; • private equity funds, family offices and corporate investors interested in African investments, in sourcing potential investments that fit with their investment mandate, and/ or to sell investments on their behalf, again wrapped in a flexible M&A service offering. We wrap all our services in a flexible M&A service offering which may (depending on circumstances and client needs) include; • strategic advice; • valuations and preparation of necessary reports; • assistance in negotiations with debt providers or potential buyers/investors; • referral to other proven in country service providers and experts; • assistance during due diligence; and • project management of the M&A process from start to completion. Our approach treats each engagement and its proposed fee structure as unique, and varies according to the complexity, amount of work required, and size of transaction. We are prepared to take some fee risk in undertaking certain projects where we have a good understanding of the strategic intent of the client, and a measure of confidence regarding the likelihood of success. An outline of the primary services we provide are as follows: • Raising Debt Finance for African Companies Identifying the most suitable funders for your business is essential to increase the chances of success. We have access to and knowledge of the credit requirements of a broad range of banks and credit funds operating in sub – Saharan Africa, and are thus able to create a shortlist of the most likely funders for the borrower’s profile taking into account the transaction size, risk parameters, available security, geography etc. Following an introduction to the shortlisted potential credit providers, we have experience in and the ability to manage the process on your behalf right through to draw down on the facility. • Raising Equity Finance for African Companies Our approach treats each engagement and its proposed fee structure as unique, and varies according to the complexity, amount of work required, and size of transaction. THE TEAM Mark Elliott – Executive Director Mark studied a BCom economics & informatics and an honours in investment management. He started out his career at Investec Bank as a business analyst managing the groups capital from a regulatory perspective. He then moved into a specialised finance role providing clients with a variety of funding mechanisms, both on and off-balance sheet. Deals ranged in size from R10 Million to R600m. Mark then moved to RMB where he worked in the structured finance team. With banking experience of over 12 years he has a great network in South Africa and Africa of funders, private equity companies and banks to help facilitate deal implementations. Brendon Jones – Director Brendon worked in London in a range of investment banking focused and consulting over a six-year period working for JP Morgan Chase, West Landes Bank, Deutsche Bank, Citibank and Reuters. After completing his MBA at the Graduate School of Business, University of Cape Town in 2003, he headed for Thailand where he set up an entrepreneurial venture and then spent 2 years as an accounting and information technology business consultant. Upon moving to Mauritius in November 2006, Brendon became a shareholder and was appointed Managing Director of Inter-Ocean Management Limited, a Mauritian offshore management company. Inter-Ocean Management Limited was successfully sold to the Maitland Group, and rebranded Maitland (Mauritius) Limited in June 2012. After completing his earnout at Maitland (Mauritius) Limited in 2014, Brendon, in partnership with Rudolf Pretorius and Zain Madarun formed Adansonia Holdings Limited where he is now the CEO. Brendon serves, inter alia, on the boards/investment committees of: • Denham Capital’s African mining platform and its portfolio companies • Alphamin Resources Corporation, a listed TSX company • Novare Fund Manager Limited ADANSONIA CORPORATE FINANCE LIMITED
Rudolf Pretorius - Director Rudolf qualified as a chartered accountant with PWC in South Africa. He joined Rand Merchant Bank Limited (RMB) in 1987 in the Corporate Finance division, which included the bank’s private equity activities. As RMB representative, Rudolf has been involved since the start in the development and growth of Outsurance as an active non-executive director. He was appointed to the FirstRand Limited’s executive committee, taking responsibility for mortgage lending and private banking in the group. Board positions included First National Bank, Aegis and Outsurance. Rudolf also served on the RMB Private Equity Investment Committee up to 1998. After leaving the FirstRand group at the end of 1999, Rudolf formed Treacle Private Equity with two partners. They successfully invested and exited two funds with capital returned in excess of R1bn. Rudolf relocated to Mauritius in 2011.
