Roads Initiatives in Light of Covid-19 MoRTH relaxes rules to allow wider participation of domestic companies in road projects • The Ministry of Road Transport and Highways (MoRTH) has revised the eligibility criteria for road projects built on the engineering, procurement and construction (EPC) mode to ensure wider participation from domestic companies. • It has revised the average annual turnover of the bidder to 15% of the estimated project cost for the past five years. Earlier, the average annual turnover was required to be 20% of the estimated project cost. • Among other changes, the MoRTH has also relaxed the threshold technical capacity for normal highway projects, which will be 0.75 times the estimated project cost in case of projects up to Rs 1 billion, while it will be equal to the estimated project cost in case of projects more than Rs 1 billion. For specialised projects, the threshold technical capacity has been revised to equal the estimated project cost or Rs 10 billion whichever is lower, for projects more than Rs 10 billion. • Further, no additional qualification will be required for bridges up to 60 metres long and tunnels up to 200 metres long, being built on the EPC mode, besides the bidder having constructed one similar work of 20 per cent of the estimated project cost. The ministry has also brought down the size of eligible projects for ascertaining technical experience from 10% to 5% of the project cost. MoRTH eases norms for HAM projects • MoRTH has eased norms for hybrid annuity model (HAM) projects. The government will now make the upfront construction payment to a highway project concessionaire under HAM in 10 tranches as against 5, subject to the overall ceiling of 40% of the project cost. • Increasing the frequency of the installments will help concessionaires better manage their working capital requirements. Besides, the release of upfront payments during the construction period will be linked to the physical progress of the project. • Besides, the annuity payment will be made on the reducing balance of completion cost at an interest rate equal to average of one-year marginal cost of fund-based lending rate (MCLR) of top five scheduled commercial banks plus 1.25%. 3
Roads Initiatives in Light of Covid-19 NHAI set to make FY 2021 the best year of highway construction • Reportedly, NHAI plans to award contracts worth Rs 2 trillion during the current fiscal year. • As per NHAI, there is no dearth of money and the government has encouraged the authority to build roads with full vigour and make it the best year of highway construction. Besides, NHAI will also be rating the best roads to enhance quality and speed of execution. NHAI has also urged the authorities to advocate innovative land pooling methods to save land acquisition costs across the country by upto Rs 2 trillion. Other Policy Developments MoRTH issues notification for promotion of toll payment through FASTag • MoRTH has issued a notification making FASTag mandatory to be available by January 1, 2021 in old vehicles as well, i.e., M and N category of motor vehicles (four wheelers) sold before December 1, 2017, through amendments in Central Motor Vehicles Rules (CMVR), 1989. • It has also been mandated that a valid FASTag is mandatory while getting a new 3rd Party Insurance through an amendment in FORM 51 (certificate of Insurance), wherein the details of FASTag ID shall be captured. This shall be applicable with effect from April 1, 2021. Andhra Pradesh government considers levying toll tax on state roads • Reportedly, Andhra Pradesh government is considering a plan to levy toll tax on state highways with high traffic density, in a bid to enhance the state government’s revenue. • The toll fee collected from the state highways will go to Andhra Pradesh Road Development Corporation (APRDC) to be used for maintenance of highways. A decision to this effect is expected to be taken soon by the State Cabinet. • In the first phase, toll will be collected at about 35 state highways, including the KadapaPulivendula, Eluru-Jangareddygudem and Bhimavaram-Gudivada highways. If the pilot succeeds, toll fee collection would be done in the remaining 24 routes as well. 4
Roads Initiatives in Light of Covid-19 Key Announcements National highway project awards double despite COVID-19 pandemic • As per media reports, the pace of award of national highway projects has almost doubled during April-October 2020, compared to the past year, despite the ongoing COVID-19 pandemic. Highway project awards for April-October 2020 have reached 5,679 km, compared to 2,982 km in the same period of last year. • Besides, construction of highways has also improved from 210 km in April 2020 to 4,628 km by October 2020. This translates into average construction of nearly 22 km/day during April-October 2020. NHAI toll collections cross pre-COVID levels in November 2020 • Toll collection on national highways across the country surpassed pre-COVID levels in November 2020, signalling sharp signs of recovery in road traffic. • The toll collections in the first week of November have reached 114 per cent of pre-COVID levels in the month under review. On March 25, 2020, the central government had announced temporary suspension of toll collection in the wake of COVID-19 pandemic. • NHAI as well as highway developers resumed collection at toll plazas in line with the Ministry of Home Affairs directives on April 20, 2020. Traffic across national highways had dipped to as low as 25-30 per cent of pre-COVID levels during the first phase of the nationwide lockdown in March 2020. FASTag users cross 20 million count • NHAI has announced that the number of FASTag users in the country has crossed the 20 million mark, registering a growth of 400 per cent in a year. • This has increased the total toll collection to Rs 920 million per day, a substantial increase from Rs 700 million per day, a year back. FASTag contributes to nearly 75 per cent of the total toll collection as of now. 5
Roads Initiatives in Light of Covid-19 Key Announcements NHAI to introduce prepaid touch-and-go cards to cut long queues • With the aim to minimise cash transaction at toll plazas, NHAI will soon roll out a Delhi Metro type prepaid touch-and-go card for commuters. Each card would cost around Rs 50 and can be used only on ‘hybrid’ lanes where payments are made by cash or through electronic means. • NHAI’s toll management wing, Indian Highways Management Company Limited (IHMCL), has invited bids for rollout of this system. According to the tender document, the successful bidder will set up at least two dedicated point-ofsales (PoS) manpower in three shifts for card issuance, recharge, top-up facility and cash management at each national highway toll plaza for the initial three months. • The pre-paid card system will be integrated with the toll management systems (TMS) to enable the toll operator to select vehicle class so that the applicable toll fee can be deducted immediately from the prepaid card on tapping the PoS device. 6
Roads Key Recent Developments Impact of COVID-19 on Competitive Intensity • According to ICRA Ratings, expects the central government spend on infrastructure to be maintained given the positive multiplier affect it will have on overall economy amid the COVID-19 pandemic. The state governments in particular are staring at a huge revenue deficit in current financial year; and therefore, the headroom available to them for incurring capital expenditure has reduced substantially. • The private sector capex and the interest in public private partnership (PPP) based infrastructure projects is also expected to be limited in near term, due to increased risk averseness and limited capital availability. • As a result, NHAI/MoRTH EPC projects are expected to witness heightened competition. • As per a study conducted by ICRA covering 160 EPC projects awarded by NHAI during F2017-20 spread across 22 states spanning 6,260 km, the average number of bidders per project for the EPC segment ranged between 4 to 10. These 160 projects were awarded to as high as 69 EPC players. • Of total 160 projects, 69% were awarded at a discount to NHAI’s base price (median discount of 11.2 per cent), 3% were awarded at par to base price and remaining 28% were awarded at a premium (median premium of 7.7%). • The top 10 players bagged around 62 projects totaling 2,713 km which is 43% of total awards in length. Grants/Allocations • The Uttar Pradesh Expressway Industrial Development Authority (UPEIDA) Board has approved a proposal of Rs 221.45 billion for civil works for the construction of the Ganga expressway project. • In order to generate finances, the Board has proposed that avenues of the public-private-partnership (PPP) model should be explored. The Board has suggested that investors should be identified as per the records of NHAI and then expression of interest (EOI) should be signed. • The Himachal Pradesh government has approved funds worth Rs 1.96 billion for the Pathankot-Mandi road project. • The project involves four-laning of 219 km long road stretch connecting Pathankot, Suini, Parour, Chauntada, Chauntra, Padhar and Mandi in Himachal Pradesh. • The Finance Committee of the Government of Uttar Pradesh has approved implementation of the Ghaziabad-Haridwar two-lane canal road project. • The project involves construction of 111 km two-lane canal road connecting Ghaziabad and Haridwar and is proposed on the right-side bank of the upper Ganga canal originating from Haridwar in Uttar Pradesh at an estimated cost of Rs 6.28 billion. 7
Roads Key Recent Developments Loans/Bonds • The Asian Development Bank (ADB) and the central government have signed a $177 million loan to upgrade 450 km of state highways and major district roads in Maharashtra. • The project will improve connectivity between rural areas and urban centres in the state. Another feature of the project is to update the road maintenance system by encouraging five-year performance-based maintenance obligations to contractors to sustain asset quality and service levels. • The project will upgrade two major district roads and 11 state highways, with combined length of 450 km, to two-lane standard across seven districts of Maharashtra, and improve connectivity to national highways, interstate roads, seaports, airports, rail hubs, district headquarters, industrial areas, enterprise clusters and agricultural areas. • The World Bank has signed a $120 million project to improve and modernise the transport sector in Meghalaya. The $120 million loan from the International Bank for Reconstruction and Development (IBRD) has a maturity of 14 years, including a grace period of six years. • The Meghalaya Integrated Transport Project (MITP) will improve about 300 km of strategic road segments and stand-alone bridges by using innovative, climate-resilient, and nature-based solutions. • The segments will serve major agriculture areas, important tourist destinations, small-scale industries, major towns and underserved populations by linking them to markets, health and education centres, besides national and international corridors. • A consortium of public sector banks has sanctioned a fresh loan of Rs 2.50 billion for the Gorakhpur Link expressway project. The Bank of Maharashtra has also joined the consortium and Punjab National bank and UCO Bank have already provided credit of Rs 7.5 billion and Rs 2.5 billion, respectively, for the project. • So far, three public sector banks have provided Rs 12.5 billion for the project. Meanwhile, the Uttar Pradesh cabinet has already granted approval for setting up the consortium of banks for funding the expressway project. 8
Roads Key Recent Developments TOT/InvITs • NHAI has received upfront consideration of Rs 50.11 billion from Cube Highways and Infrastructure, under the third bundle of the tolloperate- transfer (TOT) model. The Singapore-based firm had delayed the payment to NHAI amid the uncertainties posed by COVID-19 outbreak. • The TOT Bundle III, with a cumulative length of 566 km, consists of nine toll plazas in the state of Uttar Pradesh, Jharkhand, Bihar and Tamil Nadu. • Cube Highways had deferred paying up for the bundle as traffic density had started dwindling since March this year, when India went under a nationwide lockdown to curb the spread of COVID-19. However, the company has not been penalised for delay in payment as the government continues to implement relaxations announced in light of the pandemic. • Reportedly, NHAI is set to come up with its Rs 50 billion Infrastructure Investment Trust (InvIT) by early-2021. • NHAI’s InvIT, the first InvIT to be sponsored by any government entity in the country, will initially consist of the highway road assets under the TOT Bundle II. • Auction for the second TOT bundle, with 586 km of national highways in Rajasthan, Gujarat, West Bengal, and Bihar at a base price of Rs 53.62 billion, got cancelled last year after the bids offered were much below NHAI expectation. • Reportedly, IL&FS Limited has finalised the InvIT structure for its road assets in order to resolve its debt of about Rs 150 billion. • IL&FS has set up Roadstar Infra Private Limited (RIIPL), as a new subsidiary of IL&FS Transportation Networks India Limited (ITNL) to act as a sponsor to the proposed InvIT. Besides, North Karnataka Expressway Limited (NKEL) has been appointed as the investment manager to the proposed InvIT. • As per the reports, ITNL has infused fresh capital of Rs 750 million in the sponsor entity post receipt of requisite approvals, in order to meet the SEBI’s InvIT norm of Rs 1 billion net worth. In addition, NKEL will be transferred by ITNL to Roadstar Infra Private Limited. • IL&FS has received in-principle approval from SEBI for registering the InvIT and is likely to approach SEBI shortly for seeking final registration of the trust. • IRB Infrastructure Trust, the private InvlT, has successfully closed the second tranche of fund raising by way of Rights Issue of Units amounting to Rs 5.10 billion. • IRB Infrastructure Developers Limited, being the sponsor and 51 per cent stakeholder, contributed Rs 2.6 billion and GIC affiliates, holding the balance 49 per cent stake, have contributed Rs 2.5 billion. • This is part of the total commitment of Rs 44 billion by GIC affiliates towards 49 per cent stake in the private InvIT housing nine BOT assets, out of which IRB Infrastructure Trust had already received Rs 37.53 billion from GIC affiliates in February 2020. 9
Roads Key Recent Developments Financial Closures • Ashoka Kandi Ramsanpalle Road Private Limited, a wholly owned subsidiary of Ashoka Buildcon Limited, has achieved financial closure letter dated October 23, 2020 from NHAI. • The company received financial closure on October 5, 2020, for the project entailing four-laning of 39.98 km section of NH-161 from Kandi (Design km 0) (km 498.25 of NH-65) to Ramsanpalle (Design km 39.98/existing km 44.76) in Telangana. • The HAM project is being implemented under Bharatmala Pariyojna at a bid project cost of Rs 10 billion. Asset Sales/Stake Dilution • Reportedly, the Life Insurance Corporation of India (LIC) has raised its stake in IRB Infrastructure Developers Limited to 5.27 per cent in quarter ended September 2020. • LIC has been increasing its holding in the company for a long time. In the September quarter, LIC's stake in the company rose to 5.27 per cent, from 3.81 per cent in the quarter ended June 2020. • Sadbhav Infrastructure Project Limited has received approval from Ahmedabad Urban Development Authority (AUDA) for 100 per cent stake sale in Ahmedabad Ring Road Infrastructure Limited (ARRIL), a wholly owned subsidiary of the company, to Indinfravit Trust and refinancing of existing debts of ARRIL subject to fulfillment of certain conditions. • The company had signed definitive agreements with lndinfravit on July 1, 2019 to sell 100 per cent stake in nine operational projects for an enterprise value of Rs 66.1 billion (including equity value of Rs 25.5 billion). • Reportedly, Welspun Enterprises Limited is in talks with a Canadian pension fund for investment in the company’s road project assets. • The company has nine road projects, with a project cost of over Rs 120 billion. Of the nine road projects, seven are on the hybrid annuity model (HAM). 10
Roads Key Recent Developments Others • NHAI has accepted arbitration award amounting to Rs 439.51 million in favour of Dhule Palesner Tollway Limited (DPTL), a subsidiary of Sadbhav Infrastructure Project Limited, without any pendente-lite interest and interest on delayed payment. Sadbhav Infrastructure Project Limited had earlier announced the winning of an arbitration award against NHAI through DPTL. • DPTL had received appointed date on December 21, 2009 to augment the 89 km existing road from km 168.5 to km 265 on the Madhya Pradesh/Maharashtra Border - Dhule section of NH-3 in Maharashtra by four-laning on DBFOT basis. • The original concession period is 18 years from the appointed date. DPTL achieved first commercial operations date on January 23, 2012. • IRB InvIT Fund has announced that IRB Surat Dahisar Tollway Limited has concluded its conciliation process with NHAI and accordingly, the concession period for its project has been extended by 460 days. • As a result, the concession period for the project will expire on May 25, 2022, as against the original transfer date of February 19, 2021. 11

Roads Initiatives in Light of Covid-19 MoRTH relaxes rules to allow wider participation of domestic companies in road projects • The Ministry of Road Transport and Highways (MoRTH) has revised the eligibility criteria for road projects built on the engineering, procurement and construction (EPC) mode to ensure wider participation from domestic companies. • It has revised the average annual turnover of the bidder to 15% of the estimated project cost for the past five years. Earlier, the average annual turnover was required to be 20% of the estimated project cost. • Among other changes, the MoRTH has also relaxed the threshold technical capacity for normal highway projects, which will be 0.75 times the estimated project cost in case of projects up to Rs 1 billion, while it will be equal to the estimated project cost in case of projects more than Rs 1 billion. For specialised projects, the threshold technical capacity has been revised to equal the estimated project cost or Rs 10 billion whichever is lower, for projects more than Rs 10 billion. • Further, no additional qualification will be required for bridges up to 60 metres long and tunnels up to 200 metres long, being built on the EPC mode, besides the bidder having constructed one similar work of 20 per cent of the estimated project cost. The ministry has also brought down the size of eligible projects for ascertaining technical experience from 10% to 5% of the project cost. MoRTH eases norms for HAM projects • MoRTH has eased norms for hybrid annuity model (HAM) projects. The government will now make the upfront construction payment to a highway project concessionaire under HAM in 10 tranches as against 5, subject to the overall ceiling of 40% of the project cost. • Increasing the frequency of the installments will help concessionaires better manage their working capital requirements. Besides, the release of upfront payments during the construction period will be linked to the physical progress of the project. • Besides, the annuity payment will be made on the reducing balance of completion cost at an interest rate equal to average of one-year marginal cost of fund-based lending rate (MCLR) of top five scheduled commercial banks plus 1.25%. 23
Roads Initiatives in Light of Covid-19 NHAI set to make FY 2021 the best year of highway construction • Reportedly, NHAI plans to award contracts worth Rs 2 trillion during the current fiscal year. • As per NHAI, there is no dearth of money and the government has encouraged the authority to build roads with full vigour and make it the best year of highway construction. Besides, NHAI will also be rating the best roads to enhance quality and speed of execution. NHAI has also urged the authorities to advocate innovative land pooling methods to save land acquisition costs across the country by upto Rs 2 trillion. Other Policy Developments MoRTH issues notification for promotion of toll payment through FASTag • MoRTH has issued a notification making FASTag mandatory to be available by January 1, 2021 in old vehicles as well, i.e., M and N category of motor vehicles (four wheelers) sold before December 1, 2017, through amendments in Central Motor Vehicles Rules (CMVR), 1989. • It has also been mandated that a valid FASTag is mandatory while getting a new 3rd Party Insurance through an amendment in FORM 51 (certificate of Insurance), wherein the details of FASTag ID shall be captured. This shall be applicable with effect from April 1, 2021. Andhra Pradesh government considers levying toll tax on state roads • Reportedly, Andhra Pradesh government is considering a plan to levy toll tax on state highways with high traffic density, in a bid to enhance the state government’s revenue. • The toll fee collected from the state highways will go to Andhra Pradesh Road Development Corporation (APRDC) to be used for maintenance of highways. A decision to this effect is expected to be taken soon by the State Cabinet. • In the first phase, toll will be collected at about 35 state highways, including the KadapaPulivendula, Eluru-Jangareddygudem and Bhimavaram-Gudivada highways. If the pilot succeeds, toll fee collection would be done in the remaining 24 routes as well. 24
Roads Initiatives in Light of Covid-19 Key Announcements National highway project awards double despite COVID-19 pandemic • As per media reports, the pace of award of national highway projects has almost doubled during April-October 2020, compared to the past year, despite the ongoing COVID-19 pandemic. Highway project awards for April-October 2020 have reached 5,679 km, compared to 2,982 km in the same period of last year. • Besides, construction of highways has also improved from 210 km in April 2020 to 4,628 km by October 2020. This translates into average construction of nearly 22 km/day during April-October 2020. NHAI toll collections cross pre-COVID levels in November 2020 • Toll collection on national highways across the country surpassed pre-COVID levels in November 2020, signalling sharp signs of recovery in road traffic. • The toll collections in the first week of November have reached 114 per cent of pre-COVID levels in the month under review. On March 25, 2020, the central government had announced temporary suspension of toll collection in the wake of COVID-19 pandemic. • NHAI as well as highway developers resumed collection at toll plazas in line with the Ministry of Home Affairs directives on April 20, 2020. Traffic across national highways had dipped to as low as 25-30 per cent of pre-COVID levels during the first phase of the nationwide lockdown in March 2020. FASTag users cross 20 million count • NHAI has announced that the number of FASTag users in the country has crossed the 20 million mark, registering a growth of 400 per cent in a year. • This has increased the total toll collection to Rs 920 million per day, a substantial increase from Rs 700 million per day, a year back. FASTag contributes to nearly 75 per cent of the total toll collection as of now. 25
Roads Initiatives in Light of Covid-19 Key Announcements NHAI to introduce prepaid touch-and-go cards to cut long queues • With the aim to minimise cash transaction at toll plazas, NHAI will soon roll out a Delhi Metro type prepaid touch-and-go card for commuters. Each card would cost around Rs 50 and can be used only on ‘hybrid’ lanes where payments are made by cash or through electronic means. • NHAI’s toll management wing, Indian Highways Management Company Limited (IHMCL), has invited bids for rollout of this system. According to the tender document, the successful bidder will set up at least two dedicated point-ofsales (PoS) manpower in three shifts for card issuance, recharge, top-up facility and cash management at each national highway toll plaza for the initial three months. • The pre-paid card system will be integrated with the toll management systems (TMS) to enable the toll operator to select vehicle class so that the applicable toll fee can be deducted immediately from the prepaid card on tapping the PoS device. 26
Roads Key Recent Developments Impact of COVID-19 on Competitive Intensity • According to ICRA Ratings, expects the central government spend on infrastructure to be maintained given the positive multiplier affect it will have on overall economy amid the COVID-19 pandemic. The state governments in particular are staring at a huge revenue deficit in current financial year; and therefore, the headroom available to them for incurring capital expenditure has reduced substantially. • The private sector capex and the interest in public private partnership (PPP) based infrastructure projects is also expected to be limited in near term, due to increased risk averseness and limited capital availability. • As a result, NHAI/MoRTH EPC projects are expected to witness heightened competition. • As per a study conducted by ICRA covering 160 EPC projects awarded by NHAI during F2017-20 spread across 22 states spanning 6,260 km, the average number of bidders per project for the EPC segment ranged between 4 to 10. These 160 projects were awarded to as high as 69 EPC players. • Of total 160 projects, 69% were awarded at a discount to NHAI’s base price (median discount of 11.2 per cent), 3% were awarded at par to base price and remaining 28% were awarded at a premium (median premium of 7.7%). • The top 10 players bagged around 62 projects totaling 2,713 km which is 43% of total awards in length. Grants/Allocations • The Uttar Pradesh Expressway Industrial Development Authority (UPEIDA) Board has approved a proposal of Rs 221.45 billion for civil works for the construction of the Ganga expressway project. • In order to generate finances, the Board has proposed that avenues of the public-private-partnership (PPP) model should be explored. The Board has suggested that investors should be identified as per the records of NHAI and then expression of interest (EOI) should be signed. • The Himachal Pradesh government has approved funds worth Rs 1.96 billion for the Pathankot-Mandi road project. • The project involves four-laning of 219 km long road stretch connecting Pathankot, Suini, Parour, Chauntada, Chauntra, Padhar and Mandi in Himachal Pradesh. • The Finance Committee of the Government of Uttar Pradesh has approved implementation of the Ghaziabad-Haridwar two-lane canal road project. • The project involves construction of 111 km two-lane canal road connecting Ghaziabad and Haridwar and is proposed on the right-side bank of the upper Ganga canal originating from Haridwar in Uttar Pradesh at an estimated cost of Rs 6.28 billion. 27
Roads Key Recent Developments Loans/Bonds • The Asian Development Bank (ADB) and the central government have signed a $177 million loan to upgrade 450 km of state highways and major district roads in Maharashtra. • The project will improve connectivity between rural areas and urban centres in the state. Another feature of the project is to update the road maintenance system by encouraging five-year performance-based maintenance obligations to contractors to sustain asset quality and service levels. • The project will upgrade two major district roads and 11 state highways, with combined length of 450 km, to two-lane standard across seven districts of Maharashtra, and improve connectivity to national highways, interstate roads, seaports, airports, rail hubs, district headquarters, industrial areas, enterprise clusters and agricultural areas. • The World Bank has signed a $120 million project to improve and modernise the transport sector in Meghalaya. The $120 million loan from the International Bank for Reconstruction and Development (IBRD) has a maturity of 14 years, including a grace period of six years. • The Meghalaya Integrated Transport Project (MITP) will improve about 300 km of strategic road segments and stand-alone bridges by using innovative, climate-resilient, and nature-based solutions. • The segments will serve major agriculture areas, important tourist destinations, small-scale industries, major towns and underserved populations by linking them to markets, health and education centres, besides national and international corridors. • A consortium of public sector banks has sanctioned a fresh loan of Rs 2.50 billion for the Gorakhpur Link expressway project. The Bank of Maharashtra has also joined the consortium and Punjab National bank and UCO Bank have already provided credit of Rs 7.5 billion and Rs 2.5 billion, respectively, for the project. • So far, three public sector banks have provided Rs 12.5 billion for the project. Meanwhile, the Uttar Pradesh cabinet has already granted approval for setting up the consortium of banks for funding the expressway project. 28
Roads Key Recent Developments TOT/InvITs • NHAI has received upfront consideration of Rs 50.11 billion from Cube Highways and Infrastructure, under the third bundle of the tolloperate- transfer (TOT) model. The Singapore-based firm had delayed the payment to NHAI amid the uncertainties posed by COVID-19 outbreak. • The TOT Bundle III, with a cumulative length of 566 km, consists of nine toll plazas in the state of Uttar Pradesh, Jharkhand, Bihar and Tamil Nadu. • Cube Highways had deferred paying up for the bundle as traffic density had started dwindling since March this year, when India went under a nationwide lockdown to curb the spread of COVID-19. However, the company has not been penalised for delay in payment as the government continues to implement relaxations announced in light of the pandemic. • Reportedly, NHAI is set to come up with its Rs 50 billion Infrastructure Investment Trust (InvIT) by early-2021. • NHAI’s InvIT, the first InvIT to be sponsored by any government entity in the country, will initially consist of the highway road assets under the TOT Bundle II. • Auction for the second TOT bundle, with 586 km of national highways in Rajasthan, Gujarat, West Bengal, and Bihar at a base price of Rs 53.62 billion, got cancelled last year after the bids offered were much below NHAI expectation. • Reportedly, IL&FS Limited has finalised the InvIT structure for its road assets in order to resolve its debt of about Rs 150 billion. • IL&FS has set up Roadstar Infra Private Limited (RIIPL), as a new subsidiary of IL&FS Transportation Networks India Limited (ITNL) to act as a sponsor to the proposed InvIT. Besides, North Karnataka Expressway Limited (NKEL) has been appointed as the investment manager to the proposed InvIT. • As per the reports, ITNL has infused fresh capital of Rs 750 million in the sponsor entity post receipt of requisite approvals, in order to meet the SEBI’s InvIT norm of Rs 1 billion net worth. In addition, NKEL will be transferred by ITNL to Roadstar Infra Private Limited. • IL&FS has received in-principle approval from SEBI for registering the InvIT and is likely to approach SEBI shortly for seeking final registration of the trust. • IRB Infrastructure Trust, the private InvlT, has successfully closed the second tranche of fund raising by way of Rights Issue of Units amounting to Rs 5.10 billion. • IRB Infrastructure Developers Limited, being the sponsor and 51 per cent stakeholder, contributed Rs 2.6 billion and GIC affiliates, holding the balance 49 per cent stake, have contributed Rs 2.5 billion. • This is part of the total commitment of Rs 44 billion by GIC affiliates towards 49 per cent stake in the private InvIT housing nine BOT assets, out of which IRB Infrastructure Trust had already received Rs 37.53 billion from GIC affiliates in February 2020. 29

In the September quarter, LIC's stake in the company rose to 5.27 per cent, from 3.81 per cent in the quarter ended June 2020. • Sadbhav Infrastructure Project Limited has received approval from Ahmedabad Urban Development Authority (AUDA) for 100 per cent stake sale in Ahmedabad Ring Road Infrastructure Limited (ARRIL), a wholly owned subsidiary of the company, to Indinfravit Trust and refinancing of existing debts of ARRIL subject to fulfillment of certain conditions. • The company had signed definitive agreements with lndinfravit on July 1, 2019 to sell 100 per cent stake in nine operational projects for an enterprise value of Rs 66.1 billion (including equity value of Rs 25.5 billion). • Reportedly, Welspun Enterprises Limited is in talks with a Canadian pension fund for investment in the company’s road project assets. • The company has nine road projects, with a project cost of over Rs 120 billion.
