VOTE (2): For the reasons set forth in the attached memorandum dated December 21, 2021, the Executive Director is authorized to expend an additional two hundred eighteen thousand dollars ($218,000.00) for Senior Program Engagement Management services for the ongoing modernization efforts at the Massachusetts State Lottery Commission through the below OSD ITS63 vendor: Overture Partners, LLC 57 Wells Avenue, Suite 22 Newton, MA 02459 The aggregate total maximum obligation assumed for the above services for Fiscal Year 2022 shall not exceed four hundred sixty-eight thousand dollars ($468,000.00). Opening of Meeting Treasurer Deborah Goldberg opened the Massachusetts State Lottery Commission (“Commission”) meeting at 10:31 a.m. Treasurer Goldberg made the following statement: “Pursuant to the Massachusetts Open Meeting Law, Massachusetts General Laws, Chapter 30A, section 20, all of the Commissioners • Commissioner Meghan Liddy • Commissioner Anthony Salvidio • Comptroller William McNamara • Assistant General Counsel Arielle Mullaney, and • Myself, Treasurer Deborah Goldberg will be participating remotely for this meeting because physical attendance is unreasonably difficult and pursuant to Chapter 20 of the Acts of 2021. Commissioners, we are all participating by a conference call. Please let us know if you have any sort of technical difficulty. The Commissioners may participate in any votes scheduled to take place at today’s meeting. All votes must be taken by roll call.” Treasurer Goldberg then stated: “Pursuant to the Commonwealth’s Open Meeting Law, Massachusetts General Laws, Chapter 30A, section 20, as Chair of the Massachusetts State Lottery Commission, I would like to advise that any person may make a video or audio recording of this open meeting. 2

Colin Young, State House News Service, also stated that he would be making such a recording today. II. Approval of the Minutes from October 26, 2021 Treasurer Goldberg asked the Commission to accept the minutes from the meeting held on October 26, 2021. Commissioner William McNamara made a motion to accept the minutes of the meeting and Commissioner Anthony Salvidio seconded the motion. Treasurer Goldberg, recognizing there was no further discussion, moved the motion to a roll-call vote. Commissioner Meghan Liddy: yes; Commissioner Anthony Salvidio: yes; Commissioner William McNamara: yes; Assistant General Counsel Arielle Mullaney: yes; and Treasurer Goldberg: yes. The Motion carried. The minutes were approved at 10:35 a.m. Commissioner Anthony Salvidio asked to take the agenda items out of order because of a prior commitment and time constraints. III. Matters Requiring Approval of the Massachusetts State Lottery Commission VOTE (1): For the reasons set forth in the attached memorandum dated November 16, 2021, the Executive Director is authorized to purchase services and hardware to migrate its existing gaming system to colocation facilities from the below vendor: IGT Global Solutions Corporation 10 Memorial Boulevard Providence, RI 02903 The original award was made pursuant to a competitive bid process (RFQ #1501). The total maximum obligation assumed for the above services shall not exceed four million dollars ($4,000,000.00). Commissioner Meghan Liddy made a motion to authorize the Executive to purchase services and hardware, and Assistant General Counsel Arielle Mullaney seconded the motion. Chief Operating Officer Falcone explained that this vote involves the data center move. He stated that the Massachusetts State Lottery Commission is in the process of relocating its data centers to a colocation service provider, Markley Boston, LLC. As part of this project, the Commission will need to purchase services and hardware to migrate its existing gaming system to Markley Boston, LLC’s colocation facilities. The purchase is intended to simplify the migration process and reduce the risk of interruption to the Commission’s gaming operations. The services and hardware will be procured 3

Approval will allow the Massachusetts State Lottery to mitigate the risks associated with physically moving the existing gaming systems and help insure a smooth transition to its new colocation facilities. Commissioner Liddy asked how it is decided if something was going to be taken out of the operating budget versus the capitalized budget. Chief Financial Officer Didier Bertola explained that for this particular transaction it would be paid for with capital funds and not through the operating budget. Once the centers are operational, the Lottery will maintain them with funds from the operating budget. Commissioner Liddy asked if it was mostly equipment. Chief Financial Officer Bertola explained that he believed it was mostly for equipment for this particular vote where prior votes such as Verizon were mostly for items such as network services. Treasurer Goldberg, recognizing there was no further discussion, moved the motion to a roll-call vote. VOTE (2): For the reasons set forth in the attached memorandum dated November 19, 2021, the Executive Director is authorized to utilize ITC73: IT Hardware and Services to purchase VxRail infrastructure to migrate its existing enterprise systems to colocation facilities. The maximum obligation assumed for the above services shall not exceed four hundred thousand dollars ($400,000.00). Commissioner Anthony Salvidio made a motion to authorize the Executive Director to utilize ITC73: IT Hardware and Services to purchase VxRail infrastructure, and Commissioner Meghan Liddy seconded the motion. Chief Operating Officer Falcone stated that this vote also involves the data center move. He reiterated that the Massachusetts State Lottery Commission is in the process of relocating its data centers to a colocation service provider, Markley Boston, LLC. As part of this project, the Commission will need to purchase EMC VxRail infrastructure to migrate its existing enterprise systems to Markley’s Boston. VxRail is an appliance that simplifies the management of servers, storage, and server operating systems by merging these components into a single platform. The purchase is intended to simplify the migration process and reduce the risk of interruption to the Commission’s back-office operations. All items requested in this authorization will be procured through a statewide contract. The Lottery will follow all procurement rules and policies required under this contract. Approval will allow the Lottery to mitigate the risks associated with physically moving the existing systems that support its office operations and help insure a smooth transition to its new colocation facilities. Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting VOTE (3): For the reasons set forth in the attached memorandum dated November 4, 2021, the Executive Director is authorized to enter into a contract to procure graphic design services in connection with a new monitor game with: Fuseideas LLC 8 Winchester Place, Suite 302 Winchester, MA 01890 This award is made pursuant a competitive bid process (Request for Bids 22-17). The maximum obligation assumed hereunder shall not exceed two hundred thousand dollars ($200,000.00). Assistant General Counsel Arielle Mullaney made a motion to authorize the Executive Director to enter into the contract and Commissioner William McNamara seconded the motion. Chief Operating Officer Falcone explained that this vote involves graphic design services for a new monitor game. He stated that the Lottery is seeking vendors to provide graphic design services to produce monitor game graphics for a new monitor game to be offered by the Lottery. The proposed new monitor game, The Wheel of Luck, will eventually replace the ALL OR NOTHING monitor game at Lottery Agent locations. He revealed that the Request for Bids was issued pursuant to Massachusetts Statewide Contract PRF70, which sought quotes from qualified vendors. The review team consisted of the following Lottery employees: Owen Doherty, Michelle Cheney, Dan Sullivan, and Cagen Luis. Two additional members served in an advisory role representing the Lottery’s Legal Department, Maryanne Hutchinson, and the Procurement Department, Lee Conroy and were non-voting participants. The review team developed the specifications and performance requirements necessary to meet the Lottery’s desired graphic design service needs. Chief Operating Officer Falcone recommended that the Massachusetts State Lottery Commission authorize the Executive Director to enter into a limited term contract for graphic design services with the total maximum obligation not to exceed $200,000.00. Commissioner McNamara asked for a description of a monitor game. Treasurer Goldberg explained that a monitor game would be similar to Keno. When Keno is down, there’s typically a second monitor game. She stated that ALL or Nothing has been the second monitor game during her tenure but it doesn’t begin to touch Keno in terms of interest or success. This vote is purely for the development of the new game that will replace All or Nothing. Commissioner McNamara recognized that this vote is a bid for the graphics of the game, and asked if the game has already been decided on and if so, would this vote then allow it to be handed to the graphic firm to create the look of the interface. Treasurer Goldberg explained that there is a process, which includes meetings to discuss different game ideas, player’s styles, player’s reactions, and different game names until a game is decided on. This game is now at the point where the actual graphics that are utilized on the monitor are being developed. She stated that Chief Marketing Officer Ed Farley and members of the Marketing team were in attendance if there were any other questions. VOTE (4): For the reasons set forth in the attached memorandum dated November 16, 2021, the Executive Director is authorized to utilize the ITS77: Staff Augmentation Statewide Contract to contract with McInnis Consulting Services Inc., located at 100 Prospect Street, Norwell, MA 02061, for the consulting services of subject matter experts with any of the following firms to design and develop the digital presence of The Wheel of Luck monitor game: Interaction Gaming LLC d/b/a Gambyt 118 S Main Street Ann Arbor, MI 48104 The total maximum obligation assumed for the above services shall not exceed three hundred forty thousand dollars ($340,000.00). Any future encumbrance or expenditure pursuant to this vote is contingent upon appropriate availability of funding for the Lottery. Commissioner Anthony Salvidio made a motion to authorize the Executive Director to utilize the ITS77: Staff Augmentation Statewide Contract to contract with McInnis Consulting Services Inc., and Commissioner Meghan Liddy seconded the motion. Chief Operating Officer Falcone explained that the Wheel of Luck is a proposed new monitor game to replace the All or Nothing monitor game at Lottery Agent locations. It is requested that the Massachusetts State Lottery Commission authorize the Executive Director the ability to encumber and expend up to three hundred forty thousand dollars ($340,000.00) for services to design and develop the digital presence of The Wheel of Luck monitor game. These services are necessary in order for the Lottery to provide a player experience for The Wheel of Luck game on its website and mobile app similar to the Keno monitor game. These services will cover certain aspects of the implementation of The Wheel of Luck monitor game, which will impact a variety of Lottery platforms, including hosting, infrastructure, and back office operations used by the Lottery’s Finance, Customer Services, and Security Departments to monitor player activity on its digital systems. Subject Matter Expert Consultants will work closely with Lottery staff. Treasurer Goldberg, recognizing there was no further discussion, moved the motion to a roll-call vote. VOTE (5): For the reasons set forth in the attached memorandum dated November 9, 2021, the Executive Director is authorized to enter into the second one-year extension option for custodial banking services with: Avenu Insights & Analytics LLC 5680 Trinity Parkway, Suite 120 Centreville, VA 20120 This original award was made pursuant a competitive bid process (TRE Cash Custody RFR #2017). 6
Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting The maximum obligation assumed hereunder shall not exceed one hundred seventy thousand dollars ($170,000.00). Commissioner William McNamara made a motion to authorize the Executive Director to enter into the second one-year extension option and Assistant General Counsel Arielle Mullaney seconded the motion. Chief Operating Officer Falcone explained that this is a request to the Commission to approve a one-year extension and funding for a contract with Avenu Insights and Analytics LLC for custodial banking services. The Treasury issued the RFR and awarded the Lottery custodial banking services contract to Conduent State & Local Solutions, Inc. for three years with two one-year options to extend. The Lottery is requesting that the second option to extend for one year be approved with Avenu Insights and Analytics along with a funding request of $170,000.00. The annual funds required for this contract is directly related to the number of accounts maintained by Avenu Insights and Analytics on behalf of the Lottery. The number of accounts fluctuates depending upon the number of accounts added each month for jackpot winners selecting the annuity payment option and the number of accounts closed after their final maturity payment is made. It is estimated that as of December 31, 2021, the Lottery’s custody portfolio will consist of 1,325 accounts. Treasurer Goldberg, recognizing there was no further discussion, moved the motion to a roll-call vote. The Motion carried. IV. Executive Director’s Report Lottery Sales Update – October Chief Operating Officer David Falcone updated the Commission on Lottery figures for October 2021. He reported overall unadjusted sales for October of 2021 were up $18.4 million from October 2020. The estimated net profit for October 2021 versus October 2020 is an estimated $2.1 million decrease in net profit. Due in part to a jackpot prize settlement totaling $15 million paid in the month of October for the Lottery’s share of Mega Millions and Powerball jackpots won in other states, the estimated prize payout for October 2021 was 75.20 percent as compared to 73.89 percent in October 2020. Chief Operating Officer Falcone updated the Commission on Lottery figures for Fiscal Year 2022. He reported that the estimated FY22 year-to-date net profit for the first four months of FY22 is $382.9 million as compared to $363.6 million for the first four months FY21. The estimated year-to- date prize payout for the first four months of FY22 is 73.23 percent as compared to 73.36 percent for the first four months of FY21. Five Year Comparison Chart Chief Operating Officer Falcone presented a five-year comparison chart showing the prize payout as a percentage of the Lottery’s sales from the last five years. He announced that the current estimated prize payout for fiscal year 2022 was approximately 73.23 percent. 7
Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting Gross Sales Results – October Chief Operating Officer Falcone discussed the Gross Sales Results of October FY22 versus October FY21 Unadjusted Non-Fiscal Year and reported a slight decrease in instant tickets sales, which he attributed to the Powerball grand prize being hit in October because that generally causes a dip in activity. Overall, total sales were up $18.4 million. Reporting on year-to-date FY22 versus FY21 Unadjusted Non-Fiscal Year, Chief Operating Officer Falcone reported that overall sales were up $116.1 million. Congratulations in Order! Chief Operating Officer Falcone congratulated Lottery Employee Assistance Program Director Brian Donelan as the recipient of the Labor Assistance Professionals of Massachusetts Unsung Hero Award for 2021. Chief Operating Officer Falcone described Program Director Donelan as the type of person that when you meet him, you’ll think you met the nicest person on the planet. Program Director Donelan reports to Lottery Human Resource Director Elizabeth LaForest. Since 1994, Brian’s work has impacted many families in the Massachusetts State Lottery and the recovery community. Chief Operating Officer Falcone added that Lottery employees know that they can go to Program Director Donelan at any time for any kind of help with complete confidentiality and the Lottery is extremely fortunate to have him as a team member. Mobile Cashing – Environmental Impact Update Chief Operating Officer Falcone reported on the positive impact the Lottery’s remote mobile cashing app has had on the environment. He stated that so far, the mobile app prize-claiming feature has allowed players to avoid nearly 3,000 trips to claims centers, save more than 5,700 gallons of gasoline, prevent an estimated 113,345 pounds of carbon emissions from entering the atmosphere, and a total of $19,325.41 in gas savings to Lottery players. Chief Operating Officer Falcone added that this is just a start and it is already having a good impact. Recent Press Release from the Office of Attorney General Maura Healey Chief Operating Officer Falcone reported on a recent press release from the Office of the Attorney General regarding an ongoing scheme to rob the state of tax revenue by laundering Lottery winnings and lying under oath on numerous Lottery claim forms. He congratulated Lottery Assistant Executive Director of Security and Compliance Dan O’Neil as well as everyone involved for their tremendous work on this. He stated that twelve individuals and three stores in Boston, North Reading and Chelsea have been indicted in connection with this scheme. 8
Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting The Numbers Game Promo Highlights Chief Marketing Officer Ed Farley reported on a recent promotion for The Numbers Game. He stated that this is the first promotion that the Lottery has done for The Numbers Game in several years. The Lottery was able to utilize the new gaming system where if a player purchased a certain amount of tickets, they could get a free ticket. In this promotion, from October 4 through October 17, if a player purchased $5 or more of The Numbers Game on a single ticket, they received a free $1 Mass Cash Quic Pic ticket for the next Mass Cash drawing. Chief Marketing Officer Ed Farley introduced Shane Taylor, Product and Promotional Manager for Draw games, and who recently joined the Lottery Marketing team from the Maryland Lottery, to explain the promotion. Product Manager Taylor reiterated that this promotion utilized the Lottery’s new gaming system, which he described as a major business transition that the Commission supported. This is the first “buy x, get y” promotion that the Lottery has run. He stated that these types of promotions are common in other jurisdictions. The offer that was put out to players was to spend $5 dollars on The Numbers Game on a single ticket to receive a $1 Mass Cash ticket. The promotion ran for two weeks with a few goals in mind. He explained that the Lottery wanted to award the continued support of loyal core players. In some of the research, it was learned that The Numbers Game players tend to be very loyal Lottery players with many who play their numbers daily. In many ways, this promotion acted as a thank you to those players. This also gave these players a chance to possibly explore a product that they hadn’t played before. Product Manager Taylor stated that the promotion had great results with almost a $500,000 increase in The Numbers Game sales as compared to the previous two weeks. The Lottery awarded 534,262 free Mass Cash tickets, including one that won a $100,000 prize. During the two weeks of the promotion, there was a 20 percent increase in The Numbers Game purchases of $5 or more when compared to the two weeks prior. In the two weeks after the promotion ended, there was a 6 percent increase in The Numbers Game purchases of $5 or more as compared to the two weeks before the promotion. In addition, the Lottery picked up positive earned media for this promotion. He explained that during the first day of the promotion, a player won the top prize of a free $1 Mass Cash Quic Pic. This story was picked up by various news outlets: Mass Live, WCVB5, and News Boston 7. The Lottery is looking forward to running more promotions like this in the future. Treasurer Goldberg and the Commission thanked Product Manager Taylor for his report and for a job well done. Holiday Responsible Gambling Campaign Assistant Executive Director of Communications Christian Teja updated the Commission on this year’s Holiday Responsible Gambling Campaign. Assistant Executive Director Teja stated that once again, the Lottery is joining other lotteries across North America to discourage the giving of lottery tickets as gifts to those under the age of 18. This year initiatives include a holiday toy drive that is done on an annual basis. Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting Holiday Toy Drive Assistant Executive Director of Communications Teja announced that for the sixth consecutive year, the Lottery is conducting a toy drive at the Dorchester headquarters and all claim centers, from November 26th through December 13th. The toy drive is to encourage customers to donate toys for families in need this holiday season, while reminding them that lottery tickets are not suitable gifts for those under the age of 18. Responsible Gaming – NASPL/NCPG Verification Assistant Executive Director of Communications Teja reported on the Lottery’s ongoing work with the Massachusetts Office of Problem Gambling Services and thanked Victor Ortiz, Director of Problem Gambling Services, and his team in this effort. He explained that the Lottery was recently verified under the NASPL/NCPG Responsible Gaming Standard at the Implementation Level after having previously earned this status at the Planning Level in 2017. Assistant Executive Director of Communications Teja added that the Lottery will continue working with Director Ortiz and his team in the area of Responsible Gambling. Holiday Instant Tickets – Sales Update Chief Marketing Officer Farley provided a sales update on the holiday instant tickets as well as the success of an instant ticket at the $20 price point this holiday season, which he stated historically has not been done. He reported that as of last week, year-over-year actual sales have increased 0.1 percent. That is the first time that the Lottery has seen a year-over-year increase in instant ticket sales. Chief Marketing Officer Farley announced that in addition, the Lottery is launching a $10 and $20 instant ticket and barring any inclement weather, he is expecting a very good sales season for the holiday. Sales are up over 6.2 percent for the eleven weeks of holiday sales, which is in week six. He described this as an incredible increase over last year, which resulted in over $4 billion in instant ticket sales. Social Media Assistant Executive Director of Communications Teja discussed how social media was used to call attention to the continuing community partnerships with the Boston Bruins and the Celtics with the 8-Spoke Salute and Heroes Among us programs, which were promoted on Instagram and Twitter. In addition, this year’s holiday instant tickets were shown on Facebook carrying out the message to make it an “Instant Tradition.” Because of a prior commitment, Commissioner Anthony Salvidio left the meeting. V. Massachusetts Department of Public Health Presentation Chief Operating Officer Falcone invited Victor Ortiz, Director of Problem Gambling Services at the Massachusetts Department of Public Health (DPH), to talk about the Massachusetts Department of Public Health’s Holiday campaign. 10
Massachusetts State Lottery Commission Draft/Unofficial Meeting Minutes for 11/30/2021 Meeting Director Ortiz expressed his appreciation to be invited back to address the Commission. He stated that last year, under the leadership of Executive Director Michael Sweeney, the DPH formalized its partnership with the Lottery. At the time, the basic goal was to utilize both metrics and evaluation to determine the effectiveness and impact of the activities to be launched. The DPH wanted to utilize the strengths and the assets of both the Lottery and DPH to expand the reach of DPH’s messaging and programming services. The DPH also wanted to explore other possibilities of initiatives that go beyond responsible gambling, and to think critically about public health, and to do that in a collective effort to mitigate harm. Director Ortiz expressed that the DPH is excited to see these efforts continue to pay dividends. Traditionally, there is a national holiday campaign involving all lottery vendors with the promotion to discourage gift giving of lottery tickets by adults to youths. Director Ortiz stated the Office of Problem Gambling Services (OPGS) has one of the most robust communications campaign structures in the country. It is a platform that is centered around the message “Let’s Get Real About Gambling.” OPGS used various executions to be able to promote the platform and have launched various campaigns that focus on men of color, youth and parents, and older adults. Last year, the goal was to utilize the platform as a foundation to launch the holiday campaign to expand the reach. The campaign was launched for two weeks in December and the metrics far exceeded expectations and were extremely impressive. This was all done using social media, with impressions totaling over 780 and a Click-Through Rate (CTR) of 1.06 percent. Director Ortiz put this information into perspective explaining that industry average in regards to CTR put the OPGS on par to have one of the most successful holiday campaigns of anyone in the country. Director Ortiz believed that this a good example of when working together in partnership and collaboration and using the strength and expertise of the DPH and the Lottery how great things can happen. Director Ortiz reported that leading into this year, the OPGS examined lessons learned, what could be done better, and how can higher goals be set. He announced that starting tomorrow, the OPGS will launch a new holiday campaign. The new holiday campaign will refresh the existing campaign with new images and a new message. The length of the campaign will be expanded from two weeks to an entire month. This campaign will be bilingual in both English and Spanish. Additionally, the OPGS will enhance its strategies in the tactics being used. Last year the OPGS utilized social media and radio ads. This year, the OPGS is moving into other areas including advertisements that will be used in convenience stores and gas stations. This campaign will be tracked with metrics to see what the results are. Director Ortiz expressed his excitement to see what the results will be. He stated that his goal here today is to announce this campaign and say thank you to Executive Director Sweeney, Assistant Executive Director of Communications Christian Teja, and many others at the Lottery who continuously find ways to enhance the partnership to reach the collective effort of mitigating the harms that are associated with gambling. Director Ortiz thanked Treasurer Goldberg for her leadership as well as everyone involved in this effort. Commissioner William McNamara applauded the presentation and stated it was very effective on a very important subject. VI. MEMORANDUM To: Michael Sweeney Executive Director From: Matthew DiFrancesco Assistant Executive Director of Operations CC: Greg Polin – Chief Legal Counsel Date: December 15, 2021 Ref: Vehicle Purchases for Fiscal Year 2022 For purposes of maintaining a safe, efficient and greener fleet of vehicles, it is requested that the Massachusetts State Lottery Commission (“MSLC”) authorize an expenditure not to exceed $360,000.00 to purchase vehicles utilizing the State Contract VEH110: Light and Medium-Duty Vehicles, which emphasizes automotive hybrid technologies. The Lottery is currently examining the available hybrid vehicles offered on VEH110 and it is investigating opportunities to reduce the number of vehicles operated on a daily basis to improve the Lottery’s carbon footprint. Due to the challenges of long lead times in the auto industry that exist today, the Lottery is seeking MSLC approval at this time and capping the maximum obligation amount in order to secure vehicles by the end of this FY if purchases are warranted. The Lottery operates a fleet of approximately 160 vehicles to maintain operations and service our sales environment, which consists of approximately 7,000 agents. It is anticipated that the purchased vehicles will replace vehicles currently in the Lottery fleet that have at least 110,000 miles. Vehicles in the Lottery fleet are used by various Lottery departments to, among other things, call on agents daily throughout the state to book orders of Instant Tickets, order on-line supplies, repair broken betting terminals, repair network equipment, and distribute POS material. Accordingly, it is my recommendation that the MSLC authorize the Lottery to purchase vehicles under State Contract VEH110 with a total cost not to exceed $360,000.00 for fiscal year 2022.

Executive Summary and Background: The MSLC embarked on a mission critical large-scale Technology Modernization Program in early 2017 that has already proven to have positive impacts across the Lottery, Treasury and the Commonwealth of Massachusetts. Over the last year, the MSLC has successfully launched digital modernization initiatives that include enhanced Keno to Go, All or Nothing, Digital Analytics and robust player facing portals that have demonstrated significant improvement in player experiences as illustrated by an increase in mobile traffic, Google/Apple Store ratings and positive player feedback.
