League City 49ers/Gold Rush By-Laws 1. Name 1.01 The name of the organization shall be: Bay Area Football League, Inc. League City 49ers and Gold Rush Club 2. Purpose 2.01 The Purpose of the club shall be: A. To implement and execute the objectives of the Bay Area Football League, Inc. B. To provide the necessary support for the various teams organized by this club and sanctioned by the Bay Area Football League, Inc. 2.02 This club shall be a non-profit organization. 2.03 This club shall not discriminate in any way due to race, color, creed or sex. 3. Membership 3.01 The regular membership of the organization shall be limited to the adults who are parents or guardians of the current year rostered children of the various teams, such as Pee Wee, Freshmen, Sophomore, Junior, Senior, Mascot and Drill Teams. 3.02 Also eligible for regular membership shall be adults as the club may appoint to assist the teams and/or club. 3.03 Regular membership may be granted to such person(s) as per request of said person by a majority vote at any regular or special meeting of the Executive Board. 3.04 Honorary membership may be granted to any person by a majority vote at any regular or special meeting. Honorary members shall not pay dues or hold office. 3.05 The club may reject any application for membership by a majority vote at any regular or special meeting of the Executive Board. 3.06 All members in good standing shall be entitled to vote in general meetings, hold office, and participate in all activities. Good standing shall include members who do not have outstanding monies owed, unreturned or damaged equipment, or are on probation or suspension. 3.07 Any member may be suspended and lose the status of good standing for up to ninety (90) days by a two-thirds majority vote of the Executive Board. After ninety days the suspension can become indefinite by a majority vote of the membership present at a regular meeting, a quorum being present. 4. Government 4.01 Robert's Rules of Order shall compose the parliamentary authority for the procedures not specifically covered by the constitution and by-laws. The President may annually appoint a Parliamentarian. League City 49ers/Gold Rush By-Laws 2012 Page 3 of 21
4.02 The elected officers of the club shall be President, Vice President of Football, Vice President of Drill and Cheer, Treasurer and Secretary. These elected officers along with the Athletic Director and the drill director shall become the Executive Board. A. In order to be nominated for the elected positions of President , Vice President of Football, Vice President of Drill and Cheer, Treasurer or Secretary, the nominee must have at least one year prior board experience with the League City 49ers/Goldrush organization. If the nominee does not have such experience he or she must be actively involved with the organization and attended a majority of the general monthly meetings. B. In order to be nominated for a board position, the potential candidate must be in good standing with the organization. Good standing shall include members who do not have outstanding monies owed, unreturned or damaged equipment, or are on probation or suspension. 4.03 All elected officers terms shall be for two (2) years, beginning January 1st. A. The Board of Directors shall not include spouses, significant others or related family members. 4.04 Any member of the Executive Board missing three (3) consecutive meetings shall be subject to removal as a member of the Executive Board by a 2/3 vote of the Executive Board. The President shall bring such absence to the attention of the absent member and Executive Board. 4.05 The President shall annually appoint the Athletic Director and Drill Director. The President may appoint any additional officers as needed. These appointments may include: Assistant Athletic Director, Equipment Manager(s), Concession Director, Assistant Drill Director, Mascot Director, Parliamentarian, Safety Director, Fundraising Coordinator, Team Parent Coordinator, Special Events Coordinator. 4.06 Each Director/Coordinator shall be approved by a majority vote of the Executive Board and hold office for one season. 4.07 These members along with Executive Board make up the board of directors. 4.08 The Athletic Director and Drill Director shall appoint head coaches and assistant coaches. These selections must be individually approved by the President and submitted to the Executive Board for approval by a majority vote. 4.09 No person shall hold more than one elected position with the exception of the secretary and treasurer which may be a combined position. No elected officer shall coach a team. 4.10 All officers shall be eligible for re-election. 4.11 A quorum for a general meeting shall be members present in good standing. A quorum for an Executive Board or Executive Board of directors meeting shall be a simple majority of said board. 4.12 The Executive Board shall be composed of the President, Vice President of Football, Vice President of Drill and Cheer, Treasurer, Secretary, Athletic Director and Drill Director. 4.13 The Executive Board shall meet as required. Time and place of such meeting may be called at the discretion of the President and in his/her absence the vice President of League City 49ers/Gold Rush By-Laws 2012 Page 4 of 21
football. A. The Board of Directors shall meet according to a published schedule that is developed at the beginning of each calendar year. B. A minimum of three (3) general meetings will be scheduled by the beginning of the first parents meeting. C. All general meetings and board of director meeting schedules will include the time and location of the meetings. D. Called meetings may be arranged at the discretion of the President or Vice President of Football. Called meetings shall be scheduled at least 48 hours in advance. E. Minutes from board meetings shall be posted or available to general membership upon request no later than 30 days after a meeting has taken place. 4.14 The President shall be the chairman of the Executive Board and board of directors. The secretary shall keep a record of the proceedings. 4.15 The Executive Board shall supervise all business of the club between meetings, determine that all standing and special committees have fulfilled all duties assigned them, and make recommendations to the club regarding the conduct of the club's affairs. 4.16 Any funds exceeding $100.00 with the exception of those fixed amounts stated in the annual budget previously approved for the operation of the club shall be approved by a majority vote of the Executive Board before disbursement. 4.17 Budgets for the football and drill programs shall be presented for approval at the April board of directors meeting. 4.18 All monies collected at any League City 49ers/Gold Rush event shall be counted and verified by at least three (3) Executive Board members before leaving said event, and document document using Form 6: Event closeout form. Deposits must be made in the club's account within 72 hrs. There shall not be any post dated checks for fees, registrations, and buyouts. A. Concessions Practices: 1. Concession will have its own money box which will maintain a $50 dollar amount as a beginning and ending balance. 2. At the end of the operation of the concession, all revenue will be documented by Concessions using Form 7: Weekly Concessions Report. This includes the beginning balance of $50 for petty cash. This petty cash will be kept in a cash box that is the responsibility of the Concessions Coordinator. 3. The revenue money to be deposited will be counted by three executive board members. This verification by the three executive board members will be documented using Form 6: Event closeout form. This form will be given to the Treasurer. 4. Money will deposited at the bank by a board member within 72 hrs. B. Concessions Scrimmage/Home Game: 1. There will be four (4) money boxes. Two (2) money boxes will be used to sell tickets. Four tickets will be sold in dollar quantities with each ticket having a face value of $0.25. 2. Tickets will be collected by concessions for food and beverages sold. 3. On a frequency, the money boxes used to sell tickets will be changed out with money boxes with a beginning balance. These transactions will be tracked using Form 8: Concession Event Moneybox Tracking Form. League City 49ers/Gold Rush By-Laws 2012 Page 5 of 21
4. The money for deposited will be secured in an envelope which will be kept under lock for tallying at the end of the day which will be documented with Form 6: Event Closeout Form. 4.19 The Executive Board shall appoint a nominating committee composed of three members of the club. Nominations for officers to be voted on along with nominations from the floor shall be made by the nominating committee on or at a meeting prior to January 1st. 4.20 Elections of the officers shall be conducted during odd calendar years prior to January 1st by written vote. 4.21 Each member in good standing will be entitled to one (1) ballot. One ballot is defined as one (1) adult vote per family. 4.22 The President shall appoint persons to chair committees as needed. Each appointee will select two or more committee members for Executive Board approval. 4.23 The terms of elected officers shall be two (2) years beginning January 1st. Duties are as follows: A. President 1. Shall be the principle executive officer of the League City 49ers and Gold Rush and shall in general supervise and control all the business affairs of the club. 2. Shall preside at all meetings and shall have general supervision of the affairs of the club. 3. Shall fill for the unexpired term, by appointment, any vacancies in office which may occur. Each appointment shall be subject to ratification by a simple majority vote of the Executive Board. 4. Shall appoint any other officers and or committee chairs as needed and determine the responsibilities and or duties as such. 5. The President shall be ex-officio member of all committees. 6. Shall be the official representative for all Bay Area Football functions. 7. Shall with the Treasurer be the primary signer of all checks issued by the club. 8. Shall perform all other duties as may be prescribed by the Executive Board. B. Vice President of Football 1. Shall in the absence of the President or in the event of his/her inability or refusal to perform said duties perform the duties of the President, and when acting, to all restrictions set upon the President. 2. Shall be primarily concerned with the needs of the football program. 3. Shall assist the Athletic Director in the Day to Day operation of the Clubs football program. 4. Shall perform all other duties as may be prescribed from time to time by the President. C. Vice President of Drill and Cheer 1. Shall assume the duties of the President in the President's absence if the Vice President of Football is not available. League City 49ers/Gold Rush By-Laws 2012 Page 6 of 21
2. Shall be primarily concerned with the needs of the Drill, Cheer and Mascot programs. 3. Shall assist the Drill Director in the day to day operation of the club's drill program. 4. Shall perform all other duties prescribed from time to time by the President. D. Secretary 1. Shall act as recording secretary at all club meetings. 2. Shall keep a copy of the records of the meeting and supply a copy of minutes at club meetings. 3. Shall keep records of the membership and attend to the necessary correspondence of the club. 4. Shall keep an up to date roster of all members of the Executive Board and board of directors. 5. Shall perform all other duties as may be prescribed from time to time by the President. E. Treasurer 1. Shall be the custodian of all funds of the club (i.e. administration, football, drill and sponsorship), which are to be kept on deposit with a bank to be approved by the Executive Board. 2. Shall keep an accurate, up to date record of the clubs finances, be prepared to submit financial reports to the Executive Board upon request, and submit a complete financial report to club members at meetings. 3. Shall with the President sign all checks issued by the club. 4. Shall not disburse any sums exceeding $100.00 without the approval of the President or in his/her absence the Vice President of Football. 5. Shall in the presence of one serve as the chairman of the budget and finance committee. 6. Shall perform all other duties as may be prescribed by the President. The terms of board appointed positions shall be one (1) year beginning January 1st. Duties are as follows: F. Financial Secretary 1. Shall assist the Treasure with keeping accurate, up to date record of the clubs finances, assist in the preparation of financial reports for the Executive Board upon request, and submit a complete financial report to club members at meetings. 2. Shall assist with managing receipts, invoices, deposits, bank statement, etc…. such that information is available to be used to maintain good accounting practices that are required as a non-profit organization. 3. Shall assist the Treasure in the preparation of the 990 form. League City 49ers/Gold Rush By-Laws 2012 Page 7 of 21
G. Athletic Director 1. Shall be responsible and have the overall authority to conduct the football program, in accordance with the rules and regulations of the Bay Area Football League, , Inc. and per the Presidents wishes and/or mutual agreement. 2. Shall appoint head coaches and coaching assistants for each team. 3. Shall monitor and enforce the club's coaches rules of conduct. 4. Shall verify that all player registration forms have been properly monitored. 5. Shall verify that all players assigned to team rosters are correct according to age and weight or re-assignment. 6. Shall check monitor sheets for compliance with the minimum play rule. 7. Shall be responsible for field preparation during the season, i.e. stripping of the field, announcers, chain gangs, monitors, field setup and clean-up crews. 8. Shall submit an annual budget for the football program. 9. Shall perform all other duties as may be prescribed from time to time by the President. H. Drill Director 1. Shall be responsible and have authority to conduct the drill, Cheer, and Mascot programs in accordance with the rules and regulations of the Bay Area Football, Inc. and per the President’s wishes and/or mutual agreement. 2. Shall appoint head coaches and assistant coaches for each team. 3. Shall monitor and enforce the club's coaches rules of conduct. 4. Shall verify that all participant registration forms have been properly monitored. 5. Shall verify that all participants assigned to team rosters are correct according to age. 6. Shall submit an annual budget for the drill, cheer and Mascot program. 7. Shall perform all other duties as may be prescribed from time and time by the President. I. Assistant Drill Director 1. Shall perform the duties of the drill director in the event of his/her absence, inability or refusal to perform said duties. Perform the duties of the Drill Directors, and when acting, shall have all the powers, but subject to all the restrictions set upon the drill director. 2. Shall assist the Drill Director with those duties assigned by the Drill Director. 3. Shall perform all other duties as may be prescribed from time to time by the President. J. Assistant Athletic Director 1. Shall in the absence of the Athletic Director or in the event of his/her inability or refusal to perform said duties, perform the duties of the Athletic Director, and when acting, shall have all the powers, but be subject to all the restrictions set upon the Athletic Director. 2. Shall assist the Athletic Director with those duties assigned by the Athletic Director. 3. Shall perform all other duties as may be prescribed from time to time by the President. K. Mascot Director 1. Shall be responsible for the Mascot Program in accordance with the rules and regulations of the Bay Area Football League, Inc. 2. Shall submit a budge to the Drill Director for approval by the Executive Board. 3. Shall perform all other duties as may be prescribed from time to time by the President. L. Team Parent (Mom) Coordinator- Football 1. Shall serve as a liaison between the Executive Board and team parents. 2. Shall ensure that each team is represented with a team parent. 3. Shall provide all team parents team contact lists. 4. Shall perform all other duties as may be prescribed from time to time by the President. M. Team Parent (Mom) Coordinator- Cheer/Drill/Mascot 1. Shall serve as a liaison between the Executive Board and team parents. 2. Shall ensure that each team is represented with a team parent. 3. Shall provide all team parents team contact lists. 4. Shall perform all other duties as may be prescribed from time to time by the President. N. Fundraising Coordinator 1. Shall be responsible for organizing and coordinating fundraising efforts for the club. 2. Shall with the treasurer keep an accurate, up to date record of all fundraising monies collected. 3. Monies collected shall be turned over to the treasurer within forty eight (48) hours of collection. 4. Shall perform all other duties as may be prescribed from time to time by the President. O. Special Events Coordinator 1. Shall coordinate and oversee special event projects as designated by the Executive Board. 2. Shall assist the team parent and fundraising coordinators as needed. 3. Shall perform all other duties as may be prescribed from time to time by the President. P. Corporate Sponsor Coordinator 1. Shall be responsible for organizing and coordinating sponsor efforts for the club with emphasis on corporate businesses. League City 49ers/Gold Rush By-Laws 2012 Page 9 of 21
2. Shall with the treasurer keep an accurate, up to date record of all corporate sponsor monies collected. 3. Will put together brochure to solicit sponsorship from medium to big business. 4. Shall perform all other duties as may be prescribed from time to time by the President. Q. Equipment Manager 1. Shall assist the Athletic Director in the maintenance of all equipment. 2. Shall keep proper records of issued to players and/or coaching staff. 3. Shall perform all other duties as may be prescribed from time to time by the President. R. Concession Director 1. Shall during the season oversee and supervise the operation of the concession stand. 2. Shall properly prepare and maintain the concession stand for inspection. 3. Shall provide a budget for approval by the Executive Board for cost of items needed for operation. 4. Shall perform all other duties as may be prescribed from time to time by the President. 4.24 The current Bay Area Football League, Inc. official rules and regulation manual shall become a part of the club's by-laws. This official manual shall take precedence of any conflict or interpretation of these by-laws. This manual may be amended by a simple majority vote of the Bay Area Football League's Presidents in a quorum session. Note: The approved Gold Rush handbook, sponsorship criteria, scholarship criteria, ground rules, coaches code of conduct, players code of conduct, and parents code of conduct, photography consent, medical & travel release form will be amended to these by-laws. Changes to such by a majority vote of said committees with the Executive Board's approval. 4.25 Upon dissolution of the club, the club shall after paying or making provisions for the payment of all the liabilities of the club, dispose of all liabilities of the club, dispose of all the assets of the club exclusively for the purposes of club in such a manner, or to organizations or organized and operated exclusively for charitable, education, religious or scientific purposes as shall, at the time qualify as an exempt organization under 501(c)(3) of the Internal Revenue Code of 1954, as the club shall be disposed of by a court or competent jurisdiction of the county in which the principle office of the club is located, exclusively for such purpose to such organization or organizations as said court shall determine, which are organized and operated for such purposes. 4.26 All sales of any kind must be approved by the Executive Board at a special meeting. A. Club Vendors shall not be current year members, coaches, Board Members, spouses, significant others or related family members. League City 49ers/Gold Rush By-Laws 2012 Page 10 of 21
5. Amendments to the Constitution and Bylaws 5.01 The constitution and by-laws of the club may, by a two thirds majority vote, quorum being present be altered or amended at a regular or special meeting held in conformity with the constitution and by-laws, provided such changes has been submitted in writing and has been read to the membership at a previous meeting. Purposed changes shall not be in conflict with the by-laws of the conference or the Bay Area Football League, Inc. 6. Conduct and Sportsmanship 6.01 All club officials, volunteers and membership will follow the rules of conduct as stated in the coach’s rules of conduct of the Bay Area Football League, Inc. 6.02 Persons who display poor conduct or poor sportsmanship at any League City 49ers, Gold Rush or Bay Area Football League Inc, function will be placed on probation and/or suspension at the discretion of the Executive Board, no matter the severity of the infraction. 6.03 Once a boy’s team has been filled by either pre-registration or open registration, it is only at this time that a call list will be started in the anticipation that a position may come open for that season. When final rosters have been submitted to BAFL, the call list(s) will be destroyed for that season. There will not be any carryover from one season to the next. Form 3: BAY AREA FOOTBALL LEAGUE, INC. CLUB DISCIPLINARY RULES THE EXECUTIVE BOARD WOULD LIKE TO INFORM OUR MEMBERS OF SOME IMPORTANT CLUB AND LEAGUE RULES: 1. BOYS AND GIRLS ARE EXPECTED TO FULLY PARTICIPATE IN ALL PARACTICES UNLESS ILL OR INJURED. 2. FOLLOWING OUR FIRST GAME, PRACTICE WILL BE LIMITED TO THREE DAYS A WEEK. 3. TO BE ELIGIBLE TO PLAY ON STURDAY (FOOTBALL AND DRILL TEAM) BOYS AND GIRLS MUST PARTICIPATE IN AT LEAST TWO PRATICES IF THEY ARE HELD, AND ONE IF TWO ARE HELD. NOTE: COACHES HAVE THE DISCRETION OF CHOOSING WHAT TYPE OF WORKOUT THEY WANT BOYS AND GIRLS RETURNING TO PRACTICE FOLLOWING AN ILLNESS OR INJURY – HEAVY DUTY, LIGHT DUTY, ETC. BUT WHATEVER IS CHOSEN, IT MUST APPLY EQUALLY TO ALL TEAM MEMBERS IN THIS SITUATION. 4. BOYS/GIRLS WHO HABITUALLY MISS ONE PRACTICE WEEKLY WILL BE DECLARED INELIGIBLE TO PARTICIPATE IN THE NEXT SCHEDULED GAME. 5. BOYS AND GIRLS WHO ARE INJURED AND RECEIVE TREATMENT FROM A DOCTOR MUST HAVE A MEDICAL RELEASE IN ORDER TO RETURN TO PRACTICE OR PLAY. 6. BOYS AND GIRLS WHO ARE INELIGIBLE TO PLAY/DANCE IN THE GAME SHOULD COME TO THE GAME AND SIT BENCH WITH THE TEAM (FOOTBALL PLAYERS WITHOUT SHOULDER PADS). 7. BOYS AND GIRLS GUILTY OF PERSISTENT UNCORRECTABLE MISCONDUT MAY BE SUSPENDED FROM PARTICIPATION UPON ACTION OF THE BAFL CLUB EXECUTIVE BOARD. 8. BOYS AND GIRLS MUST PARTICIPATE, EXCLUDING ILLNESS OR INJURY IN THE ENTIRE SEASON IN ORDER TO BE ELIGIBLE FOR POST SEASON AWARDS, ETC. 9. ALL FOOTBALL AND DRILL TEAM EQUIPMENT FURNISHED BY THE CLUB IS CLUB PROPERTY AND SHALL BE RETURNED IMMEDIATELY FOLLOWING ACTIVE PARTICIPATION WITH THE CLUB, OR THE FINAL GAME OR PERFORMANCE OF THE SEASON. 10. BOYS AND GIRLS WHO REGISTER AND PRACTICE WITH A BAFL CLUB MAY QUIT IF THEY DESIRE, HOWEVER, THEY CANNOT REGISTER WITH ANOTHER BAFL CLUB UNTIL THE NEXT SEASON. 11. BAFL REQUIRES ALL FOOTBALL PLAYERS TO RECEIVE A MINIMUM OF 16 PLAYS IN ALL GAMES UNLESS LATE FOR A GAME WHICH DEDUCTS 4 PLAYS FOR EACH QUARTER MISSED. 12. BECAUSE BOOSTER CLUBS DEPEND HEAVILY ON CONCESSION SALES FOR REVENUE, NO ONE WILL BE ALLOWED TO BRING OUTSIDE FOOD OR BEVERAGES TO ANY FIELD ON GAME DAYS.
