North Springs Improvement District August 13, 2021 Attn: District Clerk 9700 NW 52nd Street Coral Springs, FL 33076 RE: Heron Bay Town Center - RFP #2021-042 North Springs Improvement District Triple Five Worldwide is pleased to submit the attached proposal in response to Sale & Development of District Owned Property request for proposals. For this property Triple Five has created a single purpose entity called “Metro Intercontinental, LLC” Triple Five (“Developer”) wishes to secure approvals and build one of the truly outstanding Town Centers in the United States. The project design is inspired by the most successful and active such venues and is to be anchored by Somerset Academy Charter School, Life Time, a specialty grocer such as Whole Foods and curated quality dining options. The “village green” will be a place for the community to build memories and simply enjoy life in Broward County. The creation of special places is our strength. However, securing the approvals that allow for these landmarks is equally challenging. In this case there are two cities, a seller with jurisdiction, and a homeowners’ association protecting the quality of life of its members. The interests of all must be managed successfully for this vision to be realized. The approval challenge is always the first step in this road to creation: we are up to the task. FIRM OVERVIE W JULIO ROBAINA Academica Principle Julio Robaina’s career started and remains in the heart of Florida. Julio attended the University of Miami’s School of Business Administration. He later obtained a Bachelors in Organizational Leadership jrobaina@academica.org from Saint Thomas University. Julio co-founded the commercial and multi-family department at O.K Realty Inc. after advancing his way through the company. He later founded Univest Realty & Management as well as Univest Construction and Development. His company specialized in the development, marketing and management of single and multi-family homes. November of 1997 would be a turning point for his career. Julio was elected by popular vote, to a four year term, to be a member of the legislative body of the government of the city of Hialeah. He was elected to serve as Council President and was re-elected without opposition for anther four year term. In August of 2005 Julio was elected City of Hialeah Mayor and re-elected for an additional four years. After his tenure as City of Hialeah Mayor, he founded JRRV Ventures, a corporation specialized in the development and permitting of commercial and multi-family residential projects. Home to the new Doral City Hall, a neighborhood elementary school, a three-acre park and over 15,000 new residents, the new Main Street is lined with signature restaurants and shops supported by structured parking. The design intentionally creates an inviting entrance to Downtown and a street scape that promotes community interaction and engagement. PINES CIT Y CENTER Pembroke Pines, FL 300,000 SF | Mixed-Use Village RSP’s master plan for Pines City Center creates a mixed- use village in one of Broward County’s most populous cities. The traditional suburban center takes a more urban, neighborhood approach by creating well landscaped plazas, pedestrian connections, articulated storefronts and a streetscape rhythm that showcases the tenants. COCOWALK Coconut Grove, FL Mixed-Use Retail & Restaurants| Class-A Office The repositioning of CocoWalk began with a central theme. a plan to return the development to its rightful status by stripping away the bling of yesteryear for the authenticity of the local Coconut Grove community. RSP brings a true mixed-use sensibility to the scheme, layering components and assembling diverse tenants that complement rather than compete. Inspired by other classic Florida town centers like Seaside, Celebration and Winter Park, Heron Bay is based on a timeless hometown model—a village green surrounded by shops, restaurants, outdoor dining and connected by walkable, landscaped footpaths. Pocket parks, plazas and outdoor rooms enhance the sense of place and give the community and visitors a chance to make great memories. The scale and character of Heron Bay Town Center will give the residents of Coral Springs and Parkland a classic hometown atmosphere, with places to dine, relax and come together. TERM SHEET A single asset entity owned wholly by the Developer will purchase the property under the following terms and conditions: 1.The Property shall consist of the entire 65 acres as described in the RFP 2.Purchase Price $30,000,000 paid in cash at Closing. 3.The title to the Property shall free and clear of any encumbrances except ad valorem real estate taxes and the restrictions agreed to by the Purchaser with the Cities of Parkland and Coral Spring. APPROVALS The Purchaser is a large real estate developer and operator funding projects primarily internally with equity from the principals and debt secured by lenders with a long history. The principals have signed off on this proposal and have authorized James Grindstaff and Bob Gorlow to submit it. CAPITALIZATION The Purchaser expects to fund the project with equity and debt at commercially available levels. Equity would be internal or from partners that may be added as some of the participants, such as the Charter School and Lifetime, are interested in investing and owning their own parcels. APPROVAL EXPERIENCE The team recently completed the approvals for the 7.2 million sf, $4 billion American Dream Miami entertainment/retail venue in Miami-Dade County, the future of entertainment and retail, and the 200-acre Space Coast Town Center in West Melbourne, FL, the walkable community for the Space Coast employers and employees. (See experience) In addition, the team has completed approvals for an 850-home revolutionary design in Santa Fe, NM, with the centerpiece, a town center around a one-acre plaza, and the rezoning of the existing community along Martin Luther King Park in West Palm Beach. The Developer perceives that considerable effort, time, and money will be necessary to coordinate with the two Cities, Homeowners’ Association, the Seller, and possible the County, State, and certain Federal Agencies (Army Corp) in securing approvals for the project. In its applications, the Developer must respond to each entity and its legal staff : there is no central governing authority to grant approvals. Consequently, the approval process will be long and complex. NORTH SPRINGS IMPROVEMENT DISTRICT PUBLIC ENTITY CRIMES AFFIDAVIT I understand that a “public entity crime” as defined in Paragraph 287.133(1)(g), Florida Statutes, means a violation of any state or federal law by a person with respect to and directly related to the transaction of business with any public entity or with an agency or political subdivision of any other state or of the United States, including but not limited to, any bid or contract for goods or services to be provided to any public entity or an agency or political subdivision of any other state or of the United States and involving antitrust, fraud, theft, bribery, collusion, racketeering, conspiracy, or material misrepresentations. I understand that “convicted” or “conviction” as defined in Paragraph 287.133(1)(b), Florida Statutes, means a finding of guilt or a conviction of a public entity crime, with or without an adjudication of guilt, in any federal or state trial court of record relating to charges brought by indictment or information after July 1, 1989, as a result of a jury verdict, non-jury trial, or entry of a plea of guilty or nob contendere. I understand that an “affiliate” as defined in Paragraph 287.133(1)(a), Florida Statutes, means: 1. A predecessor or successor of a person convicted of a public entity crime; or 2. An entity under the control of any natural person who is active in the management of the entity and who has been convicted of a public entity crime. The term “affiliate” includes those officers, directors, executives, partners, shareholders, employees, members, and agents who are active in the management of an affiliate. The ownership by one person of shares constituting a controlling interest in another person, or a pooling of equipment or income among persons when not for fair market value under an arm’s length agreement, shall be a prima facie case that one person controls another person. A person who knowingly enters into a joint venture with a person who has been convicted of a public entity crime in Florida during the preceding 36 months shall be considered an affiliate. I understand that a “person” as defined in Paragraph 287.133(1)(e), Florida Statutes, means any natural person or entity organized under the laws of any state or of the United States with the legal power to enter into a binding contract and which bids or applies to bid on contracts for the provision of goods or services let by a public entity, or which otherwise transacts or applies to transact business with a public entity. The term “person” includes those officers, directors, executives, and partners, shareholders, employees, members, and agents who are active in the management of an entity. Based on information and belief, the statement, which I have marked below, is true in relation to the entity submitting this sworn statement.
