investors in Italy resumed at full speed in the second half of 2020,
so much so that the number of deals for the whole 2019 was
eventually surpassed by momentum. But the way of working has
changed, with much more focus than before on working on one's
own equity portfolio.
BeBeez Private Data, the BeBeez private capital database, has
calculated that 360 private equity deals were announced or closed
last year. The number is surprising, given that in 2019 as a whole
there were 317 deals and that 2020 had to discount the Covid-19
effect. But there is an explanation for the fact that the Covid effect
seems to have been fully absorbed.
To ensure that the M&A activity could continue, buyers and sellers
got used to dealing in different ways, aware of the fact that in
reality none of them can really imagine today what the results of
the companies being acquired will be tomorrow, because the impact of the Covid crisis was and remains only estimable, but no
one has any real elements of certainty. It is for this reason that more and more M&A agreements are concluded with a base price
to which a further component, known as an earn-out, is added if the company achieves certain budget objectives in the following
year, or by providing that the entrepreneur reinvests in the company, perhaps in the form of a vendor loan, preferably structured
as a bond, which can be more easily negotiated than junior financing lines.
Boom in add-ons. The number of deals mapped by BeBeez Private Data includes investments by private equity investors in
the broadest sense, i.e. not just funds and their subsidiaries, but also investment holding companies and club deals by private
investors. And it also includes 30 divestments to industrial entities, to entrepreneurs or on the market, in the case of companies
that have subsequently been listed.

closed, half of which were add-ons, i.e. acquisitions by companies already in the portfolio of private equity investors. This trend
was also confirmed in the second half of the year, when, however, direct investments also resumed in a more important way, and
so in total since the beginning of the year there have been 133 direct investments by private equity funds (they were 149 in
2019) against 125 add-ons on Italian companies (only 63 in 2019), in addition to another 13 add-ons conducted on foreign
targets (against 15 in 2019) by Italian companies in which the funds hold stakes.
Restructuring deals involving funds entering the capital of companies also increased, although the number is still limited
compared to the number of deals in progress, which are much higher. In line with last year, the number of deals carried out by
club deals, deals on energy production plants and divestments were also up. The number of business combination transactions
with Spacs fell: only one during the year compared to 6 in 2019.
The statistics already include some mega-deals that have been announced although not yet concluded. Such as the FiberCop
broadband deal between TIM and KKR Infrastructure and the deals involving Cdp Equity and the various private equity funds
that are shareholders in Nexi, Sia and Nets in the electronic payments sector, as well as the deal on Borsa Italiana, with Cdp
Equity once again playing a leading role. Other billion-dollar deals have yet to be signed: Open Fiber, Lega Calcio Serie A and
Autostrade per l'Italia.
Overall, however, it is clear that, after a first part of the year dampened by the effects of the first lockdown, M&A activity has
resumed at full speed. Not that doubts about the prospects of the various businesses have really dissipated, in light of the stop-
and-go of production and the possibility of consumption. What has changed is the attitude of investors and entrepreneurs. On the
one hand, people have become accustomed to the new scenario and are more willing to accept longer payback periods and higher
risks, and on the other hand, they are more willing to accept prices that are less rich and linked to the actual results that companies
will bring home in the future.
