2023 WINTER TRUSTEE CONFERENCE For over 105 years, the Minnesota Hospital Association (MHA) has worked with hospitals and health systems as they provide high-quality care to patients and meet the needs of their communities. MHA’s three core strategic pillars are service, advocacy, and improvement. Our trustees are the fabric that bridges the three core pillars to serve communities, advocate for patients, and improve quality. MHA’s best-in-class education and training opportunities are designed to equip health care leaders as they strive for excellence within their role. Trustees are champions for their facilities they serve and MHA’s comprehensive training for this leadership cohort will prepare them for success in their role. As we start a new year, we are excited for the opportunity to hold this event in person for the first time since January 2020. In addition, we are excited to offer a virtual attendance option for the 2023 Winter Trustee Conference. We also have heard your feedback and we have moved this conference to weekdays and we are offering a trustee and advanced trustee certification track. You will notice we are once again offering a bootcamp on the first day of our conference. The bootcamp is meant for newer trustees or any members who would like to get a refresher on issues impacting Minnesota’s hospitals and health systems. The conference will continue on Friday, Jan. 13, 2022 and will feature trustee certification and advanced trustee certification tracks. With the leadership of the MHA Trustee Council, this year’s Winter Trustee Conference programming was designed to include topics requested by trustees statewide. By attending this hybrid event, trustees will gain a deeper knowledge on topics that are impacting hospitals and health systems and earn credits towards their trustee certification. Introduction to MHA Rahul Koranne, M.D., MHA president and CEO Thursday, Jan. 12, 2023 - 9:15 - 10 a.m. This session will provide trustees with an overview of the history, mission, and values of MHA. Learn more about MHA’s three core strategic pillars of service, advocacy, and improvement and how they guide our daily work. A board’s fiduciary duties and its relationship with medical staff Steve Lokensgard, partner Faegre Drinker Biddle & Reath LLP and Aaron Dobosenski, associate Faegre Drinker Biddle & Reath LLP Thursday, Jan. 12, 2023 - 10 - 11 a.m. In this session we will discuss certain fundamental fiduciary duties that are expected of a board and each board member, and how some of those duties apply in a health care setting. As part of that discussion, we will discuss a framework for looking at an organization’s risks, and distinguish between compliance risks, legal risks, and enterprise risk management. Finally, we will discuss the Board’s relationship with hospital and health system medical staff. State advocacy Mary Krinkie, MHA vice-president government relations Thursday, Jan. 12, 2023 - 11:15 - 11:45 a.m. This session will provide the most up to date insights on current legislative issues of highest concern to hospitals and health systems, including but not limited to workforce challenges, budgets, and mental health issues. Krinkie will share reflections on the role that hospital and health system leaders can play in helping to turn our challenges into opportunities. Federal advocacy Bob Hume, MHA vice-president of policy Thursday, Jan. 12, 2023 - 11:45 a.m. - 12:15 p.m. Attendees will discuss the latest news and pending legislation as a new Congress takes shape in 2023, an overview of Biden administration priorities going into the 2024 election cycle, and advocacy insights on how MHA is helping members reach and engage Minnesota’s congressional delegation on top priorities. 3
2023 WINTER TRUSTEE CONFERENCE Financial status of the sector Joe Schindler, vice-president of finance policy and analytics Thursday, Jan. 12, 2023 - 1:15 - 2 p.m. Evaluating your organization’s financial and operational key performance metrics is a critical function of trustees. This session will review the differing sources of hospital and health system revenue, including Medicare, Medicaid, commercial payers, and increasing organizational expenses. Trustees will gain insights into revenue and expense trends to understand the delicate balance of sustainable health care financing. Introduction to governance for quality Jenny Schoenecker, MHA associate vice-president quality and safety Thursday, Jan. 12, 2023 - 2 - 2:45 p.m. Board members play an important role in achieving performance improvement and should have a deep understanding of its role in overseeing an organization’s quality improvement and safety initiatives. This session will highlight the need for governance of health care quality, define and demonstrate how boards ensure high-quality care, and examine the differing roles of boards versus health care leadership in overseeing and ensuring quality. Health care workforce update Blake Chaffee, MHA senior director data analytics Thursday, Jan. 12, 2023 - 3 - 4 p.m. The health care workforce crisis has significantly worsened over the last two years. MHA and members have identified workforce as a key focus area for finding solutions. This session will provide attendees with an overview of the current status of health care workforce needs both locally and nationally. Attendees will also learn about the MHA workforce data tools and best practices to strengthen hospital and health system workforce now and into the future. Opening message: Everybody Just Breathe Amanda Peterson, CNP, Allina Health Friday, Jan. 13, 2023 - 9:15 - 10 a.m. Amanda Peterson is a Twin Cities’ nurse and accidental author. Peterson volunteered to work on the COVID-19 ICU in March of 2020 and would spend much of the next two years within those walls. She documented her experience in a book called Everybody Just Breathe: A COVID Nurse Memoir of Stamina and Swear Words. 4
2023 WINTER TRUSTEE CONFERENCE MHA workforce: solutions for the future Hilary Marden-Resnik, president and CEO, UCare Joe Kalkman, executive vice president, chief administrative officer, chief human resources officer, CentraCare Blake Chaffee, MHA senior director data analytics Friday, Jan. 13, 2023 - 10 - 10:45 a.m. This discussion will build upon the boot camp discussion. The world is short staffed, and health care is no exception. Minnesota’s recently released workforce report showed that one in five health care positions are open. With support from the UCare Foundation, the MHA workforce committee created a new workforce road map that is now available to Minnesota hospitals and health systems to aide in how their organization is rethinking recruitment and retention. This session will provide an overview of the workforce roadmap and provide insights on how it is improving success for organizations that are working with it. Health care trends Rahul Koranne, M.D., MHA president and CEO Friday, Jan. 13, 2023 - 11 a.m. - 12 p.m. In these unprecedented times, what priorities should hospitals and health care system boards focus on to prepare for the future? As organizations manage through the pandemic, we expect continued disruption to be the norm, and pathways to success will increasingly depend on collaboration, innovation, and digitization. This session will cover important health care trends shaping the industry to assist in organizational strategy. Trustee track: Strategy and Innovation: Capitalizing on your CHNA Kim Hunwardsen, partner tax-exempt organizations practice leader, Eide Bailly Adam Strom, senior manager health care strategic planning, Eide Bailly Friday, Jan. 13, 2023 - 1:15 - 2 p.m. Community Health Needs Assessments (CHNA) are required for private, non-profit hospitals and can seem like a burden. If it’s something you have to do, why not get more out of it? The data and input obtained throughout the CHNA process can be invaluable for informing your organization’s strategic direction. This session will describe CHNA requirements and various processes and will illustrate how going beyond the minimum can strengthen your organization’s strategy. Advanced trustee track: Advocacy on the next level Mary Krinkie, MHA vice president of government relations Friday, Jan. 13, 2023 - 1:15 - 2 p.m. Join Mary Krinkie and members of the MHA advocacy team for an advanced advocacy discussion and training. The session will cover the next steps of advocacy, including how to identify and articulate the needs of your hospitals and our communities, as well as how to build relationships with key decision makers on all levels of government. 5
2023 WINTER TRUSTEE CONFERENCE Trustee track: 340B drug pricing primer Joe Schindler, MHA vice-president of finance policy and analytics Friday, Jan. 13, 2023 - 2 - 2:45 p.m. The 340B drug program was designed to provide discounts on drugs to eligible entities such as hospital outpatient settings, rural referral centers, sole community hospitals, free-standing cancer hospitals, and critical access hospitals. Providers typically save 25-50% on outpatient drug costs through participation in the program. The benefits include increased financial support that enables hospitals and health systems to provide better care, improve patient outcomes, and help the vulnerable and uninsured gain access to the discounted medications they need. This session will provide you with an overview of the program and potential future federal changes. Advanced trustee track: Strategic governance Laura Nelson, partner Stinson LLP Friday, Jan. 13, 2023 - 2 - 2:45 p.m. What makes a good board even better; being strategic! Learn how to leverage your governance knowledge and resources to ask the right questions, grow partnerships in your community, and build a stronger board. Trustee track: Effective governance Laura Nelson, partner Stinson LLP Friday, Jan. 13, 2023 - 3 - 4 p.m. Trustees will learn the basic principles to be a good board member. During this session, trustees will learn about the principles of effective governance including fiduciary duties, compliance, and risk management. Advanced trustee track: Digging deeper into 340B Friday, Jan. 13, 2023 - 3 - 4 p.m. This session will delve into attributes of the 340B program that should be considered to maximize the effectiveness of the program. Details related to free or discounted drug programs for patients, contract pharmacy usage, specialty drug, and referrals capture will be discussed along with emerging threats to the program and the status of those challenges. 6

Audience The conference is specifically designed for hospital and health system leaders including trustees, physician board members, and c-suite leaders. Bootcamp This is intended for new trustees or any members who would like a refresher on issues impacting hospitals and health systems. This will be offered on Thursday, Jan. 12, 2023. Hotel information The hotel is offering a discounted rate for meeting participants. This rate is good until Dec. 21, 2022. Certification Trustees participating in MHA’s board certification program can earn up to 9.5 credits toward certification. Component area of credit is listed in red under each session description. Appropriate credit will be given to trustees who fill out certification forms and attend sessions. Continuing education The content of this conference is being reviewed for clock hours by the Minnesota Board of Examiners for Nursing Home Administrators (BELTSS). The quantitative value assigned will be indicated on the certificate of attendance awarded to participants who attend sessions.
