2018 CLE Forum, Indianapolis Schedule of Sessions Plenary Session: 12:00 – 1:00 p.m. Course: P1 Title: Why Executive and Legislative Branch Lobbying is Good for Business – If You're Not at the Table, You're on the Menu Speakers: Lawren Mills & Kip Tew Time: 60 minutes (1.0 general credit hours) Course Summary: Legislatures across the country affect business every day they meet. While it is critical to have legal help in many of the endeavors of business, the ability to affect public policy to help your business should also be considered. The more heavily regulated a business is, the more important it is to have advocates looking out for your business interests. But even if a business is not heavily regulated, many aspects of governmental policy affect your bottom line. About our Speakers: Lawren Mills, Partner – Ice Miller LLP (Indianapolis, IN) Lawren Mills is an Ice Miller partner concentrating on state and federal public affairs management, including legislative monitoring and representation, public-private partnership coordination, administrative law and government procurement, campaign finance and election law compliance. Lawren previously served as the senior policy director and legislative director for then-Indiana Governor Mitch Daniels. During her five years as advisor to the governor, she focused on issues relating to Medicaid, SNAP, TANF, and various other matters ranging from child welfare issues, public health, and insurance regulation. Lawren also helped lead a state team tasked with analyzing and implementing Indiana’s response to the Patient Protection and Affordable Care Act. Kip Tew, Partner – Ice Miller LLP (Indianapolis, IN) Kipper (Kip) Tew concentrates his practice on public affairs and municipal law, including smart cities and IoT, gaming, alcohol, utilities, and campaign finance. Kip has also been actively involved in the political process. He was the state chair of the Barack Obama presidential campaign in Indiana. He is also the former chairman of the Indiana Democratic Party. Kip also served as chief legal counsel to then Minority Leader and previous Speaker of the House, Representative B. Patrick Bauer. He has been an adviser in various statewide campaigns, including campaigns for the secretary of state and the United States Senate. In addition, he served as deputy campaign manager for Governor Joe Kernan. Kip was part of the state task force to restructure Indiana's tax code. Session 1: 1:10 – 2:10 p.m. Course 1a Title: When Good Customers (or Suppliers or Vendors) Go Bad – Minimizing the Impact of Their Financial Distress on Your Business Speakers: Jeff Hokanson & John Cannizzaro Time: 60 minutes (1.0 general credit hours) Course Summary: The presenters will provide practical information and steps to take to prevent or minimize the impact of a supplier's, vendor's or customer's financial difficulties, measures to observe in ongoing operations to identify or predict that their trading partners may be experiencing financial difficulties, and best practices for responding when the financial difficulties of their trading partners become their problem. About our Speakers: Jeff Hokanson, Senior Counsel – Ice Miller LLP (Indianapolis, IN) Jeff Hokanson is a commercial attorney in Ice Miller’s Business Group, with broad experience in matters involving all manner of contract formation and disputes. In this regard, he advises clients on a wide spectrum of issues related to their contractual relationships with suppliers, vendors and customers, including in particular secured transactions and other issues addressed by the Uniform Commercial Code. Jeff’s practice includes guiding and representing secured and unsecured lenders in the creation and enforcement of their loan documents and security instruments, and he has litigated commercial disputes in state and federal courts within Indiana. Secondarily, Jeff is experienced with disputes involving real estate, including enforcement of purchase agreements, easements, and commercial landlord tenant disputes. John Cannizzaro, Associate – Ice Miller LLP (Columbus, OH) John Cannizzaro is an associate in Ice Miller’s Bankruptcy and Financial Restructuring Group where he focuses his practice on debtor/creditor issues, commercial and bankruptcy litigation, insolvency, and workouts. Prior to joining Ice Miller, John clerked for two federal bankruptcy judges. He served for five years as a law clerk to the Honorable Judge Hannah L. Blumenstiel in the United States Bankruptcy Court for the Northern District of California and for more than two years as a law clerk to the Honorable Judge Charles M. Caldwell in the United States Bankruptcy Court for the Southern District of Ohio. While clerking, John researched, briefed, and drafted orders and opinions for hundreds of contested matters and adversary proceedings. Course 1b Title: Software, SaaS Services, and Cloud-Based Vendor Contracts – Key Concepts and Negotiation Strategies Speakers: Dustin Dubois Time: 60 minutes (1.0 general credit hours) Course Summary: This presentation will explore some of the key provisions attorneys and others involved with procurement of SaaS and other software applications should understand. Discussion topics will include concepts such as acceptance testing, milestone based payment structures, uptime and service level considerations, statements of work and business/functional requirements, key personnel, data security and related provisions, intellectual property ownership and licensing structures, and others. About our Speaker: Dustin Dubois, Partner – Ice Miller LLP (Indianapolis, IN) Dustin DuBois is a partner with Ice Miller and concentrates his practice in various facets of intellectual property and transactions. Dustin designs strategies for clients' intellectual property portfolios based on their goals as well as market expectations, securing patents, trademarks and other forms of intellectual property. Course 1c Title: The Impact of New Trade Policies on U.S. Business (and How to Deal with Them) Speakers: Tom Lynch, Dale Stackhouse, Meghann Supino Time: 60 minutes (1.0 general credit hours) Course Summary: 2018 has seen a lot of Presidential and administrative agency action that affects U.S. businesses that do business or source materials internationally. Steel and aluminum tariffs, a trade war with China, increased enforcement of antidumping laws, sanctions against businesses affiliated with Russian oligarchs, changes to rules regulating foreign investment in U.S. companies through the CFIUS process, and efforts to renegotiate trade agreements (like NAFTA) are creating uncertainty and increasing costs for many U.S. businesses. We will look at what the Trump administration is trying to accomplish, what these new developments mean for U.S. businesses, and how you can plan for—and respond to—these changes. Tom Lynch, Principal – Ice Miller Strategies LLP; Staff Attorney, Ice Miller LLP (Washington, D.C.) Drawing upon years of Senate and House experience, Tom Lynch provides Ice Miller Strategies’ clients with tailored representation across a number of authorizing committees in both chambers. Prior to joining Ice Miller Strategies as a principal, he was key to several of the most significant laws enacted over the last half- decade when he worked for Sen. Max Baucus (D-Mont.). He served as the staff director for the Transportation and Infrastructure Subcommittee within the Environment Public Works Committee. Throughout the Moving Ahead for Progress in the 21st Century (MAP-21) reauthorization effort, he managed drafting, negotiation and consensus-building efforts to produce the largest bill Congress enacted in the 112th Congress. The result was a $109 billion, 27-month law providing federal funding to support the U.S. highway and transit infrastructure. He also separately negotiated the federal-aid distribution provisions in the 2009 American Recovery and Reinvestment Act, which provided approximately $27 billion in highways funding and another $8.4 billion in transit funding to the states. In addition, he addressed Labor matters for Sen Baucus. Dale Stackhouse, Partner – Ice Miller LLP (Indianapolis, IN) Dale Stackhouse chairs Ice Miller's International Group and co- chairs its Regulatory Compliance Group. His practice focuses on international trade, regulatory compliance, investigations, commercial agreements and foreign investment. In addition, Stackhouse handles a variety of general business, corporate and transactional matters for domestic and international clients. Dale has done extensive work for clients in various manufacturing industries, including steel, automotive, inks and printing, glass, plastics, chemicals, films, industrial and agricultural machinery, military parts and equipment and medical devices. Course 1d Title: Executive Compensation Speakers: Marc Sciscoe & Tara Schulstad Sciscoe Time: 60 minutes (1.0 general credit hours) Course Summary: This session will provide an overview of the various ways in which executive compensation can be provided and the advantages and disadvantages of the available alternatives. It will include a discussion of the legal requirements applicable to executive compensation programs, with a focus on tax, ERISA (where applicable), and securities laws. Topics covered with include deferred compensation, equity-based compensation, phantom stock, stock appreciation rights, other types of synthetic equity, and profits interests. Finally, the session will discuss best practices administering executive compensation programs. About our Speakers: Marc Sciscoe, Partner – Ice Miller LLP (Indianapolis, IN) Marc represents employers of all types on matters relating to their employee benefit and executive compensation programs. He assists employers ranging from small professional corporations to large multi-national companies in structuring and administering retirement, health, equity compensation and various other types of benefit and incentive compensation programs. He also represents employers in disputes involving their benefit plans, with such disputes ranging from individual benefit claims to large class actions involving complex tax and fiduciary issues. Marc has worked with a number of private and public employers to establish incentive compensation programs for investment professionals. Session 2: 2:20 – 3:20 p.m. Course 2a Title: Common Leasing Issues for In-House Counsel Speakers: Michael Tirman, Katie Marschke, & Greg Gorospe Time: 60 minutes (1.0 general credit hours) Course Summary: This seminar will provide a brief overview of leases and common questions and issues that can arise during a lease negotiation. Topics will include: (a) typical lease provisions in office, retail, and industrial contexts, (b) common issues that may arise during negotiations, (c) common issues with healthcare-related leases, (d) handling tenant improvements, and (e) insurance. About our Speakers: Michael Tirman, Associate – Ice Miller LLP (Indianapolis, IN) Michael (Mike) Tirman is an associate in Ice Miller’s Real Estate Group. He advises and represents clients in all areas of real estate law, including acquisitions and dispositions, finance, development, leasing, land use and zoning, entity structuring, and joint ventures. In 2015, Mike graduated cum laude from Northwestern University School of Law and served as Managing Editor of the Northwestern University Law Review. He externed for the Honorable Virginia M. Kendall in the United States District Court for the Northern District of Illinois. In his final year of law school, he was selected as a Pritzker Legal Research Fellow. Katie Marschke, Associate – Ice Miller LLP (Indianapolis, IN) Katie Marschke is an associate in Ice Miller’s Real Estate Group. She advises and represents developers of commercial, retail, and residential properties, as well as local municipalities in all areas of real estate transactions, including leasing, acquisitions and dispositions, finance, and land use. Katie practiced as a business litigator at Ice Miller for four years before transitioning to real estate. Katie continues to assist clients with disputes amongst landlords/tenants, contractors, and neighbors both before and during litigation. She received her Bachelor of Science in hospitality and tourism management at Purdue University in 2009, graduating with high distinction. Her focus was restaurant management. Katie attended law school at Pennsylvania State University, the Dickinson School of Law in State College, Pa. She graduated magna cum laude and received her juris doctor in 2013. fraternity. Greg Gorospe, Partner – Ice Miller LLP (Columbus, OH) Greg Gorospe is a partner in Ice Miller’s Real Estate Group. He helps clients assemble joint ventures, obtain or issue financings, complete acquisitions and dispositions, negotiate construction contracts, development agreements and leases, and navigate workouts and distressed asset transactions. Greg has extensive experience in the multifamily housing, telecommunications, healthcare and retail sectors. He has also represented clients in public/private partnerships for parking, road and other infrastructure projects. Greg has helped real estate developers and equity partners to create joint ventures and obtain bank and public financing to develop multifamily housing communities, medical campuses and shopping centers. Course 2b Title: Winning in IP – Offensive and Defensive Strategies for Today’s World Speakers: Christine Hansen & Aaron Ettelman Time: 60 minutes (1.0 general credit hours) Course Summary: A discussion of IP issues that many entities face today, including infringement allegations from non-practicing entities, post grant challenges, protecting computer and internet related investments, and others, along with both offensive and defensive approaches for dealing with these issues in today’s patent hostile environment. About our Speakers: Christine Hansen, Partner – Ice Miller LLP (Indianapolis, IN) Christine Hansen is a partner in Ice Miller’s Intellectual Property Group. She has over twenty years of experience counseling life sciences and chemical companies on patent prosecution, due diligence, and freedom-to-operate issues. Christine works extensively with innovator pharmaceutical companies and handles Orange Book submissions, patent term extensions, and other issues at the intersection of patent and FDA law. In the agriculture industry, Christine has worked extensively on patent freedom-to- operate issues for genetically modified crops and on the patenting of novel plant genes. Course 2c Title: Health Care Network Management – New Changes and Risks in the IoT Era Speakers: Kim Metzger & Lindsay Miller Time: 60 minutes (1.0 general credit hours) Course Summary: We are in the midst of the Fourth Industrial Revolution, in which modern information systems interact with the physical world to generate volumes of person-centric data in real time. The Internet of Things (IoT) creates unprecedented new uses for internet- enabled devices, and heightens the demand for high-speed connectivity. In no industry has the IoT had as profound an effect as in health care. The use of telemedicine and associated applications to monitor patients, personnel, and medical devices is expanding within the health care sector at an accelerated pace. While this brave new technology increases access and helps manage costs, cybersecurity challenges can create risk that threatens to overshadow the anticipated benefits. A robust risk management program helps providers and suppliers identify threats and vulnerabilities, reduce risk to a reasonable and acceptable level, and meet compliance requirements. Kim Metzger, Partner – Ice Miller LLP (Indianapolis, IN) Kim Metzger is a partner in Ice Miller's litigation group, concentrating her practice in drug and device litigation and data security and privacy, particularly HIPAA privacy compliance. She is a member of the International Association of Privacy Professionals (IAPP) and is a Certified Information Privacy Professional (CIPP) and Certified Information Privacy Manager (CIPM) through that organization. Kim has extensive experience with federal and state health information privacy laws, has established a HIPAA compliance program for a large health care provider and a benefits outsourcing provider, and counsels clients on HIPAA and other information privacy matters. She is integrally involved with the Firm's HIPAA compliance program, and chaired an initiative to ensure the Firm's compliance with revised health information privacy directives issued by a large pharmaceutical client. Kim trains pharmaceutical manufacturing and other health care clients on issues of HIPAA compliance. She also assists clients in determining whether they have experienced a data breach, and how to best respond to a breach. Lindsay Miller, Associate – Ice Miller LLP (Columbus, OH) Lindsay Miller is an attorney with the Public Affairs and Government Law Group. With nearly ten years of experience in technology initiatives, Lindsay has a reputation in the broadband and telecommunications arena of being a strong advocate with a successful track record in building relationships with public and private sector stakeholders. Course 2d Title: Which Way Does the Pendulum Swing? A 2018 Update on Labor Law, Arbitration, and Sexual Harassment Speaker: Manolis Boulukos Time: 60 minutes (1.0 general credit hours) Course Summary: The Ice Miller Employment Law Update (“ELU”) addresses the most significant developments of the past year. This session examines the new laws, cases, legal trends and regulatory and legislative changes that are moving employment law into the future and imposing new day-to-day obligations for employers. The ELU arms participants with practical and timely information regarding steps employers can take to limit their legal liability in an ever-changing regulatory landscape. Included in the session are specific updates regarding: (1) Back-to-the-Future: A return to a conservative NRLB; (2) a practical review of Epic Systems; and (3) the #Metoo Movement and its implications nationwide. Session 3: 3:30 – 4:30 p.m. Course 3a Title: Fighting City Hall – Dispute Resolution in Government Contracting Speaker: Aaron Woodward & Eric Singer Time: 60 minutes (1.0 general credit hours) Course Summary: Contract disputes with the government arise before contract award, throughout contract performance, and after contract completion. Government agencies use a variety of methods to try and resolve these disputes with government contractors. This session will discuss risks, rights, and remedies in local, state, and federal dispute resolution mechanisms, step negotiations, mediation, arbitration, and litigation in administrative boards and courts of claims. About our Speaker: Aaron Woodward, Partner – Ice Miller LLP (Washington, DC) Aaron Woodward is a partner in Ice Miller’s Federal Government Contracts Practice Group, where he represents clients in matters involving complex litigation, government procurement, bid protests, the Contract Disputes Act, and the Federal Acquisition Regulation. Time: 60 minutes (1.0 general credit hours) Course Summary: 2018 was a big year for data protection and privacy regulations. In May, the European Union’s General Data Protection Regulation took effect and in August, the Brazilian General Data Protection Law was signed. Domestically, all eyes were on California as they passed the California Consumer Privacy Act in June. In order to avoid a patchwork of data protection and privacy laws across the U.S. similar to our current patchwork of state data breach notification laws, the U.S. federal government is beginning to mull the idea of a national data protection and privacy framework. This session will briefly overview international data protection regulations and the CaCPA in order to identify key similarities among the regulatory frameworks. Next, this session will overview recent developments out of the FTC, Department of Commerce, and Capitol Hill on the development of a federal data protection and privacy regulation. Finally, this session will consider best practices from recently developed data protection regulations in order to provide insights into what a U.S. data protection and privacy regulation might look like. About our Speakers: Matt Diaz, Associate – Ice Miller LLP (Columbus, OH) Matt Diaz is an associate in Ice Miller’s Data Security and Privacy Practice Group. Matt's practice focuses on data security, privacy, and telecommunications. He regularly helps clients comply with state, federal, and international data protection laws including data breach notification laws, federal privacy laws such as COPPA and HIPAA, and the EU's General Data Protection Regulation (GDPR). Matt has also assisted clients in managing data breaches and investigating cyber fraud. The discussion will include state and municipal "ban the box" laws and ordinances as well as other state laws and federal regulations relating to employee background checks. An important question is how will all of these emerging technologies change your everyday practice? This session will address this question and will also discuss the uses and limitations of specific technologies developed for corporate legal departments. He concentrates in corporate and securities law, and his practice is primarily focused on private equity and venture financing transactions, representing start-up and emerging growth companies, securities regulation and general corporate matters.
