FOREWORD The first five years of our existence have taught us a lot about how a complex innovation ecosystem operates, involving multiple players, public and private, local and international, operating on different scales of time, interest and need. To overcome this hydra and support researchers in their search for entrepreneurs, we had to find ways to improve, consolidate our organizations, professionalize our management, build a detailed picture of our territories, map our audiences and enhance the expertise of our teams. On a national level, the SATT Network can now rely on more than 600 experts in valorization. In South East France, this impetus has won several emblematic victories such as the introduction of digital technologies in the service of culture and heritage, which were lacking without our intervention, the establishment of a foreign company on our territory to operate a patent license owned by a university shareholder, or the support of a start-up from public research up to its transfer for several millions last year. These are just some of the examples that we wanted to highlight in this annual report, which sets out our activities and the mobilization of our teams over five years, serving public research institutions and the territories of South East France. You will have a clear vision of our missions and our results, whether it is our quantified results, the innovative discoveries that we have supported or the strategy that we have implemented with our team, of which I am very proud. SATT Sud-Est is There is still much to accomplish. First, to make ourselves at the heart of as attractive to industrialists as we are to researchers and their institutions, as evidenced by the personalities in our the modeling ecosystem. Then strengthen our territorial impact by more effectively interconnecting our presence with the players of of future humanity innovation. To this end, we have, in particular, supported the Métropole Nice Côte d’Azur and Université Côte d’Azur, both nominated as winners of the "Territoire d’Innovation de Grande Ambition" call for expressions of interest in the framework of the "Programme d’Investissements d’Avenir" as Mr. Christian ESTROSI emphasizes in this report. Finally, to strive towards organizational stability and financial independence by improving our performance indicators. This is an issue of social appropriation that affects all aspects of our daily lives - an issue we intend to meet as a team. Laurent BALY President of SATT Sud-Est President of SATT Network

2017 Annual Report I page 12 ECOSYSTEM Claude GIRARD In 5 years of existence, the collective support of academic shareholders alongside Director of the research valorization the State has allowed the SATT to succeed in their implementation and to acquire program within the Secrétariat unquestionable legitimacy in the landscape of valorization of French research. The Général Pour l’Investissement, figures speak for themselves: in the latest report they declared having identified Department of the Prime Minister's 6,300 laboratory inventions, filed 1,818 patents and signed 526 operating licenses, Office financed more than 1,700 maturation projects (proof of concept, change of scale...), filed 2,200 patents and signed 634 operating licenses, creating growth of 25% between 2016 and 2017. By promoting the work carried out in 67 universities and 160 research institutions, this one-of-a-kind tool also enables the creation of many start-ups (214 to date). We are also starting to measure their impact. Initial analysis shows that companies using technologies matured by a SATT improve their turnover by 4% in the short term. From this point of view, they meet their assigned objective: to boost the competitiveness of our economy while bringing research in reach of the companies. To get there, they had to break new ground, capitalize on pre-existing skills and develop complementary ones to identify the most relevant applications. This is why the government has given them five more years to balance the budget and sustain their existence. Some are more advanced than others, because they have benefited from an early start, fertile grounds in terms of R&D, shareholders willing to work together, they have implemented effective processes and they have close-knit teams led by managers capable of tackling complex situations. This is the case of SATT Sud-Est, which combines two major IDEX labeled (“Initiative d’Excellence”) university centers, Marseille and Nice. It displays performance indicators in-line with the SATT model in a powerful research network, since it has even made a Companies using profitable start-up transfer operation. technologies matured by a Beyond this breakthrough, the new stage of growth and consolidation notably SATT improve their turnover involves greater coherence with local development and innovation policies, resulting in the Regions entry into the SATT capital to give their action even more by 4% in the short term impact in the territories. Here again, some are more advanced than others such as Occitanie and Brittany, the Pays-de-la-Loire or Alsace and this movement is expected to grow as long as the Regions share the diagnosis established by the JUPPÉ-ROCARD Commission, on the challenges of maturation to valorize the research work of the most promising laboratories in terms of economic impact.

In control report on the SATT terms of activities, they are generally on the rise, but the resulting revenue remains in July 2017 very modest, with 82.5 million euros over the entire 2012-2016 period, with only 16 million euros issued from technology transfer (the rest from other services they perform). It is still too early to judge their relevance, but it would probably have been more effective to develop a smaller number of SATT presenting the best performance guarantees of experimentation before generalizing them, or even entrusting the maturation expenditure to well established valorization services rather than creating new structures. It appears that a key factor in their success is the capacity of their management to build trusting relationships with universities and research organizations (CNRS, Inserm...) in their territory and their ability to build successful organizations. It is the precondition of a full commitment on the part of the ecosystem of local innovation. On this point, SATT Sud-Est is one of the best armed. Its president addresses the world of research as well as that of companies. It is at the interface of valorization and many of its best practices deserve to be scattered.’’ SATT Sud-Est is at the interface of valorization and Georges LEONETTI many of its best practices Vice-President of deserve to be scattered the Provence-Alpes-Côte d'Azur Regional Council, In charge of Education, Higher Education, Research, Health and Well-being "Creating a link between the academic and economic world is a priority. It is included in the framework of the economic development pattern as well as that of national education, research and innovation in the region. We observe with appropriate attention and support all actions to valorize research. In this context, SATT Sud-Est has positioned itself as a key player to create this link in the heart of this changing world. It enables a true continuum between fundamental research and economic valorization. For a long time researchers did not feel concerned by economic outcome, this is no longer the case today. Even better, regionally we now have numerous tools and structures. Ultimately, better coordination among all would enhance collective efficiency. The Cité de l’Innovation d’Aix-Marseille is perhaps this link, enabling the establishment of a one-stop shop and offering extensive information to researchers and entrepreneurs. SATT Sud-Est can intervene as an inseparable structure at the Cité de l'Innovation by cementing the actions undertaken. As such, its business model will inevitably evolve. In relation to SATT, the PACA Region, without being a stakeholder could eventually become a member of its shareholding. Real dynamism characterizes our region and SATT Sud-Est contributes to this. It is no coincidence that its president, Laurent BALY, has also been elected president of the SATT Network." SATT Sud-Est ensures the continuum of innovation
2017 Annual Report I page 14 ECOSYSTEM Eric BERTON Vice-President Innovation Valorization, Aix-Marseille Université "SATT has stumbled and stammered, they have experienced failure and have struggled to find their position, but in five years, the difficulties they had to overcome has forged their character and professionalized their actions. They are now tailored for international competition with staff trained in valorization, focused on that one task now framed by perfectly codified provisions. Our territorial SATT is a sure and effective tool in which we have enough confidence to entrust it with a large part of our own technology transfer policy. With it - through it - our public research has changed dimensions. We can now negotiate as equals with institutions in other countries that are interested in our work. The visibility of our innovation abroad has changed. SATT has also gained expertise in pedagogy, to explain to researchers that valorization does not divest them of their works but participates in changing the world. They recognize it in this way, if we are to believe the growing number of innovations that enter into this dynamic of transfer, essentially in health, science and technology and increasingly in humanities and social sciences. The opening of the Cité de l’Innovation d’Aix-Marseille (CIAM) created by Aix-Marseille Université, the Métropole AMPM and supported by the South Provence-Alpes-Côte d'Azur Region, will extend this state of grace by bringing together all the players and valorization tools, SATT, but also investors and other incubators and accelerators around SATT has changed the a one-stop shop. Accordingly, the metropolis will have a symbolic site for creation at its dimension of public research disposal." ‘‘The strategic partnership we have concluded with SATT Sud-Est since January 1st, Marc MUSELLI 2012, has already allowed us to change the scope in the field of research transfer from Vice-President of the Research our laboratories. Our institution is a university on a human scale, with 4600 students, Commission, Università di Corsica almost 160 research professors and 7 laboratories certified by the major national research Pasquale Paoli organizations. However, our objective is simple: to valorize the technologies resulting from fundamental research and associate them with companies, in the long term, to create activity and qualified employment. If possible in Corsica, where the entrepreneurial fabric is more than 90% made up of small businesses. Specifically, staff recently made available by SATT Sud-Est to the University, work closely with our correspondent in the Department of Research and Transfer to detect technologies susceptible to be valorized. The University of Corsica has chosen a strategy of specialization and has identified high value-added scientific niches specific to the territory. These include the energy sector, marine resources with a state-of-the-art fishing platform, information and communication technologies, natural resources, the field of law and business assets, as well as research in relation to human health (virology, epidemiology). To SATT, we have brought nineteen invention disclosures, two patents and scientific support for the creation of a start-up, Stepsol focused on the development of a controlled energy photovoltaic storage production solution. SATT action has enabled us to become more competitive in the markets. The Stella Mare platform, one of the leading figures of the University of Corsica and the CNRS in marine and coastal ecological engineering research, has established this link for several years between research products and companies. It is part of a virtuous process of transfer of scientific results and provides answers to the needs of marine professionals to support the sectors of the "marine" economy. ’’ The University of Corsica has chosen a strategy of specialization
2017 Annual Report I page 15 5 YEAR SPECIAL EDITION 2012-2017 Claude SCHOONHEERE President of Réseau Entreprendre Provence ‘‘The informal relations maintained for several years between SATT Sud-Est and Réseau Entreprendre Provence have resulted in an established partnership since October 2017. For too long our two worlds did not communicate. The SME is completely out of touch in its relations with research. Now, however, the relationship between researchers and business leaders has been strengthened. Scenarios are scheduled from research pitching during dedicated meetings. A means for both to work together and expand market opportunities. At a first meeting, approximately 30 business leaders from diverse sectors and 10 representatives from SATT Sud-Est took part in a test meeting. The dual ambition aims to valorize public research inventions from the PACA and Corsica Regions, to support their transfer to regional companies, in order to increase their competitiveness and create value and employment. At present, the reaction is positive; some business leaders have positioned themselves on new opportunities. Secondly, the development of contacts and a new network has caused a "domino effect". If researchers are looking for market opportunities for their research, for their part, business leaders are looking to identify the fruits of research that they could, in co-maturation with SATT, transform into innovations. These workshops that we want to implement with SATT Sud-Est, must enable the effective meeting of these two types of needs. This new challenge consists in connecting the need Réseau Entreprendre Provence and the capacity, so that researchers and entrepreneurs can build the world of tomorrow.’’ and SATT Sud-Est initiate a new culture of policy dialogue Emilie ROYÈRE Director of the Eurobiomed ‘‘Between the Eurobiomed competitiveness cluster and SATT, the history is old competitiveness cluster and the relationship sustainable and rooted. Since their inception, the SATTs have been an obvious partner in linking the academic and industrial worlds. Several joint actions have been developed between SATT Sud-Est and Eurobiomed. The first is based on the transfer of technologies to allow our network of companies to be aware of the technologies owned and valorized by SATT and that may interest them. Another anchor point common to both is entrepreneurship and support structures. Our committee of investors, "Invest in Biomed" which held its third edition in the fall of 2017 enabled us to bring together some twenty life sciences specialized investors. A dozen innovative companies selected and supported by Eurobiomed, SATT Sud-Est and AxLR in the most diverse sectors: diagnostics, medical devices, drugs and e-health, were presented in order to stimulate participation. 6 months later, the bottom line is, 4 discussions are progressing and most investors return year after year. Of course, there are some fantastic victories. Another success this year was the signing of a license granted by SATT Sud-Est to a Eurobiomed member by the Eurobiomed cluster.‘’ Old ties, joint actions and tangible achievements

2017 Annual Report I page 18 THE DIRECTORS REPORT Stéphane BERGAMINI Director of the Technology Transfer Department In 2016, a new dynamic was launched within SATT Sud-Est via an internal operational reorganization. Now organized around ad hoc management. Around fifteen Technology Transfer Managers conduct the detection, maturation and finally the marketing and licensing of inventions from public research laboratories. SATT has refocused on its core business to generate value and growth in its territory. The results speak for themselves: SATT, serving its shareholders and founding members, appears more comprehensible, more reactive and more agile, in line with the demands and pace of the markets it addresses. Internally, the organization has also been redesigned for efficiency and simplicity, with an appropriated managerial strategy. The focus on five areas of interest is maintained: Health & Life Technologies; Environment, Energies & Territories; Industrial Processes; Connected Information Society; and Culture, Heritage & Digital Humanities. The Technology Transfer Managers rely on the marketing studies issued by the Operational Marketing Officers from the Marketing & Communications Department, they develop an operational vision of what must be broken down for each application: industrial property, valorization, financing, validation of the technology... They follow a tighter decision-making process: Intellectual Property Committee, Investment Committee and then Board of Directors to endorse the decision. Follow-up measures were also set up to measure SATT performance and impact, A new organization all actions carried out resulted in the creation of 135 jobs in the territory last refocused on our core year. Consequently, it is on these foundations that we will make 2018 a year of business consolidation and development. 250 laboratory visits in 2017 19 maturation projects 3,45 M€ invested in maturation projects
2017 Annual Report I page 19 5 YEAR SPECIAL EDITION 2012-2017 Anastasia HOVANESSIAN Led by Anastasia HOVANESSIAN, the role of the Marketing & Director of the Marketing Communication Department, at the heart of SATT Sud-Est's & Communication Department mission, is to establish the strategy for promoting SATT Sud- Est's projects. A process that is built step by step: from the validation of an innovation, to the market study through to the maturation and search for future customers. An essential work carried out jointly by the Technology Transfer Managers and the Operational Marketing Officers since the reorganization of SATT Sud-Est at the beginning of 2017, in order to maximize the chances of valorization. The Operational Marketing officers ensure the economic vision of the projects and accelerate their transfers, by working on the market studies up to the prospection of future licensees. For Anastasia HOVANESSIAN "An innovation is an invention that has found its market" Consequently, a detailed follow-up of the different project phases to finely analyze the innovation stakes, the potential customers and the development possibilities is conducted. "It is a question of bringing together and matching the scientific projects with the industrial requirements. Two ways of valorization are possible, the transfer of the operation of an invention to an industrialist in order to meet their requirement or if the researcher An innovation is an invention has entrepreneurial ambitions, the creation of a start-up." Anastasia HOVANESSIAN is also involved in the monitoring that has found its market of these start-ups, the SATT Sud-Est shareholding and works with the ecosystem for the correct development of these young companies, in order to transform these projects into a 50 market analysis projects in 2017 success. "The success of a start-up, created on the basis of innovations stemming from public research, depends on the 3 market analysis projects in 2017 networking between the regional structures, incubators and Bpifrance. Our role with these diverse structures consists in providing project leaders with our tools and skills in terms of 4,4 M€ raised by start-ups since 2012 development strategy, input market or linking with investors. The sale of one of these start-ups, for several million euros last 45 jobs created in start-ups since 2012 year, is just one example." All these actions need to be acknowledged and recognized 1 start-up company sold since 2012 by the economic world. Therefore, the promotion of public research in the territory takes place through a calculated communication strategy. It is necessary that the regional research institutions, the mission, the SATT Sud-Est actions and the licensee companies are also valorized by targeted communication strategies. The Marketing & Communication Department works to promote the success of projects and the influence of regional public research.
2017 Annual Report I page 20 THE DIRECTORS REPORT Sarah DAHL Director of the Legal & Intellectual Property Department For the SATT Legal & Intellectual Property Department, the daily routine is quite varied. With a team at the headquarters in Marseille and a branch in Sophia Antipolis, to interact over the entire territory, the department led by Sarah DAHL has a cross-functional team composed of Patent Engineers specializing by themes, two Intellectual Property Assistants, Lawyers specializing in intellectual property and licensing and two Legal Assistants. Their mission? To secure the transfer activity and achieve the 30% turnover target, to protect and optimize the quality of the industrial property titles, reduce delays and control intellectual property costs. From the invention disclosure to the license, there are numerous intermediate steps. To secure the transfer process for each invention disclosure, the establishment of fifteen contracts as well as the patentability analysis or the analysis of software codes as well as freedom to operate are required. "Our role is to optimize the transfer, quality is a finality," confirms Sarah DAHL. Which, in the process requires the demonstration of operational creativity in the face of complex assemblies and involves the contracting of strategic partnerships. Consequently, one of the challenges is to simplify processes to shorten deadlines while maintaining maximum security. Hence, the concept of automated lead-time to better manage each application. "This is also the advantage of the ERP, which enables information sharing but also monitoring and alerts". To be at the heart of the projects and ensure close follow-up with the Technology Transfer Managers. "Collective intelligence is An increase in activity, with our strength. A project team intervenes with common indicators for each invention projects that require real disclosure," continues Sarah DAHL. The implementation of a quality approach this operational creativity year is expressed by this drive; the in-house training has also been strengthened so that everyone gains in performance and competence. 46 intellectual property titles filed in 2017 29 patents and 17 software 300 intellectual property titles filed since 2012 229 patents and 71 software

The reorganization of the services started in 2016 and completed in 2017 reported positive results. On the program, transversality, which fosters communication between departments through the implementation of a dedicated tool, an ERP with the objective of also streamlining the flow of information from shareholders. "The challenge is to be positioned upstream and downstream of innovation and promote the continuum of the public funding from the "Programmes d’Investissements d’Avenir". We sell products that do not exist in markets that are yet to be found. It is often difficult to develop a technology that has not yet been created," continues Olivier RANDOIN. His department undertakes several missions: the preparation and monitoring of budgets with the analysis of expenditure and time scales, purchases on projects, the interpretation of data in order to set up activity indicators common to SATTs and the accounting justification during situations and closures. The demands and justifications for European grants are also a significant part of their business. The first wave of state funding of 78 million euros - a billion euros across France - is spread over 4 tranches. The second tranche was crucial, it demonstrated SATT's ability to organize itself, to create value to increase turnover. The current challenge is to obtain the third tranche of three-year funding still worth €29 million, which will put SATT on the ultimate path of self-financing. Account keeping Our turnover is growing involves precise audits, the justification of each expense and the demonstration of steady turnover growth. A second burst in funding is looming in 2021. Of an overall amount of 200 million it will be reduced compared to the initial budget. What about afterwards? Budget 2017 over 9 M€ SATT is positioned as an essential strategic interface. The projection is anticipated to 2030 with a risk analysis on each project. With the knowledge that if IT and engineering 2 500 invoices processed projects are successful in the short term, those for example, in life sciences involve long- each year term vision, 10 years on average. "Each project receives a risk score, with a high and low Over 1 000 projects margin. In order to meet the Court of Auditors, the Senate Financial Commission and monitored in the ERP European controls, we need to ensure the follow-up and good day-to-day management and consider large scale deployment". ERDF funds for maturation projects Since 2013, the European Regional Development Fund supports the maturation of SATT Sud-Est projects. Over the 2013-2017 period, €7 million have been mobilized for the development of innovation and information. "Two million euros of expenditure has been made available. We are currently preparing the documents for the remaining 5 million" continues Olivier RANDOIN, Chief Financial Officer at SATT Sud-Est. Certainly, the European Regional Development Fund, requires rigorous administrative follow-up. It is monitored and controlled every year by the European Affairs Departments and the Provence-Alpes-Côte d’Azur Regional Council Managing Authority. The funds are allocated to maturation projects that address strategic areas of activity: cultural industry, tourism and digital content, smart and sustainable mobility, security and safety risks, energy transition and energy efficiency as well as health and food. "It may also concern Europe's key generic technologies, the nanotechnologies, microelectronics, biotechnology, photonics, advanced materials and advanced production systems, which account for 80- 90% of our business", resumes Olivier RANDOIN. The accounts will be finalized in 2018 and the next installments spread out over the coming two years.

2017 annual report I page 24 MATURATION TRANSFER THE KEYS TO VALORIZATION Transfers: laboratory creativity goes from strength to strength All the technology transfer performance indicators have turned green in 2017. After the first years of fine-tuning, the valorization tools are now running at full capacity: by multiplying their number of visits (250 last year), the Technology Transfer Managers detected a cumulative total of 918 projects giving rise to a total of 214 patent filings since the creation of SATT. The year 2017 was especially productive: 109 invention disclosures (2nd best year after 2014), 26 new patents filed, 19 new licenses signed, 3 start-ups created in partnership with incubators... Even better, the "maturation transfer rate", which measures valorization effectiveness established at 24%. To achieve this result, SATT Sud-Est multiplied its marketing operations by participating in 26 congresses (Vivatech, BioFIT, Medtec Europe...) but it spent less than usual: only 3.5 million euros committed to maturation (an amount now "stabilized", certainly turned towards a more qualitative approach), down by half compared to last year, whereas the amount billed on intellectual property assets stands at 3.3 million euros (against 1 million in 2016). In all, its action has enabled the creation of 135 jobs.
