Transition & Recent Developments in China • As the new strategic plan took shape in FY21, irregularities were discovered within the Company’s subsidiaries in China China management team and others engaging in malfeasance/adverse conduct, including misappropriation of cash and rerouting customer orders to 3rd party entities owned/controlled by the management team in China, thus effectively helping themselves to company money; efforts to misappropriate certain proprietary technology and other suspected acts of fraud, theft and embezzlement; some of these activities had been going on undetected for years • LightPath immediately terminated staff and began rebuilding a new management team in China; certain ongoing legal proceedings with the terminated employees remain • China sales were disrupted as certain key members of the sales leadership were terminated • Significant one-time expenses $1.2 million of expenses for terminations and related matters, including severance, legal and consulting fees in F21; $386,000 of additional legal fees and consulting expenses in 1Q22; accrued China employee severance of approximately $485,000, which is being disputed and subject to outcome of legal proceedings • Separately, a large customer in China for 5G PMO lenses, among the Company’s higher margin product lines, lost a significant network infrastructure contract in the country which resulted in reduced orders for LightPath • 1Q22 performance begins rebound Revenues improved to greater than $9 million, a marked improvement over 4Q21, although China sales headwinds may persist for the next 1 or 2 quarters; GM% increased by 10 percentage points from 4Q21; expenses in China significantly declined from 4Q21 to 1Q22 Leaders in optical and infrared solutions 36 LightPath Confidential – DO NOT DISTRIBUTE
