Part 1 - Introduction The Companies Registration Office (CRO) works under the aegis of the Departmen of Enterprise, Trade and Employment. It is the central repository of public statutory company law related information on Irish companies. The main functions of the Office are: • Incorporation of companies • Registration of company post-incorporation documentation • Enforcement of the Companies Act 2014 in relation to filing obligations of companies • Registration of business names/changes in business name particulars • Making information available to the public The CRO Mission Statement is: to oversee the highest possible rate and quality of annual return filing on the part of companies in accordance with the relevant statutory provisions and to ensure that information on companies published in turn by the CRO is timely and accurately reflects the information provided by those companies. Part 2 - Overview of 2020 2020 was an extremely challenging year for the CRO and its stakeholders due to the COVID 19 pandemic. The CRO Public Office in Dublin was closed on 12th March 2020 due to COVID 19 restrictions and had not reopened by year end. The entire office closed following the imposition of lockdown by Government in late March, reopening on a limited basis for essential work that could not be done from home the following week. Arrangements were quickly made for staff to work from home and gradually the full range of services to our customers was restored. In light of the difficulties being experienced by companies and presenters, the Registrar suspended enforcement activity in March 2020 and it had not resumed by year end. On the 18th of March, following a decision by the Registrar, the Minister announced that companies who were due to file their annual returns would be deemed to have filed on time if all elements of the annual return were received in the office by 30th of June 2020. Following a review of the position by the Registrar in May 2020, it was announced that this filing extension would be extended to 31st of October. The position was reviewed again during September and it was announced that all companies with an annual return date on or after 30th September 2020 would be deemed to have filed on time if all elements of their annual return were received by CRO by 26th of February 2021. 4 | CRO Annual Report 2020
2020 saw the culmination of a major three-year IT project in CRO which went live on 16th of December. 251,275 Irish companies were in existence on the register at the end of the year, resulting in over 431,000 submissions being filed with the CRO during 2020. Private limited by shares companies make up 89% of all companies on the register. The number of new companies being added to the register has exceeded the numbers being removed. This has been the case for some years, although during 2020 the increase was exacerbated by the suspension of involuntary strike offs in March 2020. Trends in Electronic Filing Year E-filed Documents All submissions Received Irish companies on Register 2010 214,718 373,515 181,642 2015 302,421 437,859 198,482 2020 352,577 431,520 251,275 Applications to the High Court/District Court for an Order Extending Time to File Section 343(5) of the Companies Act 2014 states that a company which is late in filing its annual return can make an application to the Court (High Court or the District Court for the district in which the company’s registered office is situated) for an order extending the time to file its annual return for that year. It should be noted that only one application can be made to the court in respect of any one financial year and only “live” companies may make an application to the courts under this section – it is not a process available to dissolved companies. Once an order is granted by the Court and complied with by the company, the annual return will be treated as being on-time and the company will not be required to pay late filing fees or suffer loss of audit exemption. In 2020, CRO received 342 notices of applications from companies to the District Court or the High Court. The CRO issued a total of 336 Letters of Acknowledgement/No Objection/Objection and processed 278 Orders granted by the District Court/High Court. Two applications were refused by the Courts and six applications were withdrawn. Forty-one applications were adjourned from 2020 to 2021. Legal Developments COUNCIL REGULATION (EU) 2020/699 of 25 May 2020 on temporary measures concerning the general meetings of European companies (SEs) and of European Cooperative Societies (SCEs). The Regulation provides for a temporary derogation to the deadline provided for in Articles 54 of EC Regulations 2157/2001 and 1435/2003 to provide flexibility for European companies (SEs) and European Cooperative Societies (SCEs) to hold general meetings within 12 months of the end of the financial year, but no later than 31st December 2020. 6 | CRO Annual Report 2020
Companies (Miscellaneous Provisions) (Covid-19) Act 2020 (No. 9 of 2020). The Act came into effect in August 2020 and makes temporary amendments to the Companies Act 2014 and the Industrial and Provident Societies Act 1893 to address Covid-19 related issues. The Act provides for the holding of Annual General Meetings and general meetings by electronic means. It also makes provision in respect of business solvency by extending the period of examinership and increasing the threshold at which a company is deemed unable to pay its debts. S.I. No. 81/2020: European Union (Shareholders’ Rights) Regulations 2020 These Regulations give effect to the provision of European Directive EU 2017/828 as regards the encouragement of long-term shareholder engagement and insert several Chapters into Part 17 of the Companies Act 2014. S.I. No. 609/2020: Companies Act 1990 (Uncertificated Securities) (Amendment) Regulations 2020 These Regulations amend the definition of a competent authority to include authorised persons in the United Kingdom up to 30 June 2021. S.I. No. 626/2020: Companies Act 2014 (Fees) Regulation 2020 These Regulations prescribe the fees payable for any matter under the 2014 Act including the registration of a company and the registration of any notice, return or other document by the Registrar of Companies. S.I. No. 627/2020: Companies Act 2014 (Forms) Regulations 2020 These Regulations make minor changes to some of the prescribed forms used in CRO (A1 – Incorporation of a new company; B1 – Annual Return; E8 – Notice of appointment of a receiver; E9 – Receiver’s abstract). S.I. No. 628/2020: Companies Act 2014 (Forms and Content of Documents Delivered to the Registrar) Regulations 2020 These Regulations provide for the manner of completion of documents deposited with the Registrar which are not prescribed under the Act, including the size, print, legibility and layout of documents. S.I. No. 629/2020: Companies Act 2014 (Section 897) Order 2020 These Regulations mandate the Form A1 (Incorporation of a new company) as a form which must be filed electronically. S.I. No. 630/2020: Companies (Statutory Audits) Act 2018 (Commencement) Order 2020 S.I. No. 631/2020: Companies (Amendment) Act 2019 (Commencement) Order 2020 The effect of these Commencement Orders is to provide for the amalgamation of the CRO Annual Report 2020 | 7
previous two 28-day periods in the annual returns filing process to provide companies with 56 days to complete their returns in a single step. Unregistered Auditors In 2020, there were no reports of unregistered auditors attempting to file false auditors’ reports. There were 19 instances where auditors notified the CRO that their Auditors Registration Number (ARN) was used to file auditors’ reports without permission. The CRO continues to monitor the controls which reduce the risk of such incidences reoccurring. The mechanism in place, allowing auditors to immediately alert the CRO of an abuse of their registration number, continues to operate effectively. Redevelopment of IT resources In 2020 the CRO completed its project to redevelop the CRO databases which house the register of companies, the register of business names and the register of limited partnerships. The update of the system required a full refresh and the new platform went live on 16th of December. Prior to go live, over 700GB of data and 18 million images were transferred to the new platform. This necessitated the shutdown of the CORE system for 9 days from 7th of December to allow sufficient time for the data migration in advance of go live. This involved teams in the office dealing with the day to day task of ensuring that all filings received by the cut-off date were taken in and processed on time while technical teams ensured that the data was successfully migrated. The new platform offers a modern, customer focused, streamlined portal with an integrated account top up facility and provides for a number of enhancements such as: • Paperless online filings – all attachments and signature pages can now be uploaded. • Twenty new forms are available to file online, including many solvency forms. • Online payments can now be redirected to a third party which is useful in the case of large fees. • Online signatures can be redirected for example directors can be emailed a line to sign and upload signature pages. • Filing forms and document ordering are now available through a single portal. The commencement of the Companies (Amendment) Act 2019 introduced the single 56 day filing period for annual returns. The option to incorporate a company manually was withdrawn on 16th of December 2020 and it is now mandatory to use the online process for the incorporation of new companies. 8 | CRO Annual Report 2020
Provision of information to the public Over 313,000 documents were purchased from the CRO website in 2020 and the website was visited 2.1m times. All statutory information provided by companies to the CRO is available to the public for inspection on payment of a small fee where applicable. Certain vital information, such as company name and registered office address, may be checked free of charge on the CORE portal https://core.cro.ie Information Unit There continued to be a high volume of phone calls to the CRO Information Unit throughout 2020. The phone number for the Information Unit is 00 353 1 8045200/ Lo call 1890 220 226. Over 29,450 phone calls were answered as well as over 26,500 emails. (Email address croinfo@enterprise.gov.ie). Customer Complaints and Requests for information If a customer is unhappy with the service delivered by the CRO and the issue cannot be resolved with the staff member or section dealing with the matter, a formal complaint can be made to the CRO Information Officer. The complaint will be dealt with in accordance with the CRO’s Complaint Procedure. If the complainant is still not satisfied, the complainant has the right of appeal to the Office of the Ombudsman. Twenty official complaints were received during 2020, four of which were referred to the Office of the Ombudsman. None of the complaints referred to the Ombudsman were upheld. In addition, the CRO dealt with 3 requests under the Freedom of Information Act and 2 GDPR requests. CRO Annual Report 2020 | 9
Part 3 - The Company Lifecycle Incorporation of a company A company is a legal form of business organisation. It is a separate legal entity and, therefore, is distinct from those who run it. There are two basic company types, a private company and a public company. The majority of companies registered in Ireland are private companies and, of those, most are small with only one or two members. The Companies Act 2014 generally allows one or more persons to form a private company for any lawful purpose by subscribing to a constitution. A private company may have a maximum of 149 members and there is no limit on the number of members of a public company. All company types, with the exception of the Private Company Limited by Shares (LTD), must have one secretary and a minimum of two directors. (Single director LTDs must have a separate secretary). Formal qualifications are not required to be a company director. All company directors must be over 18 years of age. All company officers have wide responsibilities in law. In 2020, the number of new companies incorporated was 21,873. This represents a decrease compared to 2019 volumes and was mainly due to a significant reduction in the number of incorporations during March, April and May 2020 due to the COVID 19 pandemic. Volumes of incorporations dropped to a low of 1,067 during April and 10 | CRO Annual Report 2020
increased gradually to reach an all-time monthly record of 2,830 in November. During 2020 there was an average of 1,822 new companies registered per month, compared to a monthly average of 1,894 in 2019. While there was a reduction in incorporations during 2020 compared to 2019, the general trend over recent years has been a steady increase in incorporations, predating the enactment of the Companies Act 2014 and the decision of the United Kingdom to leave the European Union. As a result of SI 629 of 2020, which came into effect on 16th of December 2020, online filing is now mandatory for new company incorporations. There are two incorporation schemes. CRO has committed to the following customer service targets for registration of new companies under the relevant schemes:- • Fé Phráinn Scheme - 5 working days • Ordinary A1 Online Scheme - 10 working days Despite the increase in the number of companies being incorporated, CRO continued to meet its customer service targets during 2020 within existing resources. External Companies There were 46 new external company registrations in 2020. The most common country of origin for new registrations for external companies was the Cayman Islands with 23 registrations. Registration of company post-incorporation documentation Changes in the situation of a company’s registered office or changes amongst a company’s officers or in their particulars must be notified to the CRO on the relevant statutory form. The form must be properly completed and signed by a current officer of the company per the CRO records in accordance with the Companies Act 2014. As the size of the register has grown, so have the number of filings. There were 67,523 B10 forms (change in director/secretary information) filed in 2020 which increases the accuracy of the register. There were also 16,292 B2 forms (change of registered office) filed during 2020. Annual Returns Every company on the register, whether trading or not, is required to submit an Annual Return every year. An annual return includes details of the company’s directors and secretary, its registered office, and details of its shareholders and share capital. It must be signed by a director and by the company secretary. If the secretary is also a director, he/she may not sign in both capacities. Company financial statements are required to be annexed to a company’s annual return in most cases. There were 194,515 annual returns received in the CRO in 2020. Any company which is late in filing its annual return is likely to face either strike-off proceedings or prosecution in the District Court. Re-Registrations Under the Companies Act 2014, it is possible to change from any company type to another company type e.g. from limited to unlimited, from private to public or from limited by shares to limited by guarantee or vice versa, subject to the requirements of Part 20 of the Act. In 2020, a total of 355 companies re-registered, down from the high of 676 in 2016. Mortgages and Charges 8,856 charges were filed in 2020. This is a reduction on the figure of 12,406 for 2019 and is the lowest figure since 2013. 12 | CRO Annual Report 2020

Liquidations and appointment of Receivers Up-to-date registers of liquidations, appointment of receivers and examiners were maintained by registering all documents received within agreed business plan timeframes. The number of liquidations decreased by 12% compared to 2019. Receivers are required to submit form E9 (receivers abstract). The numbers of return submissions by liquidators and receivers rose considerably in 2018 and 2019 as a result of a reminder programme that was begun in 2018 but dropped back somewhat in 2020. The reminder programme was suspended in March 2020 due to the pandemic and had not resumed by year end. CRO Annual Report 2020 | 13

Register of restricted and disqualified persons The register of disqualified and restricted directors was also maintained, while reports of companies in liquidation continued to issue to ODCE on a regular basis. By year end, 3,328 persons were on the register of disqualified persons and 615 persons were on the register of restricted persons. The disqualified and restricted registers can be searched online at www.cro.ie. This facility is updated daily. ICAVs The Register of Irish Collective Asset – Management Vehicles (ICAVs) is maintained by the Central Bank of Ireland. The CRO is required under the legislation to de-register companies who have registered as ICAVs with the Central Bank. A certificate of de-registration of the company is issued, the Register records the de-registration of the company and notice of the removal of the company is published in the CRO Gazette. In 2020, four companies were de-registered. Enforcement, prosecution and striking companies off the register of companies A company can be dissolved either through liquidation or strike-off. Strike-off is not always involuntary. A company that ceases to trade and has no outstanding creditors can request the Registrar to strike the company off the register. In 2020 CRO continued to enforce the Companies Act 2014 against companies in default of their annual return filing obligations by way of involuntary strike-off until enforcement activity was suspended in March 2020 due to the pandemic. Enforcement activity had not resumed by year end. Involuntary Strike-Off The number of companies involuntarily struck off the register in 2020 was 1,266 which represented a significant decrease over the number of involuntary strike-offs in 2019 14 | CRO Annual Report 2020
(5,068). This reduction is due to the suspension of enforcement activity by the CRO in March 2020 due to the pandemic. Voluntary Strike-Off Voluntary strike-off is a statutory process under the Companies Act 2014. A total of 5,479 companies were struck off voluntarily in 2020, which is a decrease of 9% over 2019. Voluntary strike off was also suspended for some time due to the pandemic and resumed in August 2020. Restoration to the Register A company can be restored to the register following strike-off. Where a company has been struck off the register for a period not exceeding 12 months, an application can be made by the company to the Registrar for restoration. Once the 12 months has elapsed, it is only possible to restore the company via Court Order Restoration. A total of 232 companies were restored to the register, a 47% decrease on the number restored in 2019. Prosecutions for failing to file annual returns A total of 23 cases were prosecuted by the CRO in 2020 for failure to file annual returns, 6 of which were adjourned from 2019. A further three cases were brought against company directors. In cases brought before the courts, one case was convicted, and the Probation Act was applied to 12 cases. No cases were withdrawn or struck out. Thirteen cases were adjourned. In the case where a conviction was secured, a fine of €1,000 was imposed. CRO Annual Report 2020 | 15
Part 4 - Other Entities Registered by the CRO Business Names The Registration of Business Names Act 1963 provides transparency in relation to persons trading under a name other than their own. It is obligatory to register a business name if any individual or partnership (whether composed of individuals or bodies corporate or any combination of both) or body corporate carries on business under a name other than their own true names. Its purpose is to make public the identities of those individual(s), partnerships or corporate bodies being the legal entity behind the business name. Registration of a business name does not result in the creation of an entity with separate legal personality. The number of new business names registered by the CRO in 2020 was 21,592 an increase of 4% on 2019 when 20,723 were registered. 94.4% of new business name applications were filed electronically in 2020. A change in any of the particulars of a registered business name (e.g. change of business name or business address) should be notified to the Registrar within one month of the date of the change. Their liability is limited to the extent of the amount of capital contributed by them to the partnership. As with a general partnership, a limited partnership is not a separate legal entity. 214 Limited Partnerships were registered in 2020, a reduction on the number registered in 2019 (305) but still an abnormally high number compared to the long-term trend. Part 5 - Corporate Function in the CRO The 2020 expenditure for the CRO was €7.47m. This reduction was due to two factors, the fall in the level of late filing fees received and the reduction in the number of submissions filed with the Office. The figure includes income received in respect of the Registry of Friendly Societies and the Register of Beneficial Ownership. There has continued to be a reduction in late filing fees paid. This was mainly due to the filing extensions granted in response to the pandemic but is also part of a longer- term trend towards increased compliance with filing obligations. 8,288 companies paid late filing fees during 2020 meaning that the average late filing fee paid by each of these companies was €450. 18 | CRO Annual Report 2020

Since the introduction of mandatory e-filing of the annual return (Form B1) and the accompanying financial statements in June 2017, filing fees and any late filing fees must be paid for by credit/debit card or by customer account. The number of cheques received in the CRO reduced from 18,495 in 2018 (value €2.3m) down to 10,875 in 2019 (value €512k) to 7,955 (value €343k) in 2020. The CRO continues to review alternative payment methods for customers who have traditionally paid by cheque. Overview of Energy Usage - S.I. 542 of 2009 S.I. 542 of 2009 requires public sector organisations to report annually on their energy usage and actions taken to reduce consumption. The CRO is located in Bloom House Gloucester Place Lower, Dublin 1 and O’Brien Road, Carlow. The CRO shares Bloom House along with meeting rooms, toilets and the reception area with the Registry of Friendly Societies (RFS) and the Competition and Consumer Protection Commission (CCPC) as well as private firms. CRO Carlow is the minor energy user of O’Brien Road (45%) and shares the building with the Register of Beneficial Ownership, and the Workplace Relations Commission while also sharing canteen facilities, toilets and the reception area. Bloom House has a Building Energy Rating of B3. BER No.: 800191413. Energy Performance Indicator: 77.12kg CO2 /m2 /yr. O’Brien Road Carlow has a Building Energy Rating of C2. BER No.: 800408395. Part 6 - Coming In 2021 Brexit The Withdrawal Agreement between the EU and the UK provided for a transition period during which the UK continued to operate under EU law. This transition period ended on 31st December 2020. Following the ending of the transition period, a bond is required for companies which have only UK resident directors under Section 137 Companies Act 2014. The bond is required from 31st December 2020. Alternatively, companies have the option of obtaining a statement from the Revenue Commissioners under section 140 Companies Act 2014 (form B67). Companies continue to have the option of appointing an EEA resident director. External companies from the UK must now file annual returns with the CRO under the non-EEA country legislation. Section 1304 Companies Act 2014 applies in relation to the submission of any changes in the company’s information. Section 1305 applies with regard to the annual returns. CRO Annual Report 2020 | 21

Restoration of Companies to the Register Chapter 2 Part 12 of the Companies Act 2014 provides for the restoration of a dissolved company to the Register of companies. A company struck off the register may be restored to the Register by application to the: • High Court before twenty years have elapsed from the date of dissolution; • Circuit Court before twenty years have elapsed from the date of dissolution, where the applicant is a creditor; • Registrar of Companies before twelve months have elapsed from the date of dissolution, where the application is made by or on behalf of the company. There were 75 Court ordered restorations and 157 administrative restorations in 2020. This figure includes companies which were directed to change their name under Section 30(3) Companies Act 2014. In 2019 there were 2,126, in 2018, there were 2,214 changes in company name and 2,422 in 2017. Irish Collective Asset-management Vehicles The Irish Collective Asset-management Vehicles Act 2015 allows companies to be de-registered following conversion to an ICAV. Registration orders for ICAVs are granted by the Central Bank. Investment Fund Migration No company was registered in the State, by way of continuation, following migration in 2020. This is provided for under Part 24 Companies Act 2014. Permission to Omit Suffix from Company Name 77 companies were granted permission to exclude the suffix from the company name during 2020. Cross Border Mergers The European Union (Cross Border Mergers) Regulations 2008 implemented Directive 2005/56/EC. The Regulations allow any Irish limited liability company, with the exception of companies limited by guarantee, to be party to a cross border merger with an entity in another member of the EEA. Ten company acquisitions were completed using the Cross-Border Merger legislation in 2020 while another 3 were absorbed (deleted from register). One acquisition and 2 further absorptions were planned in 2020 but have not been completed to date. 85 companies have been merged into Ireland and 116 companies have left the State since the legislation was enacted in 2008.
