Chair Welcome letter Thank you for your interest in becoming Chair of Active Lincolnshire. We are delighted you are interested in this role which will be pivotal in leading Active Lincolnshire through a period of transition and towards realising our vision and mission. The successful candidate will be joining the organisation at a crucial and exciting time in our journey. This pack aims to provide you with valuable insight into our business, ways of working and most importantly, what we are looking for in our future Chair. Active Lincolnshire came into being on 31 March 2017 when we changed our name from Lincolnshire Sport, to reflect our new primary role and focus on helping everyone in the county to become more active, whether through sport or through everyday activities like cycling to work, walking to school or gardening. The scale of our challenge cannot be underestimated. Within the county’s adult population, Lincolnshire is identified as one of the most inactive areas in England (Sport England, The Active Lives: Adults Survey, 2019). To take a fresh look at the challenge of inactivity, Active Lincolnshire, working with partners across the county, launched an ambitious ‘Let’s Move Lincolnshire’ Blueprint in Spring 2019. The Blueprint along with the funding and support we receive from Sport England and our partners, will help us to address the key challenges we face and explore how we can best work as a whole system to get the most inactive people in Lincolnshire, more active. We are proud of what we have achieved against a backdrop of significant change in senior leadership over the last couple of years and a period of interim cover for both the Chair and CEO role. We recognise however there is more to do, and we need to raise our profile. The board is therefore keen to fully establish strategic partnerships across the county and develop the organisation in a way that will deepen relationships at a local, regional and national level. Last year the board commissioned a review of structural governance options to identify the best opportunity for us to deliver our primary role. We accepted the recommendation of the review that Active Lincolnshire remain as an independent organisation in order to focus on strengthening our purpose and delivering benefits to the people and communities of Lincolnshire. The review also highlighted the need to further explore a more place-based approach to partnerships and delivery in order to reach all communities in Lincolnshire, especially those that have high levels of inactivity and where transport and communications are challenging. In order to make a tangible and significant impact we are now seeking to recruit a new Chair who can work with the Chief Executive and core team to bring people and organisations together and make change happen. The Chair will be a strong ambassador and influencer who can help reposition the organisation within current and new partnerships. As our new Chair you will lead the strategic direction of the board and offer prior experience of chairing boards or committees and/or offer substantial governance experience. It is not essential to have sector experience, but you will bring relevant skills, leadership qualities and an enthusiasm for helping us to make a difference to people’s lives across Lincolnshire. Chair About Active Lincolnshire Lincolnshire is the second largest of the English ceremonial counties, is predominantly agricultural and includes over 50 miles of coastline stretching from The Humber in the North and The Wash in the South. Of the two-tier counties it is fourth largest as it doesn’t include the unitary authorities of North Lincolnshire and North East Lincolnshire. The County Council is based in the City of Lincoln and there are seven district councils. The population is estimated at 757,000 living in an area covering nearly seven thousand square kilometres. Active Lincolnshire is one of a network of 43 Active Partnerships across England working to make physical activity and sport a part of everyone’s life, regardless of age or background. Mainly funded by Sport England, we are helping to deliver their national strategy, Towards an Active Nation, across Lincolnshire. The national strategy focuses on groups that traditionally are more likely to be inactive, such as women and girls, people living with a disability or health condition or those from less affluent backgrounds. Sport England’s funding into active partnerships for 2017-21 is provided largely to support our new ‘Primary Role’. The purpose of this investment is to ensure there is an England-wide network of organisations who help identify the best opportunities to maximise impact for their communities against the Government’s outcomes for sport and physical activity. Active partnerships do this through: • a strong granular understanding of the place and people; • an ability to broker and facilitate a much wider range of relationships; • where necessary, supporting projects and relationships on Sport England’s behalf, and • supporting local authorities by consent. To reflect our changing role, in 2018 Active Lincolnshire produced a three year Strategic Plan for Physical Activity (2018-2021) which outlines some of the challenges in creating a more active society and how we need people and organisations to come together to make change happen. Active Lincolnshire’s VISION is for Lincolnshire to be a place where everyone, every day is physically active. Our MISSION is to get those who are inactive, active. Our VALUES are: • Respectful – We consider the feelings, wishes, and rights of our people and partners • Collaborative – Working with others helps us to achieve more through shared goals • Innovative – We think creatively to be at the forefront of change • Excellence – Achieving the best for Lincolnshire and its people drives what we do • Inclusive – We involve everyone to create opportunities for all We have a clear leadership role in sport and physical activity, advocating for it to be it at the heart of key strategies across the county. We provide insight on physical activity to help our partners make better informed decisions and work with organisations across the county to help them embed physical activity into their work. This includes local authorities, businesses, schools, colleges and the health sector. We bring partners together to work on shared issues, stage events and bid for funding projects. We also deliver a number of projects and programmes; some on behalf of Sport England such as the Lincolnshire School Games and others with local partners where we bring our physical activity expertise. Chair In June 2018, the Joint Health and Wellbeing Strategy identified physical activity as one of the seven priority strands for improving health in Lincolnshire. As a result, together with our partners we established the Lincolnshire Physical Activity Taskforce which comprises leaders from across the county who are committed to driving a different approach to tackling the growing problem of inactivity. As coordinating organisation for the taskforce, Active Lincolnshire established an Executive Group and a Steering Group to oversee the development and implementation of a ‘Let’s Move Lincolnshire’ Blueprint. The Blueprint outlines our shared vision and describes a new way of working, a “whole system approach”, to increasing the opportunities for people of all ages and abilities to be more physically active every day. Along with the ‘Let’s Move’ branding, the Blueprint was launched in May 2019 to more than 60 partners from across the county. It sets out the vision, mission and four goals for implementing a countywide approach to increasing physical activity, health and wellbeing: Active Lincolnshire January 2020 6
Chair Since the launch of the Blueprint, Active Lincolnshire has continued to work closely with the County Council, the seven district councils and a wide range of partners across Lincolnshire who are passionate about making a difference the lives of local people through physical activity and sport. Chair Our Board Dennis Bell – Interim Chair Dennis is an experienced leisure professional and non-executive director, having served in senior positions in local government and on several charity boards. The whole of his working life Dennis has promoted participation in sport to the community, firstly as a physical education lecturer and after as Head of Leisure Services in local government. He has been a sports coach in several sports and while Director of the British Equestrian Federation introduced the first UKCC coaching courses to equestrian sport. He is a strong believer in participants enjoying sport and being encouraged to make the most of their individual abilities. Dennis has management experience in managing change, improving performance and the building of positive partnerships. His local government experience and over 40 years in a variety of voluntary roles gives him extensive knowledge of governance and working with national governing bodies. Jo Metcalfe- interim Senior Independent Director As founder and Managing Director of Think4Wellbeing, Jo Metcalfe is an experienced business consultant with a particular focus on long term conditions and health related exercise. Working on complex projects across the public, private and voluntary sector, she brings a comprehensive understanding of the health landscape, including work with commissioners through to the voluntary and community sector. Jo has previously managed physical activity and health services within a local authority, including long term condition pathways / exercise referral / weight management. Academically Jo has a BA (Hons) in Health-related Fitness and Exercise alongside a Diploma in Public Health and is able to provide a practical as well as strategic knowledge of the service area, ensuring Active Lincolnshire has a real mix of skills to enhance this growing area of work. Jo has a passion for getting everybody active irrespective of ability, with a real drive for behaviour change and motivation interviewing approaches to build active daily living. Jo Richardson Jo has been employed in accountancy practices for over 21 years and joined Wright Vigar in 2001. During this time, she has worked in various roles, gaining experience with different businesses and now heads up Wright Vigar’s small business unit. Jo specialises in new and growing businesses and can help those businesses by giving practical accounts and tax advice as well as all round trading assistance in enabling clients to grow and succeed. Jo is a past Chair of Lincolnshire’s Business Women’s Link, a group supporting women in business, and remains on the working group as Treasurer. In her spare time Jo enjoys running and undertakes half marathon’s and 10k’s all over the UK, with the Great North Run being a regular fixture in her diary. When not keeping fit, she also enjoys long weekends away, Cornwall being a favourite destination. Active Lincolnshire January 2020 10
Chair Oliver Tasker Oliver Tasker joined the board in March 2018 and is a Senior Partner at the Lincoln office of Wilkin Chapman LLP, the largest law firm in Lincolnshire and East Yorkshire and the 106th largest in the UK. Oliver has solely specialised in employment law since qualifying as a Solicitor in 2009 and predominantly acts for employers across a wide range of sectors throughout the UK including charities. Oliver is passionate about sport, health and wellbeing and is a strong advocate for Lincolnshire having been born and raised in the County. With his experience of providing strategic and commercial advice to businesses and charities, Oliver supports the board, particularly from a legal perspective, to ensure that Active Lincolnshire achieves the vision of getting more people active across Lincolnshire. Peter Wass Peter Wass is a Chartered Certified Accountant and Audit Manager with Dexter and Sharpe, a regional firm of accountants and business advisers with offices throughout Lincolnshire. He currently manages audits and other tailored work across a range of large regional private companies and also charities in the ‘not for profit’ sector. He has a strong audit background with the government watchdog the Audit Commission, for 18 years he carried out statutory audit, performance management and VFM work across local authority, health and probation board clients in the region. Peter has performed responsible officer and audit work at academies following their conversion from a LEA school to an academy and helped ensure their reporting responsibilities were fulfilled and remained sufficiently robust. Peter has participated in competitive sport throughout his life and his enthusiasm for sport remains. He is a keen advocate and participant of the ‘parkrun’ and all that this brings to general health and well-being in offering free access to exercise, for most with few restrictions throughout the country. His accountancy skill set will provide ‘fresh eyes’ and focus to the board in ensuring our finance and governance responsibilities are met. Kelly Hunstone Kelly is new to the board having joined in December 2019. She has dedicated the last 20 years of her career to social marketing and public sector/government PR and marketing for social good and positive change. An award- winning social marketer, communicator and researcher Kelly has significant experience working at a senior and board level delivering social research programmes and creative and effective marketing strategies for household brands, government departments and public sector clients. A former Government advisor on climate change adaptation in business and behaviour change, Kelly continues to advise, senior politicians and leaders on behaviour change, social marketing and purpose/cause related marketing which is her real passion. Kelly is now Chief Executive at Social Change UK - a social research and marketing agency working across the UK and in Europe which specialises in behaviour change campaigns, purpose, sustainable marketing and communications, corporate social responsibility and social business aims. Kelly is a keen advocate for physical activity, building it into her everyday life. She is interested in making physical activity and sport accessible and something that everyone can do – regardless of ability, age and background. Active Lincolnshire January 2020 11
Chair Dr Graham Basten Graham is new to the board having joined in December 2019. Until recently Graham was Head of School (Faculty / College Dean) at Bishop Grosseteste University and brings a wealth of experience from the academic world. Previously, he was Head of School of Allied Health Sciences at De Montfort University and led on Biomedical Science and Medical Science. He also had overall responsibility for Health Studies, Audiology, Healthcare Science, Cardiovascular Respiratory and Sleep, Clinical Tech / Clinical Physiology, Speech and Language Therapy and Sociology. In his role at Bishop Grosseteste University he led on a number of sports related initiatives including the development of a new sports programme and sponsorship of Lincoln City Football Club. Graham is an England and Wales Cricket Board Level 2 Cricket Coach and is particularly interested in the social barriers to sport and physical activity, access diversity, and inclusion and exclusion. Graham’s son and daughter both play sport. Active Lincolnshire January 2020 12
Chair Our Senior Leadership Team CEO - Vacant To provide strategic leadership for Active Lincolnshire, to support the board in all matters relating to the partnership's activities and to have special responsibility for finance, human and physical resources, business planning and leadership of the core team. To ensure that grass roots sport is supported and connected across the core agendas of the community. Navaz Sutton - Director of Development (currently Acting Managing Director) Navaz is responsible for effective and high-quality operational leadership, supporting Active Lincolnshire to achieve its vision, mission and role within the county, as well as delivering against the business objectives. He leads on the management of contracts, partner engagement and all operational management of the charity. Navaz also ensures successful delivery of all programmes, along with the development of new concepts and opportunities. Navaz currently has additional responsibility, as the Acting Managing Director, overseeing all functions of the charity and supporting the strategic leadership on behalf of the Trustees. Finance & Business Manager - Vacant This role ensures effective operation of financial controls, provides leadership and advice on all financial matters. The postholder has responsibility for all aspects of financial management and business support in areas that include Governance, Health and Safety and data management. Chair Lynsey Norris - Senior Project Lead Lynsey leads on ensuring the team delivers against funded programmes. She oversees funded projects and ensures the work of Sport England is delivered at a local level. Lynsey has a key role around managing partnerships and is the lead liaison for South Holland and City of Lincoln, offering support and guidance in all aspects of sport and physical activity in the community. Alex Mulligan - Project Delivery Team Officer Alex leads on Satellite Clubs, building links between community sports clubs, education providers and community groups to increase sporting opportunity for 14 to 19-year olds. Alex coordinates specific volunteering programmes through Higher and Further Education. Alex is the lead contact for the Activity Zone at the Lincolnshire Show bringing partners, clubs and National Governing Bodies’ together to showcase what is on offer in Lincolnshire. He also manages the coordination of the UTC sport contract for sports provision and is the lead liaison for West Lindsey. He is also deputy safeguarding lead for the organisation. Donna Sutton - Project Delivery Team Officer Donna leads on Local Workforce Development offering support to clubs, coaches, volunteers and professionals of Lincolnshire and leads on Health and Safety. This role also works with Lincolnshire Partnership NHS Foundation Trust promoting the benefits of physical activity on mental health and supporting the workforce to embed physical activity into their everyday practise. Donna is the lead liaison for North Kesteven; offering support and guidance on all aspects of sport and physical activity in the community. Ian Brown - Project Delivery Team Officer Ian coordinates support for schools to complete the Active Lives Survey. He leads on Equality and Diversity ensuring we meet the required standards set by Sport England and offers support to the sport and physical activity network. Ian also supports the team on District engagement and is the lead liaison for East Lindsey and Boston. He manages the Wheelchair Sports Programme engaging schools, events and companies in workplace fitness and team building, as well as working with partners to support athletes of the future, through the Lincolnshire Elite Athlete Programme (LEAP). Chair Jessica Lovett - Project Delivery Team Officer Jessica leads on engagement with the school’s network and partners to coordinate the delivery of the Lincolnshire School Games programme and to support Primary Schools with their Sports Premium Funding spend. Jessica also supports the One Network and is the lead liaison for South Kesteven; offering support and guidance in all aspects of sport and physical activity in the community. Llara Munn - Marketing and Communications Officer Llara develops and implements the Active Lincolnshire marketing, public relations, press, media and communications strategy. Her role involves planning and delivering multi-channel marketing communications to support objectives in accordance with strategic marketing plans. Llara offers marketing support to individual projects, in addition to working closely with partners and sponsors. She also leads on the GoExplore Lincolnshire project, a walking app designed to encourage more walking throughout Lincolnshire. Louise Key - Commercial Programmes Coordinator Louise coordinates partnerships with resource providers to increase physical activity opportunities within the education sector, community and workplace. She leads on engaging workplaces in the physical activity agenda and the development of partnerships and offers that generate income to support the work of Active Lincolnshire in delivering its key objectives. Chair Role Profile Reports to: Board of Directors Responsible for: Chief Executive Officer Active Lincolnshire Location: Lincolnshire Principle Purpose of the role: In addition to fulfilling the requirements of the role of board member, the Chair is responsible for leadership of the board, ensuring its effectiveness on all aspects of its role and for setting its agenda. The Chair is pivotal to creating the conditions for overall board and individual board member effectiveness and works to ensure the development of constructive relationships between board members and the core team. Core Responsibilities: Strategic direction: • Provides strategic leadership to the board and the organisation, working with the Chief Executive to ensure the board’s work supports the achievement of Active Lincolnshire’s aims, objectives and outcomes. • Ensures the board sets Active Lincolnshire’s vision, mission, values and standards and that any obligations to its stakeholders, including funders are understood and met. • Maintains awareness of current issues that might affect Active Lincolnshire. Ambassadorial Role: • Acts as an ambassador for Active Lincolnshire externally and helps build its brand and public image, ensuring an effective local and regional profile in consultation with the Chief Executive. • Advocates for, and represents, Active Lincolnshire at external meetings and events and with key stakeholders such as Sport England or other influential decision makers. • Attends ad-hoc meetings as required to promote the values and purpose of the organisation. Effective Governance: • Ensures the board delivers its key strategic role and promotes and provides effective governance of the organisation, securing its viability and sustainability and looks to maximise its effectiveness within the scope of its terms of reference. • Promotes good governance and ensures Active Lincolnshire’s affairs are conducted in accordance with accepted codes of governance and good practice. • Ensures that all committees of the board operate within a similar and consistent framework for good governance, sound controls and management of risk. • Contributes to effective governance through membership of any committees or sub-groups where appropriate as determined by the board of directors. Chair Conduct of the Board’s business: • Considers and deals with board papers and items associated with the function of chairing board meetings including development of the agenda and forward plan with the Chief Executive. • Ensures the efficient conduct of the board and general meetings, making sure Directors are properly informed and that accurate and sufficient information is provided in a timely way to enable them to form appropriate judgments. • Ensures adequate time is available for discussion of all agenda items, that directors are able to express their views and their views are actively sought before important decisions are made. • Brings impartiality and objectivity to meetings and decision-making and ensures the board receives professional and expert advice when it is needed. • Ensures that the board delegates authority to committees, the Chair and the Chief Executive or others to enable business to be carried out effectively between meetings. • Takes decisions delegated to the Chair in consultation with other board members and any necessary advice from the Chief Executive and ensures the board monitors the use of any delegated authority. • In the case of urgent business occurring between meetings, takes necessary decisions on behalf of the board, in accordance with agreed urgency arrangements. Developing the Board team: • Considers the skills Active Lincolnshire needs from non-executives and takes an active role in board renewal recruitment and succession planning. • Leads the appraisal and review process for the board (team and individuals) and ensures action is taken on the results. Management oversight and support: • Directly line manages the Chief Executive ensuring that a constructive working relationship is established with them and that an appropriate level of support and challenge is provided to keep an accurate overview of the affairs of Active Lincolnshire. • In conjunction with other board members, ensures that proper arrangements are made to set objectives, appraise the performance of the Chief Executive against those objectives and determine the renumeration for the Chief Executive role. • When necessary (e.g. following a resignation) ensures that the recruitment of any new Chief Executive is undertaken in a timely and orderly manner in line with Active Lincolnshire’s employment policies. Chair Person specification Core Competencies: Leadership: Excellent leadership skills with a collaborative approach and an ability to inspire confidence at all levels within and outside of the organisation. Strategic thinking: Demonstrates strategic vision, thinking, foresight and insight. Can encourage the board to think about the level of risk it can entertain to achieve organisational objectives and has ample experience of business planning and review. Judgement: Proven track record of providing clear, independent, balanced advice and guidance with the ability to challenge constructively. Ability, Skills and Knowledge: • Experience of chairing boards or committees and knowledge of good governance. • Proven track record of leading an organisation or having high level management experience in the commercial, educational, public or voluntary sector. • Understanding of the physical activity landscape and the issues currently influencing it. • A strategic thinker, who can apply creative and imaginative solutions, with good judgement and a commitment to results. • Skilled at bringing people together to generate a strong team spirit, able to work collaboratively, building consensus and encouraging ‘cabinet style’ decision making. • Financial proficiency and IT literate. Good background in corporate skills. Chair Code of conduct Directors have a responsibility for ensuring that Active Lincolnshire conducts itself in accordance with accepted standards of behaviour in public life, embracing selflessness, integrity, objectivity, accountability, openness, honesty and leadership. They must at all times regulate their personal conduct as members of the board of directors in accordance with these standards. A code of conduct for non-executive directors ensures that the highest personal standards are observed at all times. The Active Lincolnshire Board of Directors will accept the Nolan Committee’s “seven Principles of Public Life”. These principles should be followed in all aspects of a director’s involvement and activity. Directors must make a full and timely disclosure of personal interests to the Active Lincolnshire CEO in accordance with the procedures approved by the Board of Directors. They must as soon as practicable disclose any interest which they have in any matter under discussion and accept the ruling of the Chair in relation to the management of that situation, in order that the integrity of the business of Active Lincolnshire and its sub- groups may be, and may be seen to be, maintained. Since Active Lincolnshire is funded, in part, by grant from Sport England, Directors have a responsibility for ensuring that the Board of Directors exercises efficient and effective use of the resources of Active Lincolnshire for the furtherance of its purposes, maintains its financial viability, and safeguards its assets, and that proper mechanisms exist to ensure financial control and for the prevention of fraud. Chair Terms of appointment Position: Independent Chair of Active Lincolnshire Board. Remuneration: This is a voluntary non-salaried position. Travel and other reasonable expenses will be reimbursed. Time Commitment: Any board member role is a significant time commitment. You will be expected to attend all meetings of the Active Lincolnshire Board (or give timely apologies if absence is unavoidable) and to devote adequate time to preparation for evening board meetings, away days, committees, visiting projects, undertaking training and development events as appropriate, and to attend and participate in reviews linked to individual performance and that of the whole board. As a minimum, attendance and preparation should be made for: - an estimated commitment of two days per month in addition to the commitment of 8-10 days per year expected of all Directors which includes attendance at: • 4 Board of Directors meetings • 4 sub-group meetings, as appointed by the board • 2 corporate and celebratory events, including the Annual General Meeting and Active Lincolnshire’s annual Sports Awards and: - • An induction training event • regular meetings with the Chief Executive to monitor and support progress • Two national meetings • An appraisal meeting • Completion of appraisal meetings for individual board members • Meetings, as required, with the County Council and District Councils • Supporting the Chair of the LPAT Executive Terms of Office: The tenure length for a board member is four years. This can be renewed subject to a satisfactory appraisal and the board’s skills requirements at the time. All members are restricted to a maximum of eight years’ continuous service (i.e. two terms, each of four years). Location: Board meetings are held at locations across the county. All unsuccessful candidates will be offered feedback by Campbell Tickell. First interviews: Thursday 13th February 2020 Longlisted candidates will be interviewed by a Campbell Tickell panel; Kelly Shaw and Deb Bannigan. Final interviews: w/c 24th February 2020 Shortlisted candidates will be interviewed by an Active Lincolnshire panel. Interviews will be held within the Lincolnshire region.
