| Solidify Growth, Distribute Impact 1. Introduction BLOC is a global investment and management platform using new financial technologies. We at BLOC believe that technological innovation, using blockchain at its core, will revolutionise all industries. Blockchain can build a more trustful internet system through the first principles of safety, storage and decentralization. We at BLOC realize that blockchain is not merely a technology, but a socialized concept of "consensus trust", which encourages people to build a system in the internet that can be governed. This is fundamentally important in areas of social responsibility. BLOC is committed to building a standardized, intelligent fund service platform based on digital assets. Blockchain technology, intelligent contracts are used to serve the entire process of fund investment, management, and liquidation. Due to issues such as the scalability of consensus trust, blockchains have been slow to resolve social conflicts. The global fund management platform that BLOC team is committed to organizing and maintaining, can greatly improve efficiency and security for small and medium investors and fund management companies. BLOC's technological advantages will enable the construction of a set of fund management and investment tools to help users create and invest in different types of funds (including venture funds, equity funds, fixed income funds, public funds, etc.). BLOC believes that it is crucial to solve various problems in the field of fund investment, and will strive to build an investment system specifically for investing in global funds through digital currency, and focus on the field of influence investment, environmental protection and public welfare investment to help Address global poverty, hunger, pollution and inequality. Industry Background 2.1 Sustainability We, as a population, face an increasing number of interconnected challengers, with pressure on environment and social infrastructure. These pressures arise from an economic ecosystem designed to incentivise output and growth. We must transition toward a sustainable system that respects ecological balance and work for the benefit of everyone. The UN established its 2030 Agenda for Sustainable Development in 2015 where many world leaders have adopted its principles . Over the course of its program, countries applied universally the outlined 17 Sustainable Development Goals, and will mobilize efforts to end all forms of poverty, fight inequalities and tackle climate change. These goals are unique in that they seek participation from all poor, rich and middle-incomed countries and recognise that ending poverty must go together with strategies that build economic growth. These addresses a range of social needs including education, health, social protection, and job opportunities, while tackling climate change and environmental protection. We therefore need to transition our current economic system into regenerative circular system by design. Instead of maximising growth and profit and making products obsolete by design, the goal is to capture all the value we create for as long as possible. Economic growth must be reconnected to our actual needs in smart, innovative and resource-conscious ways. 4|Page
| Solidify Growth, Distribute Impact 2.2 Sustainable Returns This moves us into impact investing where investments made with the intention to generate positive, measurable social and environmental impact alongside a financial return. In this way, we can align the interest of sustainability with that of investing – financial returns. The core characteristics of impact investing can be classified in four key characteristics: • Intentionality An investor’s intention to have a positive social or environmental impact through investments is essential to impact investing • Investment With Return Expectations Impact investments are expected to generate a financial return on capital • Range Of Asset Classes Investments can be made across asset classes, including but not limited to cash equivalents, fixed income, venture capital, and private equity • Impact Measurement Commitment of the investor to measure and report the social and environmental performance and progress of underlying investments, ensuring transparency and accountability while informing the practice of impact investing and building the field On all four characteristics, applying digital technologies within the social and impact investing space can provide significant benefits in terms of access to various asset classes (including, portion of binary assets) and significantly improves transparency of each investment. The claim that investing sustainably is at the detriment to returns is a false doctrine. This dubious binary logic is often used to “prove” that impact investments and other forms of responsible or sustainable investing must detract from returns. | Solidify Growth, Distribute Impact There is significant evidence that supports the conclusion that sustainable and impact investors can at least match the returns of ordinary investors. More than 2,200 academic studies undertaken in the past 40 years have examined the relationship between ESG factors and corporate financial performance. More than 90 per cent of them have found that ESG factors have a positive or neutral impact on financial returns 2. Additionally, the MSCI KLD 400 Social index, comprising of companies with strong sustainability profiles, has outperformed the S&P 500 with annualised returns of 11.2% vs. 10.7% since 1990. 3 Furthermore, respondents to the Global Impact Investing Network report that portfolio performance overwhelmingly meets or exceeds investor expectations for both social and environmental impact and financial return, in investments spanning emerging markets, developed markets, and the market as a whole. This has meant that total assets under management in impact funds has risen to $114 billion and expected to grow a 17-20% per annum 4. With the prevalence of social responsibility, this trend is expected to continue. BLOC Platform Proposition The BLOC platform aims to provide high quality and standardized fund service where investors will have the opportunity to invest in top impact funds, not only to obtain considerable returns, but also to create global social benefits. The platform will join forces with a number of well-known fund institutions to launch multiple funds, including Bamboo Capital Partners, UNDP, etc. BLOC_Proposition In partnership with top impact investing funds internationally, like Bamboo Capital Partners and their pioneering investments, we have come to realize the importance of technology and has learned to harness its power in leapfrogging entire market developments and dramatically scale the expected impact for millions who are marginalized and living in poverty. We aim to greatly improve the efficiency of the process of directing investments, to where it can make the most impact. This will be done via the BLOC platform. The BLOC platform will connect global impact funds, using the most advanced blockchain technology to invest in and incubate socially influential projects to help solve global social issues. Our initial focus will be around 3 of the Sustainable Development Goals – Poverty, Gender Equality and Reducing Inequalities. 7|Page

BLOC Platform Business Model 4.1 Platform Overview BLOC platform provides access for investors into new funds and will create liquidity around access to these funds. From the fund’s standpoint, the funds raised are fixed and therefore they face no volatility in assets under management. Investors, however, will have liquidity to exit via BLOC platform. Investors will be able to contribute to new funds in the currency they wish at the prevailing market rate. The funds will be converted into MDA based stable coins in the currency the fund is raised in. Stable_Coins BLOC platform will issue series of stable coins that will anchor to different fiat currency for investment in funds in different regions and settlement. 9|Page
| Solidify Growth, Distribute Impact On the platform, investors could convert several cryptocurrencies into MDA-FIAT stable coins in the corresponding regions with only one click and use the stable coins which are then invested in the impact fund. From the investors point of view, they will contribute in the currency they wish. Returns will be distributed in terms of the stable coin in order to ensure matching returns from the fund and incur no market risk from conversion back into initial cryptocurrency. Conversion process • When investing into the platform, the investor contributes their chosen currency into the fund • Within the BLOC platform, these currencies are exchanged into MDA-FIAT (locked exchange rate with FIAT, such as MDA-BRL, MDA-USD, MDA-CNY) • Ratio of MDA to FIAT is free floating, but the exchange ratio of MDA-FIAT to the corresponding FIAT is 1: 1 unchanged o For example, 1MDA-BRL = 1 BRL, 1MDA-USD = 1 USD, I MDA-CNY = 1 CNY • These funds are then contributed into the fund in the the MDA-FIAT where the fund originates o For example, for a Brazilian fund, contribution currency needs to be converted into MDA-BRL and done via the platform • MDA-FIAT will be then be put into the project In specific areas, MDA-FIAT holders can be certified as MDA-FIAT holders (eg. MDA-BRL, project owner receives investment in MDA-BRL. When they have been authenticated, they can have their MDA- BRL directly into the Brazilian legal currency Real). The returns will be distributed in terms of MDA-FIAT to crystallise the fiat value of said returns; this will be distributed to the user’s platform wallet proportional to the MDA-FIAT the user invested in. Users can then exchange these stable coins for any cryptocurrencies at market price, to withdraw. 10 | P a g e
| Solidify Growth, Distribute Impact Investment Process When the user converts any cryptocurrency into a stable coin on the BLOC platform, it can be used to invest in impact funds in different regions. Different funds will have different investment conditions, and the platform will conduct KYC procedures for potential investors according to the corresponding laws in the fund issuers’ areas. Investors will be able to see the detailed terms of the fund on the BLOC platform, including fund duration, minimum investment limit, management fee, exit mechanism etc via BLOC dashboard. Users can view their portfolio details through the Dashboard of the BLOC platform and continuously track the fund's investment. The fund's information disclosure will be stored on the blockchain and open to fund investors. 11 | P a g e
| Solidify Growth, Distribute Impact Return_Process When the fund expires, there will be different ways to return the investment income and principal to the investors: • Funds can use the fiat currency to purchase the corresponding stable coins directly from the BLOC platform and then return it to the corresponding investors • Funds can use the fiat currency to buy cryptocurrency in the open market and convert it to the corresponding stable currency on the BLOC platform, and then return it to the corresponding investor After the investor receives the corresponding stable coin as investment return, it can be converted into any cryptocurrency on the BLOC platform and can be extracted into their wallets. Note: The purchase of the corresponding stable currency using the fiat currency on the BLOC platform has to abide by the local law. The actual case might be that this service can be provided only in some regions in the world. 12 | P a g e
| Solidify Growth, Distribute Impact Fund_Dashboard The BLOC Platform’s fund dashboard provides an easy and quick interface to see access to wallet, coin exchange, new fund offerings and view of invested funds. This dashboard will be the home base for investors to keep track of all investments including the investments that the funds are active in, as well as key statistics of the fund. This will also be the place where investors can acquire insurance for the funds that they invested in. 13 | P a g e
| Solidify Growth, Distribute Impact 4.2 BLOC Platform Token - MDAB The platform is built based on blockchain technology, ensuring trust and transparency, a requirement for impact investments. Furthermore, this will also enable global liquidity. BLOC will issue MDAB as its platform token. The token utility will enable holders to participate in the activities on the platform. • Membership: By locking MDAB tokens, holders benefit from additional features by becoming a Global Impact Member. Benefits will increase with tokens held and be based on tier requirements • Conversion fee: When converting cryptocurrencies into other stable coins or vice versa, or when trading stable coins on the FX exchange, a certain amount of conversion fee could be paid by MDAB. By utilising MDAB to pay for conversion fees, users can benefit from 0-75% discount of the fee • Staking: Validator will be able to choose to stake its own token into the smart contract. Any holder of the MDAB token will have the option of proxying the held MDAB token to some Validator Node for Staking 14 | P a g e

In order to provider further incentives to MDAB Token holders, we have designed a membership rating system to reward their contribution to the platform ecosystem. These membership’s will be divided into 4 tiers: • Tier 1: Requirement: lock 10,000 MDAB tokens 4th to access new BLOC funds, subscription priority higher than non-members Members can obtain the Global Investor Fund Junior Investor Certificate issued by the BLOC platform • Tier 2: Requirement: lock 100,000 MDAB tokens 3rd to access new BLOC funds, subscription priority higher than Tier 1 members Members can obtain the Global Impact Fund Intermediate Investor Certificate issued by the BLOC platform Concurrently, investors receive further 0-20% discounts on the BLOC platform when converting from MDAB and stable coins • Tier 3: Requirement: lock 1,000,000 MDAB tokens 2nd to access new BLOC funds, subscription priority higher than Tier 2 menber Members can obtain the Global Impact Fund Senior Investor Certificate issued by the Green Cross Brazil, and get the opportunity to be invited to their conferences and networking events Concurrently, investors receive a higher discount (25%-50%) on the BLOC platform when converting between MDAB and stable coins 15 | P a g e

| Solidify Growth, Distribute Impact 4.4 Validator Node The BLOC platform will invite well-known institutions and influential individuals to become the Validator nodes on the platform, with a total of no more than 21 nodes globally. The main role of the Validator node is to review and validate fundraising materials and to continuously monitor the investment process. Any fund issued on the BLOC must have a validator for recommendation and certification, and only certified funds can be opened to investors on the platform. At the same time, Validator needs to stake MDAB tokens to provide additional guarantees for the fund. If the fund faces compliance problems, and leads to investors loses, the validator will lose the node qualification, and the staked tokens will be compensated to the investors proportionately. The BLOC platform will reserve a portion of the MDAB tokens in the Validator Pool as future rewards to the Validator node in return for continuous service. The Validator Pool will release no more than 10% of its current year's total for all Validator nodes as a reward. The release method is that the Validator must stake a portion of the token to get the reward. Staking Rules: Validator will be able to choose to stake its own token into the smart contract and be locked. Minimum is 1 million MDAB tokens. When the proceeds are finally obtained, the Validator node will share the proceeds with the holders, and the sharing ratio will be set by the Validator Node. The MDAB token holder can decide which node to proxy its own token based on the reliability of the Validator Node, the proportion of revenue sharing, and so on. At the same time, if the risk of non-compliance of the fund verified by the Validator Node causes the investor losses, the corresponding value of the Staked MDAB tokens will be paid to the investor, therefore the MDAB token holder needs to select the Validator Node carefully when they process the Staking Proxy. Staking Reward Upper Limit The upper limit of the Staking reward will not exceed 10% of the total amount of the Validator Pool in the current year. If it is exceeded, it will be prorated to all Validator nodes. More specific election rules and operational rules for the Validator node will be available in the future BLOC official website. 18 | P a g e
| Solidify Growth, Distribute Impact 4.5 Insurance Node The BLOC platform will openly recruit insurance nodes to provide additional guarantees for the fund's revenue. The insurance node will be able to provide insurance services to all investors, and the insurance node is required to lock at least 1 million MDAB tokens as the underlying insurance pool. In return, the insurer will receive a premium which must be paid in MDAB. All premiums paid for the sale of insurance products will not exceed twice the amount of the insurance pool. The insurance node must lock at least 50% of the gross value of the insurance they provided, in terms of MDAB, into the insurance pool. The locked MDAB tokens can be proxied and locked by the fund's Validator Node in order to obtain further Staking income. These Insurance Nodes, should they choose, may have additional benefits and product utilities. Investors can acquire insurance from these validators for a fee. For example: • Insurance Nodes can broadcast they are willing to provide insurance for fund 1 at a certain rate (i.e. return below - 5%) • They also broadcast the cost to insure i.e. 1000MDAB per 100 MDA - USD investment • Investors can choose to accept the offer by depositing the required MDAB with the Insurance Node • If the return falls in the range the Insurance Node offered, the investor claims the insurance payment • If the return falls above the range, validator receives the fee The more specific election rules and operating rules of the Insurance Node will be announced in the future BLOC official website. 19 | P a g e
| Solidify Growth, Distribute Impact 4.6 Conversion Fees For all transaction on the BLOC platform, conversion occurs (i.e. contribution currency, MDA or stable coins), if users have enough MDAB to cover the fees, the system will pay the required amount of MDAB as transaction fees. The fee is discounted (ranging from 0 to 75% based on the number of MDAB tokens held), and equivalent MDAB currency is calculated according to the current market value, and MDAB currency used to complete the payment of the fee. 4.7 BLOC’s Revenue Model BLOC Revenue Membership Platform Fee Conversion BLOC will generate revenue in 2 ways: • Conversion: For each transaction on the platform between cryptocurrencies and stable coins, a small fee will be taken. This can be discounted by membership benefits • Platform Fee: For funds to access a large range of potential investors, we will charge a small fee of the amount raised via the BLOC platform. Initially this will be zero as an incentive for new funds, we envisage this to be introduced as the platform reaches critical mass. In addition, BLOC will receive a portion of the returns generated by each fund on the platform 20 | P a g e
| Solidify Growth, Distribute Impact 4.8 New Funds on BLOC Platform We at BLOC will carefully curate the funds launching on our platform. Only the funds which are recommended and validated by our Validator nodes will be selected to list. Our filters will revolve around each fund’s impact and sustainability according to 17 UN’s sustainability objectives, with the first funds focusing around improving poverty, gender equality and reducing inequalities. Therefore, investors with us can be assured that the funds will have meaningful impact on social deficiencies as well as a way to generate returns. Our initial founding partner, Bamboo Capital Partners, will launch the first fund on BLOC . Bamboo, was founded in 2007 and manages over $370m in assets. Its aims are to find game-changing businesses and applies a mix of geographical and sector expertise to deliver financial and social returns. As highlighted by GIIN, impact investing covers multiple different asset classes; from private/public equity to debt instruments with returns proportional to the capital instrument. With this in mind, we at BLOC , aim to reflect this onto our onboarding of new funds on our platform. As part of our business 21 | P a g e

Once BLOC has reached a critical mass and sustainable level, we will also launch an index fund for impact investments which will track the performance of the underlying funds launched on BLOC . Investors can access the platform in the same way. 4.9 FX Exchange 22 | P a g e
| Solidify Growth, Distribute Impact Given that the BLOC platform will issue a variety of stable coins anchoring different fiat currencies we will establish a cryptocurrency FX exchange alongside. Global trading pairs will be added which will make the BLOC platform a single market maker or a counterparty of the investors, but also a free market which allows investors to convert funds. The platform will charge a fee for each transaction. This will act as a gateway for investors to access funds and provide liquidity to their home currency. Furthermore, as part of the FX exchange launch, we will incorporate investors access to margin. The counterparty to the provision of margin will be provided by similar participant(s) on the BLOC platform and earn interest in the form of stable coins. Via access to margin, investors can increase their investment size into new funds. 23 | P a g e

BLOC Platform Technology 5.1 Infrastructure The BLOC Impact Investment Platform is a software program that will be initially built on three blockchain protocols, i.e. Hyperledger, Stellar network and the Binance Chain protocol. All on-chain data related to BLOC Platform token transactions will be kept private, such as documentation related to identity and authentication, confidential contracts and other agreements with sensitive information, will be managed through Hyperledger Fabric. Users will retain sole custody of their private keys throughout the transaction process, this will give full control to investors over their own funds without having to rely on an exchange. Stellar network will perform as a gateway for Fiat-Crypto transactions on BLOC platform. Stellar network will allow easy and fast conversions of almost any fiat currencies into MDA-Fiat cryptocurrencies. Also it supports smart contracts which will ensure the whole BLOC platform to run smoothly. On the other hand, in order to bring more scalability, decentralization and security to the software and more liquidity to token holders, Crypto-Crypto transactions on BLOC platform will happen on Binance chain. 24 | P a g e
| Solidify Growth, Distribute Impact 5.2 MDAB and MDA-Fiat Tokens MDAB token will be launched on Binance chain to start. We have chosen Binance Chain protocol as it provides us: • An alternative marketplace for issuing and exchanging digital assets in a decentralized manner • Issue new tokens to digitalize assets, and use Binance as underlying exchange/transfer network for assets • Send, receive, burn/mint and freeze/unfreeze tokens • Send orders to buy or sell assets through trading pairs created on the chain • Watch the DEX market to confirm price and market activity of certain assets. • Explore the transaction history and blocks on the chain, via Binance Chain Explorer, API and node RPC interfaces • Extract other data of Binance Chain via full node or APIs Binance Chain adopts the fast BFT (Byzantine fault tolerance) consensus algroithm and has near- instant transaction finality, with one-second block times. This is considerably faster than other blockchains. With the core Binance Chain technology, Binance DEX can handle the same trading volume as Binance.com is handling today. This solves the issues many other decentralized exchanges face with speed and power. With Binance DEX, users fully hold their cryptocurrencies and are able to directly 25 | P a g e

Upon the full release of BLOC software, where interchain swap tools and protocols will be refined and developed in conjunction with other transaction performance-enhancing tools, a mapping of MDAB token will be done on Binance chain and Stellar network. The MDAB token on Stellar network will be the actual utility token, while the exchange of MDAB and other cryptocurrencies will still happen on Binance chain, this will done via interchain swap protocols. MDA-Fiat cryptocurrencies will be issued on both Stellar network and Binance chain. Similar to MDAB, the tokens on Stellar network will function as the actual utility tokens, while those on Binance chain can be exchanged with other cryptocurrencies. The token ownerships on both Stellar network and Binance chain are synchronized on a real-time basis thanks to interchain swap technologies. 5.3 BLOC Reserve-Based model BLOC Platform aims to aggregate liquidity across token exchanges by treating the entire landscape as a potential reserve. BLOC reserves will provide a supply and demand of various tokens that are readily available to be executed based on the reserve’s quoted buy and sell prices for that token. These reserves will be created by on-chain smart contracts (Moeda’s Chain) that enforce the trade execution and settlement process. The trade price may also be programmatically determined by a smart contract. The reserve model enables BLOC users to enter trades more easily given that the supply and 26 | P a g e

This removes the potential friction involved in discovering counterparties and negotiating. 5.4 BLOC Automated order filling With an automated order filling BLOC Reserve Managers feed dynamic exchange rates into the Moeda’s smart contract and orders are filled at the current exchange rate, an algorithm will match orders automatically. Automated order filling reduces the amount of user time and effort needed to identify suitable trades, thereby reducing order filling latency. 5.5 BLOC Transaction Settlement On-chain settlement helps users publicly verify on the ledger that their trades were settled according to their desired terms. 5.6 BLOC Consensus BLOC has a flexible governance model MDAB-weighted delegated voting system where voting power is directly proportional to the amount of MDAB you have. Validator will be able to choose to stake its own token into the smart contract. Any holder of the MDAB token will have the option of proxying the held MDAB token to some Validator Node for Staking. 5.7 BLOC API The BLOC API is hosted on Microsoft Azure and deployed using Docker containers, which give us increased confidence that our development, staging, and production environments are consistent. BLOC API microservices architecture consists of a collection of autonomous services: Authentication, Wallet and Exchange. Each service module is self-contained and implements a single business capability. The Services are responsible for persisting their own data or external state. This differs from the traditional model, where a separate data layer handles data persistence. BLOC API Languages and Tools The API and Frontend are both built using JavaScript. We use next-generation JavaScript through Babel to take advantage of improved language features such as async/await and modules. All tests are built using Jest. First fund launching on BLOC Platform The first fund to be launched on BLOC platform will be the Global Tech Impact Investment Fund - a fund in partnership between Bamboo Capital Partners and Moeda. 9.1 Fund Objectives Blended Assets: BLOC allows traditional investors and crypto-asset owners to invest in frontier impact strategies through a regulated investment vehicle.
