Board of Directors Meeting
October 14, 2018
9:11 AM Meeting called to Order by Vice-President Scott VanLaer
Pledge of Allegiance
Welcome Scott VanLaer, Board Vice-President
- Meeting Norms
Roll Call: Russell Wagner, Darrell Austen, Patti Pastella, Peter Frank,
Karen Klimbach-Frank, Anthony Pernisi, Andrea Urmston, Russ
Kuhles, Joe McCranels, Maureen Morgan via phone, Scott VanLaer,
John Oliver, Alyson A. Bennett, Paul from the Greek Chapter,
Heather Tuttle and Ray Agnew.
Motion by Anthony Pernisi to go into Executive Session to discuss
legal actions being taken against the Board and Alumni Association.
Seconded by Russell Wagner.
Motion carried.
Motion to return to regular session made by Anthony Pernisi.
Seconded by Russell Wagner.
Motion carried.
Return to regular session at 10:20.
Approval of Minutes
- Annual Association Meeting of July 28th, Maureen Morgan '83
Motion by Anthony Pernisi to approve the Annual Association
minutes. Seconded by Darrell Austen. Motion carried. Annual
Association minutes approved.
- Board of Director Meeting of July 29th, Russell Kuhles '90
Point of Order made by Darrell Austen to have his name removed
from the roll call.
Motion made by Russell Wagner to approve the minutes as
amended. Seconded by Darrell Austen. Motion carried. Board of
Director minutes approved as amended.
Hearing of Alumni Association Members
The Paul Smith’s College Alumni Association
will foster lifelong support for the mission of the college by engaging
and promoting the Paul Smith’s College experience through a spirit of
friendship, loyalty and sharing among Alumni, community and friends.Paul Smith’s College

Board of Directors Meeting
College Update Ray Agnew, Vice President for College
Advancement- Enrollment is slightly lower
than expected. There is now a minor in
Wildfire Prevention available. College is
working with new Recruiting Manager to reach
out to prospective students, including those
serving at Fort Drum and with Olympic
athletes looking to further their education
while training for their sports. College also
announced an even match for all donations
marked for sports by Trustee Phil Saunders.

Chapter Updates Paul Greek Chapter- The Hot dog roast at the
campground on Saturday saw10-15 people show up and a good time
was had by all who attended. Plans are in the works to hold another
one, possibly reunion weekend.
Committees
Alumni/Student Affairs - Andrea Urmston
Those in attendance, Andrea, Scott, Patti, Anthony and Karen.
Karen and Joe will attend Career Fair on 10-18 on behalf of the
Alumni Association.
Karen mentioned an upcoming event presented by the PSC Student
Veterans Association; Patti requested we take up a collection at the
meeting. Russ Kuhles passed his hat around and $155.00 was
collected to be presented by Anthony and Scott on behalf of the
Alumni Association.

Board of Directors Meeting
Andrea will contact Admissions/Enrollment Management regarding
the Compass Club status and engaging/reengaging alumni to assist
in recruiting future students.
We also brainstormed ideas about a potential publication from the
Association as additional contact amongst alumni in between Sequel
issues.
Alumni Outreach
Awards – Joe McCranels Committee met and there are no Awards
updates at this time.
Campground (ARAC) Heather Tuttle stated that overnight stays
were down slightly from last year, but remain very consistent. Darrell Austen
stated that inventory was taken and there are a few things that need attention but
overall things look ok. We noticed that leanto #2 has walls that are leaning and
this will need to be addressed sooner than later. There are low spots on the road
to the leantos that are eroded from heavy rain that also need to be addressed.
It was also discussed in committee about possibly placing wood bins
in various places along the roads that will help keep the wood dry and be a little
more convenient for campers to get wood as needed. Who will keep the bins
stocked with wood?
Russell Wagner motioned to have a plaque placed in remembrance of a fellow
alumn who passed. Seconded by Anthony Pernisi. Motion failed and will be
discussed in committee at a later date.
By-Laws – Peter Frank stated that there is much to be accomplished
going into the new year so that the changes that need to be prestented to the
Association can be rolled out before the next Annual Meeting of the Association.
Development – Maureen Morgan and Andrea Urmston stated that
the Smitties Cook cookbooks are for sale in the college bookstore and are also
available online. Patti said she was working on getting them into the store in the
Hotel Saranac.
It was discussed in committee that there was interest in a Frisbee
Golf Tournament to be held reunion weekend at the frisbee golf course.
Motion by Patti Pastella for the Board to authorize the purchase of
raffle tickets as a donation by Scott VanLaer to be sold to benefit the Alumni
Endowed Scholarship Fund. Second by Karen Frank. Motion carried.

Board of Directors Meeting
Historical – Did not meet. Nothing to report.
Nominating – Karen Frank announced that current Board members
whose terms expire next July and wish to be included in the next election, should
let her know by January 12, 2019. Those who wish to use an Independent
Nomination, the call for those will go out on or before February 1, 2019. All
biography statements will need to be submitted by March 1, 2019.
Motion by Karen Frank to recommend Dan Richards to a vacant
seat that expires in July 2019. Seconded by Russell Wagner. Motion carried with
1 abstention – Andrea Urmston.
Social/Reunion – Andrea Urmston announced that the theme for
next years banquet will be “Peace, Love and PSC in honor of the 50th
anniversary of Woodstock Music Festival held in 1969.
Old Business – There was no old business.
New Business – Resolution 18-10-14 see attached. Motion made by.
Seconded by Peter Frank. Motion carried with 2 abstentions Anthony Pernisi and
Andrea Urmston.
Patti Pastella sent out a request to Heather Tuttle to get the campus
trainer to train the Board members on sexual harassment to bring the Board into
compliance with State Not for Profit Laws and with the College Standards.
Possibly getting this to be in conjunction with our January meeting in Albany.
2019-20 Meeting Schedule – Heather Tuttle requested the Board
approve the following dates to coincide with the schedule of events.
April 27 – April 28, 2019 Sugarbush
June 1 – June 2, 2019 Campground roundup and Board meeting.
July 26 – July 28, 2019 Association Annual meeting Reunion
weekend and Board meeting.
October 19 – October 20, 2019 Committee and Board meetings
January 11 – January 12, 2020 Committee and Board meetings
Motion by Darrell Austen to approve the afore mentioned dates. Seconded by
Russell Wagner. Motion carries
