STANDARD TERMS AND SALE CONDITIONS
1. General Terms.
SYSTEM TRUCKS AND INDUSTRY
- The following general sales conditions regulate all our contracts of supplies also when orders are taken by telephone, fax, e-mail or orally.

T E MIVAT s.r.l. and its Customers if not restricted by other particular written conditions. Proposers, collaborators, employees, relatives and all people in
general, acting on behalf of our Customers, represent them at all and will be considered as able to take any engagement with IVAT on our customer behalf.
- The present General Terms, as well as the particular eventual conditions are considered as implicitly accepted by the customers.
2. Price List.

- All data concerning the above-mentioned products, packaging, and services, as any other catalogue, public announcement or illustrated document, have only demonstrative purposes. The only binding data will be
those specified in any offer followed by IVAT srl acceptance.
3. Orders and Offers. JKO.0002.O EAVY WHITE 3,5 Lt 2
- Orders can be sent to the local agent or directly to the IVAT Headquarter (Sales & Marketing Dept.).

- All prices indicated at any time in the price list cancel and replace the previous ones and are subordinated to the effective product availability. IVAT s.r.l. reserves the right to confirm or make any modification to any
price at the moment of the acceptance of the order.
- Any order sent to IVAT s.r.l. must be complete in any part and must contain all necessary elements to understand easily the ordered products. Each order represents a contractual proposal of the customer and will

become binding only after IVAT s.r.l. confirmation. Any execution and delivery of an order by IVAT, corresponds to a confirmation and acceptance of the same. 2
- IVAT s.r.l. reserves the right not to accept incomplete orders. Any ordered quantity must refer to the existing packaging of the products (lt/kg–tins/drums), and to the exact number of pieces per box. Any wrong
quantity will be automatically rounded up to the next multiple in order to reach the box quantity. In case of non availability of any product , IVAT s.r.l. will immediately inform the customer, who will not have right to

4. Packaging - Collection.
- For transport requirements, boxes are placed on pallets to return, whose number will be indicated on the related delivery note. Ivat s.r.l. reserves the right to charge the cost of ¤/each 13, in case of non return.

Cans/tins and boxes are sold together with the painting products and included to the current prices and conditions at the moment of the delivery. In any moment, the withdraw and garbage disposal of the empty
and/or half-full tins are under the responsibility of the end user of the product (D.P.R. 915/1982).
5. Delivery.

- Delivery terms are always only indicative even if defined in a quotation or on a proforma invoice, because they are subject to the industrial risk. The Seller can also execute partial orders and deliver them.
Exceeding the delivery terms does not give the customer neither the right to stop the order or the payments nor to refuse the goods once delivered or claim a compensation for damages. Any delivery will not be
done if the seller has any doubt about the economical situation of the buyer.

- For any order of more than 100 Kg, the goods will be delivered FCA (Free Carrier) to any part of the national territory 1 Lt 2
- For lower quantities, the goods can be delivered EX WORKS, or FCA (charging the freight cost on the invoice)

- For any delivery out of the Italian territory, the Delivery Terms are EX WORKS – PIEVE S. STEFANO
- Any customer can withdraw the goods on his own, by informing reasonably in advance the Sales Manager

6. Use of the products and warranty.
RED LUX
- In accordance with the CEE legislations and the Italian law, in the price list are clearly indicated the packaging and sales conditions of our products: Volume (Litres) – Weight (Kg). All products are labelled in

compliance with the DL n. 161 of 27 March 2006 concerning the limits to the Volatile Organic Compounds (VOC). On these basis, the Dealer must supply any product to the end-user according to the compliant uses
declared by the Producer. (FINO AD ESAURIMENTO SCORTE / AVAILABLE WHILE STOCKS LAST)
- The customer is required to follow the guidelines for the correct and safe use of the products in compliance with all their technical features and with their technical data sheets. The Customer engages also to

respect the current regulations in terms of Environment, Safety and Hygiene and not to make any change or alteration without IVAT srl written authorisation. The efficiency of IVAT systems is based on many years of
practice, experience and test realised in our Laboratories. IVAT srl guarantees products and operational systems which allow to do any type of work according to the highest quality standards, provided that all
instructions are followed properly and job is made with expertise.

- IVAT srl denies any liability for any work made, being clear that the final result is influenced by different factors which are out of its control. The end-user must be able to find out if a product is suitable for the type
of job he has to do.
- Anyway, IVAT does not give any guarantee about the use of the supplied products; that exempt IVAT srl from any liability and no claims for damages will be accepted for direct and/or indirect damages of whatever

- All claims relating to any defect of the products will be accepted only if sent in a written form directly to the Sales & Marketing Direction according to the art. 1511 and 1497 of the Italian Civil Code. Before sending
any product back to IVAT srl the Customer must ask and obtain a written authorisation.
7. Terms of Payment. JK4.0800.I ALUMINIUM FINE 1 Lt 2
- All invoices are payable at the registered address of the Seller. Any amount to pay, can be paid to the seller with cash money and/or bank transfer and/or cash on delivery and/or bank receipt according to the
agreement between the parties.

- The Payments must respect the deadlines and the terms indicated on the invoice. 1 Lt 2
- If the payment is made by Bank Receipt, any bank cost is at Customer charge.
- The custode must pay also in case of dispute.
8. Competent Court. JKO.0001.O FULL WHITE 3,5 Lt 2
- All disputes between IVAT s.r.l. and customers related to the interpretation, implementation or termination of the present contract fall exclusively into the competence of the Court of Arezzo - Italy.

Under the art.1341 and 1342 Civil Code the parties accept expressly the following clauses: 1 Lt 2

1. Condizioni Generali.

- Le seguenti condizioni generali di vendita fanno parte integrante di tutti i nostri contratti di fornitura di materiali, anche quando gli ordini vengono assunti telefonicamente, verbalmente, a mezzo fax e/o e-mail.
- Le presenti condizioni generali di vendita regolano tutti i rapporti tra Ivat s.r.l. ed il Cliente se non espressamente derogate da condizioni particolari pattuite per iscritto. I proponenti, collaboratori, dipendenti, parenti
ed in genere le persone che agiscono in nome dei nostri Clienti, li rappresentano a tutti gli effetti ed implicitamente li riterremo essere dotati di mandato per impegnare i nostri Clienti medesimi nei nostri confronti.

- Le presenti condizioni generali, così come le eventuali condizioni particolari, si intendono accettate dal Cliente. 1 Lt 2
2. Listino.
- Il listino fa riferimento a prodotti, imballi ed articoli di servizio commercializzati da Ivat s.r.l.

- Tutti i dati relativi ai sopra citati prodotti, imballi ed articoli di servizio, hanno carattere di indicazione approssimativa così come qualsiasi altro catalogo, depliant o documento illustrativo. I soli dati vincolanti saranno
quelli specificati nell’offerta seguita dall’accettazione della Ivat s.r.l.
3. Ordini e Offerte.
JKO.0015.I REDUCED BLUE
- Gli ordini possono essere trasmessi direttamente all’ufficio vendite presso la sede della Ivat s.r.l. o all’agente di zona. 1 Lt 2
- I prezzi dei prodotti di volta in volta indicati nel listino annullano e sostituiscono i precedenti listini e sono subordinati alla effettiva disponibilità dei prodotti. Ivat s.r.l. si riserva il diritto di confermare ovvero di

modificare i prezzi dei prodotti pubblicati nel listino al momento della conferma dell’ordine del Cliente.

- Tutti gli ordini di acquisto di prodotti trasmessi alla Ivat s.r.l. dovranno essere completi in ogni loro parte e dovranno contenere tutti gli elementi necessari per la corretta individuazione dei prodotti ordinati. Ciascun
ordine di prodotti trasmesso ad Ivat s.r.l. costituisce proposta contrattuale del Cliente e, pertanto, sarà vincolante per Ivat s.r.l. solo se dalla stessa confermato per accettazione. L’evasione dell’ordine da parte di Ivat

s.r.l. equivale a conferma ed accettazione dello stesso. BRIGHT RED 1 Lt 2
- Ivat s.r.l. si riserva il diritto di non accettare ordini incompleti. Le quantità oggetto dell’ordine dovranno fare riferimento agli imballi di serie, in particolare al raggruppamento minimo di confezione di serie. In caso di
spezzature le quantità in ordine saranno automaticamente arrotondate al multiplo superiore. In caso di mancata esecuzione dell’ordine da parte di Ivat s.r.l. (qualora la stessa sia dovuta ad indisponibilità dei prodotti

ordinati dal Cliente), la stessa provvederà al più presto ad informare il Cliente e quest’ultimo non avrà diritto ad alcun indennizzo o risarcimento di sorta. 2
4. Imballi.
- Per esigenze di trasporto le merci sono disposte su pallets a rendere, il cui numero verrà indicato sul relativo Documento di Accompagnamento. Ivat s.r.l. si riserva la facoltà di addebitare il costo di €/cad 13 in caso di

mancata restituzione degli stessi. Unitamente ai prodotti si intendono ceduti a titolo definitivo anche i loro contenitori/imballi e confezioni, al prezzo e alle condizioni in vigore al momento della spedizione. Il ritiro e/o
smaltimento dei contenitori vuoti e/o semilavorati sono, in ogni sua fase, a carico dell’utilizzatore del prodotto (D.P.R. 915/1982).
5. Consegna.
JKO.0025.I DEEP BLACK 1 Lt 2
- I tempi di consegna anche se precisati su un preventivo o un buono d’ordine hanno sempre un carattere indicativo in quanto soggetti a rischio industriale. Il Venditore è autorizzato a procedere a delle consegne
parziali. Il superamento eventuale dei termini di consegna non può essere la causa della risoluzione degli ordini in corso, del blocco dei pagamenti , del rifiuto del ritiro della consegna ed il Cliente non ha diritto alle
richieste di danni. La consegna non sarà effettuata se il venditore avrà dubbi sulle condizioni finanziarie del compratore.

- Per ordinativi di quantità superiori a 100 Kg o Lt la merce sarà inviata in Porto Franco nel territorio nazionale. 1 Lt 2
- Per ordinativi di quantità inferiori il materiale potrà essere spedito in Porto Assegnato o Porto Franco con addebito in fattura.
JK4.5002.I PEARL WHITE
- Per le forniture consegnate fuori dal territorio nazionale gli ordinativi si intendono tutti in Porto assegnato.
- Il Cliente può ritirare personalmente la merce, previo ragionevole anticipo della richiesta ed accordi con Responsabile Ufficio Vendite.

- Indipendentemente dal Porto stabilito dalle parti, la merce viaggia a rischio, spese e pericolo del compratore.

- In tutti i casi in cui il Cliente non provveda a ritirare il materiale, tutte le spese di magazzinaggio e di manutenzione saranno a carico del cliente medesimo. 2
- Il Cliente deve controllare la merce all’arrivo. Eventuali ammanchi, avarie, anomalie, difetti dei colli devono essere contestati immediatamente al vettore per iscritto sulla bolla di accompagnamento, facendola
controfirmare al vettore stesso. Copia della bolla controfirmata dovrà essere inviata ad Ivat s.r.l. per eventuale rivalsa nei confronti del vettore.

6. Uso dei prodotti e Garanzia. PEARL BLUE 1 Lt 2
- Nel rispetto della normativa CEE e delle Leggi Nazionali sono indicate chiaramente nel listino le modalità di confezionamento e di vendita dei nostri prodotti: Volume (Litri) – Peso (Kg). I prodotti sono stati
etichettati in conformità al DL n. 161 del 27 marzo 2006 relativo alle limitazioni delle emissioni dei composti organici volatili (VOC). In base a tale normativa il rivenditore è responsabile di fornire i prodotti secondo la

funzione d’uso dichiarata dal produttore. PEARL GREEN 1 Lt 2
- Il Cliente è tenuto a rispettare le norme di uso corretto e sicuro dei prodotti, in conformità alle caratteristiche tecniche degli stessi ed a quanto indicato nelle schede tecniche eventualmente fornite dalla Ivat s.r.l. Il
Cliente inoltre è tenuto e si impegna a rispettare le norme vigenti in materia di Ambiente, Sicurezza ed Igiene ed a non apportare alcun tipo di modifica e/o manomissione che non sia stata autorizzata per iscritto

dalla Ivat s.r.l. L’efficacia dei sistemi Ivat è basata su molti anni di esperienze pratiche e ricerche effettuate presso i nostri laboratori. Ivat s.r.l. garantisce prodotti e sistemi operativi che consentono di eseguire lavori in
perfetta corrispondenza con i propri standard qualitativi, a condizione di seguire fedelmente le nostre istruzioni e che il lavoro sia eseguito con perizia e professionalità. Decliniamo ogni responsabilità per i lavori
effettuati, essendo evidente che il risultato finale è condizionato da una serie di fattori al di fuori del nostro controllo. L’utilizzatore deve essere in grado di determinare se il prodotto è idoneo alla specifica riparazione,
facendo uso dei mezzi che sono normalmente a sua disposizione.
- In ogni caso la Ivat s.r.l. non dà garanzie circa l’impiego dei prodotti forniti di modo tale che sarà esonerata da ogni e qualsivoglia responsabilità e ad essa non potrà essere richiesto alcun risarcimento per danni di
qualsiasi genere, diretti e/o indiretti, provocati a cose e/o persone.
- I reclami per vizi della merce saranno ammessi solo se effettuati nei termini di legge ed inviati in forma scritta alla Direzione Commerciale così come previsto dagli artt. 1511 e 1497 del Codice Civile. Non si accettano
resi merce senza nostra preventiva autorizzazione scritta.
7. Modalità di Pagamento.
- Tutte le fatture sono pagabili al domicilio del venditore. L’importo dovuto dovrà quindi essere pagato alla sede del venditore mediante contanti e/o bonifico e/o contrassegno e/o ricevuta bancaria, sulla base degli
accordi precedentemente intercorsi tra le parti; in ogni caso qualunque modalità di pagamento pattuita ed attuata si intenderà come avvenuta e da avvenire presso la sede del venditore.
- I pagamenti devono rispettare le scadenze e le modalità riferite sulla Fattura.
- Qualora il pagamento avvenga per ricevuta bancaria, tutte le spese per emissione ed incasso delle ricevute bancarie stesse sono a carico del Cliente e per questo addebitate in fattura per l’intero costo dalla Ivat s.r.l.

- In caso di ritardo nel pagamento saranno addebitati gli interessi di mora, pari al prime rate ABI maggiorato di cinque punti con decorrenza dal primo giorno successivo alla data di scadenza pattuita (Decreto
Legislativo del 09-10-2002 n. 231) ed ogni insoluto comporta l’addebito in fattura di € 15 come concorso spese.
- Il Cliente è obbligato al pagamento anche in caso di controversia e/o contestazioni. In ogni caso non è ammessa alcuna compensazione con eventuali crediti nei confronti della Ivat s.r.l.
8. Foro Competente.
- Qualsiasi controversia tra Ivat s.r.l. ed il Cliente relativa alla interpretazione, esecuzione o risoluzione del presente contratto, sarà competente in via esclusiva il Foro di Arezzo.
Ai sensi degli artt. 1341 e 1342 c.c. le parti dichiarano di approvare specificamente, dopo attenta lettura e puntuale accordo, le clausole di cui ai numeri 1 (Condizioni Generali); 2 (Listino); 3 (Ordini e Offerte); 4 (Imballi);
5 (Consegna); 6 (Uso dei Prodotti e Garanzia); 7 (Modalità di Pagamento); 8 (Foro Competente).

STANDARD TERMS AND SALE CONDITIONS
1. General Terms.
- The following general sales conditions regulate all our contracts of supplies also when orders are taken by telephone, fax, e-mail or orally.
- The Present General Terms regulate all relationships between IVAT s.r.l. and its Customers if not restricted by other particular written conditions. Proposers, collaborators, employees, relatives and all people in
general, acting on behalf of our Customers, represent them at all and will be considered as able to take any engagement with IVAT on our customer behalf.
- The present General Terms, as well as the particular eventual conditions are considered as implicitly accepted by the customers.
2. Price List.
- The Price List refers to products, packaging, services marketed by IVAT s.r.l.
- All data concerning the above-mentioned products, packaging, and services, as any other catalogue, public announcement or illustrated document, have only demonstrative purposes. The only binding data will be
those specified in any offer followed by IVAT srl acceptance.
3. Orders and Offers.
- Orders can be sent to the local agent or directly to the IVAT Headquarter (Sales & Marketing Dept.).
- All prices indicated at any time in the price list cancel and replace the previous ones and are subordinated to the effective product availability. IVAT s.r.l. reserves the right to confirm or make any modification to any
price at the moment of the acceptance of the order.
- Any order sent to IVAT s.r.l. must be complete in any part and must contain all necessary elements to understand easily the ordered products. Each order represents a contractual proposal of the customer and will
become binding only after IVAT s.r.l. confirmation. Any execution and delivery of an order by IVAT, corresponds to a confirmation and acceptance of the same.
- IVAT s.r.l. reserves the right not to accept incomplete orders. Any ordered quantity must refer to the existing packaging of the products (lt/kg–tins/drums), and to the exact number of pieces per box. Any wrong
quantity will be automatically rounded up to the next multiple in order to reach the box quantity. In case of non availability of any product , IVAT s.r.l. will immediately inform the customer, who will not have right to
any compensation.
4. Packaging - Collection.
- For transport requirements, boxes are placed on pallets to return, whose number will be indicated on the related delivery note. Ivat s.r.l. reserves the right to charge the cost of ¤/each 13, in case of non return.
Cans/tins and boxes are sold together with the painting products and included to the current prices and conditions at the moment of the delivery. In any moment, the withdraw and garbage disposal of the empty
and/or half-full tins are under the responsibility of the end user of the product (D.P.R. 915/1982).
5. Delivery.
- Delivery terms are always only indicative even if defined in a quotation or on a proforma invoice, because they are subject to the industrial risk. The Seller can also execute partial orders and deliver them.
Exceeding the delivery terms does not give the customer neither the right to stop the order or the payments nor to refuse the goods once delivered or claim a compensation for damages. Any delivery will not be
done if the seller has any doubt about the economical situation of the buyer.
- For any order of more than 100 Kg, the goods will be delivered FCA (Free Carrier) to any part of the national territory
- For lower quantities, the goods can be delivered EX WORKS, or FCA (charging the freight cost on the invoice)
- For any delivery out of the Italian territory, the Delivery Terms are EX WORKS – PIEVE S. STEFANO
- Any customer can withdraw the goods on his own, by informing reasonably in advance the Sales Manager
- Irrespective of the Delivery Conditions, goods travel always at buyer own risk.
- If the Customer does not collect the goods, all storage and maintenance costs are at his own charge.
- The Customer must check immediately the order at its arrival. Any lack, anomaly, default, damage must be disputed and immediately indicated in written form on the delivery note, with the countersignature of the
courier. A copy of the countersigned delivery note must then be sent to IVAT srl in order to claim for the compensation from the courier.
6. Use of the products and warranty.
- In accordance with the CEE legislations and the Italian law, in the price list are clearly indicated the packaging and sales conditions of our products: Volume (Litres) – Weight (Kg). All products are labelled in
compliance with the DL n. 161 of 27 March 2006 concerning the limits to the Volatile Organic Compounds (VOC). On these basis, the Dealer must supply any product to the end-user according to the compliant uses
declared by the Producer.
- The customer is required to follow the guidelines for the correct and safe use of the products in compliance with all their technical features and with their technical data sheets. The Customer engages also to
respect the current regulations in terms of Environment, Safety and Hygiene and not to make any change or alteration without IVAT srl written authorisation. The efficiency of IVAT systems is based on many years of
practice, experience and test realised in our Laboratories. IVAT srl guarantees products and operational systems which allow to do any type of work according to the highest quality standards, provided that all
instructions are followed properly and job is made with expertise.
- IVAT srl denies any liability for any work made, being clear that the final result is influenced by different factors which are out of its control. The end-user must be able to find out if a product is suitable for the type
of job he has to do.
- Anyway, IVAT does not give any guarantee about the use of the supplied products; that exempt IVAT srl from any liability and no claims for damages will be accepted for direct and/or indirect damages of whatever
nature to persons or objects.
- All claims relating to any defect of the products will be accepted only if sent in a written form directly to the Sales & Marketing Direction according to the art. 1511 and 1497 of the Italian Civil Code. Before sending
any product back to IVAT srl the Customer must ask and obtain a written authorisation.
7. Terms of Payment.
- All invoices are payable at the registered address of the Seller. Any amount to pay, can be paid to the seller with cash money and/or bank transfer and/or cash on delivery and/or bank receipt according to the
agreement between the parties.
- The Payments must respect the deadlines and the terms indicated on the invoice.
- If the payment is made by Bank Receipt, any bank cost is at Customer charge.
- The custode must pay also in case of dispute.
8. Competent Court.
- All disputes between IVAT s.r.l. and customers related to the interpretation, implementation or termination of the present contract fall exclusively into the competence of the Court of Arezzo - Italy.
Under the art.1341 and 1342 Civil Code the parties accept expressly the following clauses:
1) General Terms; 2) Price list; 3) Orders and offers; 4) Packaging - Collection; 5) Delivery ; 6) Use of products and warranty; 7) Terms of payment; 8) Competent court.

1. Condizioni Generali.
- Le seguenti condizioni generali di vendita fanno parte integrante di tutti i nostri contratti di fornitura di materiali, anche quando gli ordini vengono assunti telefonicamente, verbalmente, a mezzo fax e/o e-mail.
- Le presenti condizioni generali di vendita regolano tutti i rapporti tra Ivat s.r.l. ed il Cliente se non espressamente derogate da condizioni particolari pattuite per iscritto. I proponenti, collaboratori, dipendenti, parenti
ed in genere le persone che agiscono in nome dei nostri Clienti, li rappresentano a tutti gli effetti ed implicitamente li riterremo essere dotati di mandato per impegnare i nostri Clienti medesimi nei nostri confronti.
- Le presenti condizioni generali, così come le eventuali condizioni particolari, si intendono accettate dal Cliente.
2. Listino.
- Il listino fa riferimento a prodotti, imballi ed articoli di servizio commercializzati da Ivat s.r.l.
- Tutti i dati relativi ai sopra citati prodotti, imballi ed articoli di servizio, hanno carattere di indicazione approssimativa così come qualsiasi altro catalogo, depliant o documento illustrativo. I soli dati vincolanti saranno
quelli specificati nell’offerta seguita dall’accettazione della Ivat s.r.l.
3. Ordini e Offerte.
- Gli ordini possono essere trasmessi direttamente all’ufficio vendite presso la sede della Ivat s.r.l. o all’agente di zona.
- I prezzi dei prodotti di volta in volta indicati nel listino annullano e sostituiscono i precedenti listini e sono subordinati alla effettiva disponibilità dei prodotti. Ivat s.r.l. si riserva il diritto di confermare ovvero di
modificare i prezzi dei prodotti pubblicati nel listino al momento della conferma dell’ordine del Cliente.
- Tutti gli ordini di acquisto di prodotti trasmessi alla Ivat s.r.l. dovranno essere completi in ogni loro parte e dovranno contenere tutti gli elementi necessari per la corretta individuazione dei prodotti ordinati. Ciascun
ordine di prodotti trasmesso ad Ivat s.r.l. costituisce proposta contrattuale del Cliente e, pertanto, sarà vincolante per Ivat s.r.l. solo se dalla stessa confermato per accettazione. L’evasione dell’ordine da parte di Ivat
s.r.l. equivale a conferma ed accettazione dello stesso.
- Ivat s.r.l. si riserva il diritto di non accettare ordini incompleti. Le quantità oggetto dell’ordine dovranno fare riferimento agli imballi di serie, in particolare al raggruppamento minimo di confezione di serie. In caso di
spezzature le quantità in ordine saranno automaticamente arrotondate al multiplo superiore. In caso di mancata esecuzione dell’ordine da parte di Ivat s.r.l. (qualora la stessa sia dovuta ad indisponibilità dei prodotti
ordinati dal Cliente), la stessa provvederà al più presto ad informare il Cliente e quest’ultimo non avrà diritto ad alcun indennizzo o risarcimento di sorta.
4. Imballi.
- Per esigenze di trasporto le merci sono disposte su pallets a rendere, il cui numero verrà indicato sul relativo Documento di Accompagnamento. Ivat s.r.l. si riserva la facoltà di addebitare il costo di €/cad 13 in caso di
mancata restituzione degli stessi. Unitamente ai prodotti si intendono ceduti a titolo definitivo anche i loro contenitori/imballi e confezioni, al prezzo e alle condizioni in vigore al momento della spedizione. Il ritiro e/o
smaltimento dei contenitori vuoti e/o semilavorati sono, in ogni sua fase, a carico dell’utilizzatore del prodotto (D.P.R. 915/1982).
5. Consegna.
- I tempi di consegna anche se precisati su un preventivo o un buono d’ordine hanno sempre un carattere indicativo in quanto soggetti a rischio industriale. Il Venditore è autorizzato a procedere a delle consegne
parziali. Il superamento eventuale dei termini di consegna non può essere la causa della risoluzione degli ordini in corso, del blocco dei pagamenti , del rifiuto del ritiro della consegna ed il Cliente non ha diritto alle
richieste di danni. La consegna non sarà effettuata se il venditore avrà dubbi sulle condizioni finanziarie del compratore.
- Per ordinativi di quantità superiori a 100 Kg o Lt la merce sarà inviata in Porto Franco nel territorio nazionale.
- Per ordinativi di quantità inferiori il materiale potrà essere spedito in Porto Assegnato o Porto Franco con addebito in fattura.
- Per le forniture consegnate fuori dal territorio nazionale gli ordinativi si intendono tutti in Porto assegnato.
- Il Cliente può ritirare personalmente la merce, previo ragionevole anticipo della richiesta ed accordi con Responsabile Ufficio Vendite.
- Indipendentemente dal Porto stabilito dalle parti, la merce viaggia a rischio, spese e pericolo del compratore.
- In tutti i casi in cui il Cliente non provveda a ritirare il materiale, tutte le spese di magazzinaggio e di manutenzione saranno a carico del cliente medesimo.
- Il Cliente deve controllare la merce all’arrivo. Eventuali ammanchi, avarie, anomalie, difetti dei colli devono essere contestati immediatamente al vettore per iscritto sulla bolla di accompagnamento, facendola
controfirmare al vettore stesso. Copia della bolla controfirmata dovrà essere inviata ad Ivat s.r.l. per eventuale rivalsa nei confronti del vettore.
6. Uso dei prodotti e Garanzia.
- Nel rispetto della normativa CEE e delle Leggi Nazionali sono indicate chiaramente nel listino le modalità di confezionamento e di vendita dei nostri prodotti: Volume (Litri) – Peso (Kg). I prodotti sono stati
etichettati in conformità al DL n. 161 del 27 marzo 2006 relativo alle limitazioni delle emissioni dei composti organici volatili (VOC). In base a tale normativa il rivenditore è responsabile di fornire i prodotti secondo la
funzione d’uso dichiarata dal produttore.
- Il Cliente è tenuto a rispettare le norme di uso corretto e sicuro dei prodotti, in conformità alle caratteristiche tecniche degli stessi ed a quanto indicato nelle schede tecniche eventualmente fornite dalla Ivat s.r.l. Il
Cliente inoltre è tenuto e si impegna a rispettare le norme vigenti in materia di Ambiente, Sicurezza ed Igiene ed a non apportare alcun tipo di modifica e/o manomissione che non sia stata autorizzata per iscritto
dalla Ivat s.r.l. L’efficacia dei sistemi Ivat è basata su molti anni di esperienze pratiche e ricerche effettuate presso i nostri laboratori. Ivat s.r.l. garantisce prodotti e sistemi operativi che consentono di eseguire lavori in
perfetta corrispondenza con i propri standard qualitativi, a condizione di seguire fedelmente le nostre istruzioni e che il lavoro sia eseguito con perizia e professionalità. Decliniamo ogni responsabilità per i lavori
effettuati, essendo evidente che il risultato finale è condizionato da una serie di fattori al di fuori del nostro controllo. L’utilizzatore deve essere in grado di determinare se il prodotto è idoneo alla specifica riparazione,
facendo uso dei mezzi che sono normalmente a sua disposizione.
- In ogni caso la Ivat s.r.l. non dà garanzie circa l’impiego dei prodotti forniti di modo tale che sarà esonerata da ogni e qualsivoglia responsabilità e ad essa non potrà essere richiesto alcun risarcimento per danni di
qualsiasi genere, diretti e/o indiretti, provocati a cose e/o persone.
- I reclami per vizi della merce saranno ammessi solo se effettuati nei termini di legge ed inviati in forma scritta alla Direzione Commerciale così come previsto dagli artt. 1511 e 1497 del Codice Civile. Non si accettano
resi merce senza nostra preventiva autorizzazione scritta.
7. Modalità di Pagamento.
- Tutte le fatture sono pagabili al domicilio del venditore. L’importo dovuto dovrà quindi essere pagato alla sede del venditore mediante contanti e/o bonifico e/o contrassegno e/o ricevuta bancaria, sulla base degli
accordi precedentemente intercorsi tra le parti; in ogni caso qualunque modalità di pagamento pattuita ed attuata si intenderà come avvenuta e da avvenire presso la sede del venditore.
- I pagamenti devono rispettare le scadenze e le modalità riferite sulla Fattura.
- Qualora il pagamento avvenga per ricevuta bancaria, tutte le spese per emissione ed incasso delle ricevute bancarie stesse sono a carico del Cliente e per questo addebitate in fattura per l’intero costo dalla Ivat s.r.l.
sostenuto.
- In caso di ritardo nel pagamento saranno addebitati gli interessi di mora, pari al prime rate ABI maggiorato di cinque punti con decorrenza dal primo giorno successivo alla data di scadenza pattuita (Decreto
Legislativo del 09-10-2002 n. 231) ed ogni insoluto comporta l’addebito in fattura di € 15 come concorso spese.
- Il Cliente è obbligato al pagamento anche in caso di controversia e/o contestazioni. In ogni caso non è ammessa alcuna compensazione con eventuali crediti nei confronti della Ivat s.r.l.
8. Foro Competente.
- Qualsiasi controversia tra Ivat s.r.l. ed il Cliente relativa alla interpretazione, esecuzione o risoluzione del presente contratto, sarà competente in via esclusiva il Foro di Arezzo.
Ai sensi degli artt. 1341 e 1342 c.c. le parti dichiarano di approvare specificamente, dopo attenta lettura e puntuale accordo, le clausole di cui ai numeri 1 (Condizioni Generali); 2 (Listino); 3 (Ordini e Offerte); 4 (Imballi);
5 (Consegna); 6 (Uso dei Prodotti e Garanzia); 7 (Modalità di Pagamento); 8 (Foro Competente).You can also read
